The amount is within the project scope and budget.

11.6 Payment to GovConnection, Inc. + The Operations and Risk Management Committee recommends approval of payment to GovConnection, Inc. in the amount of $29,619 to purchase updated computers to replace those that are outdated. The expense is within budget. 11.7 Jenzabar SaaS Agreement + The Operations and Risk Management Committee recommends approval to engage in an agreement to secure the most recent Jenzabar platform and related services. The expense is included in the 2019-20 budget and will be paid five years at a rate of $207,000 per year. The agreement has been reviewed by the College Solicitor.

11.8 Payment to MASCO Construction, Inc. + The Operations and Risk Management Committee recommends approval for payment in the amount of $154,117.81 to MASCO Construction, Inc. This is the final pay application for services related to the Learning Resources Center Renovation. The expense is within the project scope and budget.

11.9 Payment to MS Consultants, Inc. + The Operations and Risk Management Committee recommends approval for payment in the amount of $29,506 to MS Consultants, Inc. for services related to preparation for Phase II of the Process Technology Center Renovation. CCBC Foundation Board Approval of. Dr Jane Bovalino

Mr. Kolton Codner presented for conditional approval Dr. Jane Bovalino for appointment to the CCBC Foundation Board of Directors. The CCBC Foundation will vote on Dr. Bovalino’s appointment on the afternoon of Tuesday, April 16, 2019. Pending the Foundation’s approval, the Executive Committee recommends approval on the Consent Agenda on Tuesday, April 16, 2019.

Updates and Reports

Meeting with the Beaver County Authority Board

On Wednesday, April 3, Trustee Stephen Robinson, President Davis, Mr. Codner, and Mr. Glenn Natali attended the Beaver County Airport Authority’s Board Meeting. They engaged in a productive conversation and the College looks forward to continuing working with the Board on next steps.

Faculty Emeriti

The College looks forward to conferring the title of Faculty Emeritus for twenty‐two retired CCBC faculty members during the 2019 Commencement Ceremony. Additionally, the family members of two faculty members will accept posthumous Faculty Emeritus recognitions on behalf of their loved ones. The Faculty Emeriti have been invited to celebrate their recognitions during the CCBC Legacy Celebration on Wednesday, May 1. On Thursday, May 2, during the Commencement Ceremony, each will be bestowed with a special medallion to confer their title.

Page 4 Achieving the Dream Campus Visit

On Tuesday, April 2 and Wednesday, April 3, CCBC’s Achieving the Dream (AtD) Coach Eileen Baccus visited campus. During her time on campus, Dr. Baccus met with members of the College’s AtD Team. Following the two‐day visit she provided Dr. Davis with a review of the College’s strengths and areas for improvement. Dr. Baccus will send a summary letter to CCBC in the coming weeks. Once it is received, Dr. Davis will share the letter with the Trustees and the campus community.

Update: Human Resources

Ms. Sally Mercer provided an update regarding Human Resources.

Ms. Elizabeth Marshall has been appointed Acting Vice President of Student Affairs and Enrollment.

Community College Lobby Day

On Monday, April 8 and Tuesday, April 9, four students accompanied staff to Harrisburg for the Pennsylvania Commission for Community Colleges Annual Meeting and Lobby Day. Two of the students, Mr. Eric Taylor and Mr. Herney Valdez Pina, were recognized as CCBC’s All‐PA Scholars. They were selected from Phi Theta Kappa students at CCBC to receive this recognition. As a result, both students will receive a scholarship to complete their bachelor degrees at a PASSHE institution. On the second day of the trip, all four students attended Lobby Day at the Capitol Building, where they met with local legislators to discuss the impact of community colleges and participate in a press conference with students and presidents from all Pennsylvania community colleges.

Special Inspections Vendor Bid

Phase II of the Process Technology Center Renovation will require a series of special inspections not normally required for other construction projects on campus. Following a request for bids, Mr. Monit presented for approval an agreement with Construction Engineering Consultants, Inc. to provide services for the inspections. The Operations and Risk Management Committee recommends approval on the Consent Agenda on Tuesday, April 16, 2019.

Updated Construction Schedule

Mr. Monit presented the updated construction schedule for Phase II of the Process Technology Center Renovation. A groundbreaking ceremony will be held on Thursday, May 2 and 3:00 p.m.

Page 6 Payment to GovConnection, Inc.

Mr. Brandon Berg presented for approval requisition 22761 to purchase new computers to replace those that are outdated or no longer functioning. The total amount of $26,619, payable to GovConnection, Inc. was budgeted in the 2018‐19 cost to complete process. This amount will be paid from the operating budget. The Operations and Risk Management Committee recommends approval on the Consent Agenda on Tuesday, April 16, 2019.

Jenzabar SaaS Agreement

Mr. Berg presented for approval an agreement with Jenzabar to upgrade to the most recent platform available. In addition to housing CCBC’s student, financial aid, payroll, and course schedule data, the new platform will provide increased functionality, including modules to address room scheduling and event planning. In the past, Jenzabar has charged clients for each module. By engaging in the cloud‐ based solution, the College will not need to spend as much in the future because all features will be included in one price. The process will move the application from being hosted on a physical server to a cloud‐based solution, which will free‐up space on the server. Disaster and continuity relief will be built‐ in.

Support for CCBC’s current version ended on March 30. As a result of contract negotiations, the College’s services have been extended through July. The contract will include unlimited support, all upgrades, and database administration through Jenzabar. The five‐year contract is interest‐free and will lock‐in a price that will not increase over the life of the contract. The total cost of $1,035,000 will be paid at a rate of $207,000 each year. A savings of $38,000 is anticipated by the end of the contract. The amount is included in the 2019‐20 budget.

Mr. Monit presented for approval Pay Application 5 for payment in the amount of $154,117.81 to MASCO Construction, Inc. Mr. Glenn Natali presented for approval planned interest and fee payments, payable to U.S. Bank, for the following Pennsylvania Finance Authority Community College Revenue Bonds

Board Resolution 2019‐002: PTEC Phase II: State Public School Building Authority Loan Request

Mr. Natali presented for approval Board Resolution 2019‐002, PTEC Phase II: State Public School Building Authority Loan Request, to finance the Pennsylvania Department of Education’s (PDE’s) portion of the $4M Process Technology Center Phase II Renovation. CCBC secured $2M in philanthropic funding to fund the matching portion. PDE will pay the total annual debt service of $230K for this loan, which will be secured through the State Public School Building Authority (SPSBA). SPSBA is offering a 10‐year revolving loan at 2.75% fixed interest. Utilizing this loan structure will save the college on expenses related to closing costs, origination fees, and compliance costs. Solicitor Rick Start and college bond counsel reviewed the resolution to confirm the loan would have no impact on existing trust indentures. The Operations and Risk Management Committee recommends approval on the consent agenda on Tuesday, April 16, 2019.

Proposed 2019‐20 Tuition and Fees

Mr. Natali presented for approval the proposed tuition and fee increases for academic year 2019‐20. Following the fiscal year 2019‐20 budget planning process, the administration recommends a 3% tuition increase. The Operations and Risk Management Committee recommends approval on the consent agenda on Tuesday, April 16, 2019.

Updates and Reports

Management Letters from Baker Tilly

Mr. Natali presented the Operations and Risk Management Committee with a copy of the Management Letters from Baker Tilly related to the Fiscal Year 2017‐18 Financial Audit. This completes the 2017‐18 audit process for the College. The CCBC Foundation audit is nearly complete. The Operations and Risk Management Committee will join Mr. Natali for a meeting with Baker Tilly representatives on Thursday, April 11 to discuss this past year’s process and to plan for the 2018‐19 audit.

Quarter 3 Financials and Summary

Mr. Natali presented the third quarter financial report.

 Revenue is $75K ahead of budget through the third quarter. Increased flight fee revenue more than offsets lower than budgeted credit and non‐credit tuition and fees.

Page 8  Total Operating expenses are $314K greater than budget due primarily to the additional flight time in the School of Aviation Sciences. Instructional costs are $206K lower than budget due to reduced enrollments.

 Annual projections indicate an additional $407K in revenue due primarily to increased flight fees being over budget. Expenses are projected to be $85K over budget.

 Annual net position is projected to decrease by $10K

The financial report will be included in the Board of Trustees Regular Meeting Agenda.

Flight Fees

Mr. Natali provided an update to the Committee concerning the status of flight fee accounts.

Status Update: Gas Rights

In January, Mr. Natali was in contact with Mr. Chad McMillan of McMillan, Urick, Tocci, & Jones to inquire about the possibility of securing a gas lease to generate an alternate revenue stream. Although it was determined that the College has gas and lease rights for 112 acres, vendor interest did not exist. Mr. McMillan will continue to look for vendor opportunities.

Debt Profile

Mr. Natali shared information outlining the College’s and the Commonwealth’s annual share in debt service related to CCBC’s current financing. He distributed a ratio analysis from Baker Tilly. The data reflects the proportion of annual debt through 2038.

Budget Discussion

Mr. Natali shared an update concerning the fiscal year 2019‐20 budget process.

Finance

2019‐20 Budget Planning

President Davis and the Vice Presidents completed the preliminary FY2018‐19 budget. Dr. Davis and Mr. Natali reviewed the results with the Operations and Risk Management Committee on April 4. The FY2019‐20 preliminary budget was developed based on the following assumptions:

 State and Local Sponsor appropriations are budgeted flat over FY2018‐19 allocations.

 Based on 2018‐19 enrollment trends, credit‐based tuition and fee revenue is based on a 3% average credit reduction over 2018‐19 enrollments.

 Preliminary expense budgets take into account credit‐based cost reductions, flat other direct costs, a 1.9% increase in health care, and contractually obligated and 3% non‐union wage increases.

 Retirement payouts and replacements for three full‐time faculty positions in English, Computer Science, and Criminal Justice.

 Additional costs to support replacing the Dean of the School of Nursing and Allied Health and the new Assistant Director of Admissions and Enrollment position.

 Annual $400K contribution to the college reserve fund, bringing the projected June 2020 total to $1.2M.

The combination of reduced enrollments, flat state and local appropriations, and structural increases in operating costs led to a projected revenue shortfall of $1.1M. The college would have to raise tuition by over 10% and generate flat enrollments to close this gap, which is not a sustainable solution. The leadership team took further action by reducing other direct costs by an additional $150K, decided on strategic retirement replacements, and modeled a 3% tuition increase and $5.00 general student fees increase submitted to the Operations and Risk Management committee on April 4th for the consent agenda. The Proposed 2018‐19 Budget Assumptions and Proposed Tuition and Fee Increases document included in this month’s board packet details the proposed tuition and fee increases.

Even with these changes, CCBC needs to cut an additional $480K to balance the budget. Dr. Davis and the Vice Presidents are working with the Board and union leadership on several budget reduction scenarios including severance packages and potential layoffs to balance the budget that will be submitted to the Board in May.

Page 13 FY2018‐19 Q3 Financial Report

A statement of revenue and expense for the first three quarters of fiscal 2018‐19 was reviewed with the Operations and Risk Management Committee and is included in this month’s board packet. In summary:

 Revenue is $75K ahead of budget through Q3. Increased flight fee revenue more than offsets lower than budgeted credit and non‐credit tuition and fees.

 Total Operating expenses are $314K greater than budget due primarily to the additional flight time in the School of Aviation Sciences. Instructional costs are $206K lower than budget due to reduced enrollments.

 Annual projections indicate an additional $407K in revenue due primarily to increased flight fees over budget. Expenses are projected to be $85K over budget.

 Annual net position is projected to decrease by $10K.

The increased flight fees highlighted in the Q3 financial statements are the result of student payments as well as Commonwealth fundsd an equal matching funds from the college used to subsidize flight fees for students who reside in Pennsylvania. This portion is a fixed amount of $600,000 per fiscal year. This year’s flight discount funds were completely exhausted by mid‐March. This is due to a perfect storm of increased flight time from adding three new flight schools, good flying weather, and a population of students who received flat fee discounts who were not progressing academically but still drawing on the funds.

On March 22, CCBC temporarily placed a hold on expending student flight discounts through June 30, 2019. Students were informed via a letter and email that explained the financial situation. Communication highlighted the discounted funds that were removed from their account for redistribution after June 30th and informed students that they would be responsible for funding their flight fees from March 25 to June 30. Since that time, Senior Dean John Higgs and Associate Dean Jack Yakovich conducted open office hours from 8:00 a.m. to 2:00 p.m. Monday through Friday at the Aviation Sciences Center and Parkway West sites to support student questions, review their accounts, and make adjustments as appropriate.

Before reapplying discounted monies on July 1, CCBC will audit each student account and will reapply discount balances after confirming completion of pre‐requisites and current registration status. Additionally, effective fall 2019, flight discounts will bed allocate by flight hour, tracked by class, and capped at minimum flying hours to ensure equitable distribution. A committee comprised of the Aviation Deans, Dean of High School Academies, Aviation Faculty, Business Office, and Marketing is charged with detailing the process, establishing academic quality control over student progression, and documenting aspects for all stakeholders.

Other Items of Note

This packet includes a board resolution to undertake financing PDE’s portion of the $4M Process Technology Phase II Renovation. CCBC secured the matching $2M in philanthropic funding and PDE will pay the total annual debt service for this loan. The lender is the State Public School Building Authority (SPSBA). They offered a 10‐year revolving loan at 2.75% fixed interest. Utilizing this loan structure as

Page 14 opposed to a bond issuance will save the college on closing costs, origination fees, and compliance costs. Solicitor Start and college bond counsel reviewed the resolution to confirm the loan would have no impact existing trust indentures.

The college released two RFP’s over the last quarter. The first was a requestr fo interested vendors to submit a proposal for a comprehensive human resource information system and automated payroll processing. Proposals are due on April 12. The committee will interview a selection of finalists April 24‐26 with a recommended vendor submitted to the board at the May meeting.

The second was a request for banks and credit unions to submit a proposal to provide zero fee banking services for students and employees, ATM machines on campus, and a financial literacy program (which could include a branch location on campus). Proposals are due on April 26. The committee will interview finalists on May 15‐17 with a recommended vendor submitted to the board at the June meeting.

Mr. Natali began discussions in January with attorney Chad McMillan of McMillan, Urick, Tocci, & Jones about the possibility of securing a gas lease that could generate an alternative revenue stream. Chad’s team determined that the college had gas and lease rights for all 112 acres at the main campus and proceeded to gauge interest from gas vendors on a potential land lease. Chad recently reported that Range Resources, one of the largest players in the region, was not interested. He is going to continue to check with other vendors.

CCBC’s auditors attended a meeting with Trustee Stephen Robinson, Ms. Andrea Mumma, and Mr. Natali to debrief the 2017‐18 audit experience. Agenda items included what was learned after conducting the first audit together, what did and did not work well (including strong feedback on timeliness and sthe college’ board approval process), and setting a preliminary schedule for the 2018‐19 audit.

Facilities and Operations

Learning Resources Center Renovation Project

The Learning Resources Center Renovation project officially came to a close on April 11 with a ribbon cutting ceremony to open the new library. This project finished a few weeks late, but came in slightly under budget. Once all of the final bills are paid, it is expected that a few thousand dollars will remain, which will allow for an update to the slip resistant treads on the indoor/outdoor stairwell in the Learning Resources Center.

Process Technology Center Renovation Project Phase II

The bids were received for Phase II of the Process Technology Center Renovation project on March 14. Mr. Monit presented the recommended low bidders for this construction project, which is slated to begin on May 1 and end in January 2020, to the Operations and Risk Management Committee April 4. The committee approved the following to be placed on the consent agenda:

 General Contractor – B&B Contractors was the low bidder. A base bid of $2,060,000 plus Alternate C‐01 to add in the additional square footage in the high bay area at $58,000 produces total bid of $2,118,000.

Page 15  Mechanical Contractor – D&G Mechanical was the low bidder. A base bid of $406,900 plus Alternate HC‐02 to add in the additional square footage in the high bay area for $1,080 produces a total bid of $407,980.

 Electrical Contractor – McCurley Houston was the low bidder. A base bid of $215,000 plus Alternate EC‐01 to add in the additional square footage in the high bay area for $3,000 produces total bid of $218,000.

 Plumbing Contractor – Reno Brothers was the low bidder with the alternate. A base bid of $299,939 plus Alternate PC‐01 to eadd in th additional square footage in the high bay area for $3,620 produces a total bid of $303,559.

The budget total for all contractors is $3,047,539. The remaining $952,461 of the $4,000,000 budget is set aside to support architectural and legal services, construction management, furniture and equipment, site development and licensing, and contingencies.

Facilities Master Plan

Work will begin with Hayes Design Group on the Facilities Master Plan in April. Hayes will conduct several focus groups during this quarter with the consultants to get an entire overview of CCBC’s campuses. The process will continue through the summer and early fall. A completed report is expected in January 2020.

Air Traffic Control Tower Roof Replacement

The roof at the Air Traffic Control Tower at the Beaver County Airport, which the college shares responsibility in maintaining with the Beaver County Airport, is in need of replacement. The work is estimated to cost approximately $50,000. The college will issue a RFP in late May/early June and expects the work to commence in July.

Fourth Quarter Priority Projects

The 2019 campus move project is more than 60% complete. Additional moves will continue through June. Work to date includes:

 The Veterans Lounge in the Student Services Center was painted and received new furniture.  Student Activities moved into their new suite on the ground floor of the Student Services Center.  Admissions moved into their new suite on the top floor of the Student Services Center.  The Marketing Department moved into offices in the Library.  The Business Office moved to the top floor of the Student Services Center.  The new EMT classroom and storage room were renovated and are ready for use.

Page 16 Event Support

In addition to activating priority projects and the general deferred maintenance of the campus, CCBC’s Physical Plant team supports the setup, maintenance, clean‐up, and break down of all major community events on campus. Each of these events require requires a unique set‐up. Some highlights of the past few months as well as upcoming events include:

 Nine major events in the Dome during the first quarter of 2019.

 There will be 16 major events hosted in the Dome from April through June. These include the CCBC Commencement and Celebration Week, Head Start Graduation, the Beaver County Career and Technology Center Graduation, Central Valley Graduation, PA Cyber Graduation and the CCBC Police Academy Graduation.

 The team supported 47 events during the first quarter of 2019 in room 9103 and have 37 more events through the end of June.

Information Technology

Jenzabar

CCBC IT recommends that the college move its ERP/Jenzabar from an on‐site configuration to a Software as a Service (SaaS) model. This will move the application from local/physically hosted server to a cloud‐ based solution. The team is slated to transition from Jenzabar v6 to the most up‐to‐date offering of Jenzabar 1, or J1. This new version will provide increased system functionality such as classroom management and competency‐based class structure, all while saving the campus money.

The implementation timeline is as follows:

Preparing for Fall 2019

CCBC IT has been busy working with Professor Mary Jo Slater and the Provost’s Office to streamline the current offering of Blackboard. Professor Slater has created a standardized template that will be used across every class with the college’s system. As a result, Blackboard course copies will not be available for the fall semester, as they would overwrite the newly created template for fall. Once the new template has been used for the entirety of the fall semester, it will be possible to reinstate the use of IT assisted course copies.

Page 17 Laptop Replacement

CCBC IT is in immediate need of replacement laptops for a key group of faculty and administrative members. The replacement process will focus on laptops that are 8+ years old, have Windows 7 installed on them, and have been flagged in the ticking system as having major/unrepairable issues. CCBC IT is requesting approval to purchase 27 laptops and docking stations from GovConnect for $29,506 to replace the laptops that meet the above criteria. Mr. Berg submitted the PO to the Operations and Risk Management Committee.

Staff Updates

Ms. Carol McCullough was promoted from Help Desk Consultant to IT Office Manager. This is an administrative position that will focus on office scheduling, maintaining the Information Technology Budget, and managing/negotiation of ongoing contracts.

Mr. Adam Revelant has joined the team as a Senior Help Desk Consultant. Mr. Revelant was previously working part‐time in a supportive service role on the CCBC campus. Prior to his work at CCBC, Adam was employed as an IT Help Desk Analyst for Pomeroy IT Solutions. Paired with his prior experience and always positive demeanor, he is a welcomed addition to the IT team.

The IT team still has an open position for a System/Learning Management Administrator. The job is currently posted on the website. Due to recent interest, the phone screening process will begin towards the end of April.

Upgrades to Conference Room 9103

The technology upgrade in the Learning Resources Center Room 103 (9103) will take place on April 19th and will be completed by April 22nd. This upgrade includes the following:

 Upgraded room audio  New podium with dual display (Will provide the capability for presenter mode)  A confidence monitor located in the back of the space  Re‐calibrated screens and projectors to support widescreen format

Password Reset

The new password reset portal is set to launch on April 17th. The new portal will route directly though Microsoft Azure. This change will make the portal more accessible, and will also save the college money. Users will now be able to sync their accounts across all of CCBC’s multiple services. It will create a better student experience, and will reduce our support overhead by providing more power to end users. In addition to the outreach and training materials described in the timeline below, Marketing is currently working on a how‐to video for the password reset that will be available to all CCBC employees. The implementation timeline is as follows:

 April 10: First communication delivered to campus. This message provided the ability for everyone to set security questions.

 April 15: Reminder email to set security questions will be sent.

Page 18  April 17: Go live. The verification questions will be mandatory prior to using any Azure‐based programs such as Office Online or Webmail.

Microsoft 365 Migration

CCBC IT is currently working with a third‐party vendor, BTPros, to complete the Office 365 migration. All student accounts were migrated during the summer of 2018. That leaves the team with the task of migrating all faculty and staff/administrative accounts. CCBC IT currently has enough Microsoft hours banked with BTPros that they will be able to facilitate this project at no cost to the campus. They will handle all communication, which will be routed through CCBC’s IT Department, and all account moving/creation. Plans are in place to make this move during the summer semester. Benefits include larger mailbox capacity, up‐to‐date security features, increased support directly from Microsoft, and cloud replication of user mailboxes. The final timeline is still in development, but should be completed by the end of April.

CENTER TWP. — A new partnership will help local teenagers start planning their future paths.

The Community College of Beaver County has partnered with Big Brothers Big Sisters of Beaver County to create a workforce development program for local high school students to be mentored by CCBC leaders.

The nine-month program began earlier this month and will initially involve about 15 students from Central Valley High School. Students will meet at least once each month with a “Big” from the college for lunch on campus.

“As a former BBBS ‘Big,’ I know firsthand the life-changing impact these mentor relationships can have in the community,” CCBC President Roger Davis said in a statement. “We see this as another puzzle piece to help people in our community move their lives forward.”

The program, modeled after the Beyond School Walls workplace mentoring program, is designed to introduce teens to job paths early and help them to understand what it means to work for a corporation or government. The students will learn how to navigate the education requirements for various professional opportunities while building a mentoring relationship.

The students will be paired one on one with college staff to develop a relationship in which the teens can seek advice for personal, educational and professional growth.

“We’re hoping these professionals can help them with their confidence and their career options,” said Jenny Lupinacci, a special-education teacher at Central Valley who is working with the students taking part in the program. “They have a trusted adult they can find out real answers from.”

The program is funded by a $10,000 donation from Cottrill Arbutina & Associates accounting firm and Cottrill Arbutina Wealth Management Group, with a $5,000 match from CCBC.

“This is our first partnership to get off the ground in the workplace mentoring program,” said Kim Anastas, executive director of Big Brothers Big Sisters of Beaver County. “We cannot do this by ourselves, and we feel incredibly fortunate to have great partners at Cottrill Arbutina, CCBC and Central Valley to launch this effort.”

The students first met with their mentors last week, said Shawn McCreary, Central Valley’s principal. The partnership made sense, McCreary said, given that the high school and CCBC are neighbors. The two schools have a great relationship, he said.

The teens were enthusiastic and enjoyed their interactions with the CCBC staff they will be working with during the next several months, Lupinacci said. The school will facilitate meetings each month during the school year, and officials are discussing possible events during the summer with the college’s aviation sciences program at the Beaver County Airport in Chippewa Township.

The hope, Central Valley officials said, is that the teens will get exposure to opportunities they might not have realized were open.

“We hope they develop a vision for their future so if they’re not quite sure what they want to do after high school – which is the norm in many situations – they know what their options are,” Lupinacci said. “The kids are telling us they’re

Roger W. Davis, interim president of the Community College of Beaver County since May, has been named to the post permanently. He is the college's first African-American president.

Robert L. Jackson, interim president of Murray State University since August 2018, has been named to the post permanently.

Fred Wilson, chairman of the Board of Trustees at the University of Mobile, has been named interim president. He will replace Tim Smith, who resigned in Roger W. Davis will lead the Community College of Beaver February. County.

DEATHS

Dominick Argento, composer and professor emeritus in the University of Minnesota- Twin Cities School of Music, died on February 20. He was 91. Argento was a faculty member at the university from 1958 to 1997. His compositions won many awards, including the 2003 Grammy Award for Best Classical Contemporary Composition for his work "Casa Guidi," performed by the Minnesota Orchestra with Frederica von Stade, and the 1975 Pulitzer Prize for Music for his song cycle "From the Diary of Virginia Woolf."

Norman Itzkowitz, professor emeritus of Near Eastern studies at Princeton University, died on Janurary 20. He was 87. Itzkowitz taught at Princeton for 42 years and was the head of the residential college Wilson College from 1975 to 1989. He wrote Ottoman

Mr. Robinson moved to approve the following consent agenda items:

10.1 Meeting Minutes – February 26, 2019 Regular Meeting

10.2 Approval of a two‐year agreement with Cengage Learning, Inc. in the amount of $544,000 to provide electronic Cengage resources for 1,600 students. The agreement outlines payment terms through eight installments and has been reviewed by the College solicitor.

10.3 rApproval fo payment of invoice 935 in the amount of $27,000 from Eckles Construction Services, Inc. for construction management services related to the Process Technology Center Renovation Phase II. The cost is within the project scope and budget.

10.4 Approval for payment of invoice 6 in the amount of $56,300 from MS Consultants, Inc. for architectural and design fees related to the Process Technology Center Renovation Phase II. The cost is within the project scope and budget.

Dr. Saunders seconded the motion and it carried on a unanimous roll call vote.

Adjournment

The Board adjourned at 6:30 p.m. on a motion from Mr. Retsch and a second from Mr. Robinson.

The term of the JaaS specified above (the “JaaS Term”) begins on the JaaS Start Date and continues until the JaaS JaaS Term End Date (5 year term) or as otherwise provided herein. The Jaas Term will be automatically renewed for successive annual renewal terms commencing on the JaaS Renewal Date unless either party provides written notice of nonrenewal at least sixty (60) days prior to the end of the current JaaS Term. During a JaaS Term, Client cannot terminate the JaaS prior to the end of such term.

Jenzabar is providing the JaaS listed herein and has determined the initial JaaS Fees according to specific bundles JaaS (each bundle, a “JaaS Bundle”). During the JaaS Term, Client cannot cancel any of the modules within the JaaS Bundles Bundles listed above.

The Jenzabar Mobile App is a software license application commonly known as an “app” to be downloaded by authorized users via an “app” store platform (such app stores are currently only the Google Play Store and the Apple App Store, and both together are hereinafter referred to as the “Third-Party App Store”). The Jenzabar Mobile App allows authorized users to access Jenzabar Student CRM, Jenzabar Faculty CRM, Jenzabar eLearning, and Jenzabar Internet Campus Solution via a mobile platform; provided, however, that Client has licensed Jenzabar Student CRM, Jenzabar Faculty CRM, Jenzabar eLearning, and Jenzabar Internet Campus Solution separately from the license of the Jenzabar Mobile App. The Jenzabar Mobile App supports the integration of web content from outside sources such as Facebook, Pinterest, or Twitter plus any web content via a widget architecture (such sources, “Social Media Sources”), which allows content from such Social Media Sources to be accessed or displayed via the Jenzabar Mobile App. Client agrees that its license of the Jenzabar Mobile App and payment of fees is neither contingent upon the delivery of any future functionality or features nor dependent upon any oral or written public comments made by Jenzabar with respect to future functionality or features. During the JaaS Term, Jenzabar shall use commercially reasonable efforts to update the software to the JCB App to continue to operate within only the Apple iOS and Google Android mobile operating systems and associated devices (each, the “Mobile Platform”) and any major releases to each Mobile Platform as such major releases are made publicly available.

Client shall not charge any fees for JCB App Authorized Users to use the JCB App. A “JCB App Authorized User” means any official student, faculty, or staff member of Client who has legally downloaded the JCB App from an official Third-Party App Store. Client understands that each JCB App Authorized User will need a separate identification and password to download and access the JCB App from any Third-Party App Store. Client understands that any issues that Client or any JCB App Authorized User has with the Third-Party App Store shall be addressed by the Third-Party App Store and not be a responsibility of Jenzabar. Client understands that any issues that Client or any JCB App Jenzabar Authorized User has with any Social Media Sources shall be addressed by the Social Media Source provider and will Mobile App not be a responsibility of Jenzabar. Client shall indemnify, defend, and hold harmless Jenzabar for any liability from any violation by Client and/or a JCB App Authorized User of any terms and conditions and policies of any Social Media Source. Jenzabar shall not be responsible for any data or content of any JCB App Authorized User including, without limitation, any content of any Social Media Source displayed or accessed via the JCB App. Client and each JCB App Authorized Users must comply with all applicable terms and conditions, terms of service, policies, and requirements of the Third-Party App Store (the “Third-Party App Store Terms”). Client shall indemnify, defend, and hold harmless Jenzabar for any liability from any violation by Client and/or a JCB App Authorized User of any Third-Party App Store Terms.

CLIENT UNDERSTANDS THAT THE THIRD-PARTY APPSTORE IS A PLATFORM THAT JENZABAR DOES NOT CONTROL AND THEREFORE CLIENT SHALL NOT HOLD JENZABAR LIABLE FOR ANY ISSUES RELATING TO THE THIRD-PARTY APP STORE. CLIENT ALSO UNDERSTANDS THAT, AS A DEVELOPER FOR THE THIRD- PARTY APP STORE, JENZABAR IS SUBJECT TO ALL OF THE THIRD-PARTY APP STORE TERMS AND THEREFORE MAY BE LIMITED BY THE THIRD-PARTY APP STORE TERMS. WITHOUT LIMITATION, THE UNAUTHORIZED DISCLOSURE OF CONFIDENTIAL INFORMATION OF CLIENT OR ITS USERS. CLIENT UNDERSTANDS THAT SINCE JCB APP AUTHORIZED USERS MAY USE THE JCB APP TO ACCESS OR DISPLAY CONTENT FROM SOCIAL MEDIA SOURCES AND JENZABAR HAS NO CONTROL OVER SUCH CONTENT, THE CHOICES MADE BY THE JCB APP AUTHORIZED USER, AND THE SOCIAL MEDIA SOURCES, JENZABAR SHALL NOT BE LIABILE IN ANY WAY FOR ANY CONTENT FROM A SOCIAL MEDIA SOURCE THAT IS ACCESSED BY OR DISPLAYED ON THE JCB APP BY A JCB APP AUTHORIZED USER.

Upon termination, Client agrees to immediately cease using the JCB App, and Jenzabar shall remove the JCB App from each Third-Party App Store, and Jenzabar shall make a “key” change on Client’s server that will disable all JCB App Authorized Users that already have the JCB App installed on their mobile devices. Once such key change is made, the JCB App will no longer function, and the JCB App will display a message that the JCB App Authorized User needs to contact their institution. Any termination of the Jenzabar Mobile App shall in no event relieve Client of its obligations to pay any Jenzabar Mobile App Fee that is due hereunder. In addition to any termination rights that Jenzabar has pursuant to this Addendum and/or the Agreement, Jenzabar may terminate Client’s license to the Jenzabar Mobile App and the JCB App and suspend or remove the JCB App from any Third-Party App Store with or without notice if Client or any JCB App Authorized User threatens to or violates any Third-Party App Store Terms.

MASTER AGREEMENT

THIS MASTER AGREEMENT (the “Agreement” or the “Master Agreement”) is made between Jenzabar, Inc., a Delaware corporation, with its principal place of business at 101 Huntington Avenue, Suite 2205, Boston, Massachusetts 02199 (“Jenzabar”) and the party specified above (“Client”). This Agreement shall govern all transactions for the purchase by Client of JaaS Services, Professional Services and/or hardware, as the case. Terms and conditions that apply only to a certain type of transaction are contained in the applicable Order for Software and Services that is signed by Client and Jenzabar and is made part of this Agreement (each, an “Order” or collectively “Orders”). WHEREAS, CCBC has secured the $2,000,000 in match funding through philanthropic donations to support the match considerations required by PDE and;

Please let this letter serve as an indication of my interest in becoming a member of the CCBC Foundation Board of Directors. My relationship with CCBC goes back many years!

During the summer of my sophomore year at West Virginia Wesleyan College, I decided to take a refresher course in College Algebra. At Wesleyan, I majored in Secondary Education, with minors in English and Mathematics. My passion was to be a math teacher. Being a resident of Beaver County since 1979, I of course thought of the Community College of Beaver County. During the summer months, I took College Algebra at CCBC and I have to say, it was one of my most rewarding collegiate experiences. The professor provided me opportunities above and beyond what was to be expected. He recognized my strengths in the subject matter and provided me the opportunity to tutor students and even teach the course on occasion.

Fast forward thirty years to my work as a school administrator. I have worked collaboratively with administrators and professors to partner with the college. Whether through dual enrollment of through the CCBC Academies, I have found these instances to be remarkable and quite advantageous for the youth of Beaver County.
