The Executive Director advised the Commission Members the following bond waiver request had been received on October 23, 2012 from Woodrow C. Hardee, President of Petersen Industries, Inc., along with copies of its balance sheet and income statement:

“Petersen Industries was issued a license in your stated earlier this year, Convertor License #CV-2012-00155. We requested and were granted a waiver on the bond requirement for this license.

Please consider this letter as our formal request for a waiver of this requirement for our 2013 license. In support of this request, we offer the following for your consideration: -Petersen is an established company in the industry for 50 years with sound finances. -Petersen has over 900 municipal customers nationwide.

LMVC.11.05.12.#1 -Petersen has a strong history of warranty support and will have a distributor in Louisiana to service and warrant its product. -Sales cycles with municipalities can range from weeks to years depending on budget constraints and added costs from bonding would be incorporated into the price to Petersen customers, usually municipalities. -Petersen’s customers are sophisticated buyers who usually, if not always, pursue purchases by bid with specifications.

You will find included with this letter a financial statement for the period ending 09/30/2012. After review of this letter and supporting statement, please advise if you need any further information prior to the Commission meeting to be held on November 5, 2012, Thank you.”

At this time, the Chairman opened the floor for Sam Petersen, Co-Owner and Vice-President of Petersen Industries, Inc. to address the Commission Members regarding Petersen Industries’ balance sheet and income statement. Mr. Petersen responded to the questions posed by the Commission Members regarding Petersen Industries’ operations and its financials. After a brief discussion, Commissioner Tarver made a motion to waive the bond requirement of LSA-R.S. 32:1254D(6)(a) for Petersen Industries, Inc. Commissioner Fabre seconded this motion and it was unanimously approved.

The Executive Director advised the Commission Members the following bond waiver request had been received on September 19, 2012 from Sam Snider of Custom Truck & Body Works, Inc., along with copies of its balance sheets and profit and loss statements:

“Custom Truck and Body Works, Inc., manufacturer of Emergency and Specialty vehicles, is currently applying for a license with the Louisiana Motor Vehicle Commission to do business in the state of Louisiana.

Our business was started in 2003 and our growth has been substantial. We are a very stable and financially sound company.

We are requesting to have the $1,000,000.00 surety bond waived from our application process.”

A brief discussion ensued after the Commission Members reviewed Petersen Industries’ balance sheet and profit and loss statements. Commissioner LeBlanc made a motion to waive the bond requirement of LSA-R.S. 32:1254D(6)(a) for Custom Truck & Body Works, Inc. Commissioner Hocevar seconded this motion and it was unanimously approved.

The Executive Director advised the Commission Members the following bond waiver request had been received on October 30, 2012 from Seth Weinberg, General Counsel of The Vehicle Production Group LLC, along with copies of its consolidated balance sheet and a limited guaranty letter from VPG Holdings LLC:

“As you know, in 2012 the Commission granted The Vehicle Production Group LLC (“VPG”) a waiver of the §1254D(6)(a) $1,000,000 bond requirement as it applies to VPG, until its next license renewal. With that license renewal approaching at the end of the current calendar year, VPG hereby requests a renewal of such waiver of the bond requirement until the next renewal of VPG’s license.

As the commission is aware, VPG’s waiver for 2012 was conditional upon a guarantee of all its obligations in the State of Louisiana by its parent company, VPG Holdings LLC, which guarantee continues to be in effect today and would remain in place for the duration of any continuation of the waiver.

Enclosed please find a consolidated balance sheet reflecting VPG’s current and pro-forma financial position, along with the descriptions of the pro forma adjustments related to both another capital raise that is expected to close within the next 30 days and the future conversion of convertible notes.

Today, VPG conducts business as a motor vehicle manufacturer in all 50 states, with approximately 85 franchised dealers in 48 separate states (including two in Louisiana), approval of MV-1 by Federal General Service Administration and numerous state and local tax commissions, etc. To date, VPG has produced and sold approximately 2,000 new motor vehicles in the (split between our abbreviated 2011 and 2012 model years), and expects to produce approximately 6,000 in 2013. VPG continues to grow as a company and continues to reinvest in expansions of its dealer network, marketing initiatives and new product development, including the introduction of the 2013 MV-1 LX, an upgraded consumer model of the MV-1 suitable for providing accessible consumer and limousine service.

VPG serves a relatively unique market in its manufacture of the MV-1, the first and only factory-assembled wheelchair accessible vehicle. Assembled in Mishawaka, Indiana, the MV-1 meets all Buy America requirements without a waiver. With the introduction of the MV-1, following a public comment period last summer, the Federal Transit Administration is currently reviewing a potential revocation of the 2010 waiver that permits foreign minivans to be purchased with FTA funds due to what was a lack of US domestic manufacturing in the applicable category.

We also respectfully suggest that in reviewing our request, you consider the 2012 taxicab industry ordinances passed by the New Orleans City Council. These ordinances, adopted by the New Orleans City Council at its April 9, 2012 regular meeting, specifically acknowledge the city’s interest in “requiring the inclusion of ADA

LMVC.11.05.12.#2 compliant wheelchair accessible taxicabs..”(Section 162-201 of the Code of the City of New Orleans) and, remove a previous cap on the number of wheelchair accessible taxi licenses issued by the city. The increased demand for wheelchair accessible taxis that will immediately result from these new provisions makes the need to allow VPG to serve the wheelchair community in Louisiana both more urgent for VPG and more beneficial to New Orleans.

While we believe that removing the cap and permitting more wheelchair accessible taxi licenses to be issued will benefit the entire City (and in particular facilitate assistance to the historically undeserved needs of those members of the community who required wheelchair accessible transportation throughout New Orleans), we respectfully suggest that permitting VPG to distribute the MV-1 in Louisiana through dealers will also benefit the City itself for several reasons. As noted above, the new ordinances specifically acknowledge the city’s interest in requiring “ADA compliant wheelchair accessible taxicabs.” The MV-1 manufactured by VPG is the first factory-direct vehicle to meet or exceed the ADA standards for wheelchair accessibility and the only Original Equipment Manufacturer (OEM) vehicle that was designed from the ground up to comply with the Americans with Disabilities Act (ADA). In addition, the MV-1 meets all applicable FMVSS standards in its native wheelchair accessible state.

We firmly believes that a continued waiver of the bond requirement at this time will allow VPG to continue serve the wheelchair community while allowing the LMVC to satisfy its fiduciary duties to the dealers and consumers of Louisiana.

At this time, the Chairman opened the floor for Seth Weinberg, General Counsel and Ron Stogsdill of The Vehicle Production Group LLC to address the Commission Members regarding The Vehicle Production Group’s business plans and financial updates. Mr. Weinberg responded to the questions posed by the Commission Members regarding VPG’s operations and its financials. After a brief discussion, Chairman Brandt requested a detail balance sheet and supporting documents regarding the company’s liability. Commission Tarver made a motion to give the Chairman the authority to make a determination whether to grant the waiver of the bond after reviewing the requested documents, pursuant to LSA-R.S. 32:1254D(6)(a) for The Vehicle Production Group. Commissioner Fabre seconded this motion and it was unanimously approved.

The Executive Director advised the Commission Members the following bond waiver request had been received on October 24, 2012 from Thomas A. Moleski, President of Medix Specialty Vehicles, Inc., along with copies of its balance sheet and income statement:

“I am writing to request a waiver of the Commission’s requirement for a $1,000,000 surety bond in order that we may become a licensed converter/secondary manufacturer in your state. I am requesting the waiver based on our financial performance and established history as a certified ambulance manufacturer. If you require further information or have any questions regarding this request, please contact the company and we will be happy to provide the information or explanations.

Thank you in advance for your kind assistance in this matter.”

A brief discussion ensued after the Commission Members reviewed Medix Specialty Vehicles, Inc.’s balance sheet and income statement. Commissioner LeBlanc made a motion to waive the bond requirement of LSA-R.S. 32:1254D(6)(a) for Medix Specialty Vehicles, Inc. Commissioner Hicks seconded this motion and it was unanimously approved.

The Executive Director advised the Commission Members the following bond waiver request had been received on October 25, 2012 from John H. Thomas, Jr., attorney for Deep South Fire Trucks, Inc., along with copies of its balance sheets and profit and loss statements:

“Deep South Fire Trucks, Inc. is licensed as a Converter and Secondary Manufacturer. In March of 2012, we appeared before the Louisiana Motor Vehicle Commission and the $1,000,000.00 Bond was waived for the year 2012; furthermore, the bond has also been previously waived for the years 2010 and 2011.

We are hereby requesting a waiver of the $1,000,000.00 Surety Bond required of a Converter or a Secondary Manufacturer for the year 2013. We ask that you place us on the agenda for the November 5, 2012 meeting of the Louisiana Motor Vehicle Commission in order that the Commission can consider this request.

Also, please find enclosed the requested financial statements for Deep South Fire Trucks.

At this time, the Chairman opened the floor for John Thomas, Counsel for Deep South Fire Trucks, Inc. to address the Commission Members regarding Deep South Fire Trucks, Inc. business plans and financial updates. Mr. Thomas responded to the questions posed by the Commission Members regarding Deep South Fire Trucks, Inc.’s operations

LMVC.11.05.12.#3 and its financials. After a brief discussion, Chairman Brandt requested a liability guarantee letter from owners of Deep South Fire Trucks, Inc. Commission Hocevar made a motion to give the Chairman the authority to make a determination whether to grant the waiver of the bond after reviewing the requested documents, pursuant to LSA- R.S. 32:1254D(6)(a) for Deep South Fire Trucks, Inc. Commissioner LeBlanc seconded this motion and it was unanimously approved.

The Executive Director advised the Commission Members the following bond waiver request had been received on October 23, 2012 from Jeffrey D. Holder, Chief Financial Officer of Hol-Mac Corporation, along with copies of its balance sheet:

“Hol-Mac Corporation is in the process of filling the Initial Application for License as a Converter or Secondary Manufacturer in the state of Louisiana. We currently do not possess nor have we ever possessed an original $1 million surety bond or continuation certificate in order to participate in bid opportunities for our Pac-Mac products across the southeastern United States.

As such, I respectfully request the Commission to waive this requirement for our application in order to proceed with bid opportunities in Louisiana. Hol-Mac Corporation was founded in 1963 by Charles B. Holder, Jr. in Bay Springs, MS and has grown into 4 manufacturing facilities in Bay Springs (3) and Winona, MS (1). This family business continues to be led by Mr. Holder (CEO) and his four sons while grossing approximately $100 million in annual sales. Our corporation is comprised of over 800 team members who are led to follow the company motto to “Do it Right”. Due to our long withstanding history, strong revenues, and healthy employment levels, we believe a waiver of the surety bond requirement is warranted.

The Commission’s time and consideration is greatly appreciated. I look forward to hearing the Commission’s ruling on this matter. Please contact me if any further information is needed in considering this request.”

At this time, the Chairman opened the floor for Joe Moss, Sales Representative of Hol-Mac Corporation to address the Commission Members regarding Hol-Mac Corporation’s balance sheet. Mr. Moss responded to the questions posed by the Commission Members regarding Hol-Mac Corporation’s operations and its financials. After a brief discussion, Commissioner Fabre made a motion to waive the bond requirement of LSA-R.S. 32:1254D(6)(a) for Petersen Industries, Inc. Commissioner Westbrook seconded this motion and it was unanimously approved.

The Executive Director advised the Commission Members the following bond waiver request had been received on October 31, 2012 from Thomas A. Casey, Jr., Counsel for Fisker Automotive, Inc., along with copies of Fisker Automotive Holdings, Inc.’s financial statements:

“This letter is a follow-up to my prior discussions with your staff and constitutes a formal request by Fisker Automotive, Inc. (“Fisher”) for a waiver of the manufacturer bond requirement for the year 2013. The Commission has previously granted this same bond waiver to Fisker for the year 2011 and 2012. My understanding is that this matter will be on the docket for the Commission’s regular meeting on Monday, November 5, 2012, at 10:00 a.m. We appreciate the Commission’s consideration of this request, and we are prepared to provide any additional information required by the Commission.

As I believe you are aware, Fisker is a relatively new manufacturer of luxury plug-in hybrid vehicles. The company began selling vehicles in late 2011. As a result, 2012 will be the first full year in which the company generates operating revenue from the sale of vehicles.

Fisker has demonstrated a solid foundation for growth and stability as reflected by the following: (1) as noted on the attached September 30, 2012 balance sheet, Fisker’s current assets ($211,213,000) far exceed its current liabilities ($79,116,000), meaning that Fisker has no problem meeting its general business obligations; (2) Fisker is in good standing with its creditors; (3) the company is in production and generating operating revenue through the sale of vehicles; and (4) the company has a proven track record of attracting the necessary capital for operations as evidenced by the latest round of $100,000,000 in funding (announced in the attached September 2012 press release).

Fisker respectfully requests that the bond requirement for the year 2013 be waived by the Commission.”

At this time, the Chairman opened the floor for Thomas A. Casey, Jr., Esq. to address the Commission Members regarding Fisker Automotive, Inc.’s financial statements. Mr. Casey responded to the questions posed by the Commission Members regarding Fisker Automotive, Inc.’s business operations and its financials. Chairman Brandt was concerned about Fisker Automotive, Inc.’s substantial deficient of stock holder equities. After a brief discussion, Commissioner LeBlanc made a motion to deny the bond requirement of LSA-R.S. 32:1254D(6)(a) for Fisker Automotive, Inc. based on the equity deficiency. Commissioner Guidry seconded this motion and it was unanimously approved.

LMVC.11.05.12.#4 The Executive Director presented to the Commission Members an e-mail correspondence from Kim Katner, Sponsorship and Development Manager of French Quarter Festivals, Inc., to Sylvia Schwarz, Administrative Coordinator, dated October 22, 2012, requesting approval for automobile off-site display:

“Attached is our request for permission from French Quarter Festivals, Inc. (FQFI) and the selected NATIONAL automobile manufacturer for our car exhibits during the French Quarter Festival taking place in New Orleans on April 11th , 12th, 13th, & 14th, 2013. I want to point out that we are working directly with the national manufacture for our sponsorship not the local individual dealerships. We are currently in talks with both and GMC at the national level, but only one manufacturer will be selected as the “Official Automobile of French Quarter Festival.” We will be sure that the national manufacturer complies with all rules and regulations that your office set forth.

Please let me know if you have any questions or concerns.

One (1) prominent space for the placement of two (2) vehicles, measuring approximately one thousand (1,000) square feet of display space located at the Aquarium for the selected NATIONAL automotive manufacturer to use during the event for a mutually agreed upon purpose, including, but not limited to, the display of its products and services. If the selected NATIONAL automotive manufacturer elects to display vehicles: a) Any vehicles display by the selected NATIONAL automotive manufacturer (the “Static Display Vehicles”) will be for static display purposes only; b) The selected NATIONAL automotive manufacturer will arrange for appropriate transportation of the Static Display Vehicles to and from the display locations; c) Specific model and option content will be determined by the selected NATIONAL automotive manufacturer; d) The selected NATIONAL automotive manufacturer shall ensure the vehicles are maintained in a clean condition while on display; e) PROMOTER will be solely responsible for obtaining any necessary license or permit for the displays; f) The selected NATIONAL automotive manufacturer will remove the Static Display Vehicles at specific date and time to be mutually agreed upon by the parties, but not later than midnight on the day this agreement expires.

Two (2) prominent spaces for the placement of one (1) vehicle each, measuring approximately one thousand (1,000) square feet total of display space located at the US Mint for the selected NATIONAL automotive manufacturer to use during the event for a mutually agreed upon purpose, including, but not limited to, the display of its products and services. If the selected NATIONAL automotive manufacturer elects to display vehicles: a) Any vehicles display by the selected NATIONAL automotive manufacturer (the “Static Display Vehicles”) will be for static display purposes only; b) The selected NATIONAL automotive manufacturer will arrange for appropriate transportation of the Static Display Vehicles to and from the display locations; c) Specific model and option content will be determined by the selected NATIONAL automotive manufacturer d) The selected NATIONAL automotive manufacturer shall ensure the vehicles are maintained in a clean condition while on display; e) PROMOTER will be solely responsible for obtaining any necessary license or permit for the displays; f) The selected NATIONAL automotive manufacturer will remove the Static Display Vehicles at specific date and time to be mutually agreed upon by the parties, but not later than midnight on the day this Agreement expires.

If the selected NATIONAL automotive manufacturer elects to display vehicles: a) Any vehicles display by the selected NATIONAL automotive manufacturer (the “Static Display Vehicles”) will be for static display purposes only; b) The selected NATIONAL automotive manufacturer will arrange for appropriate transportation of the Static Display Vehicles to and from the display locations; c) Specific model and option content will be determined by the selected NATIONAL automotive manufacturer d) The selected NATIONAL automotive manufacturer shall ensure the vehicles are maintained in a clean condition while on display; e) PROMOTER will be solely responsible for obtaining any necessary license or permit for the displays; f) The selected NATIONAL automotive manufacturer will remove the Static Display Vehicles at specific date and time to be mutually agreed upon by the parties, but not later than midnight on the day this Agreement expires.

! Three (3) 10’x10’ tents, three (3) 8’ tables, three (3) 6’ tables, and nine (9) chairs will be located near each of the three vehicle exhibition areas for the selected NATIONAL automotive manufacturer to distribute marketing material and collect consumer information.

! The selected NATIONAL automotive manufacturer shall provide FQFI at least one (1) set of keys to each vehicle for duration of Festival to Promoter. Promoter shall not move any vehicle unless emergency measures are required.

! The selected NATIONAL automotive manufacturer will be provided with an opportunity to participate in opening parade, which may include employees, mascot, vehicles, and rights to distribute promotional materials.

LMVC.11.05.12.#5 ! The selected NATIONAL automotive manufacturer has the right to hire a mutually agreed upon number of third-party vendor representatives to conduct research at the Venue during the event. Such research activities will include, but not limited to, such vendor representatives conducting on-site interviews and collecting phone numbers and other personal information, and, expect as noted above, unless otherwise mutually agreed upon by the parties, will not be limited to a particular timeframe or area at the venue.

! The selected NATIONAL automotive manufacturer will provide a certificate of insurance with limits of $1 million and hold harmless French Quarter Festivals, Inc., its employees, representatives and assigns from any and all claims, injuries or charges resulting from the operation of the performance area, actions of partner’s employees and/or representatives, and products, including food and beverage, which are sold during performances as well as Audubon Commission and Audubon Nature Institute, The City of New Orleans, and Louisiana State Museums, its officers, employees, Boards and Commissions, and volunteers.

! The selected NATIONAL automotive manufacturer will pay for overnight/after hour security for vehicles left in public spaces after hours.”

At this time, the Chairman opened the floor for Kim Katner, Sponsorship and Development Manager and Marci Schramm, Executive Director of French Quarter Festivals, Inc. to address the Commission Members regarding the upcoming French Quarter Festivals event. Ms. Katner and Ms. Schramm responded to the questions posed by the Commission Members regarding the manufacturer display and manufacturer’s product specialists at the event. After a brief discussion, Commissioner Duhon made a motion to approve manufacturer’s display and manufacturer providing product specialists at the 2013 French Quarter Festival. Commissioner Hargroder seconded this motion and it was unanimously approved.

The Executive Director announced that the next topic would be the propose changes of the recreational trade show rules and presented the Commission Members with the following draft to be submitted to the Louisiana Register:

NOTICE OF INTENT

Office of the Governor Louisiana Motor Vehicle Commission

Automotive Industry (LAC 46:V.Chapters 3, 15 and 17)

In accordance with the provisions of the Administrative Procedures Act R.S. 49:950 et seq., and in accordance with Revised Statutes Title 32, Chapter 6, the Office of the Governor, Louisiana Motor Vehicle Commission, notice is hereby given that the Louisiana Motor Vehicle Commission finds it necessary to adopt §309 to implement the provisions of R.S. 49:953C which requires the agency to provide a rule for an interested person to request the adoption, amendment, or repeal of a rule.

The Louisiana Motor Vehicle Commission finds it necessary to adopt this Rule to further implement the provisions of R.S. 49:953C which require an agency to provide a rule for an interested person to request the adoption, amendment, or repeal of a rule.

The legislature enacted R.S. 32:1256.1 to provide statutory authority for regional recreational product shows. This enactment resulted in Chapter 15 being inconsistent with the provisions of the statute requiring that it be repealed by the commission. Chapter 15. Recreational Product Shows will be repealed. Chapter 15. Recreational Product Shows is being adopted with language to clarify the regional recreational product rules which will assist licensees in dealing with the regulatory scheme assigned to the commission. The rule will increase the license fee for promoters, producers, or organizers from $100 to $500. The rule will reduce the recreational product show license fee from $500 to $100. The rule makes clear the order and priority of invitations to the regional recreational product shows and sets forth requirements for out of state exhibitors to participate. The rule also establishes sales activities that may take place at a regional recreational product show.

Chapter 17. Recreational Product Static Off-site Displays; Off-site Expositions is being adopted to replace provisions formerly contained in the repealed Chapter 15. This adoption allows the commission to continue to license dealers and regulate recreational product expositions and static offsite displays certain situations covered by Chapter 17. §309. Petition for Commission Review of Rule

A. A request by an interested party for the adoption, amendment or repeal of a rule pursuant to R.S. 49:953C. shall be made in the form of a petition to the commission. The petition shall include, but shall not limited, to the following: 1. The name and address of petitioner; 2. Specific reference to the statute or rules to which it relates;

The petition will be considered by the commission at its next regularly scheduled meeting provided the petition has been filed at least 30 days prior to that meeting. H. Chapter 15. Recreational Product Shows

§1501. License and Regulation of Recreational Product Shows

2. The commission shall license and regulate recreational product shows at offsite locations.

§1503. Promoter, Producer or Organizer License Fee and Application

A. A promoter, producer or organizer shall obtain a license from the commission and its request for a license shall consist of the following: 1. the application for license shall be on forms prescribed by the commission and shall require such information as the commission deems necessary to enable it to determine the qualifications and eligibility of the applicant; 2. a license fee of $500 for each year covered by the license; 3. a list of shows proposed or planned for the licensed year. This list shall be updated on an annual basis. B. Any application not received at the appropriate time shall be charged a late fee in accordance with R.S. 32:1255(B).

§1505. Recreational Product Show License Fee and Application

A. The promoter, producer or organizer of a regional or national recreational product show shall be required to obtain a license for the show from the commission and its request for a license shall consist of the following: 1. the application shall be on a form prescribed by the commission and shall require such information as the commission deems necessary to enable it to determine the qualifications and eligibility of the applicant; 2. a license fee of $100; 3. the license shall be for the recreational product show subject of the application. B. The application must be submitted to the commission no less than 90 days prior to the opening date of the recreational product show. Any application received after that date shall be charged a late fee in accordance with R.S. 32:1255(B).

§1507. Regional Recreational Product Show; Invitation and Priority

A. The promoter shall contact and invite all licensees of the type of recreational products to be displayed at a regional recreational product show as follows: 1. All Louisiana recreational product dealers whose area of responsibility for the brands they represent includes the location of the show shall not later than 75 days prior to the beginning date of the show be invited and have the first option to participate in the show. These licensees shall notify the promoter or producer of its participation in the show within 10 business days of the receipt of the invitation. 2. Louisiana dealers whose area of responsibility does not include the location of the show shall not later than 60 days prior to the beginning date of the show be invited and have the second option to participate in the show, provided that a dealer shall not show the same brand of recreational product as shown by a participating Louisiana recreational product dealer whose area of responsibility includes the location of the show. 3. The promoter shall accept any request from a licensed Louisiana recreational product dealer not excluded by paragraph 2 of this Section to participate in the show so long as space is available at the location of the show as determined by the producer. These licensees shall notify the producer or promoter of its participation in the show within 10 business days of the receipt of the invitation. 4. The promoter after complying with paragraphs 1, 2 and 3 above, may invite nonresident recreational product dealer, distributors, or manufacturers who shall not show the same brand of recreational products as shown by participating Louisiana recreational product dealers. 5. No recreational vehicle dealer, distributor or manufacturer shall participate in any regional recreational product

LMVC.11.05.12.#7 show where its product line of recreational vehicles is represented by a dealer whose area of responsibility includes the location of the show, whether or not that dealer participates in the show. If no dealer's area of responsibility includes the location of the show, any dealer, distributor or manufacturer of a product line of recreational vehicles may participate in the show for so long as space is available as determined by producer. 6. The promoter shall maintain all records of invited, participating and declining dealers and shall furnish these records to the commission ten working days prior to the opening of the recreational products show.

§1509. Non-Louisiana Display Permit Fee and Application

A. A non-Louisiana recreational product dealer, distributor or manufacturer shall obtain a display permit to participate in a regional recreational product show not later than 10 business days prior to the date of the show by providing the following: 1. Its name and address; 2. A copy of its current equivalent license from the state of its domicile; 3. A statement to be disclosed at the show to attendees the location of where warranty repairs will be made for products it will display at the show; 4. The name, site and date of the show for which a display permit is sought; and 5. A registration fee of $250.00.

§1511. Sales at a Regional Recreational Product Show

A. Except for a licensed Louisiana recreational product dealer whose area of responsibility includes the site of the regional recreational product show, a licensed recreational product dealer or non-resident recreational product dealer may not complete a sales transaction (by accepting purchase funds, completing the paperwork and delivering a product) for recreational products at a regional recreational product show. This restriction shall not apply to or extend to sales price negotiation, accepting deposits, setting closing dates, or completing a buyer's order.

Chapter 17. Recreational Product Static Offsite Displays; Off-site Expositions

§1701. Off-Site Expositions of Recreational Products

A. The executive director must approve all off-site expositions by licensed recreational products dealers. A request for an off-site exposition, accompanied by a fee of $200, must be received and approved by the executive director ten days prior to the commencement of the exposition. Any application received after that date shall be charged a late fee in accordance with R.S. 32:1255(B). B. The location of any off-site exposition must be within the dealer's area of responsibility. C. An off-site exposition of recreational products is limited to a single dealer and shall not exceed nine days. D. A recreational products dealer may have only four off-site expositions per calendar year and at the same location only once each six months. E. The number of vehicles at any off-site exposition of recreational products will be left to the discretion of the executive director. F. The presence of any sales personnel, business cards, brochures, pricing sheets and other points of sales devices will be allowed to answer consumer questions. However, recreational products cannot be delivered from the off-site exposition location.

§1703. Static Offsite Displays

A. The executive director must approve all offsite displays of recreational products. A licensee's request to display recreational products at an offsite location must be received by the commission seven days prior to the commencement of the display. B. The location of each display must be within the licensee's defined area of responsibility for the make and model to be displayed, if applicable. C. Each offsite display will be limited to 30 days, unless the licensee submits a copy of the contract for the location of the offsite display and then the display will be limited to the length of the contract up to a six month period. There will not be a limit on the number of offsite displays allowed per year, per licensee. D. The number of recreational products at any offsite display will be left to the discretion of the executive director. E. The presence of any sales personnel, business cards, brochures, pricing sheets, or any other point of sale device is strictly prohibited. The only pricing information allowed on any vehicle(s) displayed will be the Maroney label which is required by federal law or, with regard to recreational vehicles, the manufacturer's suggested retail price.

LMVC.11.05.12.#8 §1705. Licensee Participation in a Rally

A. Closed Rally 1. A closed rally is conducted and limited to a single product line. 2. A closed rally shall be subject to the provisions of §1701 of this Chapter. B. Open Rally 1. An open rally is conducted with multiple product lines invited to participate. 2. An open rally is subject to all provisions of this Chapter related to recreational product shows.

The Executive Director advised the Commission Members the following request for additional display/storage from Thad J. Ryan, III, President of Ryan Auto Group of Monroe, L.L.C. DBA Ryan Honda had been received on September 5, 2012, along with supporting documents of this request:

“Attached, please find the info on the above mentioned topic that was scheduled for last week’s meeting. Could you please forward this to Lessie for her review? I have a deadline with Honda only two days after our November meeting and need to get an answer pretty soon.”

In the attachment:

“In January of 2011, Ryan Auto Group of Monroe, LLC (Ryan) and The Carter Group entered into a buy/sell agreement for the Honda Franchise. In March of 2011 American Honda Motor Company (AHM) rejected the buy/sell due to a location issued. After an expensive litigation for all parties involved, LMVC ordered AHM to approve the buy/sell and issued Ryan the normal and customary Honda franchise agreement. AHM appealed the order. A long, drawn out, expensive appeal would have most likely led the seller into liquidation and killed the deal. In light of this threat, Ryan agreed on the attached letter of intent. The letter of intent spells out a time-line for facility relocation or remodeling (page 5 of LOI). The letter of intent states that AHM prefers relocation and that Ryan must use all commercially reasonable best efforts to relocate. Furthermore, Ryan must provide AHM with a written plan about this decision by Nov. 3, 2012 and have construction completed by 6/3/2016.

Despite all of the above, Ryan and AHM now have a good working relationship. Ryan is quickly outgrowing its current facility. Remodeling the current facility is Ryan’s least favorable option. AHM & Ryan have been working together for several months to find the best place to relocate. As it turns out, AHM’s zone now believes that Ryan is in a good area, but just needs to have a larger facility with better visibility. (About 500 yds. or so from the current facility). Ryan is very close to purchasing a contiguous tract of land that will help accomplish this.

LMVC.11.05.12.#9 Ryan recently purchased and pave a ½ acre tract of land located directly across the street from Ryan Honda. See attached photos. The street is a two lane interior road as opposed to a major 4 lane road like Oliver Rd. This area is currently being utilized for employee parking and for used car “get ready” staging. Ryan is requesting that LMVC approve this lot for additional display of Honda new vehicles. This will most likely be on a temporary basis until a new building is built at the new location, but could possibly become a permanent display area in the unlikely event that Ryan is unable to relocate and chooses to remodel its current facility. Ryan has spoken to AHM’s zone manager about getting approval. The zone will not object to the additional display, but will not issue a written approval due to previous litigation, the terms of the LOI, etc. Ryan needs to determine realistically what its options are and then present a written plan to AHM by November 3, 2012. Ryan needs to know whether LMVC will approve this additional display lot. If LMVC does not approve this additional lot, then Ryan will know that remodeling its current facility is not an available option.”

At this time, the Chairman opened the floor for Thad J. Ryan, III, President of Ryan Auto Group of Monroe, L.L.C. DBA Ryan Honda to address the Commission Members regarding Ryan Honda’s plan of proposed additional display/storage site. Mr. Ryan responded to the questions posed by the Commission Members regarding the proposed new lot. After a brief discussion, Commissioner Tarver made a motion to approve Ryan Auto Group of Monroe, L.L.C. DBA Ryan Honda’s request for additional display/storage.
