Investment Term Sheet for Phase 1 Company: Viewland Housing Corp. (“Newco”), a newly formed Alberta corporation, indirectly owned by Rick and Rose Wilson

Project: Phase I – purchase of four (4) lots (Block 3, Lots 40-43) at River Ridge Estates near Pigeon Lake, Alberta (the “Phase I Lots”), construction of homes and sale of completed homes. The lots are presently owned by Viewland Resorts Riverfront Ltd. and would be purchased from it for an aggregate of $600,000 ($150,000 per lot).

Investment: $25,000 Note evidencing a loan to Newco, secured by the Phase I Lots purchased

Terms of Note: -Notes will mature on the full repayment of principal and accrued interest -pro-rata share of the principal plus any accrued interest shall be payable at the time each of the first three (3) homes is sold -balance of principal is repayable and accrued and unpaid interest is payable once the fourth (4th ) home has been sold -accrued interest on a Note will be calculated as follows: $ 25,000 x 75% of Newco’s revenues, less all $1,600,000 expenses related, directly or indirectly, to lot purchase and construction of homes on the Phase I Lots and all sale and other ancillary expenses, for each completed fiscal year -interest will be accrued and paid at the time of repayment of principal on the Note Aggregate Planned Note Offering for Phase I: $1,600,000 (64 Notes)

Note Subscription for Each Closing: $400,000 (16 Notes), with one (1) of the Phase I Lots to be purchased from Viewland Resorts Riverfront Ltd. following each closing

Riverfront Ltd.: Viewland Resorts Riverfront Ltd. plans to purchase at least one (1) Note of each closing and may potentially subscribe for additional Notes

Projects include management and hands-on experience in various construction fields including residential housing, heavy construction, excavation, and concrete. Rick also has management experience of large organizations, as he is active in local Government and is president of Viewland Resorts Ltd.

Dallas has an experienced crew and a full line of equipment. Dallas worked with Rick on the Sunset Harbour project, building several of the million dollar homes at the Marina on Pige on Lake.
