News Release News Release FOR IMMEDIATE RELEASE NEW FOX CONTRACT NOT TO IMPACT GEUS CABLE RATES AT THIS TIME (January 23, 2012-Greenville, Texas) The GEUS Board recently approved a new three year contract with FOX Television Holdings, Inc. for retransmission of KDFW Channel 4 and KDFI Channel 27 after FOX made no concessions during negotiations. An industry consultant determined the contract was comparable to what other cable companies were paying and recommended approval. The GEUS Board was able to approve the contract without having to increase the cost to Greenville residents at this time. “Like all cable and satellite TV providers, GEUS’ rates feel the pressure each time a programmer increases the monthly cost\subscriber,” said GEUS General Manager David McCalla. “As more programming contracts are renewed, it will be necessary to pass along these cost increases through higher rates,” McCalla added. GEUS cable television rates have not gone up since October of 2009 although additional high definition (HD) channels have been added. GEUS expects to expend more than $1,777,870 this year in total programming fees. The Federal Communications Commission has a project underway to review the new trend of programmers charging for retransmission agreements which have traditionally been at no charge to the consumer. “Broadcasters have the upper hand under the current rules and cable operators have no options other than to discontinue carriage,” said McCalla. “It is unfortunate that Broadcasters are taking such an aggressive pricing approach since the consumer ultimately bears the brunt of these increases,” McCalla added. GEUS is currently upgrading the system to an all-digital format that will allow more HD channels to be added. (30) GEUS became the first municipally-owned electric utility in Texas in 1891. 110 years later it became the first municipally-owned cable television and high speed Internet operation in Texas. GEUS offers these services to the 26,000 plus consumer\owners living in the Greenville, Texas area located approximately 50 miles East of Dallas, Texas. GEUS is uniquely governed by an autonomous board of trustees that is appointed by the Greenville City Council. Mass Media Bureau, acting pursuant to delegated authority, has before it for consideration the above-captioned applications seeking consent to the transfer of control of New World Communications Group Inc. (New World), and its subsidiaries from NWCG (Parent) Holdings Corp. and NWCG Holdings Corp. to Fox Television Stations. Inc. (Fox). Pursuant to an Agreement and Plan of Merger and a Stock Purchase Agreement between the parties, New World will become a wholly-owned subsidiary of Fox. The National Association of Broadcast Employees and Technicians, the Broadcast and Broadcast Cable Television Sector of the Communications Workers of America, AFL-CIO, Local No. 43 (NABET), timely filed a petition to deny the transaction. 2. New World, through several holding companies, wholly owns the stock of the licensees of the ten television stations and seven television translators referenced above. Fox controls the licenses of 12 television stations, including station WFLD(TV) (Fox), Channel 32, Chicago. Illinois. Because the Grade B contour of station WFLD(TV) overlaps with that of New World station WITI-TV (Fox), Channel 6, Milwaukee, Wisconsin, common ownership of both stations by Fox will contravene the Commission©s duopoly rule. Section 73.3555(b), which proscribes common ownership of two television stations with overlapping Grade B contours.
