TRF FILES MOTION TO DISMISS The Thoroughbred Retirement Foundation and its board of directors yesterday filed a motion to dismiss the suit filed by the Attorney General of the State of New York against the foundation on May 3. The motion, filed by Barry Ostrager from the firm of Simpson Thacher & Bartlett, states, AThere has never been a case in which directors and officers of a charitable foundation have been removed absent either misappropriation of charitable funds or self dealing. This case does not begin to approach the legal standard required to overcome the business judgment rule that protects directors and officers of charitable organizations from liability of any kind. Rather, this law suit is a shocking case of misguided regulators knowingly and intentionally making false allegations that would constitute actionable libel if the allegations were not contained in a complaint. The affidavits and exhibits accompanying this motion demonstrate that this law suit constitutes a serious black mark on the record of our recently elected New York Attorney General (Eric T. Schneiderman). The complaint should be dismissed and an inquiry conducted as to how such a monumental misallocation of governmental resources has been permitted to move forward into the courts of this State.@ Reached by phone, Ostrager said, AI think the papers speak for themselves. Clearly, we believe that the filing of the complaint was an egregious misallocation of state resources, because we think the complaint is utterly meritless and the New York Attorney General=s office was aware of the falsity of many of the pincipal allegations of the complaint.
