Thank you for your request for information under the terms of the Freedom of Information Act relating to leasing of some of the NLB buildings comprising the Turnberry Lighthouse. Following an exchange of emails the wording of the request was agreed, on the 8th February 2019, as shown below

Your request has been handled in accordance with your ‘right to know’ under section 1(1) of the Freedom of Information Act 2000 (FOIA), which entitles you to be provided with any information ‘held’ by a public authority, unless an appropriate exemption applies.

Having reviewed your request I can now advise that the required information is supplied below.

Your request I am writing to request under the Freedom of Information () Act 2002 that the Northern Lighthouse Board (NLB) disclose all electronic and paper correspondence exchanged with Trump Turnberry, SLC Turnberry Limited, Golf Recreation Scotland, and the Trump Organisation relating to the lease of NLB properties associated with Turnberry lighthouse between 1 April 2014 and 1 April 2015.

Our Response In order to place the communications in context it is worth noting that, for some time, prior to the negotiations with the Trump organisation, NLB had been discussing the sale of our buildings at Turnberry with the previous owners of the hotel, the accommodation building having already been sold by NLB in March 1992. However, following consultation with local users NLB made the decision to retain the light at Turnberry, all be it with a reduced light range. Maintaining a light at this location meant the tower would not be available to purchase.

The purchase of the Turnberry Hotel complex by the Trump organisation was completed in April 2014. The property leased to the Trump organisation comprises the old Utility and Services building and the building formerly used to provide welfare facilities (for NLB staff whilst working on site). An electronic copy of the lease documentation is attached.

The associated email contains all correspondence retained in our estates files relating to the lease of NLB properties associated with Turnberry lighthouse between 1 April 2014 and 1 April 2015.

At the outset NLB’s intention was to set a fair and equitable agreement for the property which protected NLB’s buildings in the long term and reduced costs attributed to payers of Light Dues and when setting the rent took into account all factors not least the burden taken on by the Resort for the care and maintenance of the lighthouse tower and buildings. A lighthouse of this type is repainted at an interval of 8 to 10 years and on each occasion costs around £120,000. This saving has already been realised once as programmed painting was undertaken by the Resort as part of the work to create the half‐way house. In addition, responsibility for routine general maintenance of the tower, buildings and the care of the dome access system lies with the Resort.

When determining the rent NLB requested a report and a rental valuation from the UK Government Valuation Office Agency, this provided a ball park rental range of £600 to £1500. The figure was discussed both within NLB and with our solicitors and £1200 was determined to be a reasonable return given the significant additional financial benefits of transferring maintenance costs of the operational lighthouse tower to SLC Turnberry whist maintaining all necessary access rights.

Martyn from The Scotsman here, thanks for chatting a moment ago. As mentioned on the phone, I’m working on a story concerning the NLB and I’d be grateful for a response to it.

The story’s predominantly based on disclosures under the Freedom of Information act sent to me by your colleague, Trish Donaldson, who was a great help.

It’s about the lease arrangements between the NLB and SLC Turnberry Litd, the parent company at ’s Turnberry hotel and golf resort in South .

Trish was very helpful in breaking down the ownership issues surrounding famous Turnberry lighthouse, pointing out that while SLC Turnberry owns the accommodation block, the remainder belongs to the NLB, and that the lease applies to the utility and services building, and the former welfare building, on the site.

My story is focusing on how Mr Trump’s company is paying just £100 a month to rent the buildings at the lighthouse complex, while charging guests £1,400 a night to stay at a luxury suite there. I understand one of the NLB buildings has been converted into a ‘halfway house’ where golfers and guests can purchase food and drink. Given NLB is a public body, and the buildings leased to SLC Turnberry form part of the Turnberry resort,I’m keen to ask whether the arrangement is value for money, I’d be grateful if the NLB could tell me:

 How did the NLB settle upon the £1,200 annual lease charge sum?

Thanks so much for the reply – this makes complete sense.

Per your offer below, a longer term on the little bathroom area would really be appreciated! We plan to spend a significant amount of money restoring the entire structure and it would be comforting to know, that in return, we would enjoy its continued use and not have to worry about the program changing at a later date, when you and I might no longer be around, etc.

If this make sense, would you like us to take the first crack at writing an actual agreement along the lines of the below emails and send it to you for your review?

The teams are on the ground and before they get to distracted with the much bigger hotel, golf courses and spa, it would be great to get this one going.

Eric, many thanks for your email in which you raised a number questions. Hopefully this mail will answer these and add some greater clarity.

 The purpose of the document is to set out the ‘headline’ parameters for a legal agreement between the Northern lighthouse Board (NLB) and your organisation. What you received was very much our first take on a ‘working document’ which combined elements from your letter of intent and input from my experts and we would welcome input from your team to either agree, propose changes or include any additional parameters that are believed to be necessary. To be clear it is not a ‘form’ as such but merely a convenient format which allows us to clearly set out the main points which, once we have reached a mutually agreed position, we can turn over to our respective lawyers to draw up the formal legal lease agreement document in accordance with Scots law.

 As drafted we proposed an initial period of 10 years but if this agreement is not terminated, it will continue to run in perpetuity until either party serves notice of termination. It’s a point of Scots Law, when a lease runs out it automatically renews itself for the same period under the same conditions. Any agreement would need to opt out of this legal point to enforce a strict 10 year period, however, we do not intent to include such an opt out clause, which will allow our contract to automatically renew. We could consider a period of more than 10 years if this helps demonstrate our partnership commitment.

 The maintenance obligation will involve responsibility for all defect repair and routine maintenance to agreed specification levels, with a minimum requirement of annual maintenance of the HCL dome fall arrest system (this is a safety system for personnel working at height), preparation and painting of all external ferrous painted areas and any paint system failure areas every 3 years and preparation and painting of all external painted surfaces every 10 years and we are currently preparing the detailed specification for you to review and to include in the final agreement. We are similarly working on the details for signage but in the interest of keeping things moving I was keen to get the first draft to you and your team.

 As we are a public body and funded by our users (ie the Ship Owners), we are rightly obligated to protect our assets and funds and demonstrate to our users we achieve this in a cost effective and efficient manner. In the context of our property at Turnberry, this means we must protect our risk through the lease arrangements that we will have with your organisation. Please be assured our intention is to find a fair and equitable agreement

2 which takes into account all factors not least the full repairing arrangement and something I am sure we can work together to find common ground.

I’ve enclosed two photographs which show the current access arrangements we have for our tower, as the door leading from our former property was blocked some time ago. We will need to consider how we best achieve public access but I’m sure you will agree, for safety reasons, we cannot allow members of the public to scale a vertical ladder, again this is something we can work together on to find a safe alternative. Per your offer below, a longer term on the little bathroom area would really be appreciated! We plan to spend a significant amount of money restoring the entire structure and it would be comforting to know, that in return, we would enjoy its continued use and not have to worry about the program changing at a later date, when you and I might no longer be around, etc.

The document that has arrived from Trump includes allowing them to make structural changes to our Tower and many other things that were never discussed. I’ve given all our correspondence and a brief on our position with this. Over the next few days, will go over all of this and come back to

6 Turnberry Lighthouse

Built in 1873 by pioneering Scottish lighthouse designer Thomas Stevenson, father of author Robert Louis Stevenson (made famous for works “Treasure Island,” “Kidnapped” & “Strange Case of Dr. Jekyll and Mr Hyde,”) this lighthouse was constructed in order to allow seafaring vessels the ability to safely navigate Scotland's treacherous coastline.

In 2014, in conjunction with his major renovation of the fabled Trump Turnberry Resort a partnership was formed between Donald J. Trump and the Northern Lighthouse Board, a subsidiary of the Scottish Government, to restore this lighthouse to its former glory. For the purpose of memorializing our current understanding with the Northern Lighthouse Board (“NLB”) concerning the Turnberry Hotel Lighthouse (the “Lighthouse”), the following concepts below should be incorporated into a more formal definitive agreement:

1. Trump Turnberry (“Trump”) and NLB recognize the proposed enhancements will preserve the Lighthouse and create a valuable amenity to be enjoyed by guests of the hotel, visiting tourists and members of the local community.

2. NLB shall continue to retain ownership of the Lighthouse’s tower and shall have the full use and access to that structure. Trump shall continue to own the interior spaces, including the bedrooms and the areas once inhabited by the Lighthouse "keeper." NLB will transfer the rights to use each of the two unoccupied storage/mechanical rooms (as highlighted in red on the Ground Floor Plan prepared by 3D Reid Architect, a copy of which is attached) to be used in conjunction with the proposed improvements pursuant to the attached renovation plan (Exhibit B, the "Renovation Plan").

3. In consideration of the foregoing, Trump agrees to incur all costs associated with the Renovation and the ongoing maintenance requirements associated with the Lighthouse structure.

4. In the event that NLB elects to dispose, transfer or sell the Lighthouse tower, the parties agree that Trump shall have a general right of first refusal over this area so as to maintain the historical integrity and continuity of the building.

5. As part of the Renovation Plan, Trump and NLB agree to display a high quality sign on the exterior of the Lighthouse, which specifically refers to a) the collaboration and partnership of NPL and Trump in connection with the Renovation Plan and its ongoing preservation and b) the great historical value of the Lighthouse and its continued use and likeness (draft of which is attached).

There seems to be a bit of a disconnect here, as I understand it our Solicitor is awaiting a response from CMS (who are the lawyers acting for your organisation) to a communication sent on 17 November. In addition, in response to requests from your team for access to allow surveys to be conducted we have sent our Retained Lighthouse Keeper (our local representative) to the station on two occasions. Hope you are doing great and enjoyed your travels!

Ralph sent the Draft Heads of Terms which I am guessing is a form document. Do you want our team to plug in the terms as discussed in the below email that followed our call (please see attached). Specifically our maintenance obligation doesn’t seem to be spelled out, signage, etc and this seems to be more of a short term lease rather than an endowment of a building in perpetuity. Just let us know – happy to edit and turn this back to you.

Ralph, many thanks for the conference call with Eric earlier today, in my former life I spent three years working in the Pentagon and came to very much admire the American way of using enthusiasm and openness to get things done. I am heading out on two weeks leave later this afternoon so please keep copied in on any email traffic. We look forward to seeing your proposals, but in the meantime I thought you would appreciate sight of the draft ‘Information Panel’ for Turnberry we have been working on. I fully appreciate that your company will have its own corporate style and we would be very happy to work with your media/communication team to produce something that looks right for Turnberry.
