A regular meeting of the Executive Committee of the Goddess of the Rockies Milk, Inc. was held at Thornton, Colorado - Tu esday - , 1976 a t - 10:25 A.H .

MINUTES The mi nutes of the Decembe r 10, 1975 Board of Directors Mee t ing were re ad by the secret ary. Upon motion duly made by Alex Urquhart, seconded by Ra y Powers , and carried; the Comm ittee recommends to the Board tha t the De cember 10 minutes be apprcwed and adop t ed i n their entirety.

The general manage r reported that it is the re comme ndation of Tom Came rl o and Mountain Empire Oairyr,en's Assn . genera l manager, Ve rn Bingham, that the Goddess accountan t, Lee Mortensen , be retained fo r a ccounting se rvices again in 1976. Upon motion duly made by Ray Powe rs, seconded by Alex rq uhart, and carried; In light of the report from the committee asked t o study the se rvices; Goddess wi 11 continue the operati on of auditing the bookkeeping the same as las t year.

FINANCIAL The general manager distributed and revi ewed t he November and STATEMENTS financial statements . Upon motion duly made by Ga le Lange, seconded by Al ex Urquhart, and carried; the Comm i ttee recommen ds t o the Board that the finan clal stateme nts be ap proved and adopted . The ge neral manager comme nted that the auditing firm of McDonald Halbig & Associates would begin the audit of the 1975 financ i al statements this week, and will be reporting at the next regularl y scheduled Board of Directors meeting i n March .

After discus sion of income on t he financial statemen ts, upon motion du ly made by Ray Po1-.ers, ·seconded by Alex Urquhart, and carried ; the Commit tee re comme nds to the Board that a study be made of total volumes of milk moving from Id aho i nto the Goddess area for the purpose of the pos sibil ity of working out a promotion effort t oge t he r.

UDIA A memo randum from Mr . John Sliter dated Janua ry 5 , 1976 requesting the names of HOUSE OF the 1976 House of De lega tes Representatives no later than , was read by DE LEGATES the general manager . Upon motion du l y made by Ray Powers, seconded by Lyal Ne lson, and carr ied; the three present members na mes will be submitted, s ubject to change by the Board at t hei r Ann ua l Meeting i n Ma r ch.

Upon mo t ion du ly made by Ray Powers, seconded by Gale Lange, and carried; it was the recommendation of the Committee tha t a new procedure be established of electi ng delegates to t he UDIA Annual Meeti ng at the budget meeting of the Board in December of each year; and that this procedure be reflected i n the meeting schedule of events.

AGRIC ULTURE As directed a t the Decembe r 10 Board of Directors meeting, the gene ral man ag er COU NC IL OF reviewed the Ag r i cultural Council of Ame rica reques t and reported that it wo uld AME R I CA cost approximately $700 -$1 000 to join . Upon mo t ion duly made by Gale Lange, seconded by Ray Powers, and carried; Mr . E. L. Hatche r of the National Wheat In stitute will be invited to a Board of Directors meeting t o mak e a p resentation.

Upon motion duly made by Ray Powers, seconded by Alex Urquhart, and carried; the president signed the Colurado Nonprofit Corporati on Fi ling Re port. DAIRY The 1976 Colorado Dairy Days report was given by the general manager. He DAYS repor ted that 148 lunches were given @ $1 .40 each whi ch resulted in an expenditure of $207.20. After lengthly discussion ... upon mot i on duly made by Ray Powers, seconded by Gale Lange, and carried; there is conside rab le question as to wh ether or not the tickets we re properl y proportioned, and the Committee recommends that the t i cket chairman, Lawrence Hertzke, give a complete report!

NETWORK The general manager reviewed the network telev ision buy and reported that the BUY second flight had been cancel l ed. A letter dated from Mr. Alden R. Grimes of the American Dairy Association (in answer to a letter from the general manager objecti ng to the cancellation due to the budget being based on the buy) was read. A memo compari ng the media was then dis tributed by the general manager.

Upon motion dul y made by Ray Powers, seconded by Alex Urquha rt, and carried; ·, the Committee recommends that the ge era] manager send the computer prin t" out advertis ing schedule back to Mr. John Sliter with a sharp letter of disgust .

A motion of August 5, 1975 that tabled discussion of the name change was read by the general manager. The item will be on the agenda at the next regularly schedule Board meeting.

Per diem and Director's expenses we re discussed . Th e general manager read a motlon from the Apr il 1974 minutes to clarify present a llowances. Upon motion duly made by Gale Lange, seconded by Lyal Nelson, and carried; the Committee recommends that the Board consider mileage and per diem allotments.

There being no further business to come before the meeting the same was, upon motion duly made by Alex Urquhart, seconded by Lyal Nelson, and carried; adjourned at 12: 15 P.M.

(copy of which fi led with these minutes as Ex hib it I) Upon mo tion dul y made by Gale La nge, seconded by Al Stewart and carried ; the audit was - ap proved and adopted. Upon mo ti on duly made by Al ex Ur quh a rt , seconded by Geo ge Abraham, and ca rr ied; the pres ident was authorized to sign the Income Tax Returns f o the yea r ended December 31, 1975- The pres ident commended the general manager on a good set of books.

A short recess was call ed and due to Mr. McPhe rson's schedule, he was also asked to distri bute and report for Dairy Counci 1. Both repor t s we re s t andard opinions, no e xcepti on, no prob l ems .

BILL REID The meeting reconvened with an announcement made by Ra y Powers that Mr. Bi -11 Reid had passed away. Be cause he was a great asset to the dairy industry - upon motion ' duly made by Ray Powe rs, seconded by Ed Wiedema n , and carried; flowers wi l l be sent t o express condolences.

ELECTIO N Th e Board of Di rectors thereup on proceeded to e lect offi cers for the upcoming OF year. Th ~ meet ing wa s then turned over to the gene ra l manager for the election of OFF IC ERS the office of Pres ident. •

President: Upon mot ion duly made by Alex Urquha rt ; Bil l Wailes was nomi nated for the office of President . Upon motion duly made by Tom Camerlo, seconded by Lyal Nelson , and carri ed; nominations ceased; and Bi l l Wailes was elected unanimously .

The meeting was then turned back to the president for the election of remaining officers. 1st V.P.: Upon motion duly made by Lyal Nelson, seconded by Tom Camerlo, and carried; Alex Urquhart was nominated for the office of First Vice President. Upon motion duly made by Tom Camerlo, second~d by Gale La nge , and carried ; nominations ceased; and Alex Urquhart was elected unani mously .

2n d V. P. : Upon mot ion duly made by Tom Camerlo; Gale Lange was nominated for the office of Second Vice President. Upo n motion duly made by George Abraham, seconded by Ed Wiedeman, and carried; Gale Lange was elected unanimously.

Sec retary: Nomination we re in order for the office of secretary. Nominated were Al Stewart by George Abraham; Jim Docheff by Tom Camerlo; and Lawrence Hertzke by Lyal Nelson. Upon m6 tion duly made by Alex Urquhart, seconded by Tom Camerlo, and car ri ed; nominations ceased . A vote was taken that showed Jim Docheff elected as secretary .

Treasurer: Upon motion duly made by Ga le Lange, Lya l Nelson was nominated fo r the office of Treasurer. Upon motion duly made by Tom Camerlo, an~ carried; Lyal Nelso·n was elected unanimously.

Ea ch of the officers so elected was present and thereupon accepted the office to which he was elected.

ADVER TI SING The general manager asked for approval of the MEDIA plan dated February lD (filed with these minutes as Exhibit I 1). Upon motion du ly ma de by Tom Camerlo, seconded by Al Stewa rt, and carried; the general manager was authorized to proceed with the MEDIA plan buy.

Two samples of the new D'Arcy/ADA billboards we re shown. The general consensus of members present was not favo rable for the bil !boards that we re viewed. Upon motion duly made by Tom Ca me rlo, seconded by Geo rge Abraham, and car r ied; the gene r al marager will evaluate the billboards with corisideraticr. for the "Mil k Is .0• N;::t~r.:l'' th::m:: .

Upon motion duly made by Ed Weideman, seconded by Tom Cc1merlo, and carried; the general manager will contact the Colorado Bee f Board to see i f they are interested in a joi nt effort during the Stock Shm~ for a billboard, also seeing if D' Arcy wou ld work up a bi ll board free of charge.

UDIA The UDIA Annual Meeting reservat ion sheets we re distri buted and those present were ANNUAL urged to complete t hem since time is short to get al l reservat ions in. It wa s MEETING announced t hat the re will be a Mountain States Milk Promotion Committee Meeting on March 18, and members are we lcome to attend, no planned agenda.

NAME CHANGE Upon motion duly made by Gale Lange, seconded by Alex Urquhart, and carried; the name change was tabled indefinatel y .

MILK BARN A new milk ba rn display proposal was presented by the general manager. Discussion followed on Colorado and Wyoming exhibits. Upon motion duly made by Alex Urquhart, s econded by Lyal Nelson, and carried; $2,75D expenditu re was approved for the d isplay unit. A no vote was cast by Director ~ale Lange.

PER DIEM The meeting was recessed at 12:55 P.M. for luncheon , reconvening at 1 :35 P.M. with a discussion on Director's expenses. Upon motion duly made by Tom Camerlo, seconded by Lyal Nelson, and carried; the rrileage allowance 1~i ll be raised from $.13/mile to $. 15/mile, and per diem will be raised from $3D.00/day to $40.00/day effective 4/1/76 .

NOTE A - SIGNIFICAN T ACCOUNTI NG POL ICIES

Depreciation is compu ted by the straight-line method , based on a useful life range of three to five years.

NOTE B - RESTATEMENT OF PRIOR PERIOD EXPENSES

Dur ing 1975, a liability set up for advertising exp~nses in 1973 was eliminated. This change had the effect of reducing the 1973 loss by $8,325 to $24,325.

NOTE C - I NCOME TAXES

Goddess of the Rockies Mi l k , Inc. is exempt from Federal income taxes under Sec. 5O1(c )( 6) of the Internal Re venue Code, relating to business leagues. -

A regul ar meeting of the Executive Committee of Goddess of the Rockies Milk, Inc . was held at the Ramada Inn in Casper, Wy oming - Thursday - Ap ri l 22, 1976 at 2:05 P.M.

MINUTES The minutes of the March 9, 1976 Board of Di rectors meeting we re read by the READ secretary fo r the Committee 's information. Upon ~~ t ion dul y made by Gale Lange, seconded by Alex Urquhart, and carried ; the Commit t ee recommends to the Board that the min utes be approved.

FINANCIAL The gene ral manager presented the January and February 1976 f inancial statements. STATE MENTS Upon motion duly made by Alex Urquhart, seconded by Ga le Lange, and carried ; the Committee recommends to the Board that the financial statements be approved as presented.

MONTA NA A report was given by the general manager on t he status of Mo ntana and the REPORT problems involved in that state . He reported tha t UD IA has recommended that Goddess enter into a joint venture with Montana dividing equal l y the cost of a ma nager t o do promo tion work in both areas . The main acti v ity in Montana wou ld be to organize the state refe rendum to be presented to the legislature in 1977 for the compulsory check o ff for advertising promot ion and nutri tion education activities. It was the Commi ttee's recommend ation that a meeting be a r ranged wi th Mon tana and that Director Gale Lang e act as liaison with the Montana group .

GENERAL The general manager's items of business were conducted as follows: MANAGER '·S REPORT 1. Adve rtising prog ram update.

2. June Dairy Month Promotion: Will i ncl ude a menu service for Colorado and W~ming restaurants.

3. A recommendation to postpone the $2,750.00 expend i ture for an exhibit cons truction due t o cur rent cash flow, ~1it'1 the rese rvation to present i t at a future date to the Board .

4. Godd ess i ncome for January and February i s down $1,239 from 1975.

5. Current per capita expenditu res for d irec t me di a advertisi ng as computed by D'Arcy- MacManus & Masius Adver ti sing i s 12.7¢/capita in the Goddess area.

MONTANA A report was given by Gal e Lange on the status of the advertising program in REPORT Monta na . He reported that ADA of Montana will meet on May 27 to review an audit made by a local firm and at that time they hope to make a decision as to the future of the Mon tana program.

GE NERAL The general manager ' s items of business were conducted as fol lows: MANAGER Is REPORT 1. Current television and radio commercials were viewed.

2. 1976 Fal 1 netwo rk television buy was rev iewed. (Copy attached as Exhibit I)

3, June Dairy Month Activities inc lu de: A. A new restaurant menu clip service for a ll restaurants in Colorado and Wyoming. B. Northglenn Shopping Center promotion on June 11 and 12. C. A press kit has been sent to 35 newspapers as well as June Dairy Month advertising. The normal procedure is fo r the newspapers to utilize the press kit packet in conjunction with the advertising.

4. Photo contest with the Color ado Press Association: wil l be open to a ll members of the association with the subject matter being milk, dairy foods·, or the dairy industry. The winning photo wi 11 have to be published in a newspaper. Exact details wi 11 be drawn up with members of the Press Assoc. at their meeting in June, and the first award given in February 1977 , here­ af ter being an annual event. Upon motion duly made by Lyal Nelson, seconded by Gal e La nge, and carried; the contest was approved. 5 , Presented inflationary trends on advertising purchases that are based on research by D'Arcy-Mac anus & Masius in the Goddess area since 1970. (Copy attached as Exhibit 11) . Also distributed was a per capita estimated projection made by D'Arcy. 6. Idaho Dairy Products Commission wi 11 be investing approximately $10,000. 00 on a cheese advertising and promoti on program in Denver, Colorado Springs, and Pueblo this Fall.

]. Judging team request by the University of Wyoming for funds: Goddess is not curre ntly f inancing any activity for the Unive rsity. Upo n motion duly made by Lawrence Hertzke, seconded by Lyal Nel son, and carried; an expenditure of up to $300.00 was authorized fo r the University of Wyoming J udging Team.

After discussion, it was the recommendation of the Board t hat the Septembe r ·14 Executi ve Committee meeting be changed to September 10 .

A regular meeting of the Executive Committee of Goddess of the Rockies Hilk, Inc. was held at Thornton, Colorado - Thursday - J uly 8, 1976 at 10:20 A.H.

PRESENT There were present:

President Bill Wailes, presid ing First Vice President Alex Urquhart Second Vice President Gale Lange Secretary Jim Docheff

Present also; General Manager Harvey Wilhel m

ABSENT Absent :

Treasurer Lyal Nelson

MINUTES The minutes of the Hay 11, 1976 Board of Directors' meeting were read by the READ secretary for the Committees' information. To answer a question by the president, the genera l manager reported that the Colorado Press Associati on Board met in June and has not yet made a definate decision on the proposed photo contest.

FINANCIAL The general manager presented and reviewed t e April and Hay 1976 financial STATEMENTS statements. He reported t hat through Hay of 1~76, Goddess had not recei ved fun ding APPROVED from Western Colorado Hilk Producers for the mo nt s of March, Ap ril, and Hay. He also reported that Hid-America Dairymen's check-off was down by S8,274 from the ir projected budget level. Th~ manager has been in contact wi th both organizations. Considerable discussion resulted. Upon motion duly made by Gale Lange, seconded by Alex Urquhart, and carried; t he Commi ttee recommends to the Boa rd that the Apri l and May financial statements be approved and adopted in their entirety .

AG COUNCIL A request fo r participation in the Agriculture Counci I of Ame rica 's program OF (referred to Goddess by Mountain Empi re Dairyme n's Association) wa s reviewe d. The AMERICA general manager has received a letter from Hr. Allen Paul, the executi ve director of the Council, saying that he would like to meet with the Goddess Board of Directors. Upon motion duly made by Alex Urquhart, seconded by Jim Docheff , and carried; the general manager was asked to contact Hr. Paul inviting him to attend the August 10 meeting.

ADVERTISING The general manager proceeded to update the Committee on advertising: UPDATE-- 1. 1977 program plans are now being drafted with the United Dairy Industry"· Association. The manager will attend a unit manager's meeting in Chicago July 21-22.

2. The ADA/Goddess January through December 1976 Hedi a Plan Revision #2 dated June 11, 1976 (copy f iled with these minutes as Exhibit I) was then discussed. The revision of the media plan was necessary due to inflat ionary trends in the market as well as the loss of the ne twork buy for the forth qua r ter. The manager asked for the authority to rev ise the media plan by $10 ,000 if needed or as much as necessary to meet the income projections of Goddess.

Upon motion duly made by Jim Docheff , seconded by Gale Lange, and carr ied ; the manager was authorized to make necessary adjustme nts in the med i a schedule to meet bud get requi rements of Go ddess including pulling the day­ time spot and fringe television advert is i ng in July and August fo r five weeks, and allocating the money to radio and newspaper advertising as the manager sees fit. Further, upon motion duly made by Jim Doche ff, seconded . by Alex Urquhart, and carried; the balance of the media schedule was approved.

The Mountain States Hilk Promotion Committee status was reviewed. There ts a tentative meeting planned this fall in Utah. l · 1. , f t Goddess Executfve Meeting July 8, 1976 Page 2

The meeting was recessed for luncheon at 12:30 P.M., reconvening at 1 :50 with the president scheduling a presentation to the Colorado 4-H Dairy Judging Team winners for Saturday - August 7 - at the Weld County Fair.

There being no further business to come before the meeting, the same was upon motion duly made by Jim Doche ff, seconded by Alex Urquhart, and carried; adjourned at 1:55 P.M.
