Anticipated Merger between Korean Air Lines Co., Ltd. and Asiana Airlines, Inc. Reference Number : MAVCOM/ED/CC/DIV4/2021(1) Application : Voluntary Notification and Application for an Anticipated Merger under section 55 of Act 771 Applicant(s) : Korean Air Lines Co., Ltd. and Asiana Airlines, Inc. Receipt of Application : 19 March 2021 Summary of Application : Korean Air Lines Co., Ltd. (“KE”), on behalf of KE and Asiana Airlines, Inc. (“OZ”) (collectively, “the Merger Parties”), sent a voluntary notification and application for an anticipated merger (“Anticipated Merger”). The purpose of the Anticipated Merger is for the rehabilitation of OZ. The Merger Parties note that KE’s merger with OZ would not result in substantial lessening of competition (“SLC”) as KE will continue to face intense competition and will remain subject to competitive restraints on its flights to and from Malaysia. The Merger Parties also note that the Anticipated Merger is expected to give rise to significant economic efficiencies. The Merger Parties submit that the relevant service markets in this case are the following origin and destination (“O&D”) city pair routes relating to passenger air transport services: a. Incheon International Airport (“ICN”) and Gimpo International Airport (“GMP”, collectively with ICN, “SEL”)-Kuala Lumpur International Airport (“KLIA”) and Sultan Abdul Aziz Shah Airport (“SZB”, collectively with KLIA, “KUL”); b. SEL-Kota Kinabalu International Airport (“BKI”); c. SEL-Senai International Airport (“JHB”); and d. Busan (“PUS”)-BKI. Of the O&D city pair routes above, the Merger Parties have identified only one overlap in their passenger transport services namely on the SEL-BKI O&D pair route.

Daniel Riordan “The hardest thing in working on an alliance is to coordinate the activities of people who have different instincts and a different language, and maybe worship slightly different travel gods, to get them to work together in a culture that allows them to respect each other’s habits and convictions, and yet work productively together in an environment in which you can’t specify everything in advance.” Michael E. Levine “Beware a pact with the devil.” Martin Shugrue Airline Motivations For Alliances • the desire to achieve greater economies of scale, scope, and density; • the desire to reduce costs by consolidating redundant operations; • the need to improve revenue by reducing the level of competition wherever possible as markets are liberalized; and • the desire to skirt around the nationality rules which prohibit multinational ownership and cabotage. AIRLINE ALLIANCES by Paul Stephen Dempsey Director, Institute of Air & Space Law McGill University Copyright © 2011 by Paul Stephen Dempsey Open Skies • 1992 - the United States concluded the first second generation “open skies” agreement with the Netherlands. It allowed KLM and any other Dutch carrier to fly to any point in the United States, and allowed U.S. carriers to fly to any point in the Netherlands, a country about the size of West Virginia. The U.S. was ideologically wedded to open markets, so the imbalance in traffic rights was of no concern. Moreover, opening up the Netherlands would allow KLM to drain traffic from surrounding airline networks, which would eventually encourage the surrounding airlines to ask their governments to sign “open skies” bilateral with the United States. • 1993 - the U.S. conferred antitrust immunity on the Wings Alliance between Northwest Airlines and KLM. The encirclement policy began to corrode resistance to liberalization as the sixth freedom traffic drain began to grow; soon Lufthansa, then Air France, were asking their governments to sign liberal bilaterals. • 1996 - Germany fell, followed by the Czech Republic, Italy, Portugal, the Slovak Republic, Malta, Poland. • 2001- the United States had concluded bilateral open skies agreements with 52 nations and concluded its first multilateral open skies agreement with Brunei, Chile, New Zealand and Singapore. • 2002 – France fell. • 2007 - The U.S. and E.U. concluded a multilateral “open skies” traffic agreement that liberalized everything but foreign ownership and cabotage. • 2011 – cumulatively, the U.S. had signed “open skies” bilaterals with more than100 States. Multilateral and Bilateral Air Transport Agreements • Section 5 of the Transit Agreement, and Section 6 of the Transport Agreement, provide: “Each contracting State reserves the right to withhold or revoke a certificate or permit to an air transport enterprise of another State in any case where it is not satisfied that substantial ownership and effective control are vested in nationals of a contracting State .

Press release Asiana Airlines continues to rely on revenue accounting solution from Lufthansa Systems Asiana airlines of South Korea extends Sirax/RA agreement for another five years Raunheim, December 6, 2016 – Lufthansa Systems today announced that Korea-based Asiana Airlines will continue to use its Sirax/RA solution for revenue accounting. The agreement between the two companies, which was originally signed in 2005, has now been renewed for another five years. “We have been relying on Sirax/RA from Lufthansa Systems for more than ten years – which makes perfect sense for us: Since introducing the solution, we succeeded in substantially accelerating our accounting processes, which enabled us to reduce costs and boost revenues at the same time,” said Lee Han Wook, General Manager Revenue Accounting Team at Asiana Airlines. The Sirax/RA revenue accounting solution speeds up accounting processes by automatically checking ticket sales against actual flight data. Integrated sub-processes also support the billing of interline flights between airlines. Based on this, the system very precisely calculates the actual revenues within a very short timeframe, automatically taking into account current industry standards. Furthermore, customers can quickly gain a comprehensive overview of their financial situation, enabling them to rapidly respond to changing conditions. The system also delivers precise, current information for management and accounting staff at all times. Sirax/RA is being used by around 20 airlines worldwide and based on processed coupon volume is the market leader among standard revenue accounting solutions. “Asiana Airlines was one of the initial carriers to opt for our Sirax solution and the second Sirax customer in the Star Alliance after Lufthansa,” said Tom Vandendael, Senior Vice President Regional Management Asia-Pacific at Lufthansa Systems.

AVIANCA BRASIL TO EXIT STAR ALLIANCE Star Alliance maintains competitive network in the region FRANKFURT, Germany – 19 August 2019 –Brazilian airline Ocean Air Linhas Aéreas S/A, headquartered in São Paulo and formerly doing business as Avianca Brasil, will formally leave Star Alliance with effect from 1 September 2019. Ocean Air’s withdrawal follows several months of bankruptcy protection and the withdrawal of its Air Operator Certificate (AOC) by Brazilian regulator ANAC.
