Annual Report 2015.docx Page 2 of 11 About Gippsland Christian Broadcasters GCB is an incorporated association of people who have established a Christian Community Radio Station (Life FM) in Gippsland, Victoria. Life FM Gippsland is an independent local station and not part of a network.

Life FM Gippsland provides programs and music to equip, empower and encourage listeners across Gippsland to face the future with hope in these troubled and challenging times.

Life FM also provides a radio service for the Christian community of Gippsland, with powerful teaching programs and a clean positive sound that only Christian content can provide. We focus on family friendly broadcasting with no bad language and lots of great "clean" music.

Life FM aims to break down any stigma attached to the church, to open pathways back into fellowship with other Christians and to be a unique medium for Christian development in the region.

In addition....Life FM offers professional training courses for those interested in community radio and offers reasonably priced sponsorship rates for local businesses.

With studios in Sale and Morwell and broadcasting from Mt Tassie, Life FM can be heard from Pakenham to Orbost! “He who has ears, let him hear” Matthew 11:15 What We Believe We believe in the confession of faith as summarized in the Apostles Creed. 1. Welcome and Prayer Heather Toms (President) welcomed all those attending and opened the meeting in prayer at 7:35pm

2. Acceptance of Minutes of 14th AGM Wyda Brisbane moved that the Minutes of the previous AGM be accepted. Hilary Rash seconded.

3. Financial Report Malcolm McKenzie (Treasurer) presented the financial report and thanked Deb and the team for managing the expenses in times of reduced income. Mal illustrated GCBs financial position with graphs. He emphasised the need for stepping out in faith and trusting in God. He further outlined the legal obligations of the board to make the hard decisions. There was some discussion about funding options. Malcolm moved that this report be accepted Seconder: Cameron Rash 4. Board Report Heather Toms (President) presented the Board Report; thanking God for His faithfulness in keeping us going and urging us to listen to Gods call (or nudge). We need continued assistance financially. Heather also thanked Deb and her team for the great work and the Board for their support. 5. CEO Report Debbie Bye presented the CEO Report and thanked her team for their hard work over the year.

Copies of the three reports were included in the Annual Report that was made available to all attendees. Moved Heather Toms and seconded Stephen Elms – that all reports be received.

6. Appointment of Auditor Malcolm McKenzie moved that J O’Connor Pty Ltd, Registered Company Auditor based in Brisbane, Qld, be re- appointed as auditors for the 2014 financial year. Seconded by Randell Green.

7. New Board Members Heather Toms formerly thanked outgoing board member Ivy Goodwin who had resigned earlier in the year. Shane Peck and Dave Maxwell nominated for positions. The number of nominations did not exceed the number of vacancies, therefore voting was not required and Shane and Dave were appointed to the board. David is passionate about Life FM and that people need an opportunity to hear God. Shane considers himself a missionary of the Baptist church. He noted that he was challenged by the letter saying the finances were poor but was inspired to be a part of it. Interesting times and excited to be on the board.

Heather Toms then led a time of prayer focusing on the ministry of LIFE FM for the upcoming year.

There being no further business, the meeting closed at 8:15pm, at which time the 11th birthday celebrations began.

Rules to Note:

QUORUM for General Meeting - 27.1. Ten (10) members (excluding any members who are also Board of Governance members) present personally or by proxy (in accordance with Rule 29.3, 29.4, 29.5) shall constitute a quorum at any general meeting.

30. VOTING RIGHTS

30.1. Subject to these rules each member present in person shall be entitled to one vote.

30.2. Only financial members aged 18 or over are eligible to vote at an Annual General Meeting or Special General Meeting.

30.3. Churches clubs organisations or groups that are financial members of the association shall be entitled to one vote at an Annual General Meeting or Special General Meeting by means of a proxy PROVIDED THAT a proxy in the form set out in Appendix 2 is submitted in accordance with Rule 29.4. Such proxy form is to clearly indicate the Church club organisation or group that is providing the proxy the name of such proxy and the names and signatures of two office bearers attesting to the fact that such proxy is at the request of a meeting of the members or governing body of the said Church club organisation or group.

30.4. Each member eligible to vote at meetings in accordance with Rule 29.2 is entitled to appoint another member as a proxy by notice to be received at the station office no later than 5:00pm the day before the time of the meeting in respect of which the proxy is appointed.

30.5. The notice appointing the proxy must be in the form set out in Appendix 2

30.6. Each member eligible to vote in accordance with Rule 29.2 is entitled to an absentee vote for the election of Board Members at an Annual General Meeting.

Resignations

Debbie Bye (Uniting)

Deb was appointed as Life FM's first Station Manager on 23 June 2003 after founding the organisation in 1999. She is the visionary of Life FM and has been involved with Christian Radio in since 1982. Deb‘s radio career includes 17 years with ABC Radio, nine of those as Manager, ABC Gippsland. She holds a Diploma in Management with RMIT, has tutored Journalism (technical) at the University of Central Qld and conducted media training for Victoria University. Deb is an inaugural Fellow, Gippsland Community Leadership Program Alumni and serves on the Board of the Gippsland Centre Against Sexual Assault (GCASA), is President of the Stratford Victoria Sister Cities Committee and Secretary of the Gippsland Women’s Network. Deb does freelance media training and consultancy through her company, Manna Media.

Deb resigned as CEO effective 31st July and then from Life FM effective 4th September 2015 Thank you Deb for your deep commitment, dedication and ministry over the last 16 years to the people of Gippsland and Christian Radio. I know that it has cost you emotionally, physically and spiritually. It is with gratitude and sincere thanks, we, the many people who have experienced and who have been touched by your ministry and by your faithfulness to a gracious God, give prayers for your future. Rev. Heather Toms (Anglican) Heather has been involved with Life FM since 1999 when she joined the Steering Committee and has held various executive positions during that time. She is Hospital Chaplain and Criminal Justice / Regional Liaison Chaplain for the Anglican Diocese of Gippsland and is licensed to St Mark’s Anglican Church, Rosedale as Honorary Priest Assistant. Heather holds a Diploma of Christian Counselling and Family Therapy, Certificate in Clinical Pastoral Education and is an Accredited Spiritual Director and Mentor for Education for Ministry. She has lead the Wednesday Prayer session for Life FM which has been meeting since 1999 until January 2014. She serves on the Board of the Gippsland Centre Against Sexual Assault (GCASA), the Committee of Governance of the Rosedale Neighbourhood House and sub- committee for Policy Review.

Heather is married to Max with five adult sons and daughters-in-law and ten grand-children. She loves travelling and spending quality time with the family.

Heather Toms resigned from the Board effective 31st August after serving for 16 years. Thanks to Heather for the many years you have served from being on our steering committee in 1999 through to Board of Governance. As you say there is a season for everything - may your next season be fruitful and much blessed. Thank you for your personal support in my journey as well. – Deb Bye

Amanda Lonsdale (Catholic) Amanda is 5th generation Gippslander, raised in Sale in the Catholic Cathedral parish and despite employment taking her and her Japanese Chins (Annie and Pixie) interstate, she holds ties to Central Gippsland, particularly St Michael’s parish in Traralgon.

She has served as an active member of the parish serving in Music Ministry and Sacrament preparation. Amanda says I love what I do in the church. Especially educating primary aged children in the faith. Providing them guidance on living a Christian life in a secular world is my brand of evangelising. Through Amanda’s own witness of Matthew 28:19, she has attended two world youth days (Sydney and Madrid).

Good governance and accountability will help to keep Life FM on air in Gippsland. So what does it mean to be on the Board of Gippsland Christian Broadcasters? Contact the office for the BOARD INFO KIT so there are no surprises! For more on Board responsibilities go to the CMA website – Essential Standards of Ministry Governance – http://www.cma.net.au/resources/itemdetail.php?ProductID=806 We need diversity in denominational representation. Our Rules of Assoc. allow for up to three from any one denomination. We need geographical diversity – and for those who would need to travel to meetings – which are held at the Morwell office – we have Skype and phone conferencing. We need gender diversity. Come October our current Board representatives will be two men and two women – which is indeed diverse, however we need more members as a quorum is four!

Rules to Note: QUORUM – Rule 18.3 A quorum for a meeting of the Board of Governance shall be half plus one of the serving members. CASUAL VACANCIES MAY BE FILLED 16.5. A casual vacancy amongst the members of the Board of Governance may be filled by the Board of Governance appointing a replacement member of the association and such appointed member shall hold office subject to these rules for the remaining unexpired portion of the term of the member whose vacancy has been filled. (see GCB Policies 4 GCB Board – Roles and Responsibilities POLICY: RECRUITMENT OF BOARD MEMBERS) 16.8. The Board of Governance shall at its first meeting after the Annual General Meeting of the Association elect: a) a President b) Vice-President and c) Treasurer. The Secretary position is filled by the CEO in accordance with Section 76 of The Act.

Let us therefore come boldly unto the throne of grace that we may obtain mercy, and find grace to help in time of need. Hebrews 4:16 KJV

I would like to start this report by giving thanks and praise to a loving and Gracious God. I also want to acknowledge our personal Saviour, Jesus Christ, for His ultimate gift of sacrifice and love to each one of us.

I write this report as the outgoing President on this our 12th Birthday on air. This has been a difficult year with the health and pressures on our founder and visionary, CEO Deb Bye. The financial viability and the pressures of the workload in keeping a station on air running smoothly, is a massive undertaking.

I write this with a heavy heart and the pain of this transition with Deb Bye stepping down as CEO and then resigning completely. I have been on this journey with Deb from the beginning in 1999, on the Steering Committee and as a founding Board Member. I have seen and been involved in many challenges, many joys, lots of laughter and lots of tears. I want to once again thank Deb Bye for the way in which she handled the budget - keeping the Station running on limited finances; her accountability and sheer tenacity has cost her the ultimate price. I praise God for her prudence in fiscal matters and always ensuring that we were operating with the utmost integrity.

I am deeply saddened by the way the process of Deb stepping down has taken place and as a founding board member and Life Member, my disappointment and pain has been great. As a result, I have stepped down from the Board of Life FM. For me, the one sure statement I have taken heart in through this is that Christ is my cornerstone and without Him and that solid foundation, I would have been completely devastated. However, I can take comfort in ‘knowing that all things work together for good to them that love God, to them who are the called according to his purpose’. {Romans 8.28} I understand that for Deb this has been a costly journey, physically, financially, emotionally and spiritually. I also know that bringing the Station into fruition was a call placed on her heart and this Deb has done faithfully. Praise God.

Thank you to all the staff who has supported Deb in her role as CEO, your support and commitment is invaluable.

Since the last AGM, we have updated our Governance policies and the Strategic Plan until 2019.

To the current Board thank you, and I wish you well in your new endeavours as you move forward into the unknown and as you seek a new General Manager and Sales Manager. Please take care of Deb our visionary and faithful servant of our Lord Jesus Christ. The skills and knowledge Deb has to offer in Christian Radio are invaluable and a great asset to any organisation. After all, we are the workers and God is the Master Builder, let Him build.

Lastly, it would not be possible without the support of our life members, members and listeners, so a huge thank you for your ongoing support of this ministry in Christian Radio.
