Executive Summary
AGF Insurance Limited ("the Company" or "AGF") is an insurance undertaking authorised by the Prudential Regulation Authority ("PRA"), pursuant to the European Union (Insurance and Reinsurance) regulations 2015, to carry on non-life insurance business in classes 1 to 18 as defined in Solvency II Directive 2009.
The Solvency and Financial Condition Report ("SFCR") has been prepared in order to assist the policyholders to understand the capital position of the company of the Company following the implementation of Solvency II, a European directive implemented in the UK.
2016 Solvency and Financial Condition th In 2016 AGF was acquired by Catalina Holdings UK Limited ("CHUK"). The acquisition took place on October 10 2016. The transaction was for the acquisition of 100% of AGF's share capital from its direct parent company AGF Holdings Limited (ultimate parent Allianz SE). The Company is now part of a growing UK legacy business which should provide opportunities for increased operational efficiency and the maintenance of high professional standards in all areas of its operation. The service obligations to our policyholders remain a high priority at all times.
The Company's claims portfolio were reviewed and reserves strengthened during the year. The Company reviewed and adjusted its investment portfolio within a challenging economic environment in order to maximise future returns within its risk appetite and investment guidelines.
The Company performed a full Own-Risk and Solvency Assessment ("ORSA") during the second half of 2016 and the ORSA was approved by the Board of Directors on 29th December 2016 as part of the Catalina Holdings UK Limited Group ORSA. The ORSA is an integral part of the business and is taken into account on an ongoing basis in the strategic decisions of the Company.
Capital Management This SFCR is the first prepared for the Company under the Solvency II regime where the emphasis is one of measuring and monitoring capital and the Company using a risk-based approach. The Company currently uses the Standard formula to calculate its Solvency Capital Requirement. At the 31 December 2016 there was a Solvency II surplus of GBPE10.149m and a Solvency II coverage ratio of 115%. Both metrics refer to the excess of the Company's total eligible own funds over the solvency capital requirement. In December 2017 the company received a capital contribution of £15 million to further strengthen its capital position.

Outlook The Company will continue its focused approach to reviewing records to ensure a proactive claims agreement process. This will ensure compliance with the Financial Conduct Authority's ("FCA") Treating Customers Fairly ("TCF") requirements. As part of the ongoing strategy the Company's management will continue to outsource elements of the portfolio to an FCA approved outsourced provider to manage Noise Induced Hearing Loss claims; all other claims will be managed within the UK group. The Company maintains very close control over the activities of its Third Party Administrators and legal panel.
The Company seeks commutations to reduce the volatility of the claims portfolio but a full analysis of all relationships will need to be completed before the commutation program can commence. In the foreseeable future the Company will continue the orderly run off of its long term liability claims whilst continuing to manage its investments within risk appetite and specific guidelines.

We are satisfied that: a) throughout the financial year ended 31 December 2016, the Company has complied in all material respects with the requirements of the PRA Rules and the Solvency II Regulations as applicable to the insurer; and b) it is reasonable to believe that the Company has continued so to comply subsequently and will continue so to comply in future.

Report of the external independent auditor to the Directors of AGF Insurance Limited ("the Company") pursuant to Rule 4.1 (2) of the External Audit Chapter of the PRA Rulebook applicable to Solvency II firms
Except as stated below, we have audited the following documents prepared by the Company as at 31st December 2016:
• The 'Valuation for solvency purposes' and 'Capital Management' sections of the Solvency and Financial Condition Report of the Company as at 31st December 2016, (`the Narrative Disclosures subject to audit'); and
• Company templates S02.01.02, S17.01.02, S23.01.01, S25.01.21, S28.01.01 ('the Templates subject to audit').
The Narrative Disclosures subject to audit and the Templates subject to audit are collectively referred to as the 'Relevant Elements of the Solvency and Financial Condition Report'. We are not required to audit, nor have we audited, and as a consequence do not express an opinion on the Other Information which comprises:
• The 'Business and performance', 'System of governance' and 'Risk profile' sections of the Solvency and Financial Condition Report; • information relating to 31 December 2015 voluntarily disclosed by the Company in the 'Valuation for solvency purposes' and 'Capital management' sections of the Solvency and Financial Condition Report; • Company templates S05.01.02, S19.01.21; • the written acknowledgement by the Directors of their responsibilities, including for the preparation of the Solvency and Financial Condition Report ('the Responsibility Statement').
Respective responsibilities of directors and auditor As explained more fully in the Responsibility Statement, the Directors are responsible for the preparation of the Solvency and Financial Condition Report in accordance with the financial reporting provisions of the PRA rules and Solvency II regulations.
The Directors are also responsible for such internal control as they determine is necessary to enable the preparation of a Solvency and Financial Condition Report that is free from material misstatement, whether due to fraud or error.
Our responsibility is to audit, and express an opinion on, the Relevant Elements of the Solvency and Financial Condition Report in accordance with applicable law and International Standards on Auditing (UK and Ireland) together with ISA (UK) 800 and ISA (UK) 805. Those standards require us to comply with the Auditing Practices Board's Ethical Standards for Auditors.
Scope of the audit of the Relevant Elements of the Solvency and Financial Condition Report A description of the scope of an audit is provided on the Financial Reporting Council's website at www.frc.org.ukiauditscopeukprivate.
Opinion on the Relevant Elements of the Solvency and Financial Condition Report In our opinion, the information subject to audit in the Relevant Elements of the Solvency and Financial Condition Report of the Company as at 31 December 2016 is prepared, in all material respects, in accordance with the financial reporting provisions of the PRA Rules and Solvency II regulations on which they are based, as modified by relevant supervisory modifications, and as supplemented by supervisory approvals and determinations.
Emphasis of Matter - Basis of Accounting We draw attention to the 'Valuation for solvency purposes' and 'Capital Management' and other relevant disclosures sections of the Solvency and Financial Condition Report, which describe the basis of accounting. The Solvency and Financial Condition Report is prepared in compliance with the financial reporting provisions of the PRA Rules and Solvency II regulations, and therefore in accordance with a special purpose financial reporting framework. The Solvency and Financial Condition Report is required to be published, and intended users include but are not limited to the Prudential Regulation Authority. As a result, the Solvency and Financial Condition Report may not be suitable for another purpose. Our opinion is not modified in respect of these matters.

Matters on which we are required to report by exception In accordance with Rule 4.1 (3) of the External Audit Chapter of the PRA Rulebook for Solvency ll firms we are required to consider whether the Other Information is materially inconsistent with our knowledge obtained in the audit of AGF Insurance Limited's statutory financial statements. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact. We have nothing to report in this regard.
The purpose of our audit work and to whom we owe our responsibilities This report of the external auditor is made solely to the company's directors, as its governing body, in accordance with the requirement in Rule 4.1(2) of the External Audit Part of the PRA Rulebook and the terms of our engagement. We acknowledge that the directors are required to submit the report to the PRA, to enable the PRA to verify that an auditor's report has been commissioned by the company's directors and issued in accordance with the requirement set out in Rule 4.1(2) of the External Audit Part of the PRA Rulebook and to facilitate the discharge by the PRA of its regulatory functions in respect of the company, conferred on the PRA by or under the Financial Services and Markets Act 2000.

In aggregate, more than 90% of the voting rights of Catalina Holdings (Bermuda) Ltd, the ultimate parent entity, are held across three shareholders being, CDP VSI I Limited Partnership, 1397225 Ontario Limited and Apollo Rose LLP.
A.1.2 Material lines of business and geographical areas where the Company carries out business
AGF was purchased by CHUK in October 2016. The ultimate parent of CHUK is Catalina Holdings (Bermuda) Ltd. ("Catalina"). Catalina is a specialist consolidator of non-life general insurance and reinsurance companies and portfolios in run-off. Catalina acquires and manages portfolios in run-off with the purpose of achieving a competitive return on

equity and consistent growth in net tangible assets. The Group is based in Bermuda and currently has offices in Bermuda, the United Kingdom, the Republic of Ireland, the United States of America and Switzerland.
AGF was part of the Allianz SE Group, and was incorporated in 1960 under the name Employers' Mutual Insurance Association Limited. AGF wrote predominately direct Employer Liability and Public Liability insurance within the UK. It ceased writing new business in 1999 and has since been in run-off. AGF has exposure pre-1960 as a result of its acquisition of NEM Insurance Co in 1989. An approximate breakdown of the claims outstanding by number of claims are: 84% NIHL, 6% Meso, 4% Asbestosis and 6% other.
All liabilities are classed as "General Liability" and are based in the UK. The Company's functional and presentational currency is the GBP, reflecting the historical distribution of the Company's geographical business mix.

Investment returns produced £20.1 million, profit (2015: £1.5 million, loss). In 2016, the market generally was more volatile than previous years, and the portfolio was affected by volatility in interest rates and credit spreads, as well as increased uncertainty in the geo-political environment. The first 9 months of the year produced a total return of approximately 9.5%, largely driven by exposure to sterling duration via Gilts, which rallied hard post-Brexit. Between October and year end, the portfolio returned a loss of 1.2%, as UK yields rose back to pre-Brexit levels. Post-acquisition, the portfolio began to be re-positioned in line with Catalina's investment strategy, duration being shortened, and modest exposures to securitised products, corporate credit and UK real estate equity. The Company's invested assets at 31 December 2016 were £257.0 million (2015: £223.9 million).
