2014 COUNCIL MEETING MINUTES

MINUTES OF THE 87th NETBALL NEW ZEALAND COUNCIL MEETING, HELD SATURDAY 22nd FEBRUARY 2014 COMMENCING AT 10.30AM AT THE NOVOTEL HOTEL, HAMILTON

1. WELCOME

The Meeting began with a Karakia (Maori greeting) by Sian Clancy of Netball New Zealand (NNZ).

President Sheryl, Lady Wells welcomed everyone to the 87th Annual General Meeting of NNZ and was heartened to see so many in attendance.

Sheryl advised that 2013 had seen the strengthening of the five new Zones and thanked everyone for their patience while new systems and programs continue to be reviewed, improved, embedded and delivered.

Sheryl thanked the Zone Boards, Staff, Centres and their many volunteers who continue to give their all, ensuring everyone involved in our wonderful sport - be it on or off the court - have an enjoyable experience.

In her Presidents Message for the 2013 Annual Report she quoted a saying:

“Unity is strength. When there is teamwork and collaboration wonderful things can be achieved.”

As a united team, Sheryl asked everyone to look forward to our netball community continuing to grow and deliver as we build on the foundations built last year.

2014 Council Meeting Minutes Page 1 of 17 Sheryl acknowledged some dedicated members of our Netball community who passed away in 2013. In particular, Edna Yates QSM., former Patron of Christchurch Netball Centre.

Edna was closely involved in Netball in Canterbury and from 1940 to 1968 was part of the Canterbury Netball Executive and served many roles in that time, including President, Players Delegate, Selector, Examiner, Coach and Manager.

Edna was elected to Council in 1954 and was Vice-President of the New Zealand Netball Association for 14 years. In 1967, Edna was manager of the successful NZ team at the World Championships in Perth. She was admitted as a Life member in 1975 and received the QSM in 2011.

She advised that Raewyn Lovett is the NNZ Delegate and as such holds the vote and will speak on behalf of NNZ or will request someone else to speak on NNZ’s behalf. Hilary, the Chief Executive has no formal role at the AGM and has no automatic entitlement to speak or to vote.

As there were four nominations for the Netball New Zealand Board member position, Sheryl advised there were three groups of scrutineers required with three volunteers in each group.

5. PRESENTATION OF THE ANNUAL REPORT AND FINANCIAL STATEMENTS

Sheryl, Lady Wells advised that the Annual Report and the Financial Statements will be spoken to separately. Raewyn Lovett will speak to the annual report and Suri Bartlett and Lynne Paynter will speak to the Financial Statements.

ANNUAL REPORT

The Chair of NNZ Raewyn Lovett moved that the Annual Report and Financial Statements be received and tabled.

Raewyn introduced a video presentation of the 2013 Year in Review.

Raewyn acknowledged Hilary Poole and her staff, and the work of the NNZ team especially over the last year with implementation of the restructure as well as the business as usual activities that go into getting events on court.

Volunteers, coaches, umpires, officials, administrators and fans received a special thank you for their support and contribution to the sport.

The Zones Chairs and Boards were also acknowledged for their contribution to the ANZ Championship.

Change and Distribution Raewyn acknowledged it was not an easy year for a number of reasons:

• Establishment of the new Zones straight into ANZ Champs

• Legacy issues from previous regions and franchises and time to get staff into place still struggling for resources, time to understand how to drive this new business

• NNZ change of CEO – left a gap in terms of our delivery – had budgeted on investments to support the establishment of Zones which just simply did not get made and that added to the stress

But we have got through our first year and should congratulate ourselves – that fact that we are where we are is true testament to the resilience of the Netball community.

We should also recognise the positives of what has been achieved. It was a watershed moment at the Lion Foundation Netball Champs. As it was the first time Raewyn had sat down with that group since the AGMs in the very early days.

• The whole dynamics and the optimism for what they were going to be able to deliver and the possibilities of what this structure could deliver for Netball was far more obvious, there was a real confidence and you could see it starting to breath

• Reinforced and illustrated by the feedback that we’ve got some good momentum happening around Community Netball with the rolling out the junior netball programme

Raewyn thanked Zone Boards and CEO’s for everything that they have achieved and for their belief and the amount of effort and emotion invested to make it work.

Raewyn noted it must always be a priority for netball to provide excellence in the governance of our respective Netball organisations, and it has been extremely pleasing to observe and have feedback on how well the new Zone Boards are functioning.

Strategic Plan Framework to 2020 The Strategic Plan Framework through to 2020 has been developed. Good work has been done in the Zones and Centres around putting their own strategic plans together to define roles in delivering against the whole of Netball plan.

The Business Plan components are currently being worked on and are another key element of completing the entire package of what we’re looking to achieve in terms of the overall strategic plan for Netball.

Financials In terms of our financials we have had a sound performance which will enable us to add to our reserves and reinvest back into the netball community.

Leadership Change NNZ welcomed Hilary Poole to the role of NNZ Chief Executive in the latter part of the year following the departure of Raelene Castle.

Hilary has immersed herself in the Netball community and is working hard to drive the outcomes we as a Board have set for the next year.

Raewyn acknowledged Raelene Castle for her contribution to our sport and in particular her role in helping establish our current Zone structure. During her six year tenure, Raelene created the impetus for change which is recognised both internally and externally as a significant achievement.

ANZ Championship It was a disappointment not to have a New Zealand team in the ANZ Championship Grand Final after having been successful last year. This remains a compelling competition, the fitness, skill and athleticism levels ensuring it remains a popular spectacle with the sporting public. Having said that we have our challenges – Australian broadcasting

High performance From a High Performance perspective the Silver Ferns produced mixed results in 2013. They failed to achieve the main aim of winning the five-test series. On a positive side, the way the season unfolded provided the opportunity to see a number of new Silver Ferns on the court. So while we didn’t achieve what we wanted to in terms of winning, we did achieve what we wanted to in terms of building depth in the team and looking at other combinations and players who are going to be able to step up to the next level. The Board has real confidence and belief in Silver Ferns Coach Waimarama Taumaunu and in the path she has set and like to acknowledge great work she and assistant coach Vicki Wilson have done.

NZU21’S & NZSS The highlight of the on-court action in 2013 was the NZU21 team winning the World Youth Netball Championships in Scotland. Congratulations were extended to coach and assistant coach Adrienne Morrin for all their hard work in achieving this tremendous result. Another exciting result from our younger representatives was when the New Zealand Secondary Schools team won the Trans-Tasman Secondary Schools Netball Tournament, another positive sign that there are good systems in place and new talent coming through.

FAST5 Netball World Series The FAST5 Ferns produced another excellent result in defending their World Series title in Auckland to end the international season on a high.

2014 Council Meeting Minutes Page 8 of 17 The FAST5 event has become a special part of our calendar in terms of the different elements it brings to what we do on court. The weekend event continued to attract new fans and growth in audience numbers – great number of sponsors involved and certainly the number of people who came along and watched the event this year was up significantly on last year. We would like to congratulate coach Janine Southby and assistant coach Julie Seymour, who proved a winning combination in masterminding the FAST5 Ferns successful defence of their title. It’s a great event, great spectacle, great entertainment and we won - a great overall result. Having said that – it has its challenges financially and there are still some questions that INF will have to answer as to where fits in our sport.

Partners NNZ remains hugely grateful to the fantastic family of sponsors and partners who support our national teams, events and programmes.

Raewyn thanked and acknowledged New World, the NNZ elite sponsor, for its support of the Silver Ferns and NNZ. New World’s commitment to support the Silver Ferns at the elite level and community Netball across New Zealand is outstanding.

Raewyn thanked the Netball family of sponsors: Holden, Canterbury of New Zealand, ANZ, Yahoo!, and Triumph,

And; welcomed two new sponsors who joined us in 2013, House of Travel and Pita Pit. Television and The Radio Network are our outstanding Media Partners, who consistently bring our sport to life for the New Zealand public.

Raewyn made special mention of two strategic funding partners

High Performance , who invest into our High Performance programme, and Sport New Zealand, who continue to invest in community Netball and help us build our organisation capability.

We greatly appreciate the investment that is made by these two organisations into Netball as we continue to work towards winning on the international stage.

Long term funding partners, the Lion Foundation and New Zealand Community Trust, support the delivery of national competitions and community sport programmes for coach and umpire development throughout New Zealand, and we are very grateful for their continued support.

Acknowledgements Raewyn acknowledged the contribution of outgoing Board member Carole Maddix who has served for three terms. She has been an amazing Board member, her dedication to the Netball community and her Netball

2014 Council Meeting Minutes Page 9 of 17 perspective has been invaluable to us in all of the things that we have done. She knows how Netball works. She has been a great person to have on the Board and will be missed. I would like to thank the whole Netball New Zealand Board for all its hard work and expertise during the year. Our President Sheryl Lady Wells remains unwavering with her ever-present support and good humour. She is a tireless worker in assisting Netball New Zealand’s profile at a number of functions throughout the year as well as attending as many events on the competition calendar as she can get to.

NNZ Staff Raewyn thanked the Netball New Zealand staff, who have had to face the challenges of shouldering a lot more responsibility in the transitional time of not having a permanent Chief Executive. They have continued to perform above and beyond with their usual enthusiasm.

Personal Reflection Raewyn acknowledged that it had been a privilege to be a part of NNZ - to have sat on the Board last 9 years and been the Chair for the last seven years.

Having been a part of the things that have happened within Netball over that time – the establishment of the ANZ Championship and the Zone restructure are two of the big ones – and the way NNZ have gone about those changes have highlighted just what a wonderful family Netball is.

But its’ not what we have done, it is who we are – meet some truly wonderful people who I never dreamed I would meet. Yes there are the good work stories of hanging out with silver ferns – but the people in this room – the life members who welcomed me into this special community with open arms and everyone else who holds our game so dear you are the ones who have inspired me and made me want to do the very best that I can do.

Netball will now forever be entrenched in both mine and my family’s lives.

It has been a journey, a wonderful journey and a hugely enriching part of my life. This is really a big thank you for letting me be the Chair.

Sheryl asked if there was any discussion on the Annual Report.

Sheryl invited Suri Bartlett and Lynne Paynter to speak to the financial aspects of the Annual Report.

Suri presented the Executive Summary of the 2013 financial statements and noted that Netball New Zealand delivered an operating surplus of ($1.032m) against a budgeted surplus of ($324k).

2014 Council Meeting Minutes Page 10 of 17 TTNL delivered a surplus in 2013 of $35k (NNZ 50% share is $17k) therefore the Group result was a surplus of ($1.049m)

NNZ is forecasting a budget surplus of $366k for 2014.

Revenue In 2013 Netball New Zealand experienced year on year revenue decline of $472k (5%). This was $839k below budget.

The main drivers behind this decline were less sponsorship, funding and gate.

Expenses In 2013 Netball New Zealand experienced a year on year decrease of $1.964M (18%) v 2012. The main variances to budget were due to:

• No requirements for debt management ($1.373m 2012) • Tight cost management for events and national programmes • Several budgeted staffing positions remained vacant

Operating result In 2013 there was an operating surplus of $1.032m favourable against budget surplus of $324k.

Member’s Equity and & Investment Members equity rebuilt to $3.33m, reflecting the strong surplus of 2013

Cash investments were steady and strong at $1.96m and equity to revenue ratio returned to 33%.

2014 Preview The 2014 plan includes investment in Junior Netball programme, National Player development Review and Plan, TTNL – ANZ Championship development and Shared Services development for Zones. Suri noted this was a pinnacle year for Silver ferns who will be competing in the .

Financially 2014 is forecast to be a favourable year delivering a $366k surplus with Revenue growth of 7% which is expected to be delivered mainly by funding and sponsorship.

TTNL TTNL reported an operating surplus of $35k in 2013 vs a budget deficit of 29k . TTNL is forcasting a 2014 Budget surplus.

7. GENERAL BUSINESS

Sheryl, Lady Wells advised that there were two General Business Items received prior to the AGM.

1. Central Zone - Affiliation Fee Carolyn Young, Netball Central asked about the philosophy behind the fee. On behalf of Netball New Zealand, Hillary Poole responded that the affiliation fee does create revenue and is effectively a competition fee. No Comment. No response

2. Central Zone - High Performance On behalf of Netball New Zealand, Hillary Poole responded that there was a robust talent development review underway. This will go to the Netball NZ Board in June for approval. This review will be chaired by Sue Clark. No Comment. No response

8. REPORT OF THE LIFE MEMBERSHIP AND SERVICE AWARD COMMITTEE

Sheryl, Lady Wells asked Dawn Jones, as Chair of the NNZ Life Membership and Service Award Committee to present the report.

On behalf of the other members of the NNZ Life Membership & Service Awards Committee, Christine Archer and Noeline Ward, Dawn presented the Committee’s report for the past year. Last year there was some uncertainty over the closing date for nominations, and as a result nominations were received to a later date than usual. This caused difficulties for some members of the Committee who had planned personal commitments around usual dates. We regret that this caused delays for those anxious to know the outcome of nominations. The Committee undertook detailed consideration of all the nominations received and can confirm that this was carried out in a thorough, responsible and careful manner. Overall the standard of the nominations was very

2014 Council Meeting Minutes Page 12 of 17 pleasing, with almost all being well presented with detailed factual information and a compelling case being made to support the nomination. In 2013, fifteen nominations have been approved and are brought to Council for endorsement. It is pleasing to see these women who have given significant service to the sport being honoured, and while some may not be well known outside their own areas, they have all given many decades of service. Together, these women have been involved with the sport of Netball for a total of 625 years or an average of just over 40 years each. Individually their service ranges from 25 to 64 years. However, it is not simply the quantity of service that is important, but rather the range of different fields in which they have contributed and the quality of their involvement. At the same time, the Committee remains aware that there are many others for whom such recognition is appropriate and overdue. Perhaps these words that accompanied one of the nominations will serve to remind you of the need to look around to identify others similarly deserving of recognition: “This nomination should have been sent for consideration a long time ago, but we lost our way a bit by not recognising the amazing contribution made by volunteers. This is due in part to the many changes netball has faced as the volunteer structure has been overtaken by a paid structure. This is not intended to disrespect those who are now involved; rather it reflects a lack of understanding of the importance of netball’s history and the flow of that knowledge.” This is a matter the Committee has brought regularly before you and we do not apologize for doing so once again. All those being honoured today have given their time, their energies and their expertise willingly and without any thought of reward. Notwithstanding this, their joy today will be that their peers and the sport have recognised what they have contributed. The Committee urges you all to ensure that you look to confer life membership and/or service awards in your own area to those whose work and service is deserving of such recognition. Such an award is a prerequisite for nomination for a NNZ Service Award. Then ensure you send forward nominations for those whose contribution seems worthy of national recognition. The NNZ Life Membership and Service Awards Committee has considered the nominations received and brings its recommendations to you for endorsement.

Iwi Courtney, on behalf of the Service Award recipients advised that it was a great privilege and honour to receive their awards and thanked the centres who had acknowledged this work. She thanked the Life members and hoped that the young that are coming up will lead into the future.

Sheryl congratulated all recipients on their success and thanked Dawn Jones, Christine Archer and Noeline Ward for the time and effort they put in as members of the Life Membership and Service Award Committee. Received and Carried by Voice.

Sheryl introduced Raewyn Lovett to farewell Carole Maddix. Raewyn acknowledged that Carole has been a great contributor to the Netball New Zealand and they will miss her wise council.

She understand the business of Netball, the NNZ Constitution and thanked her for her commitment to Oceania. Her great sense of humour, and ability to work hard has been so appreciated. Raewyn thanked Carole and her family and wished her all for the future.

Carole spoke to the meeting and expressed what a joy it was to be a part of Netball NZ, a progressive and professional organisation and what an honour it was to be a part of this organisation. She will miss the amazing people and they have been a joy to work with. She thanked the Netball New Zealand Board and NNZ Staff/Life members, and thanked Raewyn Lovett for her integrity and professionalism.

Sheryl introduced John Bongard to farewell Raewyn Lovett, who is retiring from the position as Chair and from the Netball New Zealand Board. On behalf of the Board John thanked Raewyn for her work on NNZ, TTNL and the significant leadership and professional input. She has always encouraged robust debate and oversaw the creation of ANZ Champs and the formation of the Zone structure during her terms on the Board. Raewyn has significant obvious passion for Netball and acknowledged Duncan Cotterill for ‘lending’ her to Netball NZ. John advised that Raewyn has now been appointed to the Chair at the Auckland Sport Board.

Raewyn replied and thanked every-one.

9. ELECTION OF BOARD MEMBERS

Sheryl, Lady Wells advised that with the retirement of Carole Maddix there is a vacancy. Four nominations have been received: Stephanie Bon – Auckland Netball Centre Debbie Hodges - Netball South Zone Lynette Rayner – Marlborough Netball centre Kim Whiteman – Netball Central Zone

Sheryl explained the voting process. That it would be a vote by ballot and if necessary three ballots would have to be conducted to reach a conclusion.

First vote. No clear vote. Kim Whiteman removed from ballot.

Second vote No clear vote. Stephanie Bond removed from Ballot

Third vote Result: Debbie Hodges. Sheryl thanked Lynette Raynor

Sheryl asked for a Mover and Seconder for the appointment of Debbie Hodges to the Board.

10. PRESIDENT’S CLOSING

Sheryl, Lady Wells thanked the NNZ staff for their preparation for the meeting and the delegates and observers for their attendance and participation. She wished everyone well for the 2014 season.

Sheryl, Lady Wells then declared the 87th Annual General Meeting closed at 12: 00pm.

My love of Netball has been life long. As a very small child I enjoyed watching my ‘netball loving mother’ in action at Tolaga Bay, Wanganui and Putaruru and I couldn’t wait until I was old enough to play.

Netball didn’t disappoint and I soon discovered there were many other aspects of the game I could become involved in.

After playing at Morrinsville and being a representative for Waikato Sub Association I got married and moved to Auckland. Family arrived and coaching and administration of netball took over from being a player. I coached school, club and Auckland Sub Association representative teams continually through the 70s and 80s.

In 1969 it was my first foray into administration and I followed this pathway right through with many highlights along the way.

In the early days I was coaching and presiding over Papatoetoe Rangers Club which grew from 10 to 22 teams. The fun and friendships made along the way was a great time. This was grassroots at its best.

I administered in various roles at Windmill Road, home of Auckland Netball at the time, one of those roles was Chair of Auckland Waitakere Region. In those days there was great rivalry between the top clubs and the National Club league which was the forerunner to the ANZ Championships of today. It was special to be involved in the hosting in 1975 of the Netball World Cup.

My years as Manager of the NZ U21s and The Young Internationals was most enjoyable. The winning of the World Youth Cup in Fiji in 1992 against all odds, illness and the court lights going out for 20mins during the final remains an extra special moment. It was wonderful to watch several of those young players later become Silver Ferns and grow in stature.

Another highlight was my involvement with the Diamonds Franchise Board and the actual events, the days when budget was extremely tight and it was hands on, all women to the pumps approach.

It was great to be part of and also celebrate the Centenary of Auckland Netball in 2012.
