IS SAFE HARBOR SAFE. FCC's midnight to 6 a.m. "safe harbor" for broadcast indecency has been tossed by the D.C. Circuit Court of Appeals. Judge Wald says FCC can't limit adults' rights for fear that children "might" be listening. Speaking for the court, Judge Wald found one of the three FCC goals: "protecting the right of all members of the public to be free of indecent material in the privacy of their own homes," insufficient to support a restriction on the broadcasting of constitutionally protected "indecent" material. Judge Edward's opinion concurred and goes further to question whether anybody has ever proven if indecency harms children. The FCC will continue to enforce its current "no indecency" policy between 6 a.m. and 8 p.m.

Reed Hundt was sworn in this week as FCC Chairman by his old school buddy, Vice President Al Gore. Interim Chairman Al Sikes steps down after a year in the position.

Quadras, Inc., licensee of KDEW in Dewitt AR is in the hot seat at the Commission because they forgot to file forms informing them they were off the air. If found guilty, it may lose its license and $250,000.

Maurice F.A. Battisti's grant for a new FM on 107.7 MHz in Endwell NY has survived an appeal by the three unsuccessful competing applicants. In a group petition, they contended that the Review Board erred in concluding that Battisti's grant would best serve the public interest. The Board found that although all four applicants were equally qualified in integration, diversification, and minority ownership, Battisti's civic involvement was the determining factor.

The Commission has also upheld a couple of 80 -90's that have been pending for a while. Stacy C. Brody's grant of a new FM on 102.1 MHz in Virginia Beach VA was upheld after competing applicants contended that there should have been a financial qualifications issue added against Brody's application. Flagstaff Broadcasting Partnership won a challenge by Flagstaff Broadcasting Foundation in its hometown, after there was an argument over integration credit.

Edens Broadcasting's KKLQ AM & FM San Diego have settled with the NAACP over violations of EEO rules. The trouble cost Edens a short -term license renewal and $18,750 in fines, but clears the way for its sale to PAR Broadcasting, who will then have a duopoly with its KIO2 /KGMG Oceanside.

Due to a "technicality," Howard Stern's lawsuit against WLUP for prematurely dropping his show has been thrown out, leaving Chicago Stern -less. U.S. District Court in New Yo.# tossed out the $45 Million lawsuit against Loop owner Evergreen, which was immediately refiled in New York state court. The Howard Stern show was dropped earlier this year due to "indecency run -ins with the FCC" according to Evergreen. Infinity and Stern feel they were dropped due to disappointing ratings and are looking to sue for breach of contract. Stern's attorney Tim Dyk feels the court's decision "raises serious questions" about the fines for indecency validity. Infinity has research that shows teens comprise "about 3% of Stern's audience, as for younger children -- none." The FCC has stood by its feelings that kids may still be listening because Howard is on in morning drive.

In the meantime, Evergreen Media may pursue its fight against an indecency fine issued in the late 1980s against WLUP's former morning team Steve and Garry. With the new decision, lawyers say Evergreen has all the more reason to bring the case to court. ELSEWHERE

NAB's Best of the Best Promotion Contest winners were announced on November 23. The awards recognize creative and effective radio promotions in the areas of sales, station enhancement and community service. Awards were given in each category in small, medium and large markets. The grand prize winner was KYYS -FM Kansas City MO for "Joe Montana Comes to Kansas City" promotion. KYYS convinced Ismay MT to change its name to "Joe" to honor the Kansas City Chiefs' new quarterback. Denon plans a $100,000 cash infusion to promote the Radio Broadcast Data System (REDS) by purchasing 40 RE -533 receivers from RE America and presenting them in trade for advertising in key Denon U.S. markets --Los Angeles, New York, San Francisco, and San Diego. Stations will be selected based on programming diversity. Denon is hoping to alleviate the problems that plagued AM Stereo; which comes first --the station transmission or the receiver?

Pyramid Broadcasting's WHTT AM & FM has announced its agreement to acquire WBUF Buffalo NY from The Lincoln Group, Ltd.

AmCom will spin -off WANS Anderson SC to AM 1020 /FM 103, Inc's WRIX Homeland Park & WRIX -FM Honea Path (Greenville) SC in order to pick up WHYZ Sans Souci, SC. No brokers were involved. WHYZ will continue to be Urban AC.

Premiere Radio Networks has acquired portions of the Olympia Networks, including "Coast to Coast with Bob Costas," "John Madden's Sports Quiz," "John Madden's Sports Calendar," the Contemporary, Rock, and Hit Comedy Networks, and two Pat O'Brien features. Premiere picks up about 1,000 affiliates.

Elgar Entertainment in Dallas and Sound & Stations (S &S) in Ireland have announced a radio programming co- production and distribution agreement between the two companies. Elgar produces "USA Overnight" and will co- produce and distribute via satellite S &S' "The European Hit Survey" (EHS) a two -hour magazine show. The top 10 TV infomercials will be available as radio commercials beginning January, 1994. Radio Direct Response has created a 30 minute TV infomercial in a compact 60- second radio commercial to give radio its opportunity to tap a multi- million dollar industry. The Steering Committee of the National Christian Radio Seminar has announced the final agenda for the 1994 NCRS Convention. STRIKE UP THE BAND...It's finally out (actually a little earlier than expected). The ranking of those stations applying for migration to the AM expanded band was released by the Commission this week. It's no surprise that WJDM Elizabeth NJ was at the top of the 688 -station list, followed by KHPY Moreno Valley CA, KNBA Vallejo CA, and KOJY Costa Mesa CA. Less than 100 stations are expected to get permission to move. A complete list of the stations that had better than a 0.0000 improvement factor is available from M Street for $5. WASHINGTON THIS WEEK "Ix -nay on the (hic) drinking ". Inside Radio reports Strom Thurmond's proposed bill to have all radio and TV alcohol spots to carry strong warnings about the consequences of drinking is back. Thurmond made headlines earlier this year when he introduced the bill. Ernest Hollings is behind him with others possibly to follow. Thurmond's daughter was killed by an allegedly drunk driver. The NAB is sending out severe warning signals trying to get GMs to contact their senators. Meanwhile watch for the NAB to zero -in on the Senate Commerce Committee. The bill look -over should start in late January or early February.

The Commission has thrown out a request by Allegheny Comms. Group to review a hearing designation order regarding EZ Communications' app. to renew the license of WBZZ Pittsburgh PA. Allegheny alleges a number of serious charges against EZ, including sexual discrimination, indecent programming, news distortion, and abuse of Commission processes. The Mass Media Bureau dismissed Allegheny's complaint sighting that only an Admin. Law Judge can authorize the filing of this type of application, since a hearing designation order is interlocutory. ELSEWHERE The "trade winds" have blown into the East Coast and the Carolinas this week as brokers reported a ton of station transfer activity.

BMW Communications, Inc., a group backed by Hicks Broadcasting, blossomed this week by purchasing all eight stations Voyager Communications Group owns for a reported $30 million. HMW picks up WRDU Wilson NC (Raleigh- Durham), WMFR /WMAG High Point NC and WNEU Eden NC (Greensboro NC), WOIC /WNOK Columbia SC, and WLWZ AM /FM Easley SC (Greenville- Spartanburg). Voyager continues to operate WLYZ Greer SC (Greenville- Spartanburg) under an LMA agreement with Greer Communications.

Beasley Broadcasting is doubling -up in Fayetteville with the purchase of WZNS Dillon SC from Metropolitan Broadcasters Associates for $1.5 million. Beasley already owns WTSB /WKML Lumberton NC.

It's purchase of the Heritage stations, worth $22.5 million, includes WWNC /WKSF Asheville NC, WOLZ Fort Myers FL, WFKS Palatka FL (Daytona Beach), WQEN /WAAX and Gadsden AL. The price for the purchase of WAYV Atlantic City NJ was not disclosed. Osborn already owns WBYB Brunswick GA (Jacksonville), and has a 50% ownership of WRWX Sanibel FL.

Heftel Broadcasting and Spanish Radio Network have announced their intent merge, to which will bring together KTNQ /KLVE Los Angeles, WQBA -AM /FM Miami, and WADO New York to cover the top three Spanish markets. The transaction was valued $150 million. at

Three stations in Minneapolis -St. Paul will soon be owned by a new broadcasting group headed by agribusiness mogul James Cargill. Cargill is purchasing Brooklyn KBCW Park MN (which suddenly went silent this week) and its sister station, WTCX Lakeville MN. He'll couple these with KLBB St. Paul.

"We gotcha surrounded" could very.well be Rodriguez Marketing's new slogan attempt as they to cover the Dallas -Ft. Worth market_ by picking up stations on the perimeter of the metro. Rodriguez announced this week an LMA -to- purchase with KDNT Denton, 1480 kHz, (which is 50 miles north of Dallas) /KAND -FM Corsicana TX, 107.9 MHz, (50 miles south of Dallas). Rodriguez already owns KESS, 1270 kHz, and KLTY, 94.1 MHz, Ft. Worth, and is operating Granum's KMRT Dallas, also 1480 under kHz, an LMA. He's also trying to buy KPXG, a new CP also on 107.9 MHz, in Gainesville TX (90 miles north of Dallas) to give him additional coverage. The Quad Cities will see a new duopoly, as Jeff Warshaw's Connoisseur Comms. has entered into an LMA -to- purchase KFMH Muscatine IA. He's also got an agreement to buy KJOC Davenport IA /WXLP Moline IL from Goodrich Broadcasting.

No more ( # @ ^ # %$!!) explicit lyrics! R & R reports that Inner City Broadcasting stations in New York, San Antonio and San Francisco plus station KPWR Los Angeles have elected to do their own censorship of explicit lyrics in songs. Inner City has banned songs "containing derogatory, profane, or misogynist lyrics, or lyrics which advocate violence" and KPWR had opted to bleep out "nigger," "bitch," and "ho" from records on its playlist. Inner City owns WBLS & WLIB New York, KSJL -FM San Antonio TX, and KBLX -AM /FM Berkeley (San Francisco) CA. Pioneer Electronic Corporation, Digital Radio Research, Inc. (DRRI) joins the EUREKA -147 Project to help establish a world standard for DAB. DRRI is planning to make a prototype DAB receiver for early 1995 tests in Toronto and Montreal. Talkline Broadcasting Corporation has set up the only all Jewish radio station serving Rockland County and parts of Westchester, Orange and Bergen Counties on Superstation WLIR 1300 AM. WLIR is satellite delivered across North America to dish owners and cable systems via Sports Channel Philadelphia's audio subcarrier, Satcom F2R, 72 degrees west, T 18, 8.2 MHz. They are carried on Cablevision of Fresh Meadows (NY) channel 16, for Manhattan cable subscribers on 93.5 FM, on WMCA New York 570 kHz (from 8 p.m.- 6 a.m. Sat /Sun only), WMBM 1490 kHz Miami FL, on WINX Washington DC and 33 other stations. WLIR's programs include "Talkline with Zev Brenner ", "Shalom America ", "Jewish hit music of the 90's ", "The Yaakov Spivak Show" and others. In- Flight Phone Corp. (IFPC) and ABC Radio Networks announced today that they have entered into an exclusive agreement to offer airline passengers up to twelve channels of live news, sports, entertainment and music programming through FlightLink On- The -Air (FlightLink), the high -quality digital audio service developed by In- Flight Phone Corp. Licenses for FlightLink have already been granted to IFPC by the FCC and the Canadian Department of Communications. Under the terms of agreement, these ABC programs and formats will be available to IFPC for distribution to commercial airlines and passengers on a twenty -four hour basis: ABC News and Sports, Live , Country Coast -to- Coast, Urban Gold, Classic Rock, StarStation, Hot AC, Pure Gold, The Touch, Stardust. FlightLink will transmit ground -to -air from 75 sites across the US and Canada.

THE KING IS GONE? Rumors were flying this week that Mutual Net. t lk host Larry King will be getting out of radio when his contract runs out next tctober. King is thinking about replacing his midday program with a weekly version of the show. The Washington Post reports that King's schedule has gotten to be too much to handle. King said, "I love radio, but I don't need it."

19 YEARS TO COMPLETE A FORMAT CHANGE WNCN, the classical station that stood up to a 19 -year protest from listeners when it switched from classical to rock in 1974, quietly made the change last Friday at midnight to WAQX, a mainstream, hard -edged rock format. Calling itself WQIV (which stood for "Quad IV" during the brief FM quadrophonic phase) in '74 -'75, the station is now billing itself as "Q- 104.3" The change was made after the Commission cleared all the paperwork on the WNCN Listener's Guild license challenge. The New York Times' WQXR -FM is left as the market's only co.romercial_ classical- stat -io' whrle city- owned, non- commercial WNYC -FM also runs a classical format during the week.

The Commission has designated for hearing three mutually exclusive applications for a new FM station on 92.7 MHz at Harrisburg, NC. No further information was released.

Norman Goldstein has been named Chief of the Complaints and Investigation Branch of the Enforcement Division, Mass Media Bureau. He previously served the Commission as a trial attorney in the Hearing Branch of the MMB.

The NAB has announced the recipients of its radio and television engineering achievement awards. Charles T. Morgan, senior VP, and VP of engineering, Susquehanna Radio Corp., York, PA, will receive the 1994 radio engineering award. Thomas Vaughan, president, PESA Micro Communications, Inc., Manchester, NH, will receive the 1994 television engineering award. Both will receive their awards at the engineering luncheon at the NAB annual convention. ELSEWHERE

WRFB in Cocoa, FL has become "Take Ten Radio." Take Ten was created to give listeners "all the news in ten minutes" and provide an avenue for local merchants and individuals with a way to sell items or services they have by placing a "voice mail" style message to be aired. What's unique is that the person wanting to sell an item, say, John wants to sell his waterbed, he can call the station and record a message "Hi, I'm John and I have a King -sized waterbed for sale. Call me at 555- 5555" and the station will air it. Personal messages are also being aired. "John" can also tell his wife he loves her over the station. The station also provides local information, events, news and, presently, is not charging for commercials. So what's so different? Apparently, no major businesses can advertise at this time; only mom and pop stores and individuals. As the station gains support it will sell advertising space to all businesses.

Emmis Broadcasting Corporation has announced a public offering of almost 3.4 million shares of Class A common stock. The offering proceeds are to buy back the company's Series B preferred stock in order to repay creditors and fund future expansion. Morgan Stanley & Co. will manage the offering. Emmis is traded on the NASDAQ exchange.

Bloomington Broadcasting plans to put the lock on rock in Grand Rapids as they have announced the purchase of WLAV -AM & FM from Adams Communications for $2.4 million. Bloomington already owns WKLQ Holland in the market.

The Country Radio Broadcasters - 25 "Silver Celebration" has released the list of their confirmed panels and topics. Topics include "Choosing Your Position," "Dealing With Duopolies," "Non -Spot Revenue," "Small Markets: A Three Hour Workshop," "Production Workshop," "W.C.R.S. LIVE!" and many more. A series of roundtables called "RAP ROOM" are to be included in this year's event. Other than the programs, booth space is still available for the Exhibit Hall. TAX CERTIFICATES

Since the dawn of the civil rights movement, there has been a growing awareness that the racial minorities have been under represented in the media. This has been true in both ownership and in programming, where minorities have rightfully claimed that there has been too little devoted to the needs and interests of their communities. Moreover, when their racial groups are shown, their depiction has too often reflected the stereotypes of the nonminority community rather than the reality of their own experience. Early on in a case called TV9, the courts recognized that broadcasting is unlike many other regulated industries, in that minority ownership may provide a direct bearing on the nature of information and entertainment programming presented by a station. Accordingly, unlike the power industry, for example, a policy fostering minority ownership can be justified from the regulating agencies statutory mandate. Section 1 of the Communications Act charges the FCC to make communications by radio and wire available to all the people of the United States.

In 1978, the FCC adopted and formalized a broad set of policies structuring its minority policies. The most successful of these has been the minority tax certificate, proposed to the Commission in a petition of the National Association of Broadcasters. It was suggested to the NAB by the Office of Telecommunications Policy, where I was Acting General Counsel and was based on a case in which I had been involved year before. Its adoption occurred only after careful consideration of ownership and control percentages guidelines, and consultation with then leaders of the broadcasting industry and the minority communities.

The tax certificate policy is effective. It encourages sellers to seek out minority buyers, and for non -minority buyers to develop partnerships with minorities. Contrary to the opinion of some, it does not represent a permanent loss of tax income to the United States. It's principal feature is to defer the recognition of gain only if the seller reinvests the proceeds in a like property, and then only until the seller disposed of the property in which it has reinvested its capital gain from the sale to a minority. Qualifying reinvestment includes other media properties and publicly traded shares of media with those sold. Its most common application is to reduce the purchase price to minority controlled buyers while retaining some of the financial benefit for the seller.

Since its adoption, the tax certificate and other FCC minority ownership programs have been endorsed repeatedly, including by the Supreme Court in Metro Broadcasting v FCC. It has been called the most effective of all the FCC's minority programs by FCC Commissioner Andrew Barrett and by many others in repeated Congressional testimony.

To qualify a company must be 51% controlled by qualified minorities, who must also own at least 20% of the equity. A qualified minority is someone who is African -American, Hispanic, Asian -American, Native-American, Pacific Islander, or Aleut. The Commission has approved both corporate and partnership forms of ownership that comply to this standard. Some have co,nplained that the tax certificate should be available only to minority initiated transactions. They argue that to include ventures conceived by non -minorities, encourages the use of minority partners as business "fronts ", that they should be presumed to be such and disallowed by the FCC. Such a view, however, is not only cynical, but arbitrarily denies benefits to many deserving businessmen. The FCC has never approved of such a litmus test. Who brings the deal to the table in the first place does not establish the bona fides under the minority program.

Capital is even harder to form in the broadcasting business today than it was in 1978, when the policy was first applied to minority buyers. At that time, it was acknowledged that it was more difficult for minorities to obtain entry into broadcasting and the tax certificate was lauded as an extremely creative tool to assist minorities into controlling positions. That rationale is no less important now. Qualified minorities and business entities controlled by them will and should continue to benefit from the tax certificate as an entry tool.
