Bank of (): Merger with Higashi-Nippon Bank (Japan) Changes in FTSE Indices

Bank of Yokohama (Japan, constituent) has agreed to merge with Higashi-Nippon Bank (Japan, constituent) via a share transfer to form Concordia Financial Group (Japan) which will list on the Stock Exchange.

According to the share transfer schedule, Bank of Yokohama and Higashi-Nippon Bank will be delisted on 29 March 2016 and Concordia Financial Group will only commence trading on 1 April 2016.

Both Bank of Yokohama and Higashi-Nippon Bank will pay a cash dividend ex 29 March 2016 and Bank of Yokohama will also pay a special dividend ex 29 March 2016.

In order to apply FTSE index changes in a manner that can be closely replicated, the merger will be implemented on Monday 4 April 2016. Please see details of affected indexes and effective dates below:

Please note:

1. The last trading day of Bank of Yokohama and Higashi-Nippon Bank is expected to be 28 March 2016.

2. The special dividend of Bank of Yokohama will be applied as a capital repayment effective 29 March 2016. This will incur a divisor change.

3. Both Bank of Yokohama and Higashi-Nippon Bank will be retained in the index at a synthetic price based on the ex-dividend adjustment and that price will be maintained in the index until 1 April 2016 open.

4. On 1 April 2016 the newly merged company Concordia Financial Group will commence trading its market price will be used for index calculation.

5. Higashi-Nippon Bank will be deleted from index at a synthetic price based on the share transfer terms.

6. The share change is based on the merger terms of one Concordia Financial Group share for every Bank of Yokohama share held and 0.541 shares of Concordia Financial Group for every Higashi-Nippon Bank share held.
