(Nasdaq: NXST) announced today a proposal to acquire Media General, Inc. (NYSE: MEG) for $10.50 per share in cash and a fixed ratio of 0.0898 Nexstar shares per Media General share. The proposal, currently valued at $14.50 per Media General share, was submitted today in a letter to the Media General Board. It represents a premium of 30% to Media General’s closing stock price on September 25. Perry Sook, Chairman, President and CEO of Nexstar, said, “The transaction we are proposing would be a transformational event for both Nexstar and Media General shareholders and would deliver superior, immediate and long-term value to Media General’s shareholders compared with Media General’s proposed acquisition of Meredith. “Our proposal provides a significant premium to Media General’s shareholders, including a cash component nearly equal to Media General’s current share price. Our proposal would also enable Nexstar and Media General shareholders to participate in the near- and long-term upside of a pure-play broadcasting company with expanded audience reach, a more diversified portfolio, and a significantly stronger financial profile, including substantial free cash flow per share, led by a proven broadcast and digital media management team.

  • Competitive Impact Statement : U.S. V. Nexstar Broadcasting Group, Inc
UNITED STATES DISTRICT COURT FOR THE DISTRICT OF COLUMBIA UNITED STATES OF AMERICA, Plaintiff, v. NEXSTAR BROADCASTING GROUP, INC., and MEDIA GENERAL, INC., Defendants. COMPETITIVE IMPACT STATEMENT Pursuant to Section 2(b) of the Antitrust Procedures and Penalties Act (“APPA” or “Tunney Act”), 15 U.S.C. § 16(b)-(h), Plaintiff United States of America (“United States”) files this Competitive Impact Statement relating to the proposed Final Judgment submitted for entry in this civil antitrust proceeding. I. NATURE AND PURPOSE OF THE PROCEEDING Defendants Nexstar Broadcasting Group, Inc. (“Nexstar”) and Media General, Inc. (“Media General”) (collectively, “Defendants”) entered into an Agreement and Plan of Merger, dated January 27, 2016, pursuant to which Nexstar would acquire Media General for approximately $4.6 billion. Defendants compete head-to-head in the sale of broadcast television spot advertising in the following Designated Market Areas (“DMAs”): Roanoke-Lynchburg, Virginia; Terre Haute, Indiana; Ft. Wayne, Indiana; Green Bay-Appleton, Wisconsin; Lafayette, Louisiana; and Davenport, Iowa/Rock Island-Moline, Illinois (“Quad Cities”) (collectively, “the DMA Markets”). Defendants also compete in the DMA Markets for viewers who are multichannel video programming distributor (“MVPD”) subscribers. The United States filed a civil antitrust Complaint on September 2, 2016, seeking to enjoin the proposed acquisition. The Complaint alleges that the proposed transaction likely would lead to (1) higher prices for broadcast television spot advertising in each of the DMA Markets and (2) higher licensing fees for the retransmission of broadcast television programming to MVPD subscribers in each of the DMA Markets. These likely competitive effects would substantially lessen competition in violation of Section 7 of the Clayton Act, 15 U.S.C.

  • Nexstar-Media General Merger May Signal New DOJ Approach to Broadcast Television Mergers Retransmission Fees, in Addition to Advertising, Examined by David C
For exclusive use of MLRC members and other parties specifically authorized by MLRC. © 2016 Media Law Resource Center, Inc. Page 38 September 2016 MLRC MediaLawLetter Nexstar-Media General Merger May Signal New DOJ Approach to Broadcast Television Mergers Retransmission Fees, in Addition to Advertising, Examined By David C. Kully In the past three years, the Antitrust Division of the United States Department of Justice (DOJ) has filed six antitrust lawsuits seeking to block the merger of broadcast television station groups. Each case was settled with a consent decree, filed simultaneously with the complaint, requiring the divestiture of stations in local markets in which both companies operated stations. In five of the six cases, the DOJ’s theory of how the mergers would harm competition was the same. In its complaint in each of those five cases, DOJ alleged that, in local markets in which both station owners operated stations, the merger would eliminate competition between the merging companies in the sale of spot advertising and result in an increase in the prices that advertisers would have to pay to advertise on their local television stations. In the sixth case, however, a September 2, 2016 challenge to the acquisition by Nexstar Broadcasting Group of Media General, DOJ alleged for the first time new grounds for concern about the merger’s likely anticompetitive effects: that Nexstar, through its acquisition, would acquire greater bargaining leverage in retransmission consent negotiations with multichannel video programming distributors (MVPDs). That, under the government’s theory, would force those providers to pay higher retransmission fees. Retransmission consent refers to the process of MVPDs – cable or satellite television providers – obtaining permission from local broadcast television stations to include the local stations in the packages of channels they offer to subscribers.
