STATEMENT OF PURPOSE

The Chicago Women’s District Golf Association (CWDGA) was organized in 1930 under the sponsorship and guidance of the Women’s Western Golf Association. Its purpose is the advancement of the best interests of women’s golf at its member clubs, located in and around the Chicago area. The CWDGA currently serves seventy-six member clubs in five sections – Central, Northeast, Northwest, South and West.

2014 PRESIDENT’S REPORT

The Chicago Women’s District Golf Association completed its 84 th year in 2014. The following report summarizes the events of the year.

TEAM MATCH: The CWDGA conducted twenty-five days of Four-Ball Match Play this year. We are very grateful to the host clubs for their hospitality and cooperation. We also thank the club Golf Chairs and their committees who helped to make team play so successful. Congratulations to the winners and the runners-up. Ginny Greer, Team Match Chair, did an outstanding job of coordinating and supervising team play. In addition to Four-Ball Match Play, Ginny ran the Tournament of Team Champions event at Butterfield Country Club. Each winning team in the five sections was invited to send a two-person team to compete for the overall team division winner. Congratulations to the overall team division winners.

RULES OF GOLF: This year the CWDGA presented one Rules Seminar which included four outdoor stations; the , the putting green and flagstick, bunkers and water hazards. Each station was led by a CWDGA Board Member with a CDGA member assisting. The seminar was well attended and the format was well received. Thank you to Itasca Country Club for their hospitality and to the CDGA for assisting with this event. Mary Sullivan, Rules Chair, organized and presented at the seminar and arranged for Rules materials to be sold at CWDGA meetings and events. We appreciate all those who presented and those who attended for making this a productive seminar. In 2015, one Rules Seminar will be held at Itasca Country Club.

CHAMPIONSHIP TOURNAMENT: Our host for the 83 rd Championship Tournament was Glen Oak Country Club and the event was played under ideal conditions. The staff and membership of Glen Oak did a wonderful job and I was very proud of my home club. Pam Taccona organized and managed our three-day tournament and we thank her for all her hard work. The Championship winner was Sarah Boockford from Glen Oak Country Club. It was a special treat to have a home course winner. Congratulations to Sarah and all of the other winners.

TOURNAMENTS: CWDGA held three major tournaments in 2014. Thank you to the host clubs: Ivanhoe Club for hosting our One-Day Stroke Play Tournament, Prestwick Country Club for hosting our Better-Ball of Pairs Tournament, and Westmoreland Country Club for hosting our Senior Better-Ball of Pairs Tournament but unfortunately, inclement weather forced us to cancel the event. We appreciate the hard work of the host clubs’ staffs, Ladies’ Golf Chair and committees, and the members of the host clubs for the privilege of playing their courses. Our Tournament Chair, Diane Mazurczak, managed each event perfectly. Congratulations to the winners.

HANDICAP: The CWDGA continues to work with the CDGA to ensure fair and accurate handicaps for all of our members. Sandi Dvorak, Handicap Chair, is the liaison between the CWDGA and the CDGA. The CWDGA continues to post all scores for Four-Ball Match Play and each of our tournaments.

COMMUNICATIONS: The ongoing update of the website, www.cwdga.org, the yearly brochure, the Handbook for Members , and the Annual Report is managed and coordinated by Communications Chair, Val Metcalf, Technology Chair, Christine Malmgren and Member Services Chair, Peg Adams. We thank them for their hard work and attention to detail.

COURSE RATING: Sally Clissold, our Course Rating Chair, works with the CDGA to measure, rate, and slope our member courses upon request. This ensures that a player’s Handicap Index can transfer fairly from one course to another.

HOLES-IN-ONE: Congratulations to all our members who made a hole-in-one in 2014. Our Hole-in-One Chair, Nancy Hammond, presents each of these women with a pin from the CWDGA as a memento of their achievement.

MEETINGS: The CWDGA holds eleven board meetings during the year. Our meetings are held at Itasca Country Club. In addition, we hold our Spring meeting and Annual Fall meeting for our membership where we offer information and guidance to our member club representatives. We thank Itasca Country Club for hosting all of the CWDGA meetings.

BOARD MEMBERS: In 2014 the CWDGA Board consisted of 29 very hard-working women, I thank them for giving so much time, energy, and enthusiasm to this organization. Two CWDGA Board members are retiring this year: Nancy Hammond, Secretary, and Lorraine Scodro, Member at Large. We thank them for their years of service to the CWDGA. Their enthusiasm and expertise will be missed! Lorraine deserves an extra measure of thanks as she has lent her wisdom to the Board many years. The Slate of Officers for 2015 consists of 29 positions.

CONTRIBUTIONS: In 2014 contributions were made from the CWDGA to the Evans Scholars Foundation, the Sunshine Through Golf, and the Women’s Western Golf Association Scholarship Fund. In addition, there were several bereavement donations to requested charities.

I’ve enjoyed getting to know those who play in the CWDGA events and hope to see you in the future.

2014 HANDICAP CHAIR’S REPORT

Duties of the CWDGA Handicap Chair are to oversee the administration of Club member’s handicaps and to help with decisions regarding handicap issues. In addition, the Chair is responsible for preparing the necessary reports for each tournament, handicapping the players, and the posting of CWDGA tournament scores, as well as ensuring the posting of scores from all CWDGA sectional Four-Ball Match Play events. The Handicap Chair has also hosted a breakout session at the Fall Meeting which dealt with the handicap system and CWDGA Member club handicap chair issues.

CWDGA Member club handicap chairs have specific duties and responsibilities. Please refer to The USGA Handicap System Manual which was distributed at our Spring Meeting. See Section 8, Handicap Committee Responsibilities. Note the Compliance Checklist . Be knowledgeable about posting of home, away, tournament AND winter scores.

All of our member clubs have been certified and are currently members of the Handicap Posting System through the Chicago District Golf Association.

It has been my pleasure to work with the officers and advisors of the CWDGA Board, as well as the CDGA organization, to ensure that any issues regarding handicaps are handled properly and expeditiously. I sincerely appreciate the cooperation and assistance extended during this past season. 2014 RULES CHAIR’S REPORT

CWDGA presented its 13 th Annual Rules Seminar on May 7, 2014, to more than 60 participants from member clubs. We offer one Seminar each year.

Invitations to the Rules Seminar are sent to all CWDGA members via email. The seminar is free of charge, and members are able to register on the CWDGA website.

The seminar was held at Itasca Country Club, with presenters from CDGA (Jodi Ciotti, Marty Salzman, Glenn Stith and Jerry Williams); USGA (Cece Durbin and Tyler Riggin); and CWDGA (Sandy Becker, Carolyn Dalton, Nancy Hammond, Alison Salzman, Mary Sullivan, and Pam Van Boven.) This year the Seminar was conducted entirely on the , with instructional stations on four areas of the Rules: (1) Rule 11 – The Teeing Ground; (2) Rule 16 – The Putting Green, and Rule 17 – The Flagstick; (3) Rule 26 – Water Hazards (Including Lateral Water Hazards); and (4) Bunkers – Rules 13, 20, 22, 23, 24, 25, and others.

Evaluations were sent to attendees after the Rules Seminar, and reaction to the on-course lessons was very positive. We expect to continue the on-course instruction in 2015.

The 2015 Rules Seminar will be held on Wednesday, May 6, 2015, at Itasca Country Club. Online sign- up will be available early in 2015.

2014 was not a Rules-change year, but, nevertheless, many types of Rules materials were sold during the year. Rules Chairs from all member clubs were given Rules books at the Spring Meeting. USGA Rules materials were available for purchase at the Rules Seminar; at the CWDGA Spring Meeting; and at subsequent CWDGA-sponsored events, including Four-Ball Match Play events and our four annual tournaments. Materials included the USGA Rules of Golf (in regular and large print editions), Decisions on the Rules of Golf, pocket-sized tips on the Rules, and a laminated card, developed by CWDGA, with common golf situations on one side and the applicable Rules on the other.

Since 2007, the CWDGA website has included a Rules of Golf Section. During 2014, a golf Rule and/or question along with the answer were presented on a monthly basis. Many of the questions are taken from situations in CWDGA team match play and tournaments. This will be continued during 2015.

The Chicago Women’s District Golf Association is always available to provide assistance in the interpretation of the Rules of Golf. We answered many questions from our member clubs throughout the year and will continue to be available to do so.

It has been a pleasure to work with the CWDGA Board and the CWDGA member clubs during 2014.

2014 TEAM MATCH CHAIR’S REPORT

The CWDGA scheduled 25 matches between May 8 th and July 24 th . We had a total of 68 clubs, 115 teams, and 460 team players.

CENTRAL Team Chair: Marty Dwyer, Handicap Chair: Pat Murlas. Central had 13 clubs and 24 teams. Matches were played at Hinsdale, Bryn Mawr, Medinah, River Forest and Evanston.

NORTHEAST Team Chair: Angela Pyle, Handicap Chair: Peggy Griem. Northeast had 14 clubs and 23 teams. Matches were played at Northmoor, Lake Shore, Green Acres and Shoreacres. The match at Sunset Ridge was rained out.

NORTHWEST Team Chair: Carolyn Dalton, Handicap Chair: Margie Blomquist. Northwest had 15 clubs and 24 teams. Matches were played at Royal Melbourne, Geneva National, Bull Valley, Lake Barrington Shores and Twin Orchard.

SOUTH Team Chair: Debbie Murphy, Handicap Chair: Jean Schudt. South had 13 clubs and 22 teams. Matches were played at Briar Ridge, Long Beach, Ridge, Joliet and Crystal Lake.

2014 COMMUNICATIONS CHAIR’S REPORT

The board continues to strive and keep up with the task of using online procedures to relay information through our website as efficiently as possible.

Information on all our yearly Tournaments and Seminars as well as our Four-Ball matches are now fully web- based. We have posted photo results for all our tournaments and Team Play matches on our site and improved our tournament reports.

We continue to utilize GoToMeeting at our monthly meetings during the winter months.

A special Thank You to Chris Malmgren who, as our Technology Chair , has been an integral part of our progress throughout the years. Her expertise and knowledge with our web-based material and areas of Technology has helped us immensely and the gratitude we all have for her is unsurpassed.

We thank all of you for being patient with us and hope you will continue to work along with us as we continue our quest to become as hands on and accessible as possible in the years ahead.

We have not audited or reviewed the accompanying financial statements and, accordingly, do not express an opinion or provide any assurance about whether the financial statements are in accordance with accounting principles generally accepted in the United States of America.

Management is responsible for the preparation and fair presentation of the financial statements in accordance with accounting principles generally accepted in the United States of America and for designing, implementing, and maintaining internal control relevant to the preparation and fair presentation of the financial statements.

Our responsibility is to conduct the compilation in accordance with Statements on Standards for Accounting and Review Services issued by the American Institute of Certified Public Accountants. NOTE 1 – SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES The Chicago Women’s District Golf Association is incorporated in Illinois as a not-for-profit, tax-exempt 501(c)(7) association organized for the benefit of its members. The association receives its support from its members in the form of dues and fees for its major events. Neither direct public support nor government support is received or solicited. The mission of the Chicago Women’s District Golf Association is to advance the best interests of women’s golf at its member clubs located in and around the Chicago area. Method of Reporting The financial statements are prepared on the modified cash basis of accounting. The cash basis of accounting is a comprehensive basis of accounting other than generally accepted accounting principals. Under this method, revenues are recognized when received, rather than when earned, and expenses when paid, rather than when incurred. Basis of Presentation Net assets of the Association are unrestricted. Therefore no separate classifications of assets restricted by donors, temporarily or permanently, are reflected in these financial statements. The only asset of the district is cash, which is available currently. Revenues Membership dues are recorded when received. As membership in the Association is voluntary, it is impractical to record membership dues as revenue when billed, since membership can be terminated at any time. All other support revenue is also recorded when received, and not when billed. Income Taxes The Chicago Women’s District Golf Association is exempt from income taxes under section 501(c)(7) of the Internal Revenue Code. The Association was granted tax-exempt status January 5, 1994. Accordingly, no provision for income taxes is reflected in these financial statements. NOTE 2 – CASH AND CASH EQUIVALENTS Cash and cash equivalents are considered to be cash on hand, demand deposits and short term investments with original maturities of three months or less from the date of acquisition. The Association maintains a checking account and a certificate of deposit with Northern Trust Company in Barrington, Illinois. As of August 31, 2014, the Association’s book balance of cash and cash equivalents amounted to $34,936. All funds are insured to $250,000 by the Federal Deposit Insurance Corporation (FDIC). The Association’s deposits and investments are subject to the following types of risk: Custodial Credit Risk – The Association’s deposits with banks are subject to risk to the extent they are not fully insured or collateralized. The Association’s investment policy minimizes this risk by requiring all deposits above the Federal Deposit Insurance Corporation (FDIC) limit of $250,000 to be collateralized by the pledging of additional securities by a third party institution in the Association’s name. Interest Rate Risk – Changes in market interest rates will adversely affect the fair value of an investment. Instruments with longer maturities will generally have greater sensitivity to interest rate risk. The District does not have a policy regarding interest rate risk. However, this risk is managed by structuring the investment portfolio so securities mature to meet cash requirements for current operations avoiding the need to sell securities on the open market before maturity. NOTE 3 – CONTINGENCIES AND COMMITTMENTS The Association is not aware of any pending litigation or potential undisclosed liabilities that management believes would have a material effect upon the financial position of the Association. The Association is exposed to various risks of loss related to torts; theft of, damage to and destruction of assets; errors and omissions; and natural disasters. These risks are covered by commercial insurance purchased from independent third parties. There has not been any significant changes in insurance coverage since the prior year. Settled claims from these risks have not exceeded commercial insurance coverage for the past three years. NOTE 4 – SUBSEQUENT EVENTS Management evaluated events and transactions that occurred after the balance sheet date for potential recognition and disclosure through September 16, 2014, the date on which the financial statements were issued. 23

CONSTITUTION

ARTICLE I

This Association shall be known as the Chicago Women’s District Golf Association.

ARTICLE II Purpose

The purpose of the Association shall be the advancement of the best interest of women’s golf within private golf clubs in the Chicago District.

ARTICLE III Membership

Private golf clubs are eligible for membership by invitation of the Board of Directors of the Association. To be recognized and approved a club shall:

1. Be located within a radius of seventy-five miles of the Chicago coordinates of State and Madison.

2. Be acceptable as a member club to the existing member clubs of the Association.

ARTICLE IV Obligation and Discipline

Section 1. Acceptance of membership in the Association shall bind each member club to abide by all the conditions of the Constitution, Bylaws and Rules of this Association and to accept and enforce all decisions of the Board of Directors.

Section 2. Refusal or neglect of any member club to comply with the Constitution, Bylaws or Rules of the Association or with the decisions of the Board of Directors shall render such member club liable to suspension or expulsion by a two-thirds (2/3) vote of the Board of Directors. However, such a member club shall have been given due notice of the charge or charges proffered against it and an opportunity to be heard in its own defense.

ARTICLE V Dues

The annual dues to be paid by member clubs shall be fixed by the Board of Directors.

ARTICLE VI Officers

Section 1. The officers of this Association shall be a President, Vice-President, Secretary, Treasurer, Handicap Chair, Rules Chair, Team Match Chair and Tournament Chair.

Section 2. Powers and Duties:

a. President – The President shall preside at all meetings of the Association and of the Board of Directors and in general shall perform the duties incident to her office. 49

Rev. 07-29-08 www.cwdga.org b. Vice-President – During the absence or inability of the President, the Vice-President shall perform the duties of that office. In addition, she shall be responsible for the conduct of the CWDGA Championship Tournament. In general she shall perform the duties incident to her office.

c. Secretary – The Secretary shall send out notices and keep the records of all meetings of the Association and of the Board of Directors. In general she shall perform the duties incident to her office.

d. Treasurer – The Treasurer shall keep full and accurate accounts of all moneys received and shall deposit the same in the name and to the credit of the Association in such a depository as may be designated by the Board of Directors. She shall disburse the same under the direction of the Board of Directors. She shall present at each Annual Meeting of the Association a written report of the finances of the Association and she shall make a like report whenever requested by the Board of Directors. In general she shall perform the duties incident to her office.

e. Handicap Chair – The Handicap Chair shall be responsible for the handicap records of all players eligible to participate in the Association tournaments. In general she shall perform the duties incident to her office.

f. Rules Chair – The Rules Chair shall be responsible for keeping the member clubs and tournament participants informed on the Rules of Golf. In general she shall perform the duties incident to her office.

g. Team Match Chair – The Team Match Chair shall be responsible for the conduct of the CWDGA Team Matches. In general she shall perform the duties incident to her office.

h. Tournament Chair – The Tournament Chair shall be responsible for conducting all competitions other than Team Matches and the Championship Tournament. She shall also be responsible for sending out notices of such tournaments and for all records pertaining to them. In general she shall perform the duties incident to her office.

ARTICLE VII Government

Section 1. The Directors shall include a Course Rating, Prize Chair, Sectional Team Chairs, Sectional Handicap Chairs and other Chairs, Assistant Chairs and Members at Large positions as deemed necessary by the Board from time to time. Members At Large (not more than 3 per year) may exceed the maximum Board membership of twenty-seven. Members at Large will hold positions for one year.

Section 2. Forty-five percent (45%) of the members of the Board of Directors shall constitute a quorum at any meeting thereof.

Section 3. Notices of all meetings of the Board of Directors shall be sent to its members at least five (5) days prior to the date of said meeting.

Section 4. The Officers and Directors of the Association shall be elected at the regular Annual Meeting of the Association and hold office for one (1) year or until their respective successors are elected or appointed.

Section 5. The Board of Directors shall have full power and authority to fill vacancies in its membership.

Section 6. All committees shall be appointed by the President with the advice and consent of the other Officers.

Section 7. The Board of Directors shall immediately after the close of each yearly season, procure a certified audit of the books and accounts of the Treasurer and present a written report thereof at the Annual Meeting.

Section 8. The following persons are automatically appointed as honorary members of the Board of Directors, without the rights to vote or to attend meetings of the Board of Directors:

a. The current Presidents of the Women’s Western Golf Association and the Illinois Women’s Golf Association.

50 b. All past members of the Board of Directors, constituting an Alumni Council, who may be invited to perform such duties as the Board of Directors shall designate.

ARTICLE VIII Nominations

Section 1. There shall be a Nominating Committee consisting of five (5) persons, within the membership of the Association, appointed by the Board of Directors. This committee shall nominate candidates for Officers and Directors of the Association. The nominations shall be reported to the Secretary of the Association at least thirty (30) days before the Annual Meeting of the Association.

Section 2. Any ten (10) member clubs of the Association may nominate for Officers and Directors of the Association provided such nominations are made and placed in the hands of the Secretary at least thirty (30) days before the Annual Meeting.

Section 3. Notice of all nominations shall be mailed to all member clubs in the Association at least ten (10) days before the Annual Meeting.

ARTICLE IX Meetings

Section 1. The Annual Meeting of the Association shall be held each year in the Fall at such time and place as the Board of Directors shall designate.

Section 2. An additional meeting of the Association shall be held each year in the Spring at such time and place as the Board of Directors shall designate.

Section 3. Special meetings of the Association may be called by the President at the request of the Board of Directors or of any five (5) member clubs.

Section 4. No meeting of the Association shall be held without ten (10) days notice in writing to all member clubs of the time and place of such meeting.

Section 5. Each member club shall be entitled to be represented by an unlimited number of its members, but each club shall be entitled to only one (1) vote.

Section 6. Representation by one-third (1/3) of member clubs shall constitute a quorum at any meeting of its Association.

ARTICLE X Tournaments

Section 1. The Board of Directors shall schedule and conduct all tournaments of the Association.

Section 2. To be eligible for participation in CWDGA tournaments, players must be registered from member clubs of the Association.

Section 3. All participants must comply with such requirements as may be established by the Board of Directors, including handicap limitations and payment of entry fees.

ARTICLE XI Amendments

This constitution may be amended by a two-thirds vote of the member clubs present and voting at a meeting of this Association, provided that written notice of each proposed amendment shall have been mailed to the member clubs at least ten (10) days prior to the meeting.

BYLAWS

Section 1. When a private club has made application for membership in the CWDGA and has met the requirements of the organization, the member clubs shall be notified of such application. At the expiration of a period of sixty (60) days from the date of such notification, said applicant shall be deemed acceptable for membership by the Association and the Board of Directors shall thereby issue an invitation to membership unless a negative response has been received from three (3) or more clubs.

Section 2. The Board of directors shall meet at the call of the President or at such other times as it may determine.

Section 3. The following order of business shall be observed at the Annual Meeting of the Association:

1. Roll Call. 2. Reading of minutes of previous meeting. 3. Reports of Officers and Committees. 4. General Business 5. Election of Officers and other members of the Board of Directors. 6. Adjournment.

Section 4. The Board of Directors shall hold an annual Chicago Women’s District Golf Association Invitational Championship Tournament, Inter-Club Team Matches and other tournaments, at such times and places as it may designate, and shall take exclusive charge of all such events.

Section 5. All competitions shall be played in accordance with the Rules of Golf with such special rules as are in force and published on the course over which the competition takes place and such other modifications as the Board of Directors may from time to time adopt. All disputed points shall be decided by the Rules Committee.

Section 6. In all competitions a player who may be a member of more than one (1) club shall elect the club which she shall represent and shall not be permitted to make any change during the year unless permission be granted by the Board of Directors.

Section 7. In every contest held under the auspices of this Association, the regular caddies of the club where the competition takes place shall be assigned to the contestants in accordance with the rules and customs of such club. In case the club has not provided a sufficient number of caddies, automotive equipment may be assigned in accordance with the regulations specified by the Board of Directors.

Section 8. In team competition, players must conform to the General Instructions governing Team Matches.

Section 9. A report of the result of each team match shall be sent to the CWDGA Team Match Chair immediately after play. No protest may be made unless it accompanies this report.

Section 10. In all competitions conducted by this Association only verified handicap records will be utilized. Each contestant shall be responsible for checking her handicap for accuracy.

Section 11. The Treasurer of the Association shall be bonded by an approved surety company at the expense of the Association, the amount of the bond to be decided by the Board of Directors.

Section 12. All past presidents of the Association shall be Honorary Members of the Board of Directors with the right to attend all meetings of such Board and to speak on all matters being considered but without the right to make motions or to vote. Honorary membership shall not conflict with holding regular membership on the Board.

Section 13. The Board of Directors shall have powers to alter or amend these Bylaws as it deems advisable or necessary. 52
