Greetings Fellow Landmen,

As I write this article, Thanksgiving is just around the corner, and the concepts of thanks and gratitude are on my mind. Our president, Michael Brennan, has chosen the theme, “Stand Up and Be Counted,” and as I pondered the connection between the two, the old saying, “God helps those who help themselves” came to mind. You may already be wondering how these three things go together; I’ll demonstrate. As Landmen, as Houstonians and as Americans, we certainly have a lot to be thankful for. For over 100 years, Landmen have practiced free of licensure in the State of Texas, and that autonomy is an intrinsic element of the Land Profession. In recent years, our industry has experienced a boom, mostly attributable to advances in (“frac’ing”) technology. Landmen should be thankful for the prosperity that this freedom and these technological advancements have brought us. But what if something or someone is threatening the prosperity for which we are thankful? Whether you attribute the saying, “God helps those who help themselves,” to Ben Franklin as quoted in Poor Richard’s Almanac in 1757, or to Algernon Sydney from the 1698 article, Discourses Concerning Government, you can apply it to our modern lives as Landmen. Think of it this way – as a Landman you may or may not want the State of Texas to require you to be licensed, but if you sit back and do nothing, you can hardly complain about the outcome. The same goes for voting in public elections and participating in our local association and the national association – if you don’t vote or participate, you have no right to complain about the state of affairs. If you are a Landman living and working in Texas and the considers a bill to require the licensing of Landmen, who will represent you? Are you concerned that your operations in Texas, Ohio or other states, are or could be affected by frac’ing bans? Are you doing anything to Stand Up and Be Counted with regards to your positions on these issues? Are you doing anything to help yourself? If you live in a City that votes on a frac’ing ban, you have the opportunity to vote your position. However, if you live and work in Houston, but operate in Denton or any other city that could propose a similar ban in the future, who protects your rights? You can help protect your rights by Standing Up and Being Counted. Our Association is a member association of TXALA, a group of local landmen associations in Texas. TXALA meets quarterly to discuss legislative issues and utilizes Lobbyist, Todd Morgan, to represent its positions. HAPL President, Michael Brennan, and HAPL Immediate Past President, Joel Loshak, represent HAPL at the TXALA quarterly meetings. If you want your position heard, reach out to the HAPL President and the HAPL Immediate Past President and share your position with them so that they may better represent you and our Association at these quarterly meetings. You can find their contact information in this HAPL Newsletter. Don’t stop there. If you are aware of a bill before the Texas Legislature affecting Landmen, contact your Texas State Representative and your Texas State Senator. Find your State Representative and State Senator and how to contact them here: http://www.house.state.tx.us/members/find-your-representative/ HAPL can help you to Stand Up and Be Counted on issues at the national association level as well. Do you have an opinion on the requirements to become a Certified Professional Landman (CPL) as controlled by the American Association of Professional Landmen (AAPL)? If so, contact our AAPL Director, Grant Johnson, and share your position with him so that he can better represent you and our Association at AAPL board meetings. You can find Mr. Johnson’s contact information in this HAPL Newsletter. The licensure of Landmen, frac’ing bans and CPL requirements are just a few examples of the issues that we face as Landmen. This season, and always, let us be thankful for the blessings that we do have and let us proactively protect those blessings by helping ourselves by utilizing the resources of HAPL to Stand Up and Be Counted.

LANDMAN OF THE YEAR AWARD MR. GLEN MAULDIN, CPL

The purpose of this award is to recognize an outstanding local landman for his or her contribution to the advancement of the Landman profession. This outstanding Landman contributes a great deal of their personal time to the HAPL and AAPL and is an active participant in industry affairs or civic contributions in their community. The recipient should be a leader in our profession; a person of strong moral character and impeccable integrity. The award should be treated with the utmost respect and granted only in instances where the Landman under consideration is duly qualified. The award should go to an individual who exemplifies honor through his or her actions and encourages others in the profession to “step up and be counted”. In other words this individual leads by example.

The HAPL has a tradition of keeping the recipient’s name a secret and the person receiving the award here tonight has no idea that he or she is the recipient this evening. This award could be going to any of you out there in the audience tonight. We have conspired with the recipient’s family to be on hand for the presentation and they will be joining us here on stage during my introduction. I will now proceed with the introduction of this years’ outstanding landman and I will not divulge his or her name until the very last portion of my presentation.

Our Landman who has been chosen this year is a native Houstonian, being born here and raised on the west side of town where he attended Spring Woods High School. It is High School where he met his future wife and after dating a respectable ten years, he FINALLY married his high school sweetheart. He is the proud father of two beautiful daughters.

In May of 1994 he received his BBA from the University of Houston Downtown. Upon graduation he started out in the Real Estate Industry but in August of 1994 he stumbled upon the Oil Business and began his career as an Independent Landman. He enjoyed becoming a frequent visitor of many exciting destinations and accumulating more Southwest free flights and drink tickets than one man could ever use.

Our Nominee discovered that you meet the most interesting people in the Oil Business and he soon acquired the knowledge that some country folks are gifted and some of them even have special mystifying powers. So early in his career on a nice summer day he drove out early in the morning and met a Lessor about an Oil and Gas Lease. She was a sweet older lady who was a widow. He met with her and went over the terms and provisions of the lease and she seemed very amenable. But she asked if he could come back the next day to meet her son first, before she would sign anything. Of course this is not the least bit unusual, so he made an appointment and returned again bright and early the next day. He met her son, a young man in his 20’s and went through the explanation of the terms yet again. The young man seemed quite enthusiastic but told our nominee that there was something he needed to do first. The son explained that he had “Special Powers” and prior to his mother signing he needed to use those special powers to help our nominee find the best location for the well. Our nominee said how much he appreciated the assistance of the young man and that his assistance was not necessary but the young man would hear none of it. So the gifted young man, our nominee and the sweet old lady spent the summer day wondering the scenic and rolling country fields of the farm for hours. Our nominee and the sweet old lady followed her gifted and talented son from parcel to parcel only stopping to frequently meditate and then chant in order to find that truly great location for a well. Finally after lots of meditation and many chants the young man happened upon a location where he meditated and chanted once more while at the same time our nominee felt the footsteps of a single cow behind him and yet the young man exclaimed he found the location and his Mother and our Nominee felt great relief and comfort knowing that the day had been well spent in the search for oil and gas. Patience won out as the Lease was signed.

Our landman of the year received his MBA from the University of Houston in 1999 with an emphasis in Finance. In March of 2010 he accepted a Senior Landman position at Linn Energy, and eventually moved to his current role as Senior Landman at W&T Offshore.

He is a certified professional landman, as well as a real estate broker. He is a past president of the North Houston Association of Professional Landmen from 2011 through 2012; a former committee member for the American Association of Professional Landmen serving on the Education committee from 2007 through 2011, and he also proudly served the Houston Association of Professional Landmen as our IT Chairman from 2009 through 2013.

It is indeed on honor and privilege to present this 2014 Outstanding Landman award to Glen Mauldin. Joining us this evening is Glen’s Wife Cristina; his daughters Adriana and Chiara; Mother Helen Mauldin; Mother-in-law Angela Apollo; sister Charlotte Kieliszek and sister-in-law Peggy Mauldin.

th HAPL 60 ANNUAL EXECUTIVE NIGHT

On Thursday evening, October 23rd, the HAPL hosted its 60th Annual Executive Night at the Hilton Americas Hotel in downtown Houston. Approximately 450 members, guests, and executives registered for the reception, dinner, and program. The night brought together HAPL members, landmen, management, associates and students from more than 100 different companies and universities for fellowship and support of our profession. EP Energy sponsored this year’s cocktail reception, while Swift Energy sponsored the wine served with dinner. Anadarko, BHP Billiton, BP America, ConocoPhillips and Slattery, Marino & Roberts PLC were our featured Platinum Sponsors.

Ben Eisterhold of ConocoPhillips opened the program with the Pledge of Allegiance and invocation before guests were seated and served dinner. Following the meal, the Executive Night Chairman, Curt Horne of Percheron, welcomed the crowd and introduced the Executive Night Committee, our generous event sponsors, and the Energy Management students and directors from five universities: The University of Louisiana – Lafayette, Pennsylvania State University, The University of Oklahoma, The University of Tulsa and Oklahoma City University.

HAPL President Michael Brennan, of Tex-Brit Corporation, recognized the HAPL officers and directors before presenting the annual Company of the Year Award. The award, given in recognition of support of our profession and involvement in the HAPL and other associations, was presented to the New Orleans law firm of Slattery, Marino & Roberts, PLC. A large contingent from the firm was in attendance to show their appreciation of the honor.

Glen Mauldin of W&T Offshore was named the 2014 Outstanding Landman of the Year by past recipient Michael Brennan. This award is given annually to a member of HAPL for his or her contribution to the advancement of the land profession, participation in HAPL, AAPL, industry affairs and civic contributions to their community. Always a surprise to the recipient, Glen was welcomed by his family, friends and colleagues. Glen was assisted in his acceptance of this honor by his young daughter, who clearly stole the show.

The evening’s keynote speaker was Congressman Pete Olson, who represents the 22nd District of Texas in the United States House of Representatives, and serves on the House Energy and Commerce Committee. Congressman Olson commented on the many domestic, international and political issues affecting our industry. In appreciation of his hard work representing Texans in Washington, HAPL made a donation to Canine Companions for Independence to help provide assistance dogs to American armed services veterans.

HOUSTON PETROLEUM AUXILIARY COUNCIL

September 16, 2014 launched the beginning of another year for HPAC with a Fall Luncheon at Lakeside Country Club arranged by committee co-chairs Mickey Murrell, Wanda Shaw and Sheri McQuinn. HPAC First Vice-President, Norma Jean Jones was successful in securing featured speaker Dr. Haresh Yalamanchili, M.D., who specializes in facial plastic and reconstructive surgery. Over the years HPAC has had a number of informative speakers on various subjects, but to women, and it seems more recently to men, the subject of facial plastic surgery is decidedly intriguing. Dr. Yalamanchili's presentation on September 16 was quite informative regarding facial plastic surgery and other non-invasive face/neck procedures which can produce high quality results. Dr. Yalamanchili has been in practice for a number of years. In addition to his practice at The Belage Center he donates his surgical talents to aid children in critical need of cleft palate surgery. All those who attended this luncheon thoroughly enjoyed the fellowship, lunch and especially Dr. Yalamanchili who was warm, engaging and clearly on the cutting edge of his chosen profession.

AAPL DIRECTOR’S REPORT – REGION IV T. GRANT JOHNSON, RPL

The first quarterly AAPL Board Meeting was held on September 14, 2014 at the Marriott Marquis & Marina in San Diego, California. AAPL President Roger Soape (HAPL President-1991) called the meeting to order to discuss range of topics presented by AAPL Staff, Executive Committee Members, Committee Chairman and Regional Directors. The following is a salient list of subjects that were brought for consideration, discussion and approval during the meeting:

Staff Report Marty Schardt reported that we had 1082 attendees at Annual Conference in Montreal in June, 2014. Renovations to the new AAPL building in downtown Fort Worth will start September 15th. These renovations will include adding new offices, windows and lights. Marty hopes the work will be done by November 20th. APPL is expecting a 3 day move. This new building will provide the staff with needed office space. Some staff members have had to share desk with other staff while they are out on vacation. Two parties are interested in purchasing the old AAPL office building. One of them is also interested in the adjacent recent acquired property. One of these interested parties is a church. AAPL recently lowered the purchase price in an attempt to move the property since soon the building will be vacant.

Financials As of June 30, 2014 total assets for the AAPL have increased from $30,694,673 in 3Q 2013 to $36,018,977, a change of 17.4% or $5,324,304. Revenues (exclusive of investment revenues) for the same period have increased by 2.8% to $9,521,561 and expenses have increased by 48.2% to $11,174,272. This increase in expenses was due in large measure to increased staff to accommodate growth of both AAPL and NAPE, the implementation of the government relations program, transfer of funds from AAPL to the Landman Scholarship Trust and the marketing/public awareness campaigns. AAPL Treasurer, William Justice also reported that Investments are $28,319,701, a decrease of $845,396 or (2.9%) as compared to the same period last year. The decrease was primarily the transfer of $2,076,000 to the Landman Scholarship Trust. The total assets in the AAPL Education Foundation Inc. currently amounts to $3,980,238. Additionally, the total assets in the AAPL Landman Scholarship Trust currently amount to $6,322,677 including the recent transfers.

NAPE NAPE East was held April 9-11, 2014. Total attendance was 1715, down ~400 from our first year in 2013. One issue for this decline was the AAPG Annual Convention was held on the same days at the GRB in Houston. Gross income for NAPE East was $928K and expenses were $1.1MM resulting in a net loss of $117K. But after AAPL management fee AAPL showed a small profit. NAPE South was held August 20-22, 2014 in Houston. Attendance was ~5300, down from last year of ~5600. Again, we have competing events including ENERCOM held in the immediate proceeding days and URTeC the following Monday in Denver. On October 21, 2014 NAPE had its Launch Party whereby the new branding was displayed. NAPE marketing team and the marketing firm of Weber Shandwick combined efforts doing a wonderful job putting a new face on NAPE. They are using all forms of social media to get the word out about the largest prospect expo in the world. The new NAPE theme is “Where Deals Happen”. NAPE Rockies is scheduled for December 10-12, 2014 in Denver, CO and is expected to have good attendance this year. DAPL hosts their Rockies Rendezvous on the opening evening. It is one of DAPL’s biggest events of the year and well attended by NAPE registrants. Winter NAPE 2015 is scheduled for February 11-13 and Former First Lady Laura Bush is the scheduled as the keynote speaker for the NAPE Charities Luncheon. NAPE has secured Former Alaska Governor, Sara Palin to speak at the Decision Makers Breakfast on Feb 12.

AAPL Business Items • Certification Committee Chair Russell Shinevar reported on the certification process. He went over the history and the fact that the rules have been amended 15 times since being enacted in 1979. In 1999 the requirement of “negotiation” experience was added. He pointed out the AAPL Bylaws differ from the Certification rules in their definitions. Both specifically exclude DO Analyst and Land Techs. The items discussed were to remove the requirement for “negotiations” to allow certification of titles professionals. Next it was discussed the strengthening of the testing for RPLs. There was discussion on reducing the amount of education credit years to require RPLs to gain “a minimum of one CPL and one RPL” to verify the RPL’s applicant’s good standing. This was

done to ease the process for RPLs because some are finding it hard to secure 2 CPLs to verify. The rules will stay the same for CPL certification. This motion passed where the college degree was not voted on.

Strategic Planning Committee Marc Strahn reported to the board that Excom had added 130 new young faces to many of AAPL standing committees. Marc said that ~13,000 of the 21,000 members have less than 10 years of Land experience so it is time to this next generation involved. The Excom will be watching all these new faces to see which ones possess AAPL leadership potential.

Publication Committee Curt Horne, Chairman said his committee is considering adding more local association news of events to the Landman Magazine. They are reviewing if AAPL could go to a digital format for the magazine. The committee will make access and viewing the digital magazine easier for our members. They hope to analyze the number of downloads and see if or how well the digital format is being accepted.

Technology Committee Glen Mauldin, Committee Chair, reported on the Personify software update. AAPL has hired a new consultant, John Chipps of SmartThoughts to help with the implementation of Personify. We are about to complete phase one, the discovery process which began in August. Then Personify should begin the product setup and configuration and then begin the critical task of data conversion and import to the new system. There will then be extensive testing and troubleshooting and if all goes well, the rollout should begin by the end of the year. After this software implementation we will be able to add all the customizations to streamline a number of AAPL processes.

Membership Current AAPL Membership as of August 18, 2014 stands at 21,425 total members (June 20,814) with 16,814 Active members, 3,523 Associate members, Active Non USA, 74; Associate Non USA, 9 and 1005 members comprising all other membership categories (senior, student, etc.). New members since last report 611.

Forms Committee-JOA Task Force The 1989 Form with Hz modifications is available thru Forms-On-A-Disk. The committee is now working on modifications to the 1982 JOA. In addition, the committee is working on the all new JOA 2015 Form 610. It is anticipated that this form will be completed in 2015 rather than 2014 as original hoped.

Marketing Committee The committee is working on an online AAPL Store. They are working with AAPL staff to determine what items would be available for purchase related to AAPL. AAPL’s marketing staff is working on reaching more on Social Media, increasing visits to AAPL’s website, improving website advertising campaign, medal interaction, Landline and building the Website Took Kit.

Annual Meeting Arine Schulberg’s committee is working hard on the annual meeting slated for Nashville in June 2015.

The next AAPL Board Meeting is scheduled for December 6-7, 2014 in Austin, Texas. It is the duty of your AAPL Director to represent the views and positions of the HAPL. THE HILL

October was the peak fundraising month for candidates for public office in Texas and much of my time was devoted to attending a large number of fundraisers for a wide range of candidates: Republicans and Democrats; Senators and Republicans; Incumbents and even a couple of challengers. For example, the week of the TX/OU game when it seems like EVERYONE has a fundraiser in Dallas before the game, I attended 26 fundraisers in 3 days! The events most significant to our industry I attended included Rep. Geren’s in Fort

Worth, Chairman Keffer’s in Brownwood, Rep. Price in Dallas and Senator Fraser’s in Marble Falls.

In addition to campaign activity, there were other, more significant meetings that went on in October. After almost a year of deliberation, the Texas Oil and Gas Association finally decided on a new executive director, naming Todd Staples as their new leader. I attended a general “meet and greet” with the former Senator and also had a private meeting with him where I discussed the historic involvement of HAPL and TxALA with TXOGA and the broader group of associated industries. We agreed that it is in the best interest of the industry for the Landmen to continue this involvement and he promised to keep us in the loop and to help however he could when landman issues arise. Senator Staples officially takes the position on Nov. 3.

There were multiple meetings at TXOGA and TIPRO to discuss the Denton frack ban proposition. I attended two of them and called in to another one. As we’ve discussed, the mood for proponents was optimistic and they outlined their strategy for success. Also as we’ve discussed, I don’t believe the consultants they hired (at $50,000/month) were a good choice, nor was the lobbyist they hired ($10,000/month) and that we are in serious trouble there because of those hires, combined with a fractured industry effort.

The month concluded with the TxALA meeting in Austin, which was attended by representatives of Houston, Permian, Fort Worth and the AAPL. We were joined at the meeting by Railroad Commissioner Candidate Ryan Sitton, with whom we had a great discussion. This was Sitton’s second time to meet with us and I believe he will be a great friend to our industry in the coming years.
