OVERSEAS REGULATORY ANNOUNCEMENT

ANNOUNCEMENT IN RELATION TO MAJOR CONTRACTS

This overseas regulatory announcement is made pursuant to Rule 13.10B of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited.

CRRC Corporation Limited (the “Company”) has entered into certain major contracts in the first half of 2016, with an aggregate value of approximately RMB32.08 billion. Details of such contracts are set out below:

1. CRRC Electric Co., Ltd. (江蘇中車電機有限公司), and Xi’an CRRC Yongdian Jieli Wind Power Co., Ltd. (西安中車永電捷力風能有限公司), wholly-owned subsidiaries of the Company, and Xi’an Yongdian Goldwind Technology Co., Ltd. (西安中車永電金風科技有限公司), a non-wholly-owned subsidiary, have entered into contracts with Xinjiang Goldwind Science & Technology Co., Ltd. (新疆金風科技股份有限公司), respectively, in relation to the sales of wind power generator units with an aggregate value of approximately RMB8.27 billion.

2. CRRC Qingdao Sifang Co., Ltd. (中車青島四方機車車輛股份有限公司), a non-wholly-owned subsidiary of the Company, has entered into a contract with U.S. Chicago Transit Authority, in relation to the sales of metro cars with a value of approximately RMB4.1 billion (an announcement on bid-winning of such contract was published on 10 March 2016, and RMB4.1 billion is the amount for the purchase of the first 400 metro cars).

3. CRRC Changchun Railway Vehicles Co., Ltd. (中車長春軌道客車股份有限公 司), a non-wholly-owned subsidiary of the Company, has entered into a contract with Chongqing Metro Group Co., Ltd. (重慶市軌道交通(集團)有限公司), in relation to the sales of metro cars with a value of approximately RMB2.18 billion.

—1— 4. CRRC Puzhen Co., Ltd. (南京中車浦鎮城軌車輛有限責任公司), a non-wholly-owned subsidiary of the Company, has entered into contracts with Rail Transit Company Limited (蘇州市軌道交通集團有限公司) and Metro Group Co., Ltd. (杭州市地鐵集團有限責任公司), respectively, in relation to the sales of metro cars with an aggregate value of approximately RMB2.52 billion.

5. Certain subsidiaries of the Company engaged in freight wagons manufacture business have entered into contracts with China Railway Corporation (中國鐵路總公司), respectively, in relation to the sales of freight wagons with an aggregate value of approximately RMB1.89 billion.

6. Certain subsidiaries of the Company engaged in passenger carriages manufacture business have entered into contracts with several relevant railway bureaus of China Railway Corporation, respectively, in relation to the overhaul of passenger carriages with an aggregate value of approximately RMB1.89 billion.

7. Certain subsidiaries of the Company engaged in passenger carriages manufacture business have entered into contracts with several relevant railway bureaus of China Railway Corporation, respectively, in relation to the sales of passenger carriages with an aggregate value of approximately RMB1.7 billion.

8. CRRC Qingdao Sifang Co., Ltd., a non-wholly-owned subsidiary of the Company, has entered into a contract with Qingdao West Coast Rolling Stock Co., Ltd. (青島市西海岸軌道交通有限公司), in relation to the sales of metro cars with a value of approximately RMB1.4 billion.

9. CRRC Changchun Railway Vehicles Co., Ltd., a non-wholly-owned subsidiary of the Company, has entered into a contract with Bangkok Mass Transit System Public Company Limited, in relation to the sales of metro cars with a value of approximately RMB1.22 billion.

10. Certain subsidiaries of the Company engaged in locomotive manufacture business have entered into contracts with several relevant railway bureaus of China Railway Corporation, respectively, in relation to the overhaul of locomotives with an aggregate value of approximately RMB1.08 billion.

11. CRRC Zhuzhou Locomotive Co., Ltd. (中車株洲電力機車有限公司), a wholly-owned subsidiary of the Company, has entered into a contract with Changsha Metro Group Co., Ltd. (長沙市軌道交通集團有限公司), in relation to the sales of metro cars with a value of approximately RMB1.04 billion.

—2— 12. CRRC Zhuzhou Locomotive Co., Ltd., a wholly-owned subsidiary of the Company, has entered into a contract with a consortium formed by two companies, i.e. China Railway International Co., Ltd. (中國鐵路國際有限公司) and NORINCO International Cooperation Ltd. (北方國際合作股份有限公司), in relation to the sales of metro cars to the project of orange line of Lahore rolling stock in Pakistan with a value of approximately RMB0.97 billion.

13. CRRC Tangshan Co., Ltd. (中車唐山機車車輛有限公司), a wholly-owned subsidiary of the Company, has entered into a contract with China National Machinery Import & Export Corporation (中國機械進出口(集團)有限公司), in relation to the sales of passenger carriages with a value of approximately RMB0.89 billion.

14. CRRC Dalian Co., Ltd. (中車大連機車車輛有限公司), a wholly-owned subsidiary of the Company has entered into a contract with Xi’an Metro Co., Ltd. (西安地下鐵道有限責任公司), in relation to the sales of metro cars with a value of RMB0.86 billion.

15. CRRC Nanjing Puzhen Co., Ltd., a non-wholly-owned subsidiary of the Company, has entered into contracts with Honghe Prefecture Modern Tramcar Company Limited (紅河州現代有軌電車有限公司) and Suzhou High-tech Metro Tramcar Company Limited (蘇州高新有軌電車有限公司), respectively, in relation to the sales of tramcars with an aggregate value of approximately RMB0.78 billion.

16. The Company has entered into a contract with Delhi Metro Rail Corporation of India, in relation to the sales of metro cars with a value of approximately RMB0.72 billion.

17. CRRC Qishuyan Co., Ltd. (中車戚墅堰機車有限公司), a wholly-owned subsidiary of the Company, has entered into a contract with China Road and Bridge Corporation (中國路橋工程有限責任公司), in relation to the sales of locomotives with a value of approximately RMB0.57 billion.

—3— The total value of the aforementioned major contracts accounts for approximately 13.3% of the operating revenue of the Company in 2015 under the PRC accounting standards.
