He also introduced Vince Del Prete of the One Management Team for LAWA and AWA. DELEGATES IN ATTENDANCE 3.MINUTES OF PREVIOUS AGM MOTION Endorse Minutes of meeting held on 4 October 2018 MOVED: Glenn Bartlett, WA Throwers Club SECONDED: Colin Smith, Masters WA Motion Carried 5 ANNUAL GENERAL MEETING 4.BUSINESS ARISING Jim Davies raised a question in relation to Item 4 – 2017/2018 Annual Report FROM MINUTES stating that the minutes did not reflect what was stated by the Chairman Mal Harford being: Mal Harford stated that the Annual Report could not be circulated prior to the Annual General Meeting due to the Constitution prohibiting it. Jim Davies advised there was no provision in the Constitution of such. Raised from the floor – that last year’s annual report and again this year had made no mention of the National All Schools event. Tim Lyons advised it will be rectified for future Annual Reports. 5A, REPORTS CHAIRMAN (Included in Annual Report) Tim Lyons tabled his Report. He also advised: • Had attended AA national meetings and Annual General Meeting on 24 and 25 October. A couple of key point from the meetings was Sport Aus/AA considering funding support to organisations to merge and acknowledgement of WA’s vision and lead to create One Sport; • Alistair Talbert (Tottle Partners) had agreed to assist in developing the new single entity Constitution for the sport pro bono; • The Combined Board had appointed David Rowe, Independent Director to the Board who will assume the Chairs role; and Barrie Kernaghan asked how many times the Combined Board had met. Tim Lyons advised twice to date but looking to meet each month or as required. 5B CEO (Included in Annual Report) Tim Lyons in Wayne’s absence tabled the Report. Tim Lyons acknowledged Wayne Loxley’s 23 years’ service as CEO and contribution to sport. Wayne is now undertaking the role of General Manager, Commercial and Marketing in the new One Management Team. No questions raised from the floor. 5C AUDITORS REPORT (Included in Annual Report) The audited financials had been prepared by Francis A Jones who provided their opinion letter advising that AWA’s financials were in accordance with the required accounting standards. Tim Lyons mentioned that the 2019/2020 budget will have a big deficit, which is expected given the additional expenditure to accommodate the shared services items of the Organisational Review such as the fit out. Raised from the Floor – the increase in wages of $50,000. Tim Lyons indicated it was to employ Lyndsay Troode, who has done a great job. ACCEPT CHAIRMAN’S, CEO Moved: Keely Waters, UWA AC & AUDITORS RPORTS Seconded: Mark Bannister, North Beach AC ALL IN FAVOUR 6 ATHLETICS WA 6.ELECTED DIRECTOR Process for Election POSITION The position of Director had become vacant and in accordance with the Constitution nominations had been called for. In accordance with the Constitution Clause 12.2 - Elections of Elected Directors: (f) If the number of nominations exceeds the number of vacancies to be filled, a ballot shall be taken as set out in the AWA constitution. In this case two nominations were received for the one vacancy to be filled; therefore, the voting process was carried out in accordance with the AWA Constitution. Congratulations to Tony Chamberlain in being re-appointed to the position of Elected Director. Tim Lyons acknowledged and thanked Oliver Berry for nominating. 7. APPOINTED DIRECTOR Tim Lyons advised that David Van de Walt, Darren Wright and Ray Parker will POSITIONS not be continuing on the Board following the Annual General Meeting. Their contribution over many years was recognised and appreciated. Well done. He also advised that new Directors will be appointed to the Board being Ashani Seneviratne and Shane Cassey, who will bring an impressive skills portfolio to the Board that will benefit AWA and the sport. Louise Soia and himself will continue for other term. 8. LIFE MEMBERSHIP Tim Lyons advised that the Board had awarded life membership to: AWARDED Marie Fitzsimons, Marion Buchanan, Lynne Schickert, Bob Schickert and Barrie Kernaghan. They were congratulated for their great service to the sport. A presentation will be made at the National All Schools in December 2019. 9. APPOINTMENT OF Tim Lyons advised that Francis A Jones had prepared this year’s audited financials AUDITOR and had been very professional in their approach. They also prepared LAWA’s audited financial. Vince Del Prete commented on their support and professionalism thought the processes for both audits. Tim Lyons advised the Board had endorsed that Francis A. Jones be reappointed for a further 12 months. 10. COMPETITION Barrie Kernaghan raised two points: For long distance events a clock needs to be positioned at the 200-metre mark; and that the results took too long to be posted on the Board. Issue with the results was due to time required to process and lack of volunteers to post. Matt Vine advised all results were online within 30 minutes of the Strive event being completed. Great work by Lyndsay Troode Vince Del Prete advised that he will refer the matters to the General Manager Pathways to action accordingly. Jim Davies raised a question relating to the Little Athletics’ calendar of events in particular the scheduling of the Zones weekend. Teresa Blackman suggested the AWA Annual General Meeting was not the appropriate forum to raise the question and needs to be discussed offline. 7 11. MEETING CLOSED 7.50pm CHAIRMAN’S REPORT In my report on the activities of AWA in 2019, I predicted that it would be my only report as chairman of Athletics Western Australia. As it turns out, it was not. Rest assured however this will be the last. On 18 June, 2020 , 95 percent of members of AWA voted in favour of a merger with Little Athletics WA and for the formation of a new incorporated entity, Athletics West Ltd. That support was almost matched by the members of LAWA, of whom 93% voted in favour.
