The M&A Awards is the landmark event for professionals working in M&A, corporate finance and private equity. 900 rainmakers celebrate excellence in the Beurs van Berlage in Amsterdam. Professionals simply cannot afford to miss out. After the Brexit on the 23th of June uncertainty kicked in. Private equity started to be more careful and board rooms delayed acquisition plans. In the first half of 2016 there were a remarkable number of six IPOs, in the second half only one. Shareholders rushed to get their company listed before the British referendum. On a whole the market acted more carefully this year than in the peaking M&A boom of 2015. That was thanks to political uncertainties and high valuations. But the stimulating M&A fundamentals of preceding years are still in place. That's why 2016 produced a healthy line up of Dutch big ticket deals. The acquisitions of Athlon car (1,1 billion), Propertize (895 million) and Van Gansewinkel (510 million) show that decision makers dare to take proper risks - even after Brexit. Having said that, the exuberant days of 2015 are over. But there are still plenty of opportunities for the best dealmakers to get involved in interesting deals. The winners of the M&A Awards are living proof to that.

  • Integrated Reporting to Support Sustainable Growth in Japan
    Leveraging the Supply System Innovation (an initiative designed to ensure sustain- able wage growth and overcome deflation) and the Human Resources Develop- ment revolution (revolution for developing human resources) as two driving forces, the Japanese government declared its intentions in December 2017 to draw on the results of recent economic growth to create a foundation for a more secure society, and then use this foundation to spur further economic growth. In doing so, the gov- ernment has proposed a scenario for establishing a virtuous cycle of growth and returns. Amid ongoing corporate governance reforms, the Ministry of Economy, Trade and Industry (METI) has established the Forum for Integrated Corporate Disclosure and ESG Dialogue and has promptly undertaken initiatives in line with this action. In October 2017, the Government Pension Investment Fund (GPIF) revised its investment policies to promote ESG-focused investments in not only stocks but Corporate Value Reporting Lab also in other types of assets. Becoming a signatory for the Principles for Responsi- ble Investment (PRI) in 2015, the GPIF adopted ESG indices targeting domestic stocks in July 2017. In total, the GPIF selected and invested in three indices (two “broad” indices and one “thematic” index) that incorporate stocks in consideration Integrated Reporting of ESG factors and based on the information disclosed by corporations. The GPIF has also commenced passive investment to track each of these indices. Spelde (2020) Abstract In this research, I analyzed the pricing, target firm characteristics and involved alignment costs in club deal leveraged buyouts. Using a dataset of completed and withdrawn leveraged buyouts of publicly traded U.S. targets, I found that target shareholders receive between approximately 8,5% and 34% lower premiums compared to sole-sponsored leveraged buyouts in the pre-2006 time period. There is no difference in the premium in the post-2005 time period. These results are robust to the usual M&A control variables, including size, risk, and industry and time fixed effects. By examining withdrawn deals, I studied two influences: (1) the likelihood of a completed deal after the announcement is lower for club leveraged buyouts consisting of one merely one prominent private equity firm compared to sole-sponsored private equity deals, and (2) the duration between the announcement date and the date of completion/withdrawal is longer compared to sole-sponsored private equity deals, also merely for clubs consisting of one prominent private equity firm. I found motives for capital constraints in the post-2005 time period which is merely evident for clubs consisting of two prominent private equity firms, but no indication in favor of diversification motives.
