Terms of Reference for appointment of consultants for conducting the Feasibility Study for converting INS Vikrant into Commercially viable Museum on BOT basis 1. Background

India became an nation with the commissioning of INS Vikrant. It was brought to Bombay on November 3, 1961 and later formed part of the Indian Fleet as a fully operational carrier. It was a light . The ship played a key role during 1971 Indo-Pak war and earned two Mahavir Chakras and 12 Vir Chakras.

Vikrant was 's only carrier for over 20 years, but by the early 1990s she was effectively out of service and was formally decommissioned 31 January 1997.

In November 1998, Government of Maharashtra (GoM) proposed the conversion of Vikrant into Museum and Ministry of Defense approved free transfer of the ship to GoM. The ship is being managed by the Vikrant Museum Trust through an Apex Committee of Officers from and GoM.

The ex-aircraft carrier of the Indian Navy, INS Vikrant has been converted into a floating museum and rechristened Indian (IMS) Vikrant. She was initially anchored opposite to Middle Ground near Gateway of India in . It is precisely a five minute ride from Gateway of India. The Navy extensively refurbished Vikrant and opened it to the visitors during Navy Week in December 2001. Since then every December 1-10 th , it is opened for visitors and on an average more than 3000 visitors visit the ship everyday.

The ship has been anchored in Naval Dockyard, Mumbai for the last ten years. The preliminary focus of the museum was to highlight the role of the ship as the cradle of naval aviation in the country. Subsequently, it was decided to expand this to include all facets of naval activities so that the general public could get to see and understand the Navy in all its hues. Specialised naval areas like diving, naval operations, armament, missiles, naval uniforms and seamanship aspects were therefore included in the gamut of artifacts, exhibits and displays. The museum is now a microcosm of the entire Navy.

The specifications of the ship are as follows:

A decision has been taken to shift the ship to another location at Oyster rock (Colaba), where it will be grouted. A technical study has already been awarded to IIT for Jetty / Platform construction and Concept designing

A road is under construction by Brihan Mumbai Municipal Corporation to reach to the site. The proposed location Government of India has provided approval for the conversion of ship into Museum in November, 2006. The environment clearance has also been obtained in February 2007 for the construction of Jetty.

There would be five Decks on the ship after the grouting, of which one is reserved for the Museum. The rest can be considered for the other commercial activities.

Government of Maharashtra is now contemplating the conversion of this museum into a commercially viable museum which will have several attractions in addition to the museum. On behalf of GoM, Maharashtra Urban Infrastructure Development Company Ltd. (MUIDCL) is inviting Consultants to carry out viability study and prepare Detailed Project Report (DPR) for the development of commercially viable Museum on the prestigious INS Vikrant on BOT basis at Mumbai.

2. Objective The objectives of the proposed assignment are: a. Carry out the viability study for putting up Commercially Viable Museum at INS Vikrant. b. To identify various revenue sources for the proposed ship museum c. Suggest a business model for the successful operation on BOT basis including concession period and O&M d. Prepare a Detailed Project Report (DPR) for the development of INS Vikrant as commercially viable project based on Public Private Partnership. 3. Scope of Work:

The consultants are expected to assess the existing scenario conceptualize the museum which can be developed on commercially viable operations. The consultants should also study similar projects of other countries and may incorporate learnings in the proposed project. Following main tasks are required to be completed by the consultants under the proposed project:

• Rapid assessment of present state of affairs • Study of similar international projects which are under successful operations for not less than past 5 years • Discussions with all the stakeholders including IIT, Chennai about their opinions and possibilities • Identify different Revenue streams and cost estimates attached to all elements ought to be put in place in order to realized the proposed revenue streams; o the possible revenue streams may include construction of Helipad (for corporate persons to come to south Mumbai by air) on the , small shops of interest to tourism, hoardings on the ship and also on the sides of road leading to ship, small restaurants, convention halls etc. • Design the concept plan including the Architectural design to accommodate the possible / proposed revenue streams • Financial Feasibility analysis and propose concession period / Viability Gap Funding • Detailed Project Report

4. Implementation Arrangements

The consultants shall be appointed by MUIDCL from among the Transaction Advisors, which have already been short listed by the Government of India and posted on their website www.pppinindia.com . The selected consultants will report to a joint committee of select officers from Indian Navy and Government of Maharashtra including a representative of Government of India .

5. Deliverables and Timelines

The viability study and DPR is to be completed within 2 months from commencement. The following deliverables are to be submitted as part of this activity:

Final Report Detailed Project report will be submitted 10 by the consultants including the technical specifications

6. Eligibility Criteria The consultants should satisfy the following minimum eligibility and should submit the proposal with necessary supporting documents:  Consultants should have successfully completed atleast one viability study assignment having project cost of above Rs. 300 Crore in the last three years.  Consultants should have an average annual turnover of atleast Rs. 50 Crore in the last three years.  Consultant should have functional experience of o PPP project development experience in various infrastructure sectors o Financial and economic expertise directly applicable to PPP and financial intermediaries o Managerial experience in the area of tourism infrastructure services o Architectural experience in designing multiple usages space

7. Key Professional Staff

The consultant team will include the following specialists: • Team Leader and PPP Specialist – at least 12 years of professional experience • Institutional & Finance Specialist – at least 10 years of professional experience • Architect having at least 10 years of professional experience in multiplexes / tourism infrastructure

8. Preparation of Proposal

The Consultants shall submit their proposal with a covering letter enclosing the following in separate envelopes super scribed as given under against each Enclosure

Enclosure 1 Technical Proposal (original and one copy) in separate sealed envelope and superscribed on the envelope as “Enclosure 1 : Technical Proposal”. This should include the documents supporting the eligibility criteria. To support the claim of successful completion of projects, the consultants should submit the Completion certificate from the respective clients.

Enclosure 2 Financial (Price) Proposal (One copy only, in a separate sealed envelope) and superscribed as “Enclosure 2: Financial Proposal”.

The consultant shall quote lumpsum fee for viability study.

8. Basis for Award of Contract

Once fulfilling the eligibility criteria, the consultants shall be evaluated on the basis of their financial bid. The lowest financial offer shall be selected.
