Section One: Formal Name

The Official name of the organization is WHUS Radio.

Section Two: Purpose and Responsibilities

The primary purpose of WHUS Radio is to A) operate the Non-commercial FM Broadcast Station licensed to the Board of Trustees of the University of Connecticut and B) provide learning opportunities for University of Connecticut students. WHUS Radio shall provide a broadcast service in the form of information and entertainment programming. WHUS Radio is responsible for providing the best possible environment, opportunities and radio station for University of Connecticut students.

A second purpose of WHUS Radio is to provide a publicly accessible learning environment, in which interested individuals may participate, in order to gain knowledge and experience in various aspects of and music production.

A third purpose of WHUS Radio is to support and extend the University of Connecticut Mission and Purpose, as expressed in the Academic Plan and Vision and Mission Statements for Public Engagement. As a station at a land-grant university, WHUS embraces diversity to cultivate leadership, integrity, and engaged citizenship in students, faculty, staff, and alumni, to promote the health and well being of citizens and enhance the social, economic, cultural, and natural environments of the state and beyond.

Section Three: Staff Composition and Voting Rights

A. Eligibility: The membership of WHUS Radio is open to any individual, student or non-student, who has demonstrated active interest in the station by participating in its operation. This demonstrated interest defines a member of WHUS Radio. Section 3, items D and E define the two types of membership that make up the WHUS Radio staff. B. Staff Composition: The majority of the members of WHUS Radio must be University of Connecticut undergraduate, WHUS fee paying students. A simple majority is defined as fifty (50%) percent plus one (1) person. C. Attendance: All voting and nonvoting members are expected to attend all staff meetings. If a member is unable to attend, he/she must notify the General Manager, and the absence will be excused. There are an unlimited number of excused absences. D. Definition of a Member: Any individual that does not pay WHUS fees, but demonstrates an active interest in WHUS shall be considered a member. Active interest is defined as missing no more than two (2) staff meeting with

unexcused absences per semester. To regain membership, said member would be reinstated after attending two (2) consecutive staff meetings.

E. Definition of a Voting Member: Only full-time, WHUS fee-paying, University of Connecticut undergraduate students at the Storrs campus who are defined as members shall have the right to vote at any WHUS meetings, including but not limited to staff meetings, operations board meetings, committee meetings, etc.(hereafter referred to as Voting Members). Any member who is absent unexcused from more than two staff meetings in any given semester shall lose his/her membership at WHUS Radio. To regain membership, said member would be reinstated after attending two (2) consecutive staff meetings.

Section Four: Organization Structure

A. Decision Making Model: 1. WHUS Radio shall vote on any decision by a simple majority of eligible Voting Members present, except where another model is explicitly defined in the WHUS Radio Constitution. 2. The implementation of any procedure or problem resolution process that is not explicitly identified or defined in this document is subject to the rules and procedures contained in Robert’s Rules of Order, Eleventh Edition. 3. The decisions of the Operations Board, including any policy changes, may be overturned at any Staff meeting by a two-thirds majority of the Voting Members present. 4. The Voting and Non-Voting Members of WHUS Radio shall normally meet at least monthly during the academic year in order to ensure the proper operations of WHUS Radio. a. A majority of all Voting Members shall constitute a quorum at all Staff meetings. b. Meetings for the Staff shall be scheduled by the General Manager, who shall plan, set agendas for, and chair all staff meetings. c. The General Manager shall call a meeting of the Staff within one week of receiving a request to do so from any six (6) Voting Members. d. All members are required to attend Staff meetings as previously stated in section 3-D. 5. The Operations Board of WHUS Radio shall be elected by the voting membership annually to represent the membership.

B. The Operations Board

1. Definition and Purpose: a. The Operations Board shall be responsible for the efficient operation and management of WHUS Radio. b. The Operations Board shall act in accordance with the WHUS Radio

Constitution and By-Laws, and shall be responsible for implementing all policies and procedures found in the WHUS Radio Constitution and By-Laws. 2. Scope of Authority a. The Operations Board shall have full authority to make any decision for WHUS Radio. i. Such decisions are subject to review from the membership of WHUS Radio at a staff meeting. 3. Composition a. The student undergraduate members of the Operations Board of WHUS Radio shall be the only Voting Members of the Operations Board. b. The Operations Board shall have other, non-voting members. c. A majority of Voting Members of the Operations Board shall constitute a quorum at all Operations Board meetings d. A simple majority of voting members present decides motions, except as explicitly detailed otherwise in the Constitution or By-laws. i. Any elected member of the Operations Board may be removed from his / her position only by a two-thirds vote of the members of WHUS Radio at a Staff meeting, but may be suspended until the next meeting by a three-quarter vote of the Operations Board. e. The General Manager shall vote only to break a tie. 4. List of Positions a. Please see Section Four-C. 5. Accountability a. The Operations Board shall keep staff members informed of its current decisions and actions. b. Members of the Operations Board may establish procedures within their defined jurisdictions. c. All Operations Board meetings shall be open to the public, except when Robert’s Rules of Order forbid this. d. The Operations Board shall meet at least bi-weekly in order to ensure the efficient operation and management of WHUS Radio.

C. Organization Officer Positions

The Operations Board of WHUS Radio shall consist of the nine officers/positions listed below. All officers/positions are elected annually with voting rights given to officers who are current University of Connecticut undergraduate, WHUS fee-paying students only.

General Manager/COO (Student)

1. The General Manager must be a University of Connecticut undergraduate student to seek or to hold the position. 2. The General Manager shall be responsible for the efficient day-today operation of WHUS Radio. The General Manager maintains effective interdepartmental communication. 3. The General Manager supervises the Operations Board and its members to ensure continued participation and fulfillment of duties. 4. The General Manager supervises the non-student professional staff members in conjunction with the Student Activities Business Office and Student Activities Involvement and Leadership Office. 5. The General Manager shall serve as a liaison and representative of WHUS Radio to all University and community organizations. 6. The General Manager shall plan, write an agenda for and chair all meetings of the Staff and Operations Board. 7. The General Manager shall be responsible for implementing the Code of Conduct and all other By-laws and all station policies. 8. The General Manager has the power to make decisions for WHUS Radio between Operations Board meetings to facilitate the day-to-day function and operation of the station. Such decisions shall be subject to the review of the Operations Board. The General Manager shall not unnecessarily interfere in the operations and procedures of another Operations Board member. 9. The General Manager shall be responsible for appointing individuals to fill vacancies on the Operations Board between elections.

Comptroller/CFO (Student)

1. The Comptroller must be a University of Connecticut undergraduate student to seek or to hold the position. 2. The Comptroller shall supervise business and financial management of WHUS Radio, and shall work with the Financial Assistant to oversee the Business Department. 3. The Comptroller co-supervises the professional Financial Assistant, in conjunction with the General Manager and the Student Activities Business Office. 4. The Comptroller will work with the Financial Assistant to oversee the creation and implementation of the WHUS Radio budget.

5. The Comptroller shall assist the General Manager in any day-to-day operations, meeting execution, and University relations. 6. The Comptroller serves in the absence of the General Manager. 7. The Comptroller will coordinate all of WHUS Radio’s fundraising efforts, including all on-air fundraising drive(s). 8. Coordinate with the Financial Assistant to fulfill all financial requirements and record keeping for any fundraising drives, including processing of premiums and pledges. 9. The Comptroller shall be responsible for the sale and implementation of all underwriting, and insuring that all of WHUS Radio’s sales activities are in compliance with the Federal Communications Commission’s regulations governing non-commercial broadcast stations and the WHUS Radio Underwriting Policies and Procedures. 10. The Comptroller shall ensure that all WHUS Radio’s sales activity is in compliance with federal regulations with the assistance of the Student Activities Business Office. 11. The Comptroller shall be responsible for maintaining an up-to-date list of staff and of voting members.

Program Director

1. The Program Director shall assist the Program Coordinator in the preparations for the creation of a new broadcast schedule three times a year, as well as the maintenance of the broadcast schedule. This includes: a. Preparing, posting, and analyzing applications for air-shift, preparing the WHUS work credit list, calling the meeting of the WHUS schedule committee, and finalizing applications and air-shifts that are left open at the end of the schedule committee meeting. For full details of this process consult the by-laws and the Program Department manual. 2. The Program Director shall in conjunction with the Program Coordinator and the Training Director determine when a WHUS staff member has met all criteria for air clearance at WHUS. 3. The Program Director shall investigate potential violations of FCC and WHUS Radio policies regarding on-air content and shift attendance in concert with the General Manager and the Program Coordinator, subject to the whus radio by-laws. 4. The Program Director shall work in conjunction with the Program Coordinator and the Training Director to advise staff regarding legality and appropriateness of potential or actual on-air content. 5. In the event that the Program Coordinator is for any reason unable to carry out their duties, the program director shall be responsible for matters relating to the broadcast schedule and FCC compliance.

Music Director

1. The Music Director shall be responsible for all aspects of the operation of the Music Department and Music Library at WHUS Radio. 2. The Music Director is responsible for collecting airplay/playlist data from

all WHUS Radio programmers and for reporting to the College Music Journal. 3. The Music Director shall manage the intake of all new music as well as run the New Music Committee. 4. The Music Director may appoint and manage genre directors annually, and will fill vacant genre director positions as needed. a. Genre Directors are voluntary unpaid positions and can be held by any staff member. b. The Genre Directors are responsible for maintaining charts, shall manage the intake of new music (in their genre), and promotion of music in their specific genres. 5. The Music Director shall serve on the Scheduling Committee (See Section X).

Sports Director

1. The Sports Director shall be responsible for all aspects of the operation of the Sports Department at WHUS Radio. 2. The Sports Director shall create a sports broadcast schedule that abides by preemption rules that have been established by the radio station and can be found in the WHUS Radio By-Laws. In doing so, he/ she must also cover a variety of sporting events, as agreed upon with University of Connecticut Athletic Communications. 3. The Sports Director shall prepare the schedule for all sports programming on WHUS Radio in direct consultation with the Operations Board. 4. The Sports Director shall be responsible for the monitoring and evaluation of all on-air personnel under their jurisdiction. 5. The Sports Director shall assist with the training of and be responsible for departmental clearance of station personnel engaged in sports programming. 6. The Sports Director must act as the liaison with other schools’ athletic departments to arrange broadcast set-up when away games are scheduled. 7. The Sports Director shall, in conjunction with the Comptroller and Financial Assistant, manage the Sports Department’s budget as well as make all travel arrangements for away games. 8. The Sports Director will act as the emergency member, in case of absence, to fill-in either in the studio engineering, or on site, broadcasting games. 9. The Sports Director shall be responsible for regularly communicating upcoming Sports preemptions to the WHUS staff with reasonable notice given. 10. The Sports Director shall serve on the Scheduling Committee.

Promotions Director

1. The Promotions Director will manage the promotions department and work with the operations board to create assistant promotions positions to target specific areas as needed. 2. The Promotions Director shall conduct targeted recruitment, promotions, and outreach campaigns focusing on the University of Connecticut undergraduate student population. 3. The Promotions Director shall aid in the planning, creation, and use of advertising in the role of station promotion. 4. The Promotions Director shall plan and organize on-air giveaways. 5. The Promotions Director shall keep track of, order, and distribute promotional items. 6. The Promotions Director shall organize concerts and events for WHUS Radio. 7. The Promotions Director shall engage in constant outreach to University of Connecticut student organizations and cultural centers, as well as organizations in the outside community, to discuss with them the benefits of working and promoting themselves with WHUS Radio in hopes of forming a productive organizational relationship between each of them and WHUS Radio.

Training Director

1. The Training Director shall assist the Program Coordinator with the coordination of the WHUS Radio Training Program. This includes: a. Maintaining and revising the WHUS Radio Training manual and accompanying documents. b. Administering and revising (as needed) the process for obtaining Production Studio and Air Studio clearance. Revisions must be approved by the Operations Board. c. Planning and facilitating the components of the WHUS Radio Training Program, including post-clearance training and staff development. d. Administering an evaluation (or evaluations) to determine knowledge of WHUS Radio policy, FCC guidelines, and other knowledge necessary for WHUS Radio air clearance. e. Overseeing staff members who aid in the mentorship component of the Training Program. 2. In the event that the Program Coordinator is for any reason unable to carry out their duties, the Training Director shall be responsible for matters relating to the WHUS Radio Training Program.

Production Director

1. The Production Director shall select, review, and approve Public Service Announcements (PSAs) and Station Promotional Announcements

(SPAs) to ensure those announcements satisfy FCC regulations and minimum broadcast and production quality prior to the airing of those announcements. 2. The Production Director will ensure the smooth operation of the production studios by checking the equipment for usability and ensure that station members are able to reserve the studios for their use. 3. The Production Director shall create announcements for campus and community organizations and coordinate production of the promotional announcements for broadcast.

Public Affairs Director

1. The Public Affairs Director shall be responsible for all aspects of the operations of the Public Affairs Department at WHUS. 2. The Public Affairs Director will serve on the Scheduling Committee. (See Section X) 3. The Public Affairs Director shall ensure that all Public Affairs programs and are ready to broadcast at their scheduled times, and that the personnel responsible for airing them know when and how to do so. 4. The Public Affairs Director shall work in collaboration with the Program Coordinator and the Training Director to train staff members who wish to broadcast their own, locally-produced, public affairs shows on WHUS Radio. 5. The Public Affairs Director shall be responsible for the monitoring and evaluation of all on-air personnel under their jurisdiction. 6. The Public Affairs Director shall screen all pre-recorded public affairs programming for material that may violate the respective WHUS Radio or FCC policies. 7. The Public Affairs Director shall act as liaison with the respective producers and organizations that provide WHUS Radio with syndicated public affairs content.

D. Advisory Board:

1. Definition and Purpose: a. Assist the Operations Board in any researching or fact-finding for projects. b. Voice their opinion on current radio station affairs. c. Assist the Operations Board in long-term planning. d. The Advisory Board must meet at least once a month, but are encouraged to attend Operations Board Meetings. 2. Composition a. Operations Board Members: All members of the Operations Board willbe members of the Advisory Board. b. University Employees, Non-voting: Any paid, non-voting, permanent

University employees, including but not limited to the Program Coordinator, Financial Assistant, and Chief Operator, will be members of the Advisory Board. c. Special Employees, Non-voting: Any non-University paid employees of WHUS will be members of the Advisory Board. d. Community Member Representatives: There may be up to three Community Member Representatives that will be members of the Advisory Board. 3. Election Procedures a. To elect Community Member Representatives standard election procedures must be followed and the elections will take place at the annual election Staff meeting. b) In the event that there is a vacancy on the Advisory Board, a special election will be held to fill the vacancy. 4. Qualifications a. To be eligible for a Community Member Representative position a candidate must be a Non-Voting Member and present at the 2 previous staff meetings before applications are due to demonstrate participation. They also must meet all Eligibility for Candidacy requirements in Section 4-F. 5. Term of Service a. Community Member Representatives will have a term of one (1) year. 6. Accountability a. The Advisory Board will present official findings and opinions or an update on their projects and discussions to the Operations Board after every meeting.

E. Employees

WHUS Radio may employ people in a variety of positions that are not included in the composition of the Operations Board. All employees’ descriptions, supervision, and role in governance can be found in the WHUS Radio By-Laws.

F. Elections

1. Annual elections shall be conducted by March 31st. 2. The Operations Board Positions/Officers of WHUS Radio shall be elected by a majority of eligible Voting Members present at said staff meeting to serve for a term of one (1) year, beginning on May 1st of each year. 3. WHUS Radio will employ the elected officers, upon completion of Employment Agreements, through the terms of office, according to the stipulations of the constitution and their agreements. 4. Eligibility for Candidacy a. Persons seeking election, as officers of WHUS Radio must be members who have completed at least one (1) semester of participation with WHUS Radio prior to the date when he/she takes office.

i. The period of time from the beginning of the spring semester until the annual election Staff meeting shall be considered a full semester. ii. Participation in the training class shall be considered a full semester of participation. b. No member may seek an office that he/she has held for the previous three (3) consecutive terms. c. No member under suspension may be considered for candidacy. 5. Election Procedures a. Applications for positions on the Operations Board will be made available by the General Manager at least fourteen (14) days prior to the election. i. Applications shall be returned to the General Manager by the time at which the Operations Board nomination meeting is called to order. b. The Operations Board shall review all applications and shall determine whether applicants meet the qualification requirements stipulated in Section Four, F4. c. The Operations Board shall hold a meeting at least two days before the election Staff meeting for the purpose of reviewing candidate applications. d. The General Manager shall establish a list of qualified candidates and must post this list immediately after the meeting. e. Voting shall be conducted on closed ballot sheets. i. There shall be one (1) ballot for each position. ii. “None of the above” shall be listed as a choice on each ballot. f. Each Voting Member present at the election may check one box per ballot. i. Any ballot that has more than one box checked shall be considered invalid and shall not affect the vote. ii. A ballot that has been returned blank shall be considered an abstention and shall not affect the vote. g. Upon written request, absentee ballots will be made available to voting members and must be returned to the General Manager prior to the election Staff meeting. h. Designees of the General Manager shall count ballots. Designees cannot be eligible to vote in the election, and must volunteer ahead of time to count ballots. i. Candidates for an election cannot count the ballots for any position. ii. Results (exact numbers) will be made public when a winner is announced. iii. Ballots must be kept and locked in the Business Manager’s desk. i. An individual cannot be elected to more than one position. j. Should “none of the above” receive the majority of the votes cast for any position, none of the other candidates for that position may be appointed to that position. i. Should there be a vacancy after the annual elections meeting, the General Manager shall be responsible for appointing individuals to fill vacancies on the Operations Board. k. If the current General Manager is a candidate for any position, he/she may vote in that election, and the Comptroller shall chair that election. 6. Special Elections: a. In the event that no candidate receives a majority of votes, a run-off election shall be immediately held between the first and second place candidates. b. In the event of a tie, the General Manager shall cast the tie-breaking vote.

i. If the current General Manager is on the ballot for that election, the Comptroller shall cast the tie-breaking vote. c. In the event that the staff elects an Operations Board without a majority of WHUS fee paying students, the election will be considered invalid and the new Operations Board shall not take office until the current Operations Board has determined a proper procedure to make the new Operations Board meet the composition requirements.

Section Five: Organization Advisor

An organization advisor will be assigned by the Department of Student Activities to serve as a liaison between WHUS Radio and the Department of Student Activities. The organization advisor’s role will be defined in the WHUS Radio By-Laws, in correspondence with the Department of Student Activities’ “Blueprints- Student Organization Manual”.

Section Six: Organization Funds

WHUS Radio may obtain funds from any of the following: 1. Fees assessed by the University of Connecticut to the undergraduate student body. 2. Fundraising efforts, in accordance with Division of Student Affairs policies. 3. Underwriting, in accordance with the WHUS Radio Underwriting Policies and Procedures. 4. Income from renting tower space. 5. Any other activities, including grants, related to WHUS Radio that generate income.

Section Seven: Amendments:

A. Amendments to WHUS Radio Constitution 1. The Constitution of WHUS Radio can be amended at any Staff meeting by a twothirds majority vote of the Voting Members present. 2. The proposed amendments must be submitted to the membership at least fourteen (14) days prior to the Staff meeting at which the vote will take place.

B. Amendments to the By-Laws 1. The By-Laws of WHUS Radio can be enacted or amended at any Staff meeting by a majority vote of the Voting Members present. 2. The proposal, addition, or amendment must be submitted to the membership at least seven (7) days prior to the Staff meeting at which the vote will take place. 3. The Operations Board may enact an amendment to the By-Laws and implement it in the time between a Board meeting and the Staff meeting during which the vote

will be held regarding said amendment.

Section Eight: Enabling Clause:

This Constitution shall go into effect on November 6, 2012 upon the two-thirds majority approval of the Voting Members of WHUS in attendance. Upon the approval of the position description and job title by the WHUS Operations Board and the University, each and every instance of "Position X" shall be replaced with that job title. This Constitution shall replace and render any and all previous constitutions, procedures, practices and precedents for WHUS null and void.

WHUS Staff Meeting Minutes November 5, 2012 Meeting called to order at 6:30 PM. I. Schedule Vacancies a. Jason announced that there is a vacancy in the schedule on Tuesdays, 12:30 – 3:00PM for the rest of the semester. II. Updates a. Ryan reported that the “War of the Worlds” Broadcast went well. The online stream had as many as 70 listeners. b. The “Mischief after Dark” concert went well, there were 171 attendees. c. Ryan invited the staff to an election gathering at the station. TV and refreshments will be provided. d. The IBS Regional conference will be held in Boston on Saturday, November 17th. Kelsey has applications. If you want to attend, please return applications to her by Friday. e. Jason reported that WHUS stayed on the air throughout the hurricane. Thank you to all who helped out with fill-ins etc. III. Constitution a. Sal described changes that were made to the current constitution. Val worked on formatting changes while she was at the station. Most of the major changes were made to facilitate implementing Position X. Major changes were made to Board positions. i. Comptroller – keeping attendance and maintaining a current staff list were added to Comptroller duties. ii. Operations Manager – title changed to General Manager. iii. Program Director 1. Language was strengthened around the scheduling committee. 2. Language was changed as to how the schedule is made. 3. Responsibilities were shared between the Program Director and Position X. iv. Training Director 1. Removed specific language about the content of the training program. 2. Responsibilities were shared between the Training Director and Position X. 3. Running an on-going mentoring program was added. v. Production Director – not much was changed. vi. Public Affairs Director – was added as a member of the scheduling committee. vii. Sports Director – was added as a member of the scheduling committee. viii. Advisory Board – members can be elected during a special election. b. Andrew Wine motioned to approve the constitution; Drew Gates seconded. c. Discussion followed i. Jules asked that the staff voice questions or concerns. ii. Jason pointed out that the staff can amend the constitution. iii. Andrew W raised concern that Position X was not specifically enumerated. Jason said there was an enabling clause in the constitution. iv. Andrew W was concerned that there was no power for Position X. Jason answered that there were shared responsibilities. d. Motion vote: the motion to approve the constitution passed by a vote of 20-0-0
