Carl Barton, 1576 S. Alpine Street, Cornelius, addressed the City Council regarding the loud noise (music) coming from the Grande Food building. Mr. Barton stated the music plays at least three out of seven nights and late into the evening. Mr. Barton stated he’s lived in his Alpine home for

After an exchange of questions, City Manager Drake was instructed to provide an update to the City Council at their next meeting in October.

5. PRESENTATION A. Employee Recognition: Kevin Oppenlander, Engineering Technician-10 years

Terry Keyes, City Engineer presented Kevin Oppenlander with his 10 year service award. Mr. Keyes acknowledged Kevin’s achievements in the Engineering Department and the City Council thanked him.

B. Hispanic Heritage Month Proclamation-September 16 to October 16, 2017.

Mayor Dalin read the Hispanic Heritage Month proclamation. Cornelius Public Library will celebrate Hispanic Heritage Month, September 19, 2017 at 5:30 PM in the library.

C. Metro Required Commercial Food Waste Recycling Regionally

Holly Stirnkorb, Resource Conservation and Recycling, presented a PowerPoint presentation overview on Metro’s Regional Food Scraps Policy, a proposal that sets requirements for city and county governments in the greater Portland area to enact mandatory policy to ensure that food scraps from certain types of food service businesses are collected separately from garbage, on a phased-in schedule, based on the quantity of food scraps generated, starting in 2019. Stirnkorb reported seventeen businesses in Cornelius would be affected overall. In addition, Stirnkorb responded to various Council inquiries pertaining to compost facilities and cost burden, noting Metro is evaluating ways to minimize cost burden and what is charged when food scraps are delivered to transfer stations.

Stirnkorb noted the City would be responsible to impose costs and enforcement, similar to the business recycling requirement enacted in 2009. Stirnkorb also noted Metro is in the process of procuring a facility to serve the region over the long term.

A. Resolution No. 2017-33-Intergovernmental Agreement with Oregon Department of Transportation for a Pedestrian Study at 12th Ave. between Adair and Baseline Streets.

Mark Crowell, Public Works Director presented an Intergovernmental Agreement (IGA) with Oregon Department of Transportation (ODOT) for a pedestrian study at 12th Avenue between Adair and Baseline Streets. ODOT is researching options to help pedestrians, bicycles and vehicles move more efficiently and safely though the downtown core of Cornelius. The cost of the study will be $30,000 and is necessary prior to modifications can be implemented at the intersections.

Staff recommends approval of the IGA with ODOT for the Pedestrian Study at 12th Avenue at Baseline and Adair Streets.

A motion was made by Councilor Crowder to approve Resolution No. 2017-33, A RESOLUTION AUTHORIZING APPROVAL OF THE INTERGOVERNMENTAL AGREEMENT BETWEEN OREGON DEPARTMENT OF TRANSPORTATION AND THE CITY OF CORNELIUS FOR A PEDESTRIAN STUDY AT 12TH AVENUE AT BASELINE AND ADAIR STREETS, seconded by Councilor Orozco. Motion carried 3-0. Ayes: Councilor Crowder, Councilor Orozco, and Mayor Dalin.

B. Resolution No. 2017-34-Change Order Request $65,000 for Waterproofing Reservoir Roof

PW Director Crowell presented a change order request for waterproofing the reservoir roof. The ASR (Aquifer Storage and Recovery) Project involved significant work upgrading the City’s existing 1.5M reservoir. During rehab work inside the reservoir, the tank was discovered to leak rainwater along the joint between the roof and the walls. To protect the City’s drinking water, this leak must be repaired. Options for repairing the leak involve cleaning out the joint between the roof and wall and then coating the joint with an epoxy-type material.

Staff recommends a technique costing $65,000 and exceeds the contract amendment amount that the staff and City Manager can approve. Therefore, staff requested Council approve the amendment to the 2KG construction contract.

Motion carried 3-0. Ayes: Councilor Crowder, Councilor Orozco, and Mayor Dalin.

C. Resolution No. 2017-35-Resolution of Support HSD 2017 Bond Measure

Kim Strelchun, Hillsboro School District Board Vice Chair and Adam Stewart, Chief Financial Officer, provided information to the City Council regarding the 2017 Bond Measure.

Rob Drake, City Manager presented a resolution of the Cornelius City Council supporting passage of Hillsboro School District Ballot Measure and urges Cornelius resident to vote “yes” on the November 7, 2017 Election.

A motion was made by Councilor Crowder to approve Resolution No. 2017-35, A RESOLUTION OF THE CITY OF CORNELIUS SUPPORTING PASSAGE OF THE HILLSBORO SCHOOL DISTRICT GENERAL OBLIGATION BOND FOR NEW SCHOOLS AND CLASSROOMS, ADDRESSING SAFETY CONCERNS, REPAIRING AGING SCHOOLS, IMPROVING LEARNING ENVIRONMENTS AND RELIEVING SCHOOL OVERCROWDING and this action take effect immediately, seconded by Councilor Orozco. Motion carried 3-0. Ayes: Councilor Crowder, Councilor Orozco, and Mayor Dalin.

D. Resolution No. 2017-36-Resolution of Support Renewable Fuel Standards

City Manager Drake presented Resolution No. 2017-36, a resolution in support of Renewable Fuel Standards (RFS) and maintaining the RFS as established by the Energy Policy Act of 2005. The United States government remains committed to increasing production of clean, renewable fuels including ethanol, biodiesel and cellulosic and advanced biofuels. The RFS promotes innovation and progress toward long-term energy security. Pioneers in advanced biofuels are an important source of economic growth for the City of Cornelius and Washington County. Staff recommended passage of Resolution No. 2017-36.

A motion was made by Councilor Crowder to approve Resolution No. 2017-36, A RESOLUTION OF THE CITY OF CORNELIUS SUPPORTING THE FEDERAL GOVERNMENT MAINTAINING THE RENEWABLE FUEL STANDARD (RFS) ESTABLISHED BY THE ENERGY POLICY ACT OF 2005 and this action takes effect immediately, seconded by Councilor Orozco. Summary: Luis Hernandez has requested reappointment to the Planning Commission following completion of a first (partial) term. Mr. Hernandez is a resident of Cornelius and is interested in continuing his service on the Cornelius Planning Commission.

Background: The Planning Commission is a seven-member commission. Mr. Hernandez was appointed to the Planning Commission on July 5, 2016. His current term expires on December 31, 2017. Mr. Hernandez has submitted an application (on file at City Hall) for reappointment to the Planning Commission for a term expiring December 31, 2020.

Advisory Committee: The Cornelius Planning Commission has expressed their support for Mr. Hernandez’ reappointment.

Staff Recommendation: Staff recommends the reappointment of Luis Hernandez to the Cornelius Planning Commission, Position 6, term expiring December 31, 2020.

Craig has been with Metro for 11 years, most recently at the zoo. • And Jonathan Blasher will oversee 17,000 acres of parks, trails and natural areas across greater Portland, from the Chehalem Mountains on the west to the Sandy River Gorge on the east.

Cornelius City Council Packet 11-6-2017 4 Page 12 of 40 • As you know, Metro has been reviewing and vetting the collection of project lists proposed by local jurisdictions throughout the region. • In December, staff will be bringing the draft review of those projects and the evaluations findings to the Metro Council for discussion, followed by a similar conversation with MPAC and JPACT, as well as a public comment period • We’ve had three of our five Regional Leadership Forums where we explored big ideas for our transportation future and learned from transportation planners and activists from around the country on how their raising funds to build their transportation vision. • Regional Leadership Forum #4 is scheduled for Friday, March 2, and at the forum we will finalize our shared plan for the region. • I hope to see your city well‐represented at this important regional meeting. • And just as our residents plus business employees and trucks travel regional across communities, we too will keep working together regionally to develop needed funds to address our community transportation needs.

Cornelius City Council Packet 11-6-2017 5 Page 13 of 40 The Metro Council awarded up to $2 million in 2040 Planning and Development Grants in October. •The grants support communities in their work to develop in line with the region’s shared 2040 vision. •Some of the grant recipients include: $315,000 to the City of Cornelius for its Town Center Plan, Urban Renewal Plan and concept site planning $150,000 to the City of Beaverton for their downtown design and development readiness project $340,246 to the city of Tigard for the Tigard Triangle Urban Renewal Implementation plan •Other recipients include the Housing Authority of Clackamas County, the City of Portland/Multnomah County Joint Office of Homelessness Services and the City of Happy Valley. •All of the nine projects will develop and produce policies and plans which will become the foundation for public, private and nonprofit investments in our communities. •These projects will help enable the creation of more equitable housing and employment options, facilitate investment in well‐planned urban infill to create more thriving downtowns and station communities, and complete important comprehensive planning for new urban areas where development has thus far stalled for lack critical infrastructure. •This is an important part of Metro’s commitment to improving equity and reducing the barriers to development.

Summary: A request for the Cornelius City Council to consider a resolution amending the Forest Grove- Cornelius Enterprise Zone Boundary to add three parcels and remove one parcel from within the Cornelius city boundary.

Previous Council Action: Resolution No. 1695, A Resolution of the Cornelius City Council for Enterprise Zone Boundary Change and Creating the Forest Grove/Cornelius Enterprise Zone; Resolution 2016-012, A Resolution of the City of Cornelius Supporting the Reauthorization of the Cornelius Section of the Existing Forest Grove-Cornelius Enterprise Zone Designation.

Background: In 2006, the City of Forest Grove successfully applied for an enterprise zone, which was designated as the Forest Grove Enterprise Zone by the Director of the Oregon Economic and Community Development Department on April 17, 2006 and extended to the City of Cornelius on July 14, 2008. In 2016, the cities successfully applied for re-designation of the Forest Grove-Cornelius Enterprise Zone, which was formally approved by the Director of the Oregon Business Development Department on June 27, 2016. Recent developments in the Cornelius industrial area warrant inclusion of certain properties into the enterprise zone boundary, including three industrially-zoned parcels that were omitted during the original enterprise zone boundary adoption. In addition, conversion of a previously industrially-zoned property to residential zoning and housing development warrants its removal from the enterprise zone boundary.

The enterprise zone is a state-authorized property tax incentive program for light industrial, and sometimes hospitality, land uses that meet specific employment and investment thresholds. The Forest Grove Economic Development Manager serves as the administrator of the Forest Grove-Cornelius Enterprise Zone.

Financial Implications: Approval of enterprise zone-eligible projects can result in property tax exemption for three to five years, depending on the use type and extent to which the projects meet other adopted thresholds.

Staff Recommendation: Staff recommends City Council approval of Resolution No. 2017-40, amending the Forest Grove-Cornelius Enterprise Zone Boundary to add three parcels and remove one parcel from within the Cornelius city boundary.

A RESOLUTION OF THE CORNELIUS CITY COUNCIL REQUESTING A CHANGE IN THE BOUNDARY TO THE FOREST GROVE-CORNELIUS ENTERPRISE ZONE

WHEREAS, the City of Forest Grove and the City of Cornelius are currently cosponsoring governments of the Forest Grove-Cornelius Enterprise Zone; and

WHEREAS, in 2006, the City of Forest Grove successfully applied for an enterprise zone, which was designated as the Forest Grove Enterprise Zone by the Director of the Oregon Economic and Community Development Department on April 17, 2006 and extended to the City of Cornelius on July 14, 2008; and

WHEREAS, in 2016, the Cities of Forest Grove and Cornelius as cosponsoring governments successfully applied for re-designation of the Forest Grove-Cornelius Enterprise Zone, which was formally approved by the Director of the Oregon Business Development Department on June 27, 2016 and;

WHEREAS, the City of Forest Grove shall fulfill its duties and implement provisions jointly with the City of Cornelius under ORS 285C.105 or elsewhere in ORS Chapter 285C and related parts of Oregon Law, including but not limited to having appointed a local enterprise zone manager, and to preparing a list or map of local, publicly owned lands and buildings in this enterprise zone for purposes of ORS 285C.110; and

WHEREAS, the City of Cornelius and Forest Grove request a boundary change to the Forest Grove-Cornelius Enterprise Zone by adding three tax parcels within the City of Cornelius for use by businesses to further encourage industrial development and removing one tax parcel that has been re-zoned for residential use; and

WHEREAS, Oregon law requires the sponsors of an enterprise zone to request the Oregon Business Development Department change the boundaries of an enterprise zone by resolution; and

WHEREAS, the proposed enterprise zone has a total area of 1.48 square miles, and meets other statutory limitations on size and configuration; it is depicted on the drawn-to-scale maps Exhibit A and described in Exhibit B.

NOW THEREFORE, BE IT RESOLVED BY THE CORNELIUS CITY COUNCIL AS FOLLOWS:

Section 1. The City of Cornelius requests a change in the boundary of the Forest Grove- Cornelius Enterprise Zone by adding three parcels and removing one parcel of real property described in the tax lots below and as shown in the attached maps and parcel list (Exhibits A & B)

Section 3. This resolution is effective immediately upon its adoption by the Cornelius City Council.

Background/Problem Discussion: Previously in 2015, the Forest Grove School District Board granted the City’s new Cornelius Place Library and Affordable Housing Project a tax exemption from school district property taxes. They did so to support Bienestar, Inc. and the creation of an affordable housing project within the City of Cornelius. As part of the discussions with school district staff, we discussed forming a PILOT Agreement (Payment In Lieu of Tax) between the City and developer. A PILOT Agreement would provide that the non-profit would make an alternative payment to help offset some of the property tax loss with the exemptions being granted from multiple local governments.

The attached draft PILOT Agreement spells out the terms of a volunteer payment scheme if the proper conditions exist for the developer to do so. The payment would be made directly to the Washington County Department of Taxation. The payment would be allocated by Washington County on a prorated basis to the taxing jurisdictions that are part of the property tax exemption process.

Alternatives/Financial Implications: While the City Council previously granted a tax exemption to the housing portion of the Cornelius Place Project, this PILOT Agreement will allow for some reimbursement to the City and other jurisdictions of the lost property tax revenues. At this point in time, it is unknown how much revenue the City might receive from this PILOT Agreement.

Recommendation: Listen to the presentation and support the agreement.

Recommended Motion: I move that the Cornelius City Council approve the PILOT Agreement with BRIDGE Housing and Bienestar, Inc. and authorize the City Manager to sign the agreement.

This Pilot Agreement (the “Agreement”) is made effective as of the ____ day of November, 2017, between Cornelius Place Housing Associates Limited Partnership, an Oregon limited partnership (the “Partnership”) and the City of Cornelius (the “City”).

Recitals

A. The City is the owner of certain real property located at 1310 North Adair Street, Cornelius, Oregon 97113 legally described in Exhibit A hereto (the “Property”).

B. The City has leased to the Partnership a portion of the Property, pursuant to a Housing Lease of approximately even date herewith.

C. The City and the Partnership desire to develop the Property with a mixed use building to consist of a first floor public library and certain leased space reserved for the City’s ownership and use (the “Library Project”) and 44 residential dwelling units of affordable senior housing and one manager’s unit on two floors (the “Housing Project”). As soon as reasonably possible after sufficient construction of the mixed use building, the City and Partnership desire to exchange and convert their interests in the Library and Housing Project to the condominium form of ownership with the Library Project as Unit 1 and the Housing Project as Unit 2. Unit 2 shall be referred to herein as the “Housing Property”.

D. The Partnership is operated pursuant to the terms and provisions of the First Amended and Restated Agreement of Limited Partnership for Cornelius Place Housing Associates Limited Partnership, an Oregon limited partnership, dated as of November ___, 2017 (the “Partnership Agreement”).

E. Pursuant to Cornelius Municipal Code 3.35.030(C), the Partnership desires to enter into this Agreement for payments in lieu of taxes.

NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. PILOT. Each year during the term of this Agreement, beginning with calendar year 2018 (there shall be no PILOT before 2018), the Partnership will pay the sum of $2,000 as a payment in lieu of real property taxes assessed against the Housing Property for services provided by Washington County (referred to herein as the “ PILOT”) .

2. Payment of PILOT.

2.1 Payment. Beginning with calendar year 2018, and each year thereafter during the term of this Agreement, the PILOT shall be due and payable to the County on or before December 31 of such year.

2.2 PILOT Contingent on Cash Flow. The Partnership’s obligation to make Page 1 - Pilot Agreement

The PILOT shall be payable only to the extent that the Partnership has Cash Flow (as defined in the Partnership Agreement) and then only in the order and to the extent provided for pursuant to the distribution of Cash Flow in Exhibit A-4 of the Partnership Agreement. In the event that Cash Flow is insufficient in any year to pay all or a portion of the PILOT amount for such year, such amount shall not accumulate or be considered due and owing, and the Partnership shall have no further obligation to pay the PILOT amount for such year.

2.3 Payment Conditions. No amounts shall be due and payable under Section 2 of this Agreement until each of the following conditions has been satisfied: a) the Construction Loan has been refinanced to a 20-year term permanent mortgage loan from Network for Oregon Affordable Housing;

b) all reserves and security arrangements have been fully funded by the Partnership or General Partner to the extent required under any agreement with the Partnership or the General Partner;

c) all current obligations of the Partnership have been paid in full;

d) all current amounts due to the General Partner or the limited partner of the Partnership (the “Limited Partner”) under the Partnership Agreement have been paid in full;

e) there is no default under any of the provisions of the Partnership Agreement, including any requirement that partnership reserves be fully funded and that reserves required under any Project Document have been fully funded; and

f) the payment will not cause a default under any of the provisions of any Project Documents.

3. Discharge of Contingent PILOT and Termination of Agreement. Upon sale or transfer of the Housing Property, the Partnership shall not be obligated to pay any PILOT for the year of sale. This Agreement shall terminate upon sale or transfer of the Housing Property by the Partnership. The transfer of any partnership interests in the Partnership, or substitution of a new General Partner and/or Limited Partner, shall not be deemed a sale or transfer of the Housing Property and in that case this Agreement shall remain in effect.

4. Burden and Benefit; Assignment. The covenants and agreements contained herein shall be binding upon and inure to the benefit of the parties and their respective heirs, executors, personal representatives, successors, and assigns. Neither party may assign this Agreement without the prior written consent of the other party and the Limited Partner.

5. Severability of Provisions. Each provision of this Agreement shall be considered severable, and if for any reason any provision that is not essential to the effectuation of the basic purposes of the Agreement is determined to be invalid and contrary to any existing or future law, such invalidity shall not impair the operation of or affect those provisions of this Page 2 - Pilot Agreement

6. No Continuing Waiver. The waiver by either party or the Limited Partner of any breach of this Agreement shall not operate or be construed to be a waiver of any subsequent breach.

7. Defined Terms. Except as expressly provided herein, terms used in this Agreement with initial capital letters shall have the meanings set forth in the Partnership Agreement.

8. Applicable Law. This Agreement shall be construed and enforced in accordance with the laws of the state of Oregon applicable to agreements made and to be performed entirely therein without regard to conflicts of laws principles.

9. Headings. All section headings in this Agreement are for convenience of reference only and are not intended to qualify the meaning of any section.

10. Terminology. All personal pronouns used in this Agreement, whether used in the masculine, feminine, or neuter gender, shall include all other genders, the singular shall include the plural, and vice versa as the context may require.

11. Reliance. It is intended that the Limited Partner shall be a direct beneficiary of this Agreement and, in such capacity, may enforce the Partnership's rights hereunder. No Person other than the parties to this Agreement and the Limited Partner may directly or indirectly rely upon or enforce the provisions of this Agreement, whether as a third-party beneficiary or otherwise. Any act of a limited partner owning at least 80 percent of the limited partnership interests in the Partnership then owned by all the limited partners of the Partnership shall be the act of the Limited Partner for purposes of this Agreement and shall bind all the limited partners of the Partnership (if there are more than one limited partners of the Partnership).

12. Attorney Fees. If either party institutes any suit, action, or arbitration to collect the amounts due hereunder, or to enforce any covenant or agreement hereof, or to obtain any of the remedies herein provided, the prevailing party shall be entitled to recover such sum of money as the court or arbitrators may adjudge reasonable as attorney fees in such suit, action, or arbitration and/ or in any bankruptcy, insolvency, or similar proceeding under federal or state law.

13. Relationship of Parties. Nothing contained in this Agreement shall be deemed or construed by the parties or any third party to create the relationship of partners or joint ventures between the City and the Partnership.

14. Modification. This Agreement may not be amended or modified in any respect whatsoever without written agreement of the parties and the consent of the Limited Partner.

15. Dispute Resolution. Any dispute arising out of this Agreement that the parties Page 3 - Pilot Agreement

Cornelius City Council Packet 11-6-2017 Page 33 of 40 cannot mutually resolve is subject to litigation in the Washington County Circuit Court. The parties consent to the personal jurisdiction of that court.

16. Notices. All notices, demands, statements and communications required under this Agreement shall be in writing and shall be addressed to a party at the address set for below, or to such other address as a party may by written notice, given in accordance with this Section, designate. Notices shall be transmitted by personal delivery, express or courier services, electronic means of transmitting written material (so long as an original is transmitted by the United States Postal Service or express or courier service) or United States Postal Service. Notices shall be deemed to be delivered by the earlier of: the date received; or three (3) business days after having been deposited in the United States Postal Service, postage prepaid.

You may have heard by now that Metro has granted us the $315,000 2040 Planning and Development Grant that you approved for application in June. This is really significant for our community and future of downtown redevelopment. The grant will allow us to create an updated Town Center Plan, plan for high employment opportunity sites, and form an Urban Renewal Plan for our downtown. Community Development Director Ryan Wells did an outstanding job of completing the grant application.

As part of the process, Community Development Director Ryan Wells is pulling together an Ad Hoc Downtown Advisory Group (DAG) of local interests, businesses and owners to be an idea sounding board through the process. Members so far include:
