VOTING SECURITIES AND PRINCIPAL HOLDERS THEREOF (a) The total number of common shares outstanding as of January 31, 2018 is 1,249,139,678 with a par value of P40.00 per share. Total foreign equity ownership is 109,188,042 common shares or 8.74%. Pursuant to Article IV, Section 4.9 of the Bank’s By-Laws, every stockholder shall be entitled to one (1) vote for each share of common stock in his name in the books of the Bank as of March 26, 2018 (the “Record Date”). With respect to the election of directors, a stockholder may vote such number of shares for as many persons as there are directors to be elected, or he may cumulate said shares and give one candidate as many votes as the number of directors to be elected, or he may distribute them on the same principle among as many candidates as he shall see fit, provided the total number of votes cast by him shall not exceed the number of shares owned by him multiplied by the number of directors to be elected.
