ANNEXURE - B

Special Conditions and Instructions to Bidders

Subject: Tender for supply of chemicals under ARC for BPCL laboratories pan India through catalog based pricing

1. Bids are invited for shortlisting the vendors for supply of laboratory chemicals through catalog based procurement in complete accordance with tender documents and its attachments.

2. Item Description – ARC for Lab Chemicals through catalog. Please refer Annexure C for scope of work in details.

Contract Period – One year from Date of LOA/Purchase Order whichever is earlier

3. Submission of Tender. Bids should be submitted online through BPCL’s e-tendering portal; in two part bid system, i.e. Un-Priced Bid (Technical Offer) and Priced Bid.

3.1 Un-Priced Bid (Technical Bid) with all technical and commercial details including holiday listing declaration, bidder’s information, other than price shall be submitted (uploaded) online. The bid shall contain the following:-

a) Bidder to upload catalog of original manufacturer and any other document in support meeting the requirements in scope of work as prescribed in this tender document. b) The Special Conditions (Annexure B) duly signed and stamped on all pages in token of acknowledgement and acceptance. c) Agreed Terms & Conditions (Annexure E) duly signed and stamped with confirmations wherever required. d) Scope of work (Annexure C) duly signed and stamped in token of acceptance. e) Price Schedule Format (Annexure E); without filling up the price or discount in (%) but other details such as Product / Brand Name, Tariff ID, applicable taxes, charges, freight etc and mentioning Quoted in place of price, duly signed and stamped- as applicable.

f) Deviations to tender document (Annexure F), deviations if any are to be listed in this annexure only. Bidders to note that any deviation mentioned elsewhere in the bid may not be taken into consideration.

g) General Purchase Conditions (GPC) of BPCL (Annexure I) duly signed and stamped on all pages in token of acceptance of all conditions. Bidders to note that in case of any deviation/difference between GPC and tender documents, the details indicated in tender document shall prevail. Bidder can also provide acceptance to all tender conditions on their letterhead. In that case signed copy of GPC, scope of work and instructions to bidder is not required. Page 4 of 21

h) MSE Vendor (Manufacturers only) a. The unit should be registered with National Small Scale Industrial Corporation Limited (NSIC) or with any of the Authorities specified under the Public Procurement Policy for MSE’s. The unit should be registered for the item tendered. The monetary limit, if any, indicated in the registration certificate should cover value of items ordered.

The registration certificate is valid for a period at least up to validity of the offer.

b. Self attested copy of all the pages of EM-II certificate issued by appropriate authority mentioned in Public procurement policy of MSEs – 2012 should be submitted in support of above. c. Bidder’s declaration / affidavit on Organization / Company Letter Head, stating that, in the event of award of contract, all the ordered supplies shall be made from the unit for which MSE certificate has been submitted. d. CA certificate is mandatory for MSE bidders. Format is uploaded on portal along with tender document. i) Any other document / information which bidder may like to submit, to establish that the offered material would meet BPCL’s requirement.

All the above shall be uploaded in the e-tendering portal in the relevant space.

3.2 Price Bid

Price Bid shall be filled online for maximum discount offered in percent over and above the catalog prices provided in Tech Bid. Apart from discount bidder has to quote transportation cost per trip for each location. This discount shall be applicable on catalog price of intended chemical at the time of ordering. Transportation cost quoted here shall be considered for L1 evaluation wherever applicable as per scope of work. Applicable taxes/levies shall be considered for L1 evaluation at the time of ordering per location.

3.3 Bids complete in all respect should be uploaded in BPCL e-tendering portal on or before the due date and time.

3.4 Fax and / or e-mail offers will not be accepted. 3.5 BPCL will not be responsible for any delay in uploading / submission of the offer.

3.6 Offer should be valid for 120 days from the Tender Due / Extended Due date for placement of order. The price quoted shall be valid for supplies for a period of one year from the date of purchase order.

4. Tender Opening

The TQ bid (unpriced offer) will be opened on due date at 14.00 hrs (due date/extended due date); through e-portal.

The date and time of priced bid opening will be intimated separately, only to the techno- commercially acceptable bidders through system generated email. The electronic sealed bids will be opened through e-portal. Techno-commercially acceptable bidders only can view / witness the result of priced bid opening through e-portal.

5. Delivery Schedule and Conditions for Delivery: Within 10 working days. Please refer scope of work for details of 25 locations of QA laboratories where supplies to be made during ARC.

6. Payment Terms: 100% payment will be released within 30 days after receipt and acceptance of material at site and on submission of all relevant dispatch documents including original copy of invoice.

7. Evaluation of Offers and award: Please refer scope of work. a) After short listing the bidders , BPCL will place Purchase order to the bidder based on lowest landed cost (L1) basis after calculating offered discount, transportation cost (if applicable) and applicable taxes & charges for individual selected product per location. b) Purchase orders will be placed to the successful bidder/s as per the schedule mentioned in scope of work. c) The discount quoted by bidder over and above catalog price and transportation cost per trip per location in price bid shall be firm during ARC period.

8. General Points:

8.1 BPCL reserves the right to accept or reject any tender in part or full, without assigning any reason whatsoever and also to give purchase preference to Public Enterprises as admissible under the existing policies of Government of India and JVs / Subsidiaries as per BPCL guidelines. It also reserves right to consider inflow of royalty to BPCL during evaluation of bids.

8.2 Any effort by bidder or bidder’s agent, consultant or representative howsoever, described to influence BPCL in any way concerning scrutiny / consideration / evaluation comparison of the bid or decision concerning award of contract shall entail rejection of the bid.

8.3 Offers and all correspondence must be in English Language only.

8.4 Cutting / Correction: All entries in the tender must be written in permanent ink or typewritten and there should not be any erasing or overwriting or corrections. Any unavoidable mistake should be neatly cut and re-written without overwriting and use of correcting fluid. All corrections should be duly signed by the bidder.

9. Instructions to Bidder for e-Tendering

a) The bidder is requested to download the tender from BPCL’s e-tendering website https://bpcleproc.in and participate in the tender as per the instructions given above and herein, on or before the due date and time of the tender. The tender available on the BPCL website can be downloaded for reading purpose only. For participation in the tender, please fill up the tender online on the e-tender system available on https://bpcleproc.in. b) For registration on the e-tender site https://bpcleporc.in bidder needs to download the User Instruction Manual from the site and read it. They shall have to select “Register” and complete the “Bidder’s Registration Form” by filling in all the information correctly. Kindly remember the login id (e-mail), password entered therein. After completing this process, system will generate an e-mail, click on the link and complete balance registration process. c) As a pre-requisite for participation in the tender, bidders are required to obtain a valid Digital Certificate of Class III and above as per Indian IT Act from the licensed Certifying Authorities operating under the Root Certifying Authority of India (RCIA), Controller of Certifying Authorities (CCA). The cost of obtaining the digital certificate shall be borne by the Bidder. In case any Bidder so desires, he may contact our e-procurement service provider M/s. E Procurement Technologies Limited (+91 9099090830, +91 740016816) for obtaining the digital signature certificate. Please note that generally, it takes 5 working days for obtaining a digital certificate after the submission of all required documents / fees. Non availability of Digital Certificate shall be considered as the bidder’s regret. d) Corrigendum/ amendment, if any, shall be notified on the site https://bpcleproc.in. In case any corrigendum/amendment is issued after the submission of the bid by any bidders, then such Bidders, who have submitted their bids, shall be intimated about the corrigendum / amendment by a system-generated email. It shall be assumed that the information contained therein has been taken into account by the Bidder. They have the choice of making changes in their bid before the due date and time. No communication other than the above will be circulated regarding Corrigendum / amendment, if any. e) Bidders are required to submit their bid online on or before the due date and time of closing of the tender as depicted in this document. Bidders shall have to log on to the website (https://bpcleproc.in) for submitting their bid. The system time (IST) that will be displayed on e-Procurement web page shall be the time considered for determining the expiry of due date and time of the tender and no other time shall be taken into cognizance. Bidders are advised in their own interest to ensure that their bids are submitted in e-Procurement system well before the closing date and time of bid. If the Bidder intends to change/revise the bid already entered, he may do so any number of times till the due date and time of submission deadline. However, no bid can be modified after the deadline for submission of bids. Once the entire process of submission of online bid is complete, the Bidders are required to go to option ‘own bid view’ through dashboard and take the print of the envelope receipt as a proof of submitted bid. f) Bids / Offers shall not be permitted in e-procurement system after the due date /time of tender. They shall not have any liability to Bidders for any interruption or delay in access to the site irrespective of the cause. It is advisable that Bidders who are not well conversant with e-tendering procedures, start filling up the tenders much before the due date / time so that there is sufficient time available with him/her to acquaint with all the steps and seek help if they so require. Even for those who are conversant with this type of e-tendering, it is suggested to complete all the activities ahead of time. It should be noted that the individual bid becomes viewable only after the opening of the bid on/after the due date and time. 10. Arbitration clause

Arbitration clause as per GPC stands replaced and shall be as mentioned below -

“Any dispute or difference whatsoever arising out of or in connection with this Agreement including any question regarding its existence, validity, construction, interpretation, application, meaning, scope, operation or effect of this contract or termination thereof shall be referred to and finally resolved through arbitration as per the procedure mentioned herein below :

(a) The dispute or difference shall, in any event, be referred only to a Sole Arbitrator

(b) The appointment and arbitration proceedings shall be conducted in accordance with SCOPE forum of Arbitration Rules for the time being in force or as amended from time to time

(c) The Seat of arbitration shall be at Mumbai

(d) The proceedings shall be conducted in English language

(e) The cost of the proceedings shall be equally borne by the parties, unless otherwise directed by the Sole Arbitrator”

ANNEXURE - C Scope of work: ARC of Laboratory chemicals for BPCL QA Marketing

1. All the Original Manufacturer of Chemicals (OM) have to bid for all the 25 Marketing QA locations as per the Annexure-LAB DETAILS.

2. Location wise list contains the name of the laboratories, location, state, Region, contact details and distance from the main city.

3. No distributor / agent / stockiest/ authorised dealer of any of the OM shall bid directly in the tender.

4. OM has to bid for all the 25 locations mandatorily. 5. List of chemicals and yearly consumption of each laboratory is given in the list as per Annexure- CONSUMPTION PATTERN.

6. Bidder may have to supply upcountry laboratory on quarterly basis and Metro lab on monthly basis or as and when required. Apart from these tentative supplies, upcountry laboratory may ask the vendor for emergency supplies.

7. The OM shall bid for each location and giving the discount in percentage (%) over an above the catalogue prices.

8. The OM shall quote per trip transportation cost to each location. In case of scheduled supplies, no transportation cost shall be paid where laboratories are within 25 kms from the main city. The laboratories which are located beyond 25 KMs from the main city, the transportation cost per trip shall be paid as per the rate quoted by the bidder.

9. In case of any emergency order from upcountry laboratory other than scheduled order, the transportation cost per trip shall be paid as per the rate quoted by the bidder.

10. The OM shall submit the list of nominated distributor / agent / stockiest/ authorised dealer for each 25 locations along with the bid for supply as per the order.

11. The nominated distributor / agent / stockiest/ authorised dealer of OM shall supply strictly as per the purchase order placed by the respective laboratory.

12. The quality certificate (COA) shall be given with the chemicals supplied for each batch. 13. The COA shall bear the required quality test parameter as given in the specification, batch number and validity.

14. All the chemicals shall have at least 75% of remaining shelf life at the time of supply.

Evaluation shall be done based on the lowest (L1) landed cost per chemical per location. Landed cost shall consist of basic price of chemicals as per catalogue after applying quoted discount, transportation cost as applicable and GST as applicable.

16. Respective laboratories shall place the order to nominated distributor / agent / stockiest/ authorised dealer of OM (Metro lab on Monthly basis or as when required and Upcountry lab on quarterly basis) giving the details of the required specification of the chemicals.

17. In case of imported chemicals, the supply has to be made within 4 to 5 weeks from the date of PO/ call off. Other indigenous chemicals has to be supplied within 10 working days.

18. On delivery of the chemicals as per the requirement and on cross checking if found ok, then lab shall endorse the consignment received in good condition. In case of deviation in any of the chemicals is received in damaged condition or not meeting the required specification as indented, then the same shall be replaced immediately without any extra transportation cost.

19. OM shall provide self-declaration that offered discount shall be extended by the nearest nominated distributor / agent / stockiest/ authorised dealer of OM. In case any denial/not able to supply by the distributor, the OM shall make necessary alternative arrangements without any additional cost to BPCL.

20. In case of any change in any dealership/distributorship, the OM shall intimate us through official communication to BPCL.

21. In case of any annual revision in the catalogue, the OM has to be submit all the details to BPCL in advance and same has to be circulated to nominated distributor / agent / stockiest/ authorised dealer also.

Also please give reasons for non application of ED / Sales tax. 12 In case freight is claimed inclusive any service tax amount, confirm whether you will mention the freight amount & service tax amount separately in the invoice, with service tax registration number under which the service tax on freight is paid by you. 13 Statutory variation in duties & taxes for the material to supplied, during contractual delivery period shall be to BPCL account. Any increase in the rate of tax beyond Contractual Delivery Date (CDD) shall be to vendor’s account. Any increase in the rates of duties & taxes beyond the contractual completion date or approved extended contractual completion date will be borne by BPCL to the extent CENVATABLE documents passed on to BPCL and BPCL is in a position to get the CENVAT claim from the authorities.
