  • Chairman Jay Powell Board of Governors of the Federal Reserve System 20Th St. and Constitution Ave. NW Washington, DC 20551 D
Chairman Jay Powell Board of Governors of the Federal Reserve System 20th St. and Constitution Ave. NW Washington, DC 20551 Dear Chairman Powell: On behalf of the undersigned organizations and public officials, we are writing to urge you to expeditiously change the rules to the Municipal Liquidity Facility (MLF) to make it a practical tool to help states and localities manage the looming fiscal crisis they face. States and localities provide critical public services, and more than 1.5 million state and local jobs have been lost since February. Without credit support like that which should be provided by this Facility, deeper job losses and service cuts can be expected as states grapple with unprecedented fiscal challenges in the face of the coronavirus crisis. Supporting states and localities is critical for economic recovery and for assisting communities impacted by the dual public health and economic crisis we face. While loans such as those provided by the MLF cannot replace grant assistance, adequate credit assistance is one part of helping states and localities avoid cutbacks which will deepen our current economic crisis. Unfortunately, the terms on which the Federal Reserve provides credit to states and localities through its Municipal Liquidity Facility (MLF) are inadequate and act as a major barrier for state and local governments that might need to use the facility. These terms are far more restrictive than the terms on which credit is being provided to private businesses, despite the fact that defaults on state and local general obligation credit are extremely rare compared to defaults by private sector businesses.

March 2, 2021 Abdulaziz F. Alkhayyal Chair, Sustainability Committee Marathon Petroleum Corporation 539 S. Main Street Findlay, OH 45840 Dear Mr. Alkhayyal, We are writing as state treasurers to request a meeting regarding the lockout of Marathon Petroleum Corporation workers at the company’s St. Paul Park refinery, and the removal of skilled trades workers from facilities in Minnesota and North Dakota. We are concerned that the company’s recent actions have exacerbated risk exposures to the company, its frontline workers, its investors, and local communities. As such, we seek a dialogue with you, as Chair of the Board’s Sustainability Committee, to understand your perspective and determine what the Board is doing to manage the likelihood of adverse impacts to the company’s operations, human capital, infrastructure integrity, and reputation. Marathon’s corporate policies and disclosures indicate that the company strives for the highest standards when it comes to maintaining the safety of its facilities, promoting the well-being of employees, and fostering positive relations with key stakeholder groups. These priorities are clearly reflected in the company’s Code of Business Conduct, 1 Human Rights Policy,2 and annual sustainability reports.3 We are concerned that the lockout of workers at the St. Paul Park refinery and removal of skilled union contractors run counter to the company’s policies and stated commitments, and further, we are concerned that the decision to lockout or remove highly qualified and experienced personnel – evidently intended to reduce short-term costs – may have material long-term impacts on infrastructure integrity, workplace safety, compliance, and operational reliability.

January 30, 2020 The Hon. Jay Clayton The Hon. Robert J. Jackson, Jr. The Hon. Hester M. Peirce The Hon. Elad L. Roisman The Hon. Allison Herren Lee U.S. Securities and Exchange Commission 100 F Street NE Washington, DC 20549-1090 Attn: Ms. Vanessa Countryman, Secretary Re: Proposed Rule on Procedural Requirements and Resubmission Thresholds under Exchange Act Rule 14a-8; File No. S7-23-19 and Proposed Rule on Amendments to Exemptions from the Proxy Rules for Proxy Voting Advice; File No. S7-22-19 Dear Chairman Clayton and Commissioners Jackson, Peirce, Roisman and Lee, We are state treasurers with a keen interest in maintaining a federal regulatory framework that protects investors – including by providing shareowners the tools needed to ensure transparency of and accountability for actions taken, and risks managed, by corporate management and boards of directors. We appreciate this opportunity to comment on the Securities and Exchange Commission’s proposals to amend the procedural requirements and resubmission thresholds for shareholders to file proposals for inclusion in corporate proxies and to impose certain requirements on independent proxy advisors. The Existing Federal Shareholder Proposal Process is Fair, Efficient and Working Well The ability of shareowners to file shareholder proposals is a fundamental investor right first established by the federal government in 1942 for reasons that remain vital today. State laws provide certain shareowner rights – including to receive certain information about company performance, to vote up or down on certain fundamental actions initiated by company management and the board of directors, and to assert claims in the aftermath of perceived wrongdoing.

  • Final Rule: Exemptions from the Proxy Rules for Proxy Voting Advice
Conformed to Federal Register Version SECURITIES AND EXCHANGE COMMISSION 17 CFR Part 240 [Release No. 34-89372; File No. S7-22-19] RIN: 3235-AM50 Exemptions from the Proxy Rules for Proxy Voting Advice AGENCY: Securities and Exchange Commission. ACTION: Final rule. SUMMARY: The Securities and Exchange Commission (“Commission”) is adopting amendments to its rules governing proxy solicitations so that investors who use proxy voting advice receive more transparent, accurate, and complete information on which to make their voting decisions, without imposing undue costs or delays that could adversely affect the timely provision of proxy voting advice. The amendments add conditions to the availability of certain existing exemptions from the information and filing requirements of the Federal proxy rules that are commonly used by proxy voting advice businesses. These conditions require compliance with disclosure and procedural requirements, including conflicts of interest disclosures by proxy voting advice businesses and two principles-based requirements. In addition, the amendments codify the Commission’s interpretation that proxy voting advice generally constitutes a solicitation within the meaning of the Securities Exchange Act of 1934. Finally, the amendments clarify when the failure to disclose certain information in proxy voting advice may be considered misleading within the meaning of the antifraud provision of the proxy rules, depending upon the particular facts and circumstances. DATES: Effective date: The rules are effective November 2, 2020. Compliance dates: See Section II.E. FOR FURTHER INFORMATION CONTACT: Daniel S.
