Polaroid Corporation SCHEDULES to the ASSET PURCHASE AGREEMENT by and among POLAROID HOLDING COMPANY (“PHC”), POLAROID CORPORATION (“PC”), POLAROID CONSUMER ELECTRONICS, LLC (“PCE”), POLAROID CAPITAL, LLC (“PCAP”) POLAROID LATIN AMERICA I CORPORATION (“PLA”), POLAROID ASIA PACIFIC, LLC (“PAP”), POLAROID INTERNATIONAL HOLDING, LLC (“PINT”), POLAROID NEW BEDFORD REAL ESTATE, LLC (“PNB”), POLAROID NORWOOD REAL ESTATE, LLC (“PNOR”), POLAROID WALTHAM REAL ESTATE, LLC (“PWALT”) (COLLECTIVELY, THE “SELLERS”) and PLR ACQUISITION, LLC (THE “BUYER”) dated as of April 16, 2009 Doc# 2925017\7 These Schedules are being delivered by Sellers pursuant to that certain Asset Purchase Agreement, dated as of April 16, 2009 (the “Agreement”), by and among Sellers and the Buyer, as each such term is defined on the title page hereto. Capitalized terms used herein shall have the meanings set forth in the Agreement unless otherwise defined herein. Disclosure of any fact or item in any schedule to the Agreement referenced by a particular section of the Agreement shall be deemed to have been disclosed with respect to any other applicable section in the Agreement, so long as it is reasonably apparent (by cross-reference or otherwise) that the information contained in such section of such schedule also constitutes a disclosure to a different section or sections of the Agreement. Neither the specification of any dollar amount in any representation or warranty contained in the Agreement nor the inclusion of any specific item in any schedule hereto is intended to imply that such amount, or higher or lower amounts, or the item so included or other items, are or are not material, and no party shall use the fact of the setting forth of any such amount or the inclusion of any such item in any dispute or controversy between the parties as to whether any obligation, item or matter not described herein or included in any Schedule is or is not material for purposes of the Agreement. Certain agreements and other matters are listed in these Schedules for informational purposes, notwithstanding the fact that, because they do not rise above applicable materiality thresholds or otherwise, they are not required to be listed herein by the terms of the Agreement. In no event shall the listing of such agreements or other matters in these Schedules be deemed or interpreted to broaden or otherwise amplify the representations and warranties contained in the Agreement. The headings contained in these Schedules are for reference only and shall not be deemed to modify or influence the interpretation of the information contained in these Schedules or the Agreement. 2 Doc# 2925017\7 Schedule 1.1(a) Real Property None. 3 Doc# 2925017\7 Schedule 1.1(b) Owned Machinery and Equipment To be provided by Buyer on or before the Closing Date. 4 Doc# 2925017\7 Schedule 1.1(c) Acquired Contracts 1. Brand License Agreement effective as of March 31, 2008, by and between 20X24 Holdings LLC and PC, to the extent executed by PC prior to Closing. The execution of the foregoing by PC shall not require the prior consent of Buyer (the “20X24 Brand License Agreement”). 2. The Polaroid ID Systems Business License Agreement in the event such agreement is executed by PC. The execution of the foregoing agreement shall require the prior written consent of the Buyer. 3. Agreement by and between PC and Zink Imaging, Inc. dated as of August 29, 2008 (3X4 Exclusivity). 4. One 20X24 Camera System that is part of the Corporate Archives is in the possession of Elsa Dorfman pursuant to that certain Lease Agreement dated as of May 18, 1987, by and between PC and Elsa Dorfman (the “Dorfman Lease Agreement”). 5.     Modern Group Portraits in New York Exile Community and Belonging in the Work of Arthur Kaufmann and Hermann Landshoff Burcu Dogramaci In the period 1933–1945 the group portrait was an important genre of art in exile, which has so far received little attention in research.1 Individual works, such as Max Beckmann’s group portrait Les Artistes mit Gemüse, painted in 1943 in exile in Amsterdam,2 were indeed in the focus. Until now, however, there has been no systematic investigation of group portraits in artistic exile during the Nazi era. The following observations are intended as a starting point for further investigations, and concentrate on the exile in New York and the work of the emigrated painter Arthur Kaufmann and photographer Hermann Landshoff in the late 1930s and 1940s, who devoted themselves to the genre of group portraits. 3 New York was a destination that attracted a much larger number of emigrant artists, writers, and intellectuals than other places of exile, such as Istanbul or Shanghai. A total of 70,000 German-speaking emigrants who fled from National Socialism found (temporary) refuge in New York City, including—among many others—the painters Arthur Kaufmann and Lyonel Feininger, and the photographers Hermann Landshoff, Lotte Jacobi, Ellen Auerbach, and Lisette Model.4 Such an accumulation of emigrated artists and photographers in one place may explain the increasing desire to visualize group formats and communal compositions. In the genre of the group picture there are attempts to compensate for the displacement from the place of origin.5 This mode of self-portrayal as a group can be 1/15 found in the photographic New York group portraits where the exiled surrealists had their pictures taken together or with their American colleagues.

    THE GOLDEN DECADE Photography at the California School of Fine Arts 1945-1955 Shortly after World War II the California School of Fine Arts (now the San Francisco Art Institute) in San Francisco hired renowned photographer Ansel Adams to establish one of the rst ne art photography departments in the United States. The CSFA's photography program, established by Adams and taught by Minor White, also included as guest instructors, some of the great photographers of the time. Top names such as Edward Weston, Dorothea Lange, Imogen Cunningham, Lisette Model, Nancy and Beaumont Newhall, and Homer Page. The newly enacted G.I. Bill enabled all veterans to attend the college or trade school of their choice. For many this opened the door to an educational opportunity which would have otherwise been unavailable to them. This exhibition showcases the work of some of those early students. The accompanying book The Golden Decade focuses on CSFA’s photography department between 1945 and 1955, and is the result of a collaboration between three former students of Adams and White, William Heick, Ira H. The national Movement For Black Lives has given the UW community an invitation to uphold our values of justice, equity, and anti-racism, and immediately divest from the Seattle Police Department (SPD) to protect our Black community members. In 2011, The US Department of Justice investigated SPD and found a pattern of excessive and unconstitutional force, which forced the City into a consent decree. The City is seeking to be released from the agreement despite repeated lack of accountability for police killings of Black residents -- most recently, Charleena Lyles and Shaun Fuhr.1 We bear witness to the ongoing harms that police violence enacts against Black lives. In the interests of public health and safety, we call on the University of Washington to divest from and cease any contracts with the Seattle Police Department. Specifically, we call on UW to break all ties (both informal and formal in the form of contracts, agreements, and MOUs) with Seattle Police Department by taking the following steps: 1) Immediately stop handing over people detained by UW Police Department to SPD custody.2 1 This statement was correct when the petition launched on June 2, 2020.

Zone Eleven is a metaphor coined by artist Mike Mandel in his challenge to create a book of Adams’ photographs outside of the bounds of his personal work. Many of these photographs were found in the archives of his commercial and editorial assignments, and from his experimentation with the new Polaroid material of the times.
