CONSTITUTION

ARTICLE 1.

Name

The name of this Association shall be "The Berks County Firemen's Association."

ARTICLE II.

Object

The objects of this Association shall be the general improvements of the fire service throughout the County of Berks, to open discussions upon the best manner and means for the fighting of fires and for their prevention; to promote the organization of fire companies and fire departments in towns and villages now without such protection; to encourage fraternal friendship among firefighters, and to provide for and maintain a fund for the payment of benefits to its members.

ARTICLE III.

Membership

Section 1. The membership of this Association shall be divided as follows: Active, Life and Honorary.

Section 2. The Active membership shall be composed of two delegates, duly elected before the January meeting by the respective organizations in Berks County, such delegates, who, after becoming members as representatives of their Organizations, continue from their first admission to membership, as individual members, and others, who have served the probationary period, to comply with the laws of the Association relative to the payment of dues.

Section 3. Life membership shall be conferred upon all ex-presidents, ex-secretaries and ex- treasurers of the Association, and all members who have retained membership for thirty consecutive years.

Section 4. The Honorary roll shall be composed of those elected at an annual convention in recognition of some meritorious act in the interest of this Association, or that of the fire service in general.

ARTICLE IV.

Officers

Section 1. The Officers of this Association shall be a President, a Vice President, a Vice President from each zone of the County (who shall be nominated at a caucus to be held by the

-2- Delegates and Members of their respective Zone), a Recording Secretary, a Financial Secretary, a Treasurer, a Fire Marshall and three (3) Trustees. Said Officers, with the exception of two of the three Trustees shall be elected at the annual convention by a majority vote of the members present, to serve for a term of one year from the date of their election or until their successors are chosen and have qualified. The Trustees, one to be elected each year, shall serve for a term of three years or until their successors are chosen and have qualified.

Section 2. At the same time there shall be elected a delegate or delegates and alternates to represent the Association in all organizations to which the Association is a member or may so become in the future with the exception of the Delegate to the State Firemen's Association. The duly elected President of this Association shall be the designated delegate to the State Firemen's Association convention.

Section 3. If a vacancy occurs in any of the elective offices of the Association, the President, shall, within thirty days after such vacancy occurs, appoint a successor to serve the un-expired term.

ARTICLE V.

Committees

The Standing Committees of this Association shall be the Executive, Law and Legislative and Auditing, whose term of office shall extend from the date of their appointment until the close of the Annual Convention following their appointment. The President shall have the power to appoint said Standing Committees which he shall do within thirty days after the Annual Convention, and shall also have the power to appoint such additional committees as may be necessary from time to time.

ARTICLE VI.

Meetings

Section 1. The Annual Convention shall be held in the City of Reading, or adjacent thereto, as the Executive Board shall designate, on the last Saturday of January of each year.

Section 2. There shall be held besides the Annual Convention - a convention on the last Saturday of October of each year, at such places as the Executive Committee shall designate. Failure to call such a Convention shall not dissolve the Association.

Section 3. Special meetings may be called by the President, or at the request of the Executive Committee, or on application of twenty-five members or delegates of the Association. All calls for special meetings shall clearly state the business to be transacted at such meeting, and no other business shall be in order.

-3- ARTICLE VII.

By-Laws

By-Laws for the government of the Association may be adopted by a majority vote of the members present at any convention and amendments made hereto by the consent of two-thirds of the members present in meeting.

ARTICLE VIII.

Amendments

Amendments to this Constitution must be made at the Annual Convention of the Association and with a concurrence of two-thirds of the members present. Notice of an intended alternation or amendment must be given at a previous meeting of the Association and must be presented in writing.

ARTICLE 1.

Membership

Section 1. All fire companies or fire organizations located in Berks County shall be eligible to membership in this association. Any other fire companies or fire organizations located outside Berks County may be eligible if they serve Berks County.

Section 2. Persons entitled to active membership under the Constitution of this Association, shall be admitted upon the credentials as hereinafter prescribed and the payment of annual dues.

Section 3. Delegates to one convention may continue their membership as individual members upon payment of $4.00 (Beneficial Member), $3.00 (Non Beneficial Member) in consecutive years.

Section 4. Any person in good standing with a Fire Organization and over 45 years of age may become a member of the Association as an individual member or delegate and pay the regular admission fee to become a member and yearly dues of $3.00 thereafter. They shall not participate in the Death Fund. Yearly dues shall be assigned to the General Fund.

Section 5. Individual members appearing as the representative of their fire organization shall not lose their standing as individual members.

Section 6. Life members shall be entitled to all the privileges of active members.

Section 7. The annual dues for each Fire Company or Organization shall be $15.00 and shall be in the hands of the Financial Secretary before the day of the Annual Meeting, in each year, to gain recognition on the roll of members. This Organizational Dues shall be credited as follows:

If one (1) Beneficial Delegate is submitted, $4.00 shall be credited to the Death Fund and $11.00 to the General Fund.

If two (2) Beneficial Delegates are submitted, $8.00 shall be credited to the Death Fund and $7.00 to the General Fund.

If one (1) Beneficial Delegate and one (1) non-Beneficial Delegate are submitted, $4.00 shall be credited to the Death Fund and $11.00 to the General Fund.

If one (1) Non-Beneficial Delegate is submitted, the $15.00 shall be credited to the General Fund.

If two (2) Non-Beneficial Delegates are submitted, the $15.00 shall be credited to the General Fund.

Section 8. Fire Companies or Organizations in arrears with their dues shall be termed delinquents, and whenever they fail to pay the annual dues they shall not be entitled to participate in any meeting of the Association, and when they are in arrears for two (2) years, they shall be

-5- notified by the Financial Secretary of their indebtedness and be served with an abstract of the Association’s law on delinquents. Upon failure to pay up the arrearage by the next convention, they shall be dropped from the roll of membership by the President in meeting. However the individual members shall be privileged to continue their membership in the Association, should their respective fire organization resign or be dropped from the rolls of the Association.

Section 9. Any person in good standing in their Fire Organization either in the City of Reading or County of Berks shall be eligible to membership in this Association upon the payment of $4.00 provided the applicant does not exceed forty-five (45) years of age. Applicants over forty-five (45) years of age the fee shall be $3.00.

Section 10. Fire companies after being chartered thru the local courts, may make application for membership in the Association. Any other fire organization may also make application for membership. Each application shall be investigated by the Executive Committee and upon approval they shall be elected to membership, and be assigned to the proper zone by the executive committee. Fire Company and Zone to be notified by the Executive Committee thru letter. No fire company shall become an active member of any zone until their acceptance and election to membership in the Berks County Firemen's Association.

ARTICLE II.

Nomination and Election of Officers and the Place of Next Meeting

Section 1. Nomination of officers of the Association, and delegates to all organizations in which the Association holds membership shall take place at the meeting next preceding the Annual Convention each year.

Section 2. If there is more than one nomination for any of the offices or delegates of the Association, the Recording Secretary shall, before the Annual Convention of each year, have ballots printed containing the names of each candidate nominated at the previous meeting and the office for which the candidate is nominated. This shall be the official ballot and shall be given to every delegate and member presenting a duly signed receipt for dues for the current year, or a delegate's credential card, at the annual convention. No additional nominations may be made at the Annual Convention. Where there is no opposition, the election shall be thru acclamation vote of the members present.

Section 3. The election of officers shall take place at the annual convention in each year and be conducted by a judge and two tellers appointed by the President from the membership present at the convention.

Section 4. It shall require a majority of the votes cast to elect.

Section 5. Whenever there are more than two candidates for one office following each ballot in which there is a failure to elect, the candidate receiving the lowest number of votes shall be dropped until two remain.

Section 6. No member shall be nominated for any office unless he is in good standing upon the Association books.

-6- Section 7. All elected Officers of this Association shall be required to attend a majority of the Executive Board monthly meetings. If an elected Officer does not attend the required meetings, he may be replaced at the discretion of the President, and the appointed Officer shall serve office until the next regular election.

ARTICLE III.

Zones

The Zones shall comprise the following fire organizations:

ARTICLE IV.

Duties of Officers President

Section 1. The President shall preside at all meetings of the Association, fill vacancies in office and appoint all committees and be ex-officio member of each committee, and perform all such other duties incidental to the office of President under parliamentary usage.

Section 2. The duly elected President of this Association shall be the designated delegate to the State Firemen's Association convention.

ARTICLE V.

Vice President

It shall be the duty of the Vice President to assist the President in the fulfillment of the duties, shall preside at all meetings whenever the President is absent, shall, however, not have the power to fill any vacancies that occur when acting in the absence of the President except in case of an emergency and then only when directed and designated so to do by the President. Should the Vice President become the residing officer on account of the death, removal or resignation of the President, shall have the power to fill any vacancies that occur.

ARTICLE VI

Zone Vice Presidents

The Zone Vice President from each zone shall perform various duties of the President and the Vice President when so requested to do so by the Executive Committee.

-8- ARTICLE VII.

Recording Secretary

Section 1. The Recording Secretary shall keep regular and correct minutes of the proceedings of the Association in a book provided for that purpose shall execute whatever writing may be required in transacting the affairs of the Association, and preserve all books and documents entrusted to the Recording Secretary's care.

Section 2. The Recording Secretary shall notify the Chairperson of each committee of his appointment and furnish said chairperson with the names of the respective committee.

Section 3. The Recording Secretary shall keep a correct roll of Officers and Organizations, record their attendance at every stated meeting, mark the absentees and shall perform all such other duties that pertain to the office.

Section 4. The Recording Secretary shall attend all the meetings of the Association with requisite books and papers, which shall be open for examination by any member in good standing, and if unable to attend. Shall cause the same to be delivered to the meeting.

Section 5. The Recording Secretary shall receive such salary, as the Association shall determine.

ARTICLE VIII.

Financial Secretary

Section 1. The Financial Secretary shall keep a correct account between the Association and organizations and individual members on the forms and in the books as set up by the Executive Committee, shall receive all monies for the Association and shall pay same over to the Treasurer, taking a receipt for the same, and shall preserve all books and other documents entrusted to his care.

Section 2. The Financial Secretary shall at each meeting report all monies received and from what source received and at the annual meeting of each year, shall furnish the Association a complete list of all organizations paid up and those in arrears for the year just ended, also report the number of members who have paid into the Death Fund, the number of members in arrears, the number of members dropped, the number of members who died, and shall perform all such other duties that pertain to this office.

Section 3. The Financial Secretary shall attend all the meetings of the Association with requisite books and papers, which shall be open for examination by any member of the Association in good standing, and if unable to attend, shall cause the same to be delivered to the meeting.

Section 4. The Financial Secretary shall receive such salary and give such a bond as the Association shall determine which premium, shall be paid by the Association.

-9- ARTICLE IX.

Treasurer

Section 1. It shall be the duty of the Treasurer to receive from the Financial Secretary all money collected by the Financial Secretary, pay all orders drawn on the Financial Secretary by a vote of the Association and properly signed by the President and attested to by the Financial Secretary.

Section 2. The Treasurer shall keep a regular and authentic record - on the forms and in the books as set up by the Executive Committee - of all the money, books, and papers of the Association and upon retiring from office shall deliver the same to the successor.

Section 3. The Treasurer shall keep these accounts in such a condition that the state of funds may be ascertained at any time.

Section 4. The Treasurer shall report the balance in Treasurer's hands at every stated meeting, if so required, and at the annual meeting give a full and correct statement of the receipts and expenditures during the term of office.

Section 5. The Treasurer shall receive such salary and give such a bond as the Association shall determine, which premium shall be paid by the Association.

ARTICLE X.

Authorization to Sign Checks

Two Officers signatures shall be required on any check drawn by the Association. Any two (2) of the following Officers may sign:

President - Treasurer - Financial Secretary

ARTICLE XI.

Fire Marshal

Section 1. The duties of the Fire Marshal shall be to keep a record of all fire losses as ascertained by the reporting of the fire departments to the county and give a report at each meeting; and give a yearly report of the total fires and losses of each zone and the total for the county at the annual meeting of each year. The Fire Marshal shall keep in touch with conditions throughout the county and render his assistance whenever necessary to the cause of fire prevention and fire education. The Fire Marshal shall receive such salary, as the Association shall determine.

-10- ARTICLE XII.

Chaplain

Section 1. The duties of the Chaplain shall be to conduct the annual memorial services each year and perform such other duties as the Association may direct.

Section 2. The Chaplain shall be appointed by the president.

ARTICLE XIII.

Trustees

Section 1. The Trustees shall have custody of all property belonging to the Association and when directed by the Association shall cause investments to be made in the name of the Association. All the trustees shall sign all required bank or investment forms and two signatures shall be required for a change in investments or withdrawal of the same. The Trustees shall keep a regular record - on the forms and in the books as set up by the Executive Committee - of all their transactions and investments.

Section 2. It shall be their duty, in connection with the Treasurer, to decide upon and recommend at the annual convention the amount of money the Association shall pay as a burial benefit for the ensuing year. They shall transact such other business as the Association may direct.

ARTICLE XIV.

Executive Committee

Section 1. The Executive Committee shall consist of the elected Officers of the Berks County Firemen's Association, all past Presidents and the duly elected representative from each Fire Zone. The Executive Committee shall meet at least once a month at the call of the President, and shall transact such business as they may find necessary for the welfare and benefit of the Association and shall render such assistance in organization of new companies as they see fit.

Section 2. The Executive Committee shall act for the Association upon all claims for benefits as provided for in Article XXII of these By-Laws.

ARTICLE XV.

Firemen's Legislative Federation of Pennsylvania

Section 1. The Firemen's Legislative Federation Committee shall attend to all matters pertaining to the National, State and County legislation of interest to the Firemen of Berks County and the State of Pennsylvania. This committee shall consist of two members and one alternate

-11- and shall be nominated and elected as provided by these By-Laws.

Section 2. They shall make an annual report of their proceedings to the Annual Convention and a special report to the President when requested.

ARTICLE XVI.

Auditing Committee

Section 1. The Auditing Committee shall consist of three (3) members appointed by the President shall have the books of the Association’s Financial Secretary, Association's Treasurer. Association's Trustees and the Berks County Fire School Treasurer audited by a qualified person or organization.

The Auditing Committee shall present their report, as soon as possible, at a meeting of the Executive Board and at a regular meeting of the Berks County Firemen's Association.

ARTICLE XVII.

Fire Training Committee

Section 1. The Fire Training Committee of the Berks County Firemen's Association shall consist of two (2) members appointed from each Fire Zone. This Committee shall also consist of two (2) members of the Berks County 's Association.

Section 2. The Committee shall make arrangements and sponsor various schools during the year.

Section 3. Two signatures shall be required on any check drawn by the Berks County Fire Training Committee.

ARTICLE XVIII.

Fire Prevention Committee

The Fire Prevention Committee shall be appointed by the President. This Committee shall plan and conduct Fire Prevention programs and activities as needed.

ARTICLE XIX.

Credentials of Delegates and Other Eligibles

Section 1. A credential certifying their election, signed by the President and Secretary, with the seal of the Organization of which they are Members shall entitle the Delegates and all eligibles as stated in the Constitution to membership of this Association when accompanied by the annual dues of said Organization. -12- ARTICLE XX.

Dues

Section 1. Every individual Beneficial Member shall be required to pay annually to the Financial Secretary of the Association on or before the day of the Annual Meeting, the sum of $4.00 as annual dues, which said annual payment shall entitle such member to participate in all the meetings of the Association and shall make the members beneficial under the laws governing the payment of the burial benefits of the Association. A dues-paying Non-Beneficial Member shall not participate in the Burial Fund.

Section 2. Any individual member failing to pay the annual dues on or before the date of the annual meeting, shall be notified, by the Financial Secretary of the delinquency and if such dues are not paid within ninety (90) days after such notice the member shall be automatically dropped from the rolls.

Section 3. The funds received from the dues of the individual Beneficial Members shall be kept separate from the General Fund of the Association. $2.00 of the amount from each Beneficial Member shall be deposited in the Burial Fund Account and shall be used in payment of the burial benefit as provided in Article XXI. $2.00 shall be deposited in the General Fund for the necessary expenses occurring in the administration of the Organization.

Section 4. The $3.00 dues received from a Non-Beneficial member shall be allocated to the General Fund.

Section 5. Life and honorary members are exempt from paying dues.

ARTICLE XXI.

Death Benefits

Section 1. Every delegate and individual member and life member (except Non-Beneficial members) who has complied with the provisions of Article 1 of the By-Laws now in the Association or who may become and continue a member of this Association and be in good standing at the time shall become entitled, upon his death, to a burial benefit of such amount as the Association, upon the recommendation of the Trustees and Treasurer, at its Annual Meeting may determine.

Section 2. All applicants for membership shall complete all forms as supplied by the Association and shall file the same with the Financial Secretary accompanied with the annual dues of $4.00 for beneficial membership - and $3.00 for a Non-Beneficial membership. After the Executive Board has approved the application the applicant shall become a member of the Association and beneficial members shall be entitled to the benefits of the Burial Fund to the end of the current year. The member may continue such benefits by paying in advance the annual dues of $4.00 on or before the day of the Annual meeting (except applicants over the age of 45 years).

-13- Section 3. All rights to benefits in the burial fund shall cease upon the member ceasing to be a member of the Association. From and after the first day of January 1965, no applicant over the age of forty-five (45) years shall have the right to avail themselves of the Burial Fund.

Section 4. Payment of such Burial Fund or benefit shall be made to the beneficiary or party entitled thereto under the provisions of this Article upon proof satisfactory to the Association of the death of the member being made and the identity of the beneficiary or party entitled being shown to the Executive Committee of the Association. A certified copy of the death certificate shall be presented as certification of the death of said member.

Section 5. Any member of the Burial Fund may change beneficiary at any time on the form as supplied by the Association. In the event of the death of the Beneficiary named and failure to designate a new beneficiary, this Association shall determine to whom said burial benefit shall be paid – the Association giving consideration to the Undertaker in charge of the burial arrangements of the deceased member.

Section 6. Proper books shall be kept by the Financial Secretary containing the names of the Members of the Burial Fund, the date of application, time of issuing the certificate, the beneficiary's name and all changes made from time to time, as well as the payment of dues and time of payment of burial benefits.

Section 7. Payment shall be made of the burial benefits by order drawn upon the Treasurer, signed by the President and attested to by the Financial Secretary and paid to the beneficiary or party entitled thereto at such reasonable time after notice of the death is given and proof submitted.

ARTICLE XXII.

Amendments

Section 1. Amendments to these By-Laws may be proposed in writing at any meeting of the Association, and may be adopted at same meeting by a two-thirds vote of all delegates and members present.

-14- RULES OF ORDER

Rule 1. The President having taken the chair: the delegates and members shall take their seats and at the sound of the gavel, there shall be general silence.

Rule 2. The business shall be proceeded with in the manner prescribed by the By-Laws.

Rule 3. Any delegate or member wishing to speak shall rise and address the President, shall not be interrupted except for a call to order, or for the purpose of explanation, and the delegate or member shall confine the remarks to the subject under consideration and avoid all personalities.

Rule 4. Any delegate or member who shall misbehave in a meeting, or refuse proper obedience to the presiding officer, shall be admonished of the same, and a second offense shall be subject to removal from the meeting room.

Rule 5. No motion shall be subject to debate until it has been seconded and stated from the chair.

Rule 6. Any delegate or member may call for a division of the question when the sense will admit of it, on which occasion every delegate or member present shall be required to vote, unless excused by the President.

Rule 7. Before putting a question to vote the presiding officer shall ask, "Is the Association ready for the question?" If no delegate or member arises to speak, the President shall arise and put the question, after which no delegate or member shall be permitted to speak upon it. No delegate or member shall speak on the same subject more than twice, except by permission of the President.

Rule 8. All petitions, communications, and memorials shall be presented in writing through a delegate or member of the Association.

Rule 9. No committee can be finally discharged until all debts contracted by it have been paid or assumed by the Association.

Rule 10. A motion to adjourn is always in order. A motion to lay on the table shall be decided without debate, and when a question is postponed indefinitely it shall not be acted on during that or the succeeding stated meeting.

Rule 11. No motion for consideration shall be received, unless made by a delegate or member who voted in the majority, and unless made at the same or succeeding meeting in which the subject was disposed of.

Rule 12. Three delegates or members may call for the ayes and nays upon any question when every delegate or member present shall be required to vote, unless excused by the President.

Rule 13. The order of business may be suspended for a definite period with the consent of three-fourths of the delegates or members.

-15- ORDER OF BUSINESS

The order of business shall be as follows:

1. Within fifteen minutes after the appointed time, the meeting shall be called to order, and if there shall be a quorum present, the roll of officers shall be called.

2. Roll call of organizations.

3. Reading of the minutes of the previous meeting.

4. Communication and bills.

5. Reports of officers and committees.

6. Proposals for membership.

7. Election of Organizations.
