In terms of Section 55(2) (b) of the Protected Areas Act 57 of 2003, SANParks, in managing national parks, is mandated to sell, exchange or donate any , plant or other organism occurring in a park, or purchase, exchange or otherwise acquire any indigenous which it may consider desirable to reintroduce in a specific park”

1. Offer to Purchase and RED From

MOKALA NP

SANParks has publicly advertised for offers from third parties to purchase some or all of the Giraffe and on offer from the from veld to veld;

2. Offer to Purchase HARTMANN’S ZEBRA, , ELAND BULLS, and GIRAFFE From

AUGRABIES FALLS NP

SANParks has publicly advertised for offers from third parties to purchase some or all of the Hartmann’s Zebra, Eland, Klipspringer, Gemsbok and Giraffe on offer from the Augrabies Falls National Park from veld to veld;

WHEREAS the BIDDER wishes to make an offer before 7 March 2019 to purchase some or all of the Giraffe, Klipspringer, Gemsbok, Eland and Hartmann’s Zebra from SANParks;

Therefore the BIDDER submits an offer to SANParks to purchase some or all of the Wildlife from SANParks on the basis set out in this Offer read with the attached Conditions of Sale;

“SANParks shall undertake the first 200km of the transportation at no cost to the bidder from Mokala NP and Augrabies Falls NP”

2. SPECIFIC TERMS TO APPLY TO BIDDER’S OFFER

2.1 The BIDDER hereby agrees that the following terms and conditions shall apply to this Offer:

2.2 The SANParks Sale of Wildlife Conditions of Sale attached to this Offer shall apply to this Offer.

2.3 SANParks shall be entitled in its absolute discretion to accept or to reject this Offer in whole or in part.

2.4 This Offer, if accepted by SANParks, shall be subject to the suspensive condition that the Bidder and SANParks sign a Sales Agreement for the sale of Wildlife referred to in this Offer, on terms and conditions acceptable to SANParks, within a period of 10 calendar days after SANParks advising the Bidder in writing of SANParks’ acceptance of the Offer, failing which this Offer will lapse and be of no further force or effect.

2.5 Only if a Sales Agreement is validly concluded, will delivery of Wildlife take place.

2.6 The sales price owing for the purchase of the Wildlife shall be paid to SANParks, by electronic funds transfer, without deduction or set – off, in accordance with the Sales Agreement, and into a bank account nominated by SANParks, prior to any translocation of Wildlife commencing.

2.7 SANParks will be under no obligation to allow the Wildlife or any number thereof to move out of the control of SANParks unless and until it is satisfied that all amounts owing for all of the Wildlife have been paid.

2.8 The bidder agrees to pay 50% (fifty percent) of the awarded price within 7 (seven) days of signing the sale agreement. The balance of 50% (fifty percent) of the awarded price must be paid before or on the day that the last batch of is delivered.

2.9 For mass capture and delivery, a final reconciliation will be conducted and any additional invoice or credit note will then be processed.

2.10 SANParks undertakes not to charge for the first 200km, if responsible for the transport from Mokala NP and Augrabies Falls NP.

3. COMPLIANCE WITH APPLICABLE LEGISLATION

3.1 In making this Offer and in subsequently agreeing to contract with SANParks to purchase Wildlife specified in this Offer, the Bidder undertakes and agrees that the Bidder will adhere to all applicable national and provincial legislation, regulations and guidelines as may apply to the sale, transport, delivery and subsequent possession, management and use of the Wildlife.

3.2 As such the Bidder agrees, insofar as any such provisions will apply to the sale of the Wildlife:

3.2.1 To comply with the provisions of the National Environmental Management: Biodiversity Act No. 10 of 2004 (“the NEMBA”) and the Animal Disease Act (Act 35 of 1984)

3.2.2 To comply with the provisions of all applicable provincial legislation;

3.2.3 To apply for and to be in possession of all permits as may be required under the said national and provincial legislation, regulations and guidelines, at the time of the translocation and delivery of the Wildlife to the Bidder, or such earlier time as may be specified by SANParks;

3.3 Where a permit is issued subject to conditions, the Bidder shall prove to the satisfaction of SANParks that the Bidder has complied with all such permit conditions.

4 MINIMUM REQUIREMENTS

Failure to provide any of the below mandatory returnable documents may render the bid invalid. Bidders warrant that their proposal document has, as a minimum, the specified documents required for evaluating their proposals as set out in the Returnable Document List.

4.1 Bid forms must be properly received on the bid closing date and time. 4.2 Bid forms must be fully completed, dated, signed in ink and initialed on every page. 4.3 Bidders must ensure their tax obligations are in order. Where the bidder provide access to its taxpayer profile and tax status in lieu of the above, the bidder must provide their unique Personal Identification Number (pin) issued by SARS to enable SANParks to view and verify the taxpayer profile and status. Bidders may apply for the Tax Compliance Status (TCS) Certificate or PIN from their nearest South Revenue Services branch or through e-Filing. In order to use the e-File provision, the bidder needs to register with SARS as an e-filer through the website www.sars.gov.za. 4.3 Bidders may submit a printed Tax Compliance Status Certificate together with the bid.
