REAL PROPERTY REVIEW

We are presenting this report to the Wayne County Executive’s offices as a potential tool to use in its restructuring planning. We have not been paid for our services and Wayne County did not solicit our services. This report summarizes a broad real estate overview prepared by O’Keefe LLC at its own volition and cost. It is our understanding that the County does not have a centralized real estate management department that oversees the County’s asset and property management, acquisition, disposition, leasing and maintenance of its properties.

This report is not meant in any way to be a cumulative summary of all of the real estate holdings and obligations of the County. To the best of our knowledge, the report presents a fair position of the real estate holdings that were identified by the County in its most recent insurance policies.

The information presented herein is based on the information furnished to us by the County and has not been reconciled with public land records or the landlords holding leases with the County.

Executive Summary

It is no secret that in 2015 Wayne County has a significant budget deficit and has reached its borrowing limits. County Executive Warren Evans and his executive leadership staff are seeking to identify ways to more effectively operate the County’s operations in hopes of closing some of the gaps between actual cash revenues and expenditures. As part of this restructuring process, O’Keefe has agreed to review the County’s real estate holdings (leased and owned) with an eye toward developing short and long term strategies for the operations of the County. It is our goal to provide a framework for the County to rationalize its real estate portfolio in the most efficient manner so as to be able to continue to serve its residents in a fiscally responsible way.

We have inventoried those properties that the County has identified that they own and lease. We have limited our review to properties that are either occupied and/or have a structure on them. We have also looked at the current utilization of these properties, the commercial market conditions for those communities in which the County has properties and the overall general condition of the buildings and structures. We have only reviewed those properties that are under the purview and budget of the Wayne County Executive’s offices. The airports and Land Bank properties are not a subject of this analysis.

We have physically visited a large sampling of the properties and where appropriate have entered the buildings. We are very familiar with many of the properties including the , Coleman Young Municipal Center, the former Juvenile facilities, the Eloise site and the Temple Building. We have not looked at any deferred maintenance issues, capital improvements or adaptive reuses of buildings or properties. Furthermore, we have not looked at or identified environmental issues outside of any cursory information that was provided to us.

The largest spend by the County on its properties falls under the General Fund. This group of properties includes most of the facilities in which the County actually conducts its business. The downtown offices, jails, courts and storage facilities all fall within this category. The social service programs that are administered by the County also fall within this purview. This group of properties is probably the best place to look for operational and functional efficiency improvements. The Guardian is the most underutilized facility in the County’s portfolio. The County presently occupies less than 40% of the building and another 25% of it sits vacant.

We have reviewed and visited the DPS facilities and the role they play in the maintenance of the County roads. We have not issued a recommendation for these facilities because of the inherent geographical needs of this department for storing and maintaining equipment that is convenient and efficient for its operations. The County needs to determine how many of these facilities are actually needed and if consolidation of some of them would yield cost savings without reducing services. The proceeds from the sale of any single one of

these DPS sites is not great enough to help the budget, but the long term cost savings from consolidation could be significant.

The County Drain Commission has at least 12 properties that were identified to us. We have not reviewed or visited these sites and presume that they are being utilized at their highest and best use for the County. Replacement cost of such properties is high.

The County owns, operates and maintains 12 beautiful and wonderful parks that are as well as parks within the parks at both Hines and Rouge. This is a fundamental function of the County for its citizens. They improve the lives of the citizenry and make the communities they are a part of thrive. It would not be financially rewarding or politically expedient to dismantle the park system. Additionally, the County has a long history of preserving the Rouge watershed through its park systems. This is not only an important amenity to the residents, but it is also an important storm drainage management system to many communities in the County.

We have not analyzed the marketability any of these parks and have no conclusions with respect to their use, future use, disposition or otherwise with two exceptions. We have briefly looked at the Warren Valley Golf Course and Banquet Center and the Inkster Valley Golf Course. Selling these assets off to a third party should be further investigated. The annual operating costs and long term maintenance of these facilities might be better utilized for maintaining the many other park facilities.

History

It is important to understand why the County seat is in . There was a time when it was a necessity for the County to be so located.

The Charter County of Wayne was founded in 1796 and was formally organized in 1815. When initially founded, its borders encompassed almost the entire Upper and Lower Peninsulas of , portions of Wisconsin, Illinois, Indiana and Ohio (including the present day cities of , Cleveland, Detroit and Milwaukee. By 1822, as the various states were formed and as other counties were formed in Michigan these boundaries shrunk to its current size.

From its inception, the county seat was Detroit. It was the most populous location in the County and the center of trade and commerce. It was also a strategic military outpost for the French and the English.

After Michigan became a state in 1836 until 1845, there wasn’t a county building in Wayne County. Until that time, the Wayne Circuit Court and other county offices were based in the Old . In 1845 the first was built. It was a simple, two-story brick structure on Griswold and Congress streets with amenities described at the time as worse than a stable.

In 1895, Wayne County purchased land for a new county building. Ground was broken in September 1896, and the excavation was done by the following spring. Amongst much fanfare in 1902, the 45,000 square foot building finally opened. A great deal of controversy surrounded the purchase price for the land as well as the construction contracts for the building itself. Indictments’ were made for fraud, graft and bribery and a few county employees and contractors were tried and convicted for their involvement.

All of the County’s departments and courts were housed in this building until 1955 when the City-County Building was built. The Detroit Traffic Court and the Wayne County Friend of the Court remained in the old building. As time marched on the Old Wayne County Building fell into disrepair. The cost of demolition was too great ironically saving it from being demolished.

In 1985, a private investment group led by the Farbman Companies purchased the Old County Building, restored it and entered into a 10 year lease with the County. The restoration cost $25 million. In 1987, the County consolidated the majority of its operations into the Building with the exception of the Courts. The lease was renewed in 1998 for an additional 10 years.

Starting in 2008, the County renewed the lease on a year to year basis. County officials reported in 2007, that the County had paid over $100 million to occupy the Old Wayne County Building for the 22 years it leased it. In 2007, the County agreed to purchase the historic themed Guardian Building for $14 million. It subsequently spent an additional $39 million to renovate and relocate its headquarters from the Old Wayne County Building. The County stated at the time that the move would save at least $2 million annually.

Today the County’s offices and its Courts are still in the City’s Central Business District. It currently occupies a hodgepodge of buildings scattered throughout for the Courts, jails, executive and administrative staffs as well as buildings in some of the western suburbs used by the various social agencies. The County’s headquarters are now located in the Guardian Building.

Although history is on the side of remaining in downtown Detroit, it may be time to create a self-contained County Campus away from the Central Business District if money can be found to do such a consolidation. Continuing to have a presence in the CBD of Detroit is not necessarily in the County’s long term financial or operational interest. Parking is at its highest rates and highest occupancy in over 25 years. The reality is that Downtown Detroit is not the center of the County nor is it convenient for most of its residents and employees.

The County needs to look at a more strategic location where there is still good freeway access and adequate parking as well as vacant land for future expansion. The New Center area is ripe for such a move. It is still located in the County’s historic home of Detroit. It is easily accessible from all of the major freeways. It is much less congested than the Central Business 7

District. And it adds to the growing government center currently anchored by the State of Michigan in the .

A permanent move of this nature can be done without increasing spending but some of it would take time to completely implement. As decisions are made in the near term to consolidate or sell assets, it is imperative that a long range real estate plan is put in place. Without doing so, the County will find itself making reactionary decisions that will compound its future viability.

Currently however, the County has much more immediate financial concerns. The County will need to fully assess its functional and operational needs within its real estate footprint. There appears to be significant waste and a seemingly casual approach to leasing properties without utilizing the County’s owned real estate.

The property review that follows is a brief attempt to take a high level look at ways to achieve cost and operational savings without reductions in forces. Recommendations are made on a property by property basis. We believe that if properly effectuated, the County can achieve significant annual cost savings without reducing the County’s services and functionality.

Conclusion

Wayne County needs to act quickly in cutting its annual cost structure to avoid bankruptcy. Optimizing its oversized real estate portfolio will yield lasting savings in annual operating costs by reducing rents, backfilling vacancies in owned facilities and returning properties back to the private sector and tax rolls. Current rental costs exceed $8MM a year and this number can be reduced by consolidating offices, terminating unnecessary leases and reducing rents to market rates.

Furthermore, the County needs to monetize those assets for which it no longer has a use. This can help raise the occupancy and operational efficiency of the Guardian Building and other underutilized properties. Proceeds from the sale of facilities such as the Temple Building, 311 Woodward and the First Street Parking Garage alone should yield in excess of $10MM.

Finally, an analysis should be completed on the sale leaseback of the Guardian Building. Although vacant and near vacant buildings in the downtown area are selling as low as $25 PSF, well tenanted and restored buildings are selling for record prices. Retiring the debt service associated with the Guardian Building, the First Street parking garage and 311 Woodward can reduce the principal owed under these bonds and possibly allow for additional bond issuance to cover the jail expansion.

Current Real Estate Holdings

Owned Properties

The County presently owns approximately 257 separate properties located in 25 of its 43 municipalities. The breakdown by department for these 257 properties is as follows:

Guardian Building

The largest of these is the monumental and historic Guardian Building a 640,000 SF art deco masterpiece. It is currently 76% occupied and the occupied space is about evenly split between the County and 3rd party tenants. This equates to 106,000 vacant rentable SF of available space. This does not include expiring tenant leases that will add to the vacancy if the existing tenants do not renew. Clearly this building is significantly underutilized and probably never should have been purchased for its intended use by the County.

The County has offices on floors 5-13, 15, 20-22 and 30 - 32. Other tenants occupy all or portions of floors 1-4, 16-19, 22-29, 34, 35 and 38. Floors 14, 33, 36, 37 and 39 are entirely vacant. Floors 16, 21, 23, 27, 29, 32, 35 and 38 are only partially occupied.

We have not reviewed the rent roll to determine current lease terms for the non-County tenants to understand the termination dates. Clearly with 24% of the Guardian Building vacant and with 38% leased to third party tenants, there is existing and potential space in this building to consolidate departments into the vacant space. To have invested County funds into such a massive structure only to lease it out to third parties is not a County governmental function.

In order to make meaningful reductions in the County’s deficit over the next 10 years, a more drastic rationalization of the real estate should be implemented. The County should monetize its interest in the Guardian Building. It could enter into a lease for the percentage of the Building it needs to keep its offices downtown. It is highly likely that the cost of leasing such space would be significantly less than the sum of its current debt service coupled with the operating costs of the building. This could result not only in lower occupancy costs but open up potential bonding capacity for the County that could be used for dealing with the curtailed jail project.

640 Temple

The 640 Temple building is significantly underutilized and should be vacated. It contains some 190,000 SF of office space. Occupancy is well under 50%. The departments located in this structure can easily fit in the Guardian Building immediately. With the pending development of the new Arena District surrounding this building a buyer for this site would not be difficult or time consuming to find. Presumably any proceeds would be available for the general fund provided that the building is not a part of any bond financing. Current market prices for older office buildings in the area between the New Center and the CBD range from $25 to $100 PSF.

311 Woodward

The 311 Woodward building, located directly behind the Guardian Building, should be sold immediately. It is our understanding that a formal process to market and sell the building was completed last year with an acceptable offer to redevelop the site by the Roxbury Group on behalf of First Merit Bank. This deal should be completed immediately to save on the holding costs that accrue each and every day this sites idle. We presume that the proceeds must be used to retire some of the Guardian Building bonds.

First Street Parking Garage

As part of the Guardian Building acquisition, the County purchased a 600 vehicle parking deck on First Street. A portion of this is used for the County’s employees in the Guardian and the remainder is leased other Guardian tenants and to the general public. Office space in the building is leased out as well. Parking in the CBD is at an all-time high demand. This asset can be monetized in a short period of time and the proceeds can be used to retire a portion of the Guardian Building bonds.

Other Owned Properties

Additional opportunities exist to sell other unused County properties and return them to the tax rolls. The former juvenile hall facilities on Forest should be sold for redevelopment. Although the site is on the east side of I-75, they are on the fringe of both the revitalized Eastern 10

Market district and the medical center at the edge of Midtown. The Eloise complex should be sold. The barn, greenhouses, gardens and grounds at the RESA facility in Wayne should be sold or turned over to RESA.

As for the proverbial elephant in the room, the jail site has got to be dealt with sooner than later. As everyone knows there is no clear path to a solution. In our opinion, the site is worth more to the owners of the Casino than to anyone else. Rock Ventures originally offered $50MM for the stalled jail site together with the adjacent judicial properties including the existing jails. This Memorandum of Understanding was terminated late last year.

Finding a suitable replacement buyer for this site will not be easy nor is there existing demand for development land inside the CBD quite yet. Too many opportunities still exist to restore existing buildings at less than replacement cost. Until the market is above 85% developed, speculators for development parcels are not to be found. Unravelling the existing bond financing for this site is also beyond our review.

Leased Properties

The County has identified 18 leased facilities encompassing almost 750,000 SF. Some of these are functionally necessary such as the Circuit Court, Register of Deeds and the Friend of the Court and others are redundant office spaces that should be relocated to the Guardian Building. As of 1/31/15 the total annual lease payments for these 18 properties was $8,821,441.

400 Monroe Building

The 400 Monroe Building houses the Register of Deeds, Assessment, DPS, DOE and a small office for the County Prosecutor. The Register of Deeds needs a publically accessible location due to the intense public use of its offices. The Lease for this space was amended in

November 2013 to extend the term from January 2015 until December 2019 and to slightly shrink the footprint. Current rent is $13 PSF equating to an annual spend of $1.3MM.

DPS and DOE do not need to be physically separate from the rest of the County’s main offices for functional or geographical reasons. Together they comprise 27,000 SF in the 400 Monroe Building at an annual rental rate of $356,000.

28 West Adams

The Wayne County Retirement System occupies 10,372 SF in the old Michigan Mutual Insurance Building at 28 W. Adams on Grand Circus Park. Its lease expires in August 2017 and pays annual rent approaching $200,000. It could easily occupy comparable space in the Guardian Building.

Lahser/James Couzens Probation Buildings

The Adult Probation Division of the Children and Family Services Department rents 2 locations in Detroit on a month to month basis for an annual rent of $480,000. This equates to a rental rate of almost $20 PSF for the Lahser site and $15 PSF for the James Couzens site. These rental rates are higher than downtown class A buildings are charging including the Guardian Building. Furthermore the two offices are a mere 5 miles apart. A further analysis needs to be done to determine the need for both facilities.

1900 East Jefferson

The County rents storage space in the Vigliotti Building at 1900 East Jefferson to the tune of $210,000 per year with an expiration date of May 2015. There are numerous reports that the materials and files in this building are not well secured and are laying in piles on the floors. A determination needs to be made as to whether the facility is being properly utilized and whether its contents are necessary for the future of the County’s business. If not then this lease should be terminated.

Tremonti Building

The Tremonti Building on Clinton in Detroit around the corner from the Murphy Hall of Justice and jails is the home of the Probation Department. Although its lease expires in May of 2015, the buildings proximity to the Courthouse and jail make it a natural location.

It is fairly obvious that there are a number of possible scenarios for consolidating offices into the Guardian Building, terminating leases, selling excess properties and closing inefficient or duplicative facilities that will save operating costs and reduce the deficit. This will result in significant annual savings.
