A meeting of the Executive Committee of the Board of Trustees of the University of Illinois was held in the trustees' room at the Uni­ versity, in Urbana, immediately following the adjournment of the quarterly meeting of Sept. 12, 1911. RESOLUTIONS CoNcERNING Mii·. BAY£rss. It was voted that a committee* of the board be aupointed to prepare suitable resolutions concerning the late Alfred Bayliss, principal of the Western Illinois State Normal School, formerly State Superintendent of Public Instruction and a member of the board.

PLANS FOR BUII,DINGS. The board then proceeded to the consideration of plans submitted by the supervising architect and the State Architect for the addition to the Woman's building, the School of Commerce building, and the Armory.

LOCATION OF SCHOOL OF COMMERCE: BUII,DING. It was voted to reconsider the action in regard to the location of the School of Commerce building, which was passed on July 8, 1911, as recorded on page 458 above, and to amend this action to read as follows: The School of Commerce building, for which the Forty-seventh General Assembly appropriated $125,000.00, shall be approximately 232 feet in length north and south by 187 feet east and west, and the east wall of the building shall be placed 203 feet west of the campus axis, and with the center of the facade on an axis with the center of the west entrance to the Chemical Laboratory, the west facade being thus located approximately 66 feet from the east curb of Wright street; and the centrai portion of this building, 150 feet more or less in length, facing toward the campus, shall be erected at the present time with the appropriation mentioned above. This recommendation was passed as amended.

PLANS FOR WOMAN'S BUII,DING. It was voted to accept the design submitted by th~ State Architect for the addition to the Woman's building, and to direct the State Archi- tect 'rto proceed with the plans for this structure. · It was voted, also, to accept in a general way the floor plans for the addition to the Woman's building submitted by the supervising archi­ tect, and to refer these plans to the Committee on Students' Welfare for consideration, with power to act.

AUDITOR'S REPORT. Mr. Grout, as chairman of the Finance Committee, submitted the report of the Audit Company of Illinois on their quarterly audit of the books and records of account of the University of Illinois for the quarter ending June 30, 1911. · This report was received for record, certain parts to be printed as shown below, and was then referred to the Finance Committee: Aug. 23, 1911. AMERICAN MEDICAL MISSIONARY COLLEGE ALUMNI. (1) A letter from Mr. Rowland H. Harris, the secretary of the American Medical Missionary College, :requesting that action be taken by the board with a view to rhaking the graduates of the American Medical Missionary College members of the Alumni Association of the University of Illinois. CONTRACTS FOR NEW AGRICULTURAL BUILDINGS. (2) The following letter from Dr. Eugene Davenport, dean of the Col­ lege of Agriculture: URBANA, ILL., Sept, 11, 1911. President Edmund: J. PRESIDENT-In order to expedite the matter of glass construc­ tion (,vhich was referred to the Buildings and 'Grounds Committee for report at the meeting of July 8, 1911 (see page 459), I beg to request­ First-That at its coming meeting the Board of Trustees let the contract for the construction of the plant breeding and vegetable house as per plans and bids on hand. Seconcr-That it authorize the supervising architect to proceed with the -construction of a service building for the same. Third-That the letting of the contract for the floricultural addition be referred to the Buildings and Grounds Committee with power. Fourth-That the sum of $30,000.00 appropriated by the General Assembly for glass construction be appropriated by the board for this purpose, and that an additional $20,000.00 from the general agricultural funds be ap­ propriated for the same purpose. Meeting of the Executive Committee September 12, 1911. A meeting of the Executive Committee of the trustees of the Uni­ versity of Illinois was held in the trustees' room at the University in Urbana, immediately following the adjourned session of the quarterly meeting on Sept. 12, 1911. There were present Messrs. Abbott, Grout and Hatch, the members of the committee, Mesdames Bahrenburg, Busey and Evans, members of the board, and President James. The president of the University presented the following matters for consideration :

APPOINTMENT OF PROFESSOR HENRY. (1) A recommendation that Mr. R. L. Henry be appointed assistant pros fessor of Law for one year, beginning Sept. 1, 1911, at a salary of $2,500.00 for the year. This recommendation was approved.

PROFESSOR MILLER'S SALARY INCREASED. (2) A recommendation that the salary of Dr. George A. Miller, professor • of Mathematics, be made $3,000.00 per annum, beginning Sept. 1, 1911. This recommendation was approved.

BUDGET OF COLLEGE OF MEDICINE. (3) The budget of the Coliege of Medicine for the year 1911-12 . . This budget was rnferred to the Committee on the College of Medi­ cine, with power to act.

RESEARCH IN PROBLEMS OF THE CANNING INDUSTRY. ( 4) The following statement and recommendation in regard to a proposi­ tion to undertake research into certain problems of the canning industry: Mr. J. W. McCall, of Gibson City, Ill., president of the Illinois Canners' Association, wrote some time ago to. Dr. T. J. Burrill, vice-president, asking whether the University would be willing to undertake an investigation into certain practical scientific problems connected with the canning industry; Dr. Burrill wrote that the funds granted by the Legislatnre would not enable the University to undertake this investigation at the present time,. but that if the Canners' Association would furnish the necessary money to pay the salary of an expert chemist and bacteriologist it might be possible for the University to carry on some investigations which would be well worth while. 1911] PROCEEDINGS OF THE BOARD OF TRUSTEES. 491

J',JcCall, Esq., Gibson City, Ill.: MY DEAR Sm-In answer to your letter of , which came while I was absent from the University and was referred to the vice-president, who had an interview with you in regard to the matter of your communication I beg to say that I think the University would be very glad to undertake the kind of an investigation which you suggest. I regret to say that, for the present biennium at any rate, there is little probability that the University could expend any money for this purpose. But if your Canners' Association would pay, say, the sum of $1,000.00 per year, for two or three years, as the case might be, I think the University would undertake to provide space and general supervision for such an investigation as you propose, using the money to hire a competent assistant fa the Department of Bacteriology and Chemistry to do this work. If the association should care to consider this matter, I should be glad to take it up with the Department of Chemistry and Bacteriology. Faithfully yours, EDJl,lUND J. JAJ1,1ES. James, President University of Illinois, Urbana, Ill.: DEAR Sm-At a. meeting recently held in Chicago by the Illinois Canners' Association, your proposition, as outlined in your letter of June 28th, to undertake the special research work relative to canning corn and other vegetables, provided the association would guarantee the University $1,000.00 per year for a terni of three years, was accepted; and I was authorized to dose. negotiations with you for the same. Am pleased to enclose herewith Chicago exchange for $1,000.00 in pay­ ment of the first year's installment, and will thank you to get this valuable work under way at your earliest convenience. I remain, · Yours truly, J. W. McCALL, President Illinois Canners' Assn. This money is. therefore in the .hands of the comptroller, awaiting auth­ ority from the board for the undertaking of this. investigation. I recom­ mend that the president of the University be authorized to appoint' a research .assistant, for one year, at a salary of not to exceed $1,000.00, to undertake this work, arid that an appropriation of the fund thus contributed by the Illinois Canners' Association be made for this purpose. In accoruance with this recommendation, it was voted to accept this -0ffer of. the Illinois Canners' Association, anq to a.ppropriate the sum of -0ne thousand dollars ($1,000.00) already received for the purpose speci- fied in the offer.

SUMMARY OJ<, MEDICAL SCHOOL SITUATION. (5) The following statement in regard to the status of the reiations be­ tween the University and the College of Physicians and Surgeons, to be printed in the miJ:lutes: ·In accordance with the authority given me by the Executive Committee of the Board of Trustees on Aug. 1, 1911 (page 468), I wrote letters offering the position of Professor of Physiology and Junior Dean of the College of Medicine to Dr. Elias P. Lyon, now professor of Physiology and dean of the Medical College, St. Louis University, St. Louis, Mo., and offering the posi­ tion of professor of Anatomy in the College of Medicine of the University -0f Illinois to Dr. Albert Chauncey Eyclesheimer, now professor of anatomy in St. Louis University. 492 UNIVERSITY OF ILLINOIS. · After sending the letters, the unexpected action of Judge Creighton of Springfield, in which the medical appropriation and agronomy appropria­ tion made by the last Legislature were held up, pending the decision of the Supreme Court of the State upon the constitutionality of the law granting said appropriations ( although he denied the application for the injunction), made it impracticable for the University to assume the financial obligations which the reorganization of the medical school at ·the present time would ~V~ff. ' . I telegraphed, therefore, to both gentlemen, withdrawing the offer made, the telegrams reaching them, I understand, before the letters tendering the positions. At any rate, both men have acquiesced in the withdrawal of the offer as being the only proper thing under the circumstances. At the meeting of the Execµtive Committee, July 8, 1911, the president and secretary of the board were authorized (page 434) to sign a modified lease for the premises of the College of Physicians and Surgeons for two years from Aug. 31, 1911. · Owing to the result' of the injunction proceedings brought by the State Homeopathic Association to prevent the State Treasurer from paying over the medical funds appropriated by the last Legislature, it was voted at the meeting of the Executive Committee held July 25, 1911 (page 466), that the officers of the board who were authorized on July 8, 1911, to sign the lease for the period of two years beginning Sept. 1, 1911, should not sign this lease until further directed by the Executive Committee of the board or by the board itself. At the meeting of the Executive Committee held Aug. 1, 1911, it was voted (page 470) to lease the plant of the College of Physicians and Surrgeons for the use of the College of Medicine, on the best terms possible, for a period not to exceed two years. The lease has not been signed at present, and the matter is before the board ·for final action. · I do not think that the Board of Trustees should make a lease for a longer term than one year from Sept. 1, 1911. If the Supreme Court does not grant the injunction asked for by the State Homeopathic Association, the board will be _free to proceed with the reorganization of the College of Medicine. If the Supreme Court should grant the injunction, it seems likely that nothing but a special session of the Legislature can solve the tangle. In this case the State Homeopathic Medical Association will undoubtedly carry on an active campaign against the endorsement of the appropriation made by the last Legislature. If the appropriation should fail, .I think the only course open to the board would be to close the Medical School in Chicago. I recommend that the president and secretary of the board be authorized to execute a lease for the plant of the College of Physicians and Surgeons for one year from Sept. 1, 1911, in accordance with the appended lease. The phraseology is changed slightly from the phraseology of the lease which expired on Aug. 31, 1911, in accordance with the action of the Execu­ tive Committee on July 8 (page 434). This change has to do rather with the form than with the essence of the .lease. It will be remembered that the lease made September 1 a year ago (pages 3-5), · was altered in Feb­ ruary, 1911 (pages 79-81), in order to cut out certain expressions which seemed to imply that the University had leased a school as well as a medical plant from the College of Physicians and Surgeons, and that it was to turn back the school in certain contingencies. The present change is intended to cut out one other expression which seemed to look in the same direction. As the foregoing statement was submitted but not read, no action was taken upon ·it. In order to make clear the point involved, the fol­ lowing additional statement has been submitted by the president: On the 12th of August, 1910, an indenture was signed between the· College of Physicians and Surgeons of the city of Chicago and the Board of Trus­ tees of the University of Illinois, by which the former leased to the latter 1911] PROCEEDINGS OF THE BOARD OF TRUSTEES. 493 its medical plant in the city of Chicago for a period of one year from Sept. 1, 1910, with the right to renew for two two-year periods upon the same terms. The intention of the parties was plain to the effect that the University was leasing a medical plant for the use of its medical school, but there were certain expressions in the lease which might be interpreted to imply that after all the medical school did not really belong to the Universit;y of Illinois, but was· itself, as a school, a subject of contract between the University and the College of Physicians and Surgeons. (See minutes of the board for Sept. 20, 1910, pages 3-5.) · In order to make it quite evident that the medical school belongs to the University of Illinois and not to the College of Physicians and Surgeons, and that the University is free at any time, upon the expiration of the lease of the property, to locate the school in other quarters, the lease was modi­ fied by joint action of the parties in February, 1911. At this time the fol­ lowing sentences and words were struck out of the indenture as made on Aug. 12, 1910, namely, the closing sentence of paragraph 4, page 3, of said lease, which reads as follows: "It is further agreed. that at ·any time that this lease is ended either by its expiration or forfeiture the party of the second part will return the schools to the party of the first part." Also by striking out the words "and schools," in line 18 of page 4, paragraph 6 (see minutes o fthe board for Feb. 28, 1911, pages 79 and 80.) It appe;:trs that certain other expressions of the same sort should be changed in the lease if one is to be made. It is proposed, therefore, that the new lease be changed in so far from the old lease that in paragraph 3, on page 4 of the minutes of the board for Sept. 20, 1910, in the seventh line, beginning with the second word, the phraseology shall be as follows: "To the end that said party of the second part may assume the permanent and entire direction, control, and ownership of the schools of the College of Physicians and Surgeons." T'his would omit the following words in the next to the last line of the paragraph, viz: "which said party of the second part hereby agrees to do from the commencement of and during the said term of the said lease," and emphasize still more strongly the fact that the me'dical school belongs to the University of Illinois and not to the College of Physicians and Sur­ geons, and that the giving up of the lease_ will have no necessary connection with the action of the trustees in regard to the medical school. The trus­ tees may give up the lease and rent other property for the location of the school, or they may close the school in Chicago altogether, or they may remove it to Urbana-Champaign. In a word the only relation of the Uni­ versity of Illinois to the College of Physicians and Surgeons in this whole matter, should be simply that of tenant· to landlord.

DECORATION OF ENTRANCE OF LINCOLN HALL. ( 6) A recommendation that the sum of not to exceed one thousand dol­ lars ($1,000.00) be appropriated for the decoration of the entrance of Lin­ coln Hall.
