INTRODUCTION This paper investigates the stock market‟s changing reaction to station transactions in the U.S. broadcast radio industry. The high fixed costs of broadcasting allow considerable efficiencies from consolidation, but regulation historically prevented broadcasters from taking advantage of these effects. The industry‟s significant deregulations in the 1990s sparked a frenzy of transactions, as pent-up interest in consolidation drove station sales to reach unprecedented volumes. Within five years, more than a thousand owners had cashed in and left the market, with the remaining players rapidly expanding. This phenomenon provides a fascinating case to study from the securities market‟s perspective. Thousands of stations were traded into a smaller number of hands, with an increasing number of stations owned and operated by public companies, offering a wealth of data: each transaction added another data point to the market‟s understanding of how deals drive stock prices. As stations have continued to trade hands through changes in regulations, economic cycles, and consumer behavior, how does each variable impact the stock price of each player in the ecosystem? This analysis finds that while certain variables follow patterns when stratified into separate groups, the abnormal returns to sellers and buyers are generally difficult to predict from deal data.

Those laws are based on the principle that listeners and viewers are entitled to know who seeks to persuade them. The disclosures required by those laws provide listeners and viewers with information concerning the source of material in order to prevent misleading or deceiving those listeners and viewers. Enforcement of the sponsorship identification laws also protects fair competition among advertisers. We seek to prevent sponsors from gaining unfair advantage by paying stations to present promotional messages without appropriate disclosures, while their competitors observe the rules and present their content as properly acknowledged commercial advertisements. 3. The Bureau investigated a complaint that the Station broadcast announcements supporting a hydro-electronic energy project in New Hampshire without disclosing the identity of the company that sponsored the announcements.

Moyers, Chancellor No. E2010-01685-SC-R11-CV - Filed January 17, 2013 The legal issues in this appeal revolve around the assignment of three agreements. The first is a Right-of-First-Refusal Agreement that allowed for an assignment with the consent of the non-assigning party. The agreement was silent as to the anticipated standard of conduct of the non-assigning party in withholding consent. The other two agreements—a Time Brokerage Agreement and a Consulting Agreement—were assignable without consent. The primary issue we address is whether the implied covenant of good faith and fair dealing applies to the non-assigning party’s conduct in refusing to consent to an assignment when the agreement does not specify a standard of conduct. Oak Ridge FM, Inc. (“Oak Ridge FM”) contractually agreed for Dick Broadcasting Company (“DBC”) to have a right of first refusal to purchase Oak Ridge FM’s WOKI-FM radio station assets. The agreement was assignable by DBC only with the written consent of Oak Ridge FM. When DBC requested Oak Ridge FM to consent to the assignment of the Right-of-First-Refusal agreement to a prospective buyer, Oak Ridge FM refused to consent. Oak Ridge FM also refused to consent to the assignment of the Consulting Agreement and Time Brokerage Agreement, neither of which contained a consent provision.
