  • A Postmortem for Sears - Transcript
A Postmortem for Sears - Transcript Tom Mullooly: In episode 123, we're going to do a postmortem on Sears Roebuck. Stick around. Welcome to the Mullooly Asset show. I'm your host, Tom Mullooly, and this is episode number 123. One, two, three red light. So today, the day that we're recording this, it looks like Sears Roebuck is going to ask the bankruptcy court to enter liquidation, and that's the end of Sears as we know it. So I thought it would be a good time to just kind of take a walk down memory lane. There's a lot of people in the media today who are comparing Amazon to Sears saying, "Hey, Sears was the Amazon of its day." And I just want to share a couple of things that I've learned over the years about Sears. It was started in 1886 as a mail order company. Richard Sears actually sold watches through a catalog that he put together. A year later, in 1887, he hires a guy named Alvah Roebuck to repair watches. So I guess they had problems with some of the watches that they were selling through their catalog. They then added jewelry, and the mail order business really took off. What helped them, a little bit of history for you, is that in the late 1880s, the US government started a program called rural free delivery, or RFD. Some of you are around my age may remember a TV show after Andy Griffith left. It was called Mayberry RFD, and everybody always wanted to know what RFD stood for.

  • The Coldwell Banker Story
The Coldwell Banker Story The Coldwell Banker Tradition The story of Coldwell Banker is a story of leadership and success. From its beginnings in San Francisco in 1906, Coldwell Banker has grown to become the premier residential real estate organization in North America. Coldwell Banker was founded on a commitment to professionalism and customer service that continues to be the core of its business philosophy today. Coldwell Banker provides its sales associates with the strongest support in the real estate industry so they in turn can deliver the support their buyers and sellers need. That's the Coldwell Banker tradition. The Coldwell Banker Heritage After the devastating earthquake and fire in San Francisco in 1906 , young real estate agent Colbert Coldwell saw the need for honest, knowledgeable and professional real estate services to help the city rebuild. Coldwell disapproved of the common practice of that day where real estate agents acquired properties for themselves, often from uninformed sellers at ridiculously low prices, and then resold them for huge profits. With two partners, he formed the real estate company of Tucker, Lynch and Coldwell, dedicated to the principal that they would work only for their customers and not trade for their own account, the beginning of a tradition of integrity and customer support that continues to this day. In 1913 , Benjamin Arthur Banker joined the firm as a salesman, and he and Colbert Coldwell quickly discovered they held similar views and ethics. Banker became a partner in 1914, and the two remained active in the company throughout their lives. The Company Grows The early years of the growing, successful Coldwell Banker company were devoted primarily to commercial real estate brokerage.

The Downfall of Sears Examining Sears’ decline from being the largest US retailer to bankruptcy Fall 2019 Jarett Bienenstock Ryan Fitzgerald Max Glasser Kwan Kim Professor Edward Altman Bankruptcy and Reorganization Table of Contents Executive Summary 2 The Rise and Gradual Decline of Sears 2 The Kmart Merger 3 The Eddie Lampert Years 5 Financial Engineering: Spin Offs 8 Financial Engineering: Loans From ESL 14 On The Cusp of Bankruptcy 15 Sears’ Bankruptcy 17 Could Sears’ Bankruptcy Have Been Predicted? 24 Transformco (a.k.a. “New Sears”) 25 Appendix 27 References 28 1 Executive Summary On October 15, 2018, Sears (the “Company”, or the “Debtor”) filed for Chapter 11 bankruptcy, capping a fall from being the largest retailer in the US in the 1970s to a declining behemoth unable to successfully compete with big box stores and online retailers in the 2010s. The Company’s decline was exacerbated by a 2005 acquisition by Kmart, led by hedge fund manager Eddie Lampert. Lampert’s strategy of slashing capital expenditures, spinning off non-core assets, and raising the combined companies’ leverage to increase capital distributions to shareholders ultimately proved to be a losing formula. With limited liquidity and a heavy debt load, Sears was unable to make $134 million in debt payments due on October 15, 2018. While bankruptcy provided Sears with the opportunity to reduce its total debt and close unprofitable locations, the “new” Sears that emerged from bankruptcy in early 2019 with Eddie Lampert still at the helm continues to struggle, resulting in more store closures and questions as to how long the Company can fend off becoming the latest brick-and-mortar retailer to liquidate.
