The Proposer acknowledges that if this Proposal and the foregoing documents are not fully in compliance with applicable requirements set forth in the Call for Proposals, the Instructions to Proposers and in each of the foregoing documents, the Proposal may be rejected.

Requirements of Proposer Recommended for Award of Contract: It is understood and agreed that if written notice of the acceptance of this Proposal demonstrated by Proposal evaluation and ranking thereon is mailed, telegraphed or delivered by the District to the undersigned after the opening of Proposals, the undersigned will execute and deliver to the District all required documents in accordance with the Proposal as detailed above and in the Instructions to Proposers. All of the foregoing shall be in conformity with applicable requirements set forth in Call for Proposals, the Instructions to Proposers and in each of the foregoing Documents. Failure of the Proposer recommended the Contract to strictly comply with the preceding may result in the District’s rescission of the award of the Contract. In such event, the District may, in its sole and exclusive discretion elect to award the Contract to the responsible Proposer submitting the next highest ranked Proposal or to reject all Proposals. U.S. COMMUNITIES OVERVIEW

1. U.S. COMMUNITIES

U.S. Communities Government Purchasing Alliance (herein “U.S. Communities”) assists Participating Public Agencies to reduce the cost of purchased goods through strategic sourcing that combines the volumes and the purchasing power of public agencies nationwide. This is accomplished through an award of competitively solicited contracts for high quality products and services by large and well recognized public agencies (herein “Lead Public Agencies”). The contracts provide for use by not only the respective Lead Public Agency, but also by other Participating Public Agencies.

2. National Sponsors

U.S. Communities is jointly sponsored by the National Institute of Governmental Purchasing (NIGP), the National Association of Counties (NACo), the National League of Cities (NLC), the Association of School Business Officials International (ASBO) and the United States Conference of Mayors (USCM) (herein “National Sponsors”).

3. Advisory Board

The U.S. Communities Advisory Board is made up of key government purchasing officials from across the United States.

Each Advisory Board Member is expected to actively participate in product solicitations and selection, participate in policy direction, and share expertise and purchasing innovations.

4. Participating Public Agencies

Today more than 62,000 public agencies utilize U.S. Communities contracts and suppliers to procure over $1.5 Billion Dollars in products and services annually. Each month more than 400 new public agencies register to

participate. The continuing rapid growth of public agency participation is fueled by the program's proven track record of providing public agencies unparalleled value.

The Supplier must communicate directly with any Participating Public Agency concerning the placement of orders, issuance of the purchase order, contractual disputes, invoicing, and payment.

San Diego Unified School District is acting as "Contracting Agent" for the Participating Public Agencies and shall not be held liable for any costs, damages, expenses, fees, liabilities, etc. incurred by any other Participating Public Agency.

Each Participating Public Agency enters into a Master Intergovernmental Cooperative Purchasing Agreement (MICPA) outlining the terms and conditions that allow access to the Lead Public Agencies’ Master Agreements. Under the terms of the MICPA, the procurement by the Participating Public Agency shall be construed to be in accordance with, and governed by, the laws of the state in which the Participating Public Agency resides. A copy of the MICPA is located in the MICPA Section of the RFP.

5. Estimated Volume

The estimated dollar volume of Products and Services purchased under the proposed Master Agreement is $100 Million Dollars annually. This estimate is based on the anticipated volume of the Lead Public Agency, the U.S. Communities Advisory Board members, and current sales within the U.S. Communities program. While there is no minimum quantity of products required to be purchased under the proposed Master Agreement, San Diego Unified School District and the U.S. Communities Advisory Board Members are committed to utilizing the Master Agreement. The Advisory Board members shall determine if the Master Agreement is of value to their agency, and will promote the Master Agreement among other public agencies nationwide and internationally. The Advisory Board in 2013 purchased more than $146 Million Dollars of products and services from existing U.S. Communities contracts.

6. Marketing Support

U. S. Communities provides marketing support for each Supplier’s products through the following:

 National Sponsors as referenced above.

 State Associations of Counties, Schools and Municipal Leagues.

 Administrative and marketing personnel that directly promote the U.S. Communities Suppliers to Participating Public Agencies through public agency meetings, direct mail, national publications, annual meetings and a network of K-12, City, County, Higher Education and State Associations.

 U.S. Communities provides Suppliers government sales training, and a host of online marketing and sales management tools to effectively increase sales through U.S. Communities.

7. Marketplace

U.S. Communities has developed an online Marketplace, which gives Participating Public Agencies the ability to purchase from many U.S. Communities contracts directly from our website. The Marketplace makes it easier for Participating Public Agencies to access many contracts through a single login and place orders using a procurement card, credit card or purchase order. Suppliers have the ability to add their products to the Marketplace at no cost.

8. Multiple Awards

Multiple awards may be issued as a result of the solicitation. Multiple Awards will ensure that any ensuing Master Agreements fulfill current and future requirements of the diverse and large number of Participating Public Agencies.

San Diego Unified School District reserves the right to award the contract in the aggregate, by section, multiple award, primary, secondary, and tertiary, whichever is in the best interest of San Diego Unified School District and Participating Public Agencies as a result of this solicitation.

9. Evaluation of Proposals

Proposals will be evaluated by the Lead Public Agency in accordance with, and subject to, the relevant statutes, ordinances, rules and regulations that govern its procurement practices.

U.S. Communities Advisory Board members and other Participating Public Agencies will assist the Lead Public Agency in evaluating proposals. The Supplier(s) that respond(s) affirmatively meets the requirements of this Request for Proposal and provides the best overall value will be eligible for a contract award. U.S. Communities reserves the right to make available or not make available Master Agreements awarded by a Lead Public Agency to Participating Public Agencies.

GENERAL INSTRUCTIONS SECTION

1. QUALIFIED PROPOSERS

San Diego Unified School District (herein “Lead Public Agency”) on behalf of itself and all states, local governments, school districts, and higher education institutions in the United States of America, and other government agencies and nonprofit organizations (herein “Participating Public Agencies”) is soliciting proposals from qualified companies to enter into a Master Agreement for a complete line of Education, Classroom, Miscellaneous Support Furniture and Related Products and Services (herein “Products and Services”).

A. OBJECTIVES

1. Provide a comprehensive competitively solicited Master Agreement offering Products and Services to Participating Public Agencies;

2. Establish the Master Agreement as a Supplier’s primary offering to Participating Public Agencies;

3. Achieve cost savings for Suppliers and Participating Public Agencies through a single competitive solicitation process that eliminates the need for multiple bids or proposals;

4. Combine the volumes of Participating Public Agencies to achieve cost effective pricing;

5. Reduce the administrative and overhead costs of Suppliers and Participating Public Agencies through state of the art ordering and delivery systems;

6. Provide Participating Public Agencies with environmentally responsible products and services.

ALL PRODUCTS OFFERED MUST BE NEW, UNUSED, LATEST DESIGN AND TECHNOLOGY UNLESS OTHERWISE SPECIFIED.

The District reserves the right to award the contract in the aggregate, by section, multiple award, primary, secondary, and tertiary, whichever is in the best interest of the District and Participating Public Agencies as a result of this solicitation.

Proposers must in their Proposals clearly present evidence that they are a competent and qualified company capable of providing the services detailed herein. Proposers shall, in their submitted Proposals detail their experience, expertise, qualifications, and proposed methodology to provide the services detailed in this Request for Proposals (RFP). This RFP is designed to provide interested Proposers with sufficient basic information to submit Proposals meeting minimum requirements. Furthermore, this RFP is not intended to limit a Proposal’s content or exclude any relevant or essential data. The District will consider various Proposals and methods of providing the scope of work/service(s) outlined in this document.

The RFP shall not obligate the District to purchase or contract for any services specified herein. Furthermore, the District reserves the right to accept or reject any or all Proposals received, to negotiate with whomever and in whatever manner the District decides or to cancel in part or in its entirety this RFP, if it is determined by the District to be in its best interest. No Proposal shall receive consideration by the San Diego Unified School District unless made in accordance with instructions contained within this RFP.

2. CONTRACT TERM

The term of this Contract will be for three (3) years beginning January 1, 2015 and ending December 31, 2017, with two additional annual options to extend the Contract if it is deemed in the best interest of the District.

3. NON-MANDATORY PRE-PROPOSAL MEETING

There shall be a non-mandatory Pre-Proposal meeting held at 10:00 am on June 18, 2014 at: San Diego Unified School District Eugene Brucker Education Center Auditorium 4100 Normal Street San Diego, CA 92103

Interested proposers are strongly encouraged to attend.

4. SUBMISSION OF PROPOSALS

In order to be considered acceptable to this RFP, Proposals submitted must include:

A. One (1) original and three (3) copies as well as twelve (12) thumb drives of a Price and Technical Proposal, which MUST BE in a separately sealed and labeled envelope or package. To include all Proposers’ drafted narrative Proposal pages necessary for the Proposer to fully detail their Proposal offer.

B. Non-Collusion Declaration, Proposal Form, Drug Free Workplace Certificate, References, and Agreement Pages must be signed (original wet signature), by an authorized officer of the company, and returned with the Proposal.

C. All other submittals as stated herein.

The signature of all individuals must be in ink and in long hand. Completed forms should be without interlineations, alterations, or erasures.

Envelopes/packages must be labeled District RFP No. RFP # SV-15-0028-13, and the Proposer’s business name, address on the exterior of the envelope/package.

The Proposal must be typewritten and prepared in a clean and professional manner. No pencil figures or erasures permitted. Mistakes may be crossed out and corrections inserted adjacent thereto and must be initialed in ink by person signing Proposal. No oral, telegraphic, email, electronic, facsimile, or telephonic modifications will be accepted.

5. ADDITIONAL REQUIRED SUBMITTALS

The following documents are required to be submitted with Proposer’s submitted Proposal.

A. Copies of all current Licenses and Certifications applicable to the services detailed herein.

6. INTERPRETATION OR QUESTIONS ON RFP DOCUMENTS If any Proposer submitting a Proposal has a question they may submit a written or e-mail request for an interpretation, clarification or correction, on or before 1:00pm, Thursday, June 19, 2014, to:

Any interpretation, clarification or correction concerning this RFP and its attachments will be made by written Addendum duly issued and Proposers shall receive notification in the same fashion as the RFP was released. Any addenda issued prior to the opening of the Proposals, or forming a part of the documents distributed to the Proposer for the preparation of his Proposal, shall be made part of the Contract. All questions received by the above specified deadline shall be posted along with the District’s response at www.demandstar.com no later than June 25, 2014.

7. PROPOSAL FORMAT

Proposals must be submitted in the format and order outlined below. The Proposal should present all information in a concise manner, neatly arranged, legible, and in terminology understandable for evaluation by the District’s Proposal Evaluation Committee. All information requested is to be addressed directly and completely. It is more desirable to give additional information than less when the answer could be misinterpreted. There should be no attachments, enclosures, or exhibits other than those considered by the Proposer to be essential to a complete understanding of the Proposal submitted.

The Technical Proposal and Price Proposal must be submitted separately in sealed packages clearly marked “Technical Proposal” and “Price Proposal”. A proposal that is not organized and submitted as separate and distinct “Technical” and “Price” proposal sections will result in disqualification.

It is required that one (1) original, three (3) copies as well as twelve (12) thumb drives of the Technical Proposal be submitted.

TECHNICAL PROPOSAL The Proposer must submit the Technical Proposal in a separate binder containing the following information divided by sections. This information will be considered the minimum content of the proposal. Proposal contents shall be arranged in the same order and identified with headings as presented herein.

A. SECTION 1 – COVER LETTER

The Proposer will provide a cover letter describing a brief history of the Proposer and its organization. The letter will indicate the principal or officer of the Proposer organization who will be the District’s primary point of contact during clarifications or negotiations. This individual must have the authority to clarify and/or negotiate all aspects on the scope of products and services on behalf of the Proposer. An officer authorized to bind the Proposer to the terms and conditions of this RFP must sign the cover letter transmitting the proposal. An unsigned proposal or one signed by an individual unauthorized to bind the Proposer may be rejected.

B. SECTION 2 - EXECUTIVE SUMMARY

The Proposer will provide an Executive Summary that presents in brief, concise terms a summary level description of the contents of the proposal.

C. SECTION 3 – PROPOSER ORGANIZATION PROFILE

The Proposer must provide a profile of its organization and all other companies who will be providing services through a dealer, distributor or subcontractor arrangement with the Proposer. At a minimum, the Proposer will provide the following information:  Name of firm submitting proposal  Main office address, telephone number, fax number  Primary contact email address and website address  State if company operates as an individual, partnership or corporation  If a Joint Venture (JV), provide a true, correct copy of its Joint Venture agreement which shall contain the following statement (or words to similar effect, “Each individual party of the Joint Venture is jointly and severally liable for the obligations and liabilities of the Joint Venture to San Diego Unified School District and/or US Communities.”  If a corporation, when and where incorporated to include corporate and tax ID  List any dba’s  Number of years in business  Total number of employees

D. SECTION 4 – COMPLETE REQUEST FOR PROPOSAL

The District’s complete Request for Proposal (RFP) No. SV-15-0028-13 with all pages and issued Addenda. All Requests for Proposal pages requiring signatures, information filled in, etc. must be completed in full.

E. SECTION 5 – QUALIFICATIONS

1. The Proposer must provide a written response to each item in paragraph 5, Submittals/Questions of the SCOPE OF WORK section of this RFP. 13

2. REFERENCES: Provide three (3) references of public agencies, excluding federal, where Proposer has successfully furnished the same materials, products, and/or services for school districts or large organizations and at least one (1) K-12 large school district from California, (Ref page 26).

F. SECTION 6 - SUPPLIER INFORMATION

1. Supplier Qualifications Section: Proposer must include a narrative of its understanding and acceptance of the Supplier Commitments. (Ref pages 41-44).

G. SECTION 7 - FINANCIAL STATEMENTS

Proposer shall submit an audited financial statement from your firm and any parent company for the last two years of operation.

H. SECTION 8 – U.S. COMMUNITIES ADMINISTRATION AGREEMENT, signed, unaltered

PRICE PROPOSAL The Proposer must submit the Price Proposal in a separate binder containing the following information divided by sections. This information will be considered the minimum content of the proposal. Proposal contents shall be arranged in the same order and identified with headings as presented herein.

Do not include taxes in the Price Proposal.

The Technical Proposal and Price Proposal must be submitted separately in sealed packages clearly marked “Technical Proposal” and “Price Proposal”. A proposal that is not organized and submitted as separate and distinct “Technical” and “Price” proposal sections will result in disqualification.

It is required that one (1) original, three (3) copies as well as twelve (12) thumb drives of the Price Proposal be submitted.

1. Provide the pricing using a fixed percentage (%) discount off a MANUFACTURER PRICE LIST or other objectively verifiable criteria.

2. Discounts will be quoted on the basis of:

A. TAILGATE DELIVERY: All deliveries shall be delivered to the warehouse and/or site. Participating Public Agency is responsible for unloading.

B. INSIDE DELIVERY: All deliveries shall be delivered to the site and unloaded. The Proposer is responsible for unloading.

C. DELIVERED AND ASSEMBLY: All deliveries shall include inside delivery, uncrating assembly, set-up, removal of debris from premises, assembly instructions and the bill of materials per the Participating Public Agency’s approved plan and specifications.

3. All product and assembly pricing may be priced by region, zone or other categorization.

B. SECTION 2 – PRICE LISTS

The Proposer must provide copies of the MANUFACTURER PRICE LIST or other objectively verifiable criteria.

C. SECTION 3 – ADDITIONAL SERVICES

1. Reconfiguration: Provide an hourly rate to reconfigure manufacturer’s furniture.

2. Design Services: Provide an hourly rate for design services.

3. Detail any additional pricing incentives or rebates that may be available such as for large volume purchases by Participating Public Agencies.

D. SECTION 4 – RELATED PRODUCTS, SERVICES AND SOLUTIONS

Provide pricing for any additional related products and services offered that it wishes to be considered.

E. SECTION 5 – SAMPLE PROJECTS

The Proposer must submit pricing for the Sample Projects provided in Attachments A-1, A-2, A3 and A- 4. Pricing should be based on pricing quoted in Attachment A. The Sample Projects will be used for evaluation purposes only.

8. METHOD OF PROPOSAL EVALUATION AND AWARD

The District reserves the right to make award on the basis of the initial proposals received without discussions, oral or in person interviews or further negotiations with Proposers. For this reason, Proposers should submit a complete, comprehensive and most favorably priced proposal.

The District Evaluation Committee will screen and score all Proposals for compliance with the Request for Proposals, and may select finalists for further Proposal evaluation.

The proposal evaluation, selection, and award criteria include, but are not limited to, the following:

A. Initial determination of compliance with RFP requirements: The evaluation committee will perform an initial review of all proposals that are timely submitted. After performing such initial review, the

Committee may recommend discontinuing the evaluation of any proposal with the committee considers not suitable for further consideration for various reasons, including but not limited to the following:

1. The proposal is not a reasonable effort to respond to the requirements of the RFP; or

2. The proposal contains technical or business deficiencies, including but not limited to unacceptable pricing; or

3. The proposal does not exhibit highly desirable capabilities and experience in providing Education, Classroom, Miscellaneous Support Furniture and Related Products and Services.

4. Of note, during the evaluation and the award process, the District can waive minor irregularities if, in its judgment, to do so would be in the best interest of the District and Participating Public Agencies.

B. Continued evaluation: The evaluation committee will continue its evaluation of all remaining proposals. Such selection shall be based upon, but not limited to, the following evaluation criteria:

1. Product and Service Offering: The Evaluation Committee will evaluate the company’s ability to offer the broadest possible selection of Education, Classroom, Miscellaneous Support Furniture and Related Products and Services to meet the various needs of the District and Participating Public Agencies.

2. Regulatory Standards, Qualifications, Expertise and Experience with Similar Projects as well as Staffing Plan. The Evaluation Committee will evaluate the company knowledge, resources, experience, qualifications, references, past performance and history of providing Education, Classroom, Miscellaneous Support Furniture and Related Products and Services to public entities (excluding federal). The Evaluation Committee will be evaluating and scoring the knowledge, qualifications, expertise and experience of the company’s staff, designated in their proposal, which will be assigned to the District. (The successful Proposer shall include the designated staff on the project team and shall be individually named in the agreement with the District, subject to substitution rules discussed herein.)

3. Supplier Information: The Evaluation Committee will evaluate the company’s ability to meet the U.S. Communities commitments and requirements and demonstrate its capabilities to provide Education, Classroom, Miscellaneous Support Furniture and Related Products and Services on a national basis. The Evaluation Committee will be evaluating and scoring the ability of the company to demonstrate its reputation in the marketplace, experience, and capability on a national basis, the ability to distribute products nationwide, the company’s marketing plan to promote this contractual agreement to Participating Public Agencies nationwide, the company’s ability to provide reliable products and services, the company’s ability to administer the Contract nationwide, the ability of the

company to dedicate personnel on a national scope for this Contract and the companies environmental initiatives nationwide.

4. Detailed Pricing: The Evaluation Committee will evaluate the prices offered for the products and services requested herein. Do not include taxes in the pricing offered. The Sample Projects in Attachments A-1, A-2, A-3 and A-4 Sample will be used to evaluate prices submitted in Attachment A.

A. Demonstrations, Oral Interviews and Negotiations: Upon completion of the Evaluation Committee’s review, evaluation and scoring of proposals, the District, at its sole discretion, reserves the right to create a short-list of the top ranked/scored companies and to subsequently conduct demonstrations, oral interviews, follow-up oral interviews and negotiations on their submitted proposals as needed.

The District will ask pertinent questions regarding the Proposer’s proposal. Said oral interviews shall include any and all areas of concern relevant to this proposal as determined by the District to be in its best interests. In the event of an oral interview, it shall be understood that the Proposer is required to refer to the contents of their submitted proposal rather than to add to or embellish their proposal content after its proposal is submitted. The District will provide requirements regarding oral interviews to selected finalists. Failure to participate in the oral interviews at the time requested will result in rejection of the proposal.

The District will enter into proposal negotiations with the Proposer or Proposers whose proposals have been determined by the District to be in its best interest to accept. Said negotiations shall include, but not be limited to, price negotiations, service negotiations, and any other areas of negotiations relevant to this agreement. Based on the information obtained by the evaluation committee, the evaluation committee may, in its sole discretion, request that a company or companies still under consideration submit, in writing, by a prescribed time and date, a Best And Final Offer to perform the requirements of the RFP.

The District reserves the right to reject any and all proposals, to contract services with whomever and in whatever manner the District decides, award on the basis of total proposal or to abandon the services entirely, and to waive any informality or non-substantive irregularity as the interests of the District and Participating Public Agencies may require.

The evaluation, scoring and award decision of the District shall be final.

All responses sent to the District prior to recommendation for Board award or actual award of contract under certain circumstances are sent as confidential documents. No part of the responses will be made public or shown to any persons outside of the District and its screening and selection panels until after a recommendation for award has been made to the District’s Board of Education, or until after actual award of contract under certain circumstances, at which time all documents will be public record.

The District reserves the right to make an award of this Proposal any time up to 120 days from the date of Proposal opening.

Any recommendation to award a Contract is subject to approval by the San Diego Unified School District Board of Education at a regularly scheduled meeting.

If the District is unable to finalize a mutual contractual agreement with a Proposer, then the District will determine, at that time, its action related to this RFP.

9. AMENDMENTS AND ADDENDA The terms and conditions contained in the Request for Proposal, Proposal Form, Instructions to Proposers, Scope of Work, Specifications, General Conditions and Agreement herein may be amended or modified only with the prior written approval of the District. Any addenda or bulletins issued prior to the opening of the Request for Proposal shall form a part of the specifications issued to Proposers for the preparation of their Proposals and shall constitute a part of the Contract Documents Any modification, qualification, exception or change made to the District’s terms and conditions detailed herein may be grounds for rejection of the Proposal.

10. EVIDENCE OF RESPONSIBILITY

Upon request of the District, in addition to the required financial statements submitted with the Proposal, Proposer shall submit promptly to the District satisfactory evidence showing the Proposer’s financial resources, the Proposer’s experience in the type of work being required by the District, the Proposer’s organization available for the performance of the work and any other required evidence of the Proposer’s qualifications to perform. The District may consider such evidence before making its decision. Failure to submit evidence of Proposer’s responsibility to perform may result in rejection of the Proposal.

11. PREVIOUS PERFORMANCE

Proposers are advised that the District reserves the right to reject a Proposal from a Proposer that cannot demonstrate the ability to provide the scope of work required. Service is an award factor. A Proposer’s past delivery and performance practices relating to any previous or existing contracts will be examined. Proposer’s who have demonstrated unsatisfactory performance will be subject to disqualification as a responsible Proposer, disqualifying the Proposer for Contract award.

12. OFF CONTRACT PURCHASE

The District reserves the right to purchase items and/or services covered by this agreement from alternate sources, should, during the term of this agreement, the District obtain more favorable pricing from those alternate sources or determine that it is in its best interest to purchase an item from an alternate source. This Contract is not an exclusive Contract.

13. PROPOSERS INTERESTED IN MORE THAN ONE PROPOSAL

No person, firm or corporation shall be allowed to make, or file, or be interested in more than one Proposal for the same work unless special Proposal conditions indicate otherwise. A person, firm, or corporation who has submitted a sub-Proposal to a Proposer, or who has quoted prices to a Proposer is not thereby disqualified from itself submitting a Proposal or quoting prices to other Proposers or from submitting a Proposal itself to the District. The Non-Collusion Declaration form included in the RFP documents must be completed and duly executed on behalf of the Proposer; failure of a Proposer to submit a completed and executed Non-Collusion Declaration with its Proposal will render the Proposal rejected.

14. COST OF PROPOSAL PREPARATION

Cost of preparation of the response to the Request for Proposal is solely the responsibility of the Proposer. San Diego Unified School District accepts or implies no liability in the cost of preparation.

15. NEWS RELEASES

News releases pertaining to this RFP or the services, study, data, or project to which it relates will not be made without the prior written approval of the District. No results of the RFP are to be released without prior written approval of the District.

16. INDEPENDENT PRICE DETERMINATION

By submission of a Proposal, the Proposer certifies, and in the case of a joint venture Proposal, each party thereto certifies as to its own organization, that in connection with this Proposal:

A. The prices in the Proposal have been arrived at independently, without consultation, communication, or agreement, for the purpose of restricting competition as to any matter relating to such prices with any other Proposer or with any competitor; and

B. Unless otherwise required by law, the prices which have been quoted in the Proposal have not been knowingly disclosed by the Proposer prior to award directly or indirectly to any other Proposer or to any competitor; and that no attempt has been made or will be made by the Proposer to induce any other person or firm to submit or not submit a Proposal for the purpose of restricting competition.

17. DRUG FREE WORKPLACE CERTIFICATE

In accordance with California Government Code §§8350 et seq., the Drug Free Workplace Act of 1990, the successful Proposer will be required to execute a Drug Free Workplace Certificate concurrently with execution of the Proposal. The successful proposer will be required to implement and take the affirmative measures outlined in the Drug Free Workplace Certificate and in California Government Code §§8350 et seq. Failure of the successful Proposer to comply with the measures outlined therein may result in penalties, including without limitation, the termination of the Agreement, the suspension of any payment of the Contract Price otherwise due under the Contract Documents and/or debarment of the successful Proposer.

18. DEBARMENT

Federal Executive Order (E.O.) 12549 “Debarment“ requires that all contractors receiving individual awards, using federal funds, and all subcontractors certify that the organization and its principals are not debarred, a dealer, distributor or subcontractor arrangement suspended, proposed for debarment, declared ineligible, or voluntarily excluded by any Federal department or agency from doing business with the Federal Government. As part of Proposal acceptability, District will verify the successful Proposer and his listed dealers , distributors and subcontractors’ status prior to award of Contract. Any successful Proposer found on the Federal debarment list will be rejected. Information on debarment is available at the following websites: www.sam.gov.

19. ADDITIONAL CONTRACT DOCUMENTS

Should the Proposer require the District to sign and/or incorporate into this RFP any Proposer Contract/Agreement form or document(s), said document(s) must be submitted with the Proposer’s Proposal. Furthermore, the District reserves the right to review, revise and/or negotiate the terms and conditions contained in said document(s). Refusal by the Proposer to allow the District the right to review, revise and/or negotiate the

RFP SV-15-0028-13 terms and conditions contained in any Proposer documents shall be grounds, at the sole discretion of the District, to disqualify and/or reject the Proposal.

20. INSPECTION OF FACILITIES

The District reserves the right to inspect the facilities of the Proposer prior to award of the Contract. If the District determines that after such inspection the Proposer is not capable of performance within the District’s standards, their Proposal will not be considered. The findings and decisions of the District shall be final.

21. TAXES

The District will compute the State sales tax and any use taxes. Federal excise taxes are not applicable to school districts.

22. MODIFICATIONS TO PROPOSAL/CONTRACT DOCUMENTS

Any modification, qualification, exception, or change made to the District’s terms, instructions, conditions, specifications, or agreement shall be grounds for rejection of proposal.

SCOPE OF WORK SECTION

THE SUCCESSFUL PROPOSER SHALL BE REQUIRED TO PROVIDE AND/OR PERFORM THE FOLLOWING SERVICES. ALL SPECIFIED SERVICES SHALL BE PERFORMED IN FULL COMPLIANCE WITH ALL LOCAL, STATE AND FEDERAL REGULATIONS AND REQUIREMENTS.

1. OVERVIEW OF SAN DIEGO UNIFIED SCHOOL DISTRICT

The San Diego Unified School District serves more than 132,000 students in pre-school through grade 12 and is the second largest district in California. The student population is extremely diverse, representing more than 15 ethnic groups and more than 60 languages and dialects.

Since its founding on July 1, 1854, the district has grown from a small, rented school building with one teacher to its current size – more than 226 educational facilities with 13,559 employees. More than 6,500 teachers are in classrooms at the district's various educational facilities, which include 117 traditional elementary schools, 9 K-8 schools, 25 traditional middle schools, 24 high schools, 49 charter schools, and 14 atypical/ alternative schools.

2. GENERAL DEFINITION OF PRODUCTS AND/OR SERVICES

Proposers are to propose the broadest possible selection of EDUCATION, CLASSROOM, MISCELLANEOUS SUPPORT FURNITURE AND RELATED PRODUCTS AND SERVICES they offer. The intent of this solicitation is to provide Participating Public Agencies with products and services to meet their various needs. Therefore, the Proposers should have demonstrated experience in providing the Products and Services as defined in this RFP, including but not limited to:

2.1. Freestanding Education/Classroom/School Furniture – A complete and comprehensive catalog selection of all case goods, furniture, (including folding and mobile) desks, tables and related school accessories including pre-school items.

2.2. Seating/Chairs – A complete and comprehensive catalog of classroom chairs and general seating including pre-school items.

2.3. Storage – A complete and comprehensive catalog selection of filing systems including vertical and lateral files, bookcases, mobile cabinets, and accessories.

2.4. Technology Support Furniture – A complete and comprehensive catalog selection of technology support furniture to support technology based learning environments.

2.5. Library Furniture – A complete and comprehensive catalog selection of library furniture.

2.6. Science Laboratory Furniture – A complete and comprehensive catalog selection of science laboratory furniture.

2.7. Cafeteria Furniture – A complete and comprehensive catalog selection of cafeteria furniture.

2.8. Early Childhood Furniture - A complete and comprehensive catalog selection of early childhood furniture.

2.9. Audio/visual Furniture - A complete and comprehensive catalog selection of audio/visual furniture.

2.10. Art Instructional Furniture – A complete and comprehensive catalog selection of art instructional furniture.

2.11. Educational Office Furniture - A complete and comprehensive catalog selection of educational office furniture.

2.12. Related Products and Support Services – Any related products, “Quick Ship”, design and layout, fabric and color design services and other related services requested by the customer.

2.13. Optional categories Note: The categories below are optional and will not be considered when evaluating responses to this document. Proposers are encouraged, however, to address their capability of providing a complete and comprehensive catalog selection of the identified categories with appropriate pricing.

2.13.1. Soft Seating – A complete and comprehensive catalog selection of soft seating for areas such as commons, libraries, waiting areas and open learning spaces. Products include, but are not limited to, lounge seating, modular linear seating, tables and accessories.

2.13.2. Music Furniture and Storage – A complete and comprehensive catalog selection of music furniture and storage equipment including, but not limited to, music posture chairs, band stands, conductor systems, instrument storage and performance platforms.

2.13.3. Special Education – A complete and comprehensive catalog selection of special education furniture and seating.

ALL PRODUCTS OFFERED MUST BE NEW, UNUSED, LATEST DESIGN AND TECHNOLOGY UNLESS OTHERWISE SPECIFIED.

3. REGULATORY REQUIREMENTS AND STANDARDS

All products must be manufactured in compliance with all standards including warning labels and safety devices, guard and equipment required to meet the safety standards recognized by industry safety, councils or organizations to establish safety standards such as Occupational Safety and Health Administration (OSHA), National Fire Protection Association (NFPA), National Institute of Occupational Safety and Health (NIOSH), American National Standards Institute (ANSI), Underwriters Laboratories, Inc. (UL), Environmental Protection Agency (EPA), Business Institutional Furniture Manufacturers Association (BIFMA), etc. If a product proposed requires a Material Safety Data Sheet (MSDS) it must accompany each shipment.

Additionally, applicable products must meet the following specific standards:  ANSI/HFES and/or BSR/HFES (Human Factors Engineering of Computer Workstations)  CPSIA 1303 or 16 C.F.R 1303 (Ban of Lead-Containing Paint)  ANSI/BIFMA X5.1 (Office Seating), X5.4 (Lounge and Public Seating), X5.5 (Desk Products) and E3 (Furniture Sustainability Standard)  California Air Resources Board (CARB) (Formaldehyde Emissions)  California Proposition 65 (Lead and Other Toxic Substances)  California Bureau of Electronic and Appliance Repair, Home Furnishings, and Thermal Insulation (BHFTI) (Technical Bulletin 117)

4. SUBSTITUTION OF SPECIFIED ITEMS

Whenever the Contract Documents refer to any specific article, device, equipment, product, material, fixture, specified patent or proprietary name, patented process, form, method or type of construction, by name, make, trade name, or catalog number (“specified item”), such reference shall be deemed to be followed by the words, “or equal”, unless it is indicated that no substitutions will be considered.

Any Proposer who has submitted a Proposal prior to the deadline may submit data to the District to substantiate a request to provide an “or equal” item when completing Sample Projects in Attachments A-1, A-2, A-3 and A-4 provided in the Contract Documents.

5. SAMPLES

Within five (5) business days, if requested by District, the Proposer shall submit, at no charge to the District, the sample requested for evaluation. Sample shall be fully identical and fully representative of the material being offered. Each sample shall be labeled with the Proposer’s company name, representative, phone number, Proposal No. SV-15-0028-13 and the item/manufacturer number. Sample shall be submitted to:

6. PRICING

4.1. The subsequent Contract will be a firm-fixed price agreement. The fee(s) will remain firm and will include all charges that may be incurred in fulfilling the requirements of the Contract during the first 365 days. Changes in cost for any subsequent Contract years may be based on the Consumer Price Index (CPI-U), U.S. City Averages, or other relevant indices.

4.2. The request for a change in the unit price shall include as a minimum, (1) the cause of the adjustment, (2) proposed effective date; and, (3) the amount of the change requested with documentation to support the requested adjustment (i.e. appropriate Bureau of Labor Statistics, Consumer Price Index (CPI-U), change in manufacturer’s price, etc.).

4.3. If at any time after the date of the solicitation the Proposer makes a general price reduction in the comparable price of any material covered by the Contract to customers generally, an equivalent price reduction based on similar quantities and/or considerations shall apply to this Contract for the duration of the Contract period (or until the price is further reduced). Such price reduction shall be effective at the same time and in the same manner as the reduction in the price to customers generally.

4.4. All pricing shall be FOB Destination.

4.5. Unless otherwise clearly specified in the Proposer’s proposal, it shall be considered that there is no minimum order amount.

4.6. It is the Proposer’s responsibility to provide the District and Participating Public Agencies with an up- to-date price list and any necessary brochures, finish material samples or related materials at no charge for the duration of the Contract. 23

7. SUBMITTALS/QUESTIONS

1. Provide a description of the Products and Services to be provided by the major product category set forth in the Section 2 above. The primary objective is for each Supplier to provide its complete product, service and solutions offerings so that Participating Public Agencies may order a range of products and services as appropriate for their needs. Additionally, please respond to the following questions.

a. State your normal delivery time (in days) and any options for expediting delivery.

b. State backorder policy. Do you fill or kill order and require Participating Public Agency to reorder if item is backordered?

c. State restocking fees and procedures for returning products.

d. State process for returning damaged goods.

2. EXPERIENCE: Indicate the experience of your firm and prior experience in providing the products and services, as detailed herein; which Proposer believes demonstrates their firm’s qualifications and experience. Include sufficient detail to demonstrate the relevance of such qualification and experience.

This portion of the Proposal should include all other similar services performed by your firm, especially those performed for large, California K–12 school districts and other school districts nationwide. Information should include the location and size of each service, a management level contact representative at the organizations referenced along with contact telephone number. The District reserves the right to interview, and if appropriate, visit referenced clients.

3. LOCAL STAFFING PLAN: Indicate the specific individuals that will be assigned and dedicated to the District for this Contract to insure the successful execution and completion of the work. Please specify in detail the names, titles, addresses, telephone numbers, fax numbers, email addresses and the specific responsibilities each will have in this service.

Detail and provide copies of any pertinent certification, license, etc. that your firm and staff currently have relating to the services requested herein.

4. PROPOSER’S MANAGER AND STAFF: Include the name(s), résumé(s), project experience summary, addresses, telephone numbers, fax numbers, email addresses of the company manager and staff member(s) in your organization who will be assigned to work with the District and who will be authorized to make recommendations and decisions regarding the work.

5. METHODOLOGY/IMPLEMENTATION: Proposers are to include in their Proposal a detailed written statement of their proposed methodology and timeline for providing the full spectrum of products and services required to successfully provide, implement and support the scope of work and services detailed in this RFP. Describe your method of communication to District staff concerning progress of the implementation. Proposers shall state their responsibilities and state any requirements of the District necessary for the successful execution and completion of the scope of work and services to the acceptance of the District.

6. REGULATORY REQUIREMENTS AND STANDARDS: Provide details on all applicable regulatory requirements and standards regarding your company’s products.

GENERAL CONDITIONS SECTION

1. INDEMNIFICATION

To the fullest extent allowable by law, Contractor agrees to defend, indemnify and hold harmless the District, its Board of Education members, officers, agents, employees and directors (hereinafter “Indemnified Parties”) from and against any claim, demand, loss or liability (hereinafter “Claim”) or any nature or cause whatsoever, and whether actual or alleged, arising from or in any way connected with the performance of this Agreement, including, but not limited to any Claim for personal injury, death, property damage, loss of profits, infringement upon intellectual property rights, or disclosure of confidential information which might be obtained by Contractor during performance of this Agreement; except where caused by the sole negligence or willful misconduct of the Indemnified Parties.

Contractor’s obligations hereunder shall include the obligation to defend, indemnify and hold harmless the Indemnified Parties from and against any and all claims asserted, or liability established, for damages or injuries to any person or property which may arise from, or are connected with, or are caused, or claimed to be caused, by the Contractor’s failure to comply with all of the requirements contained in Education Code, §45125.1, including, but not limited to, the requirement prohibiting the Contractor from using employees who may have contact with pupils who have been convicted of, or have charges pending for, a felony as defined in Education Code §45125.1.

If any action or proceeding, whether judicial, administrative, arbitration or otherwise, shall be commenced on account of any claim, demand or liability covered by this, and such action or proceeding names any of the Indemnified Parties as a party thereto, the Contractor shall, at its sole cost and expense, defend the Indemnified Parties in such action or proceeding with counsel reasonably satisfactory to the Indemnified Parties named in such action or proceeding. In the event that there shall be any judgment, award, ruling, settlement, or other relief arising out of any such action or proceeding to which any of the Indemnified Parties are bound by, Contractor shall pay, satisfy or otherwise discharge any such judgment, award, ruling, settlement or relief; Contractor shall indemnify and hold harmless the Indemnified Parties from any and all liability or responsibility arising out of any such judgment, award, ruling, settlement or relief.

2. PERFORMANCE NOTIFICATION

In the event the successful Contractor is unable to perform any or its entire obligation under any resultant Contract or the successful Contractor is able to foresee a potential issue (i.e., system failure) that will impact the quality or quantity of the scope of work, services or level of performance under the Contract, the successful Contractor shall notify the District’s Strategic Sourcing & Contracts representative immediately in writing of such event.

3. TIME IS OF THE ESSENCE

Time is of the essence. If any anticipated or actual delays arise, Contractor shall immediately so notify District. Regardless of notice, if deliveries are not made at the time agreed upon, District may, at its sole discretion, terminate this Contract and proceed pursuant to the provisions herein for Default.

4. EXCUSE FOR NON PERFOMANCE-FORCE MAJEURE

The Contractor shall be excused from performance hereunder during the time and to the extent that it is prevented from obtaining, delivering or performing in the customary manner by act of God, fire, strike, partial or total interruption of, loss or shortage of transportation facilities, lockout, commandeering of raw materials, products, or

RFP SV-15-0028-13 facilities by the government, when satisfactory evidence thereof has been presented to the other party providing it is satisfactorily established that the non-performance is not due to the fault or negligence of the party not performing.

5. DELAY DUE TO UNFORESEEN OBSTACLES

All loss or damage arising from any unforeseen obstacle or difficulties which may be encountered in the prosecution of the work, or from any action of the elements, or from any act or omission not authorized by these specifications, on the part of the Contractor, or any agent or person employed by said Contractor, shall be sustained by the Contractor. The Contractor shall have no claim against the District for damages on account of any delays caused by accidents or delays on the part of any transportation company.

6. ASSIGNMENT

The Contractor shall not assign, convey, or transfer any rights, obligations, or interests hereunder without the prior written consent of the District.

7. PREVAILING LAW

In the event of any conflict or ambiguity between a) the Instructions, General Conditions, or any other document forming a part of this Request for Proposals, and b) state of California or federal law or regulations, the latter shall prevail. Additionally, all equipment to be supplied or services to be performed under the Proposal shall conform to any applicable requirements of local, state of California and federal law.

8. GOVERNING LAW AND VENUE

In the event of litigation, the documents, specifications and related matters shall be governed by and construed in accordance with the laws of the State of California. Venue shall be the appropriate state or federal court located in San Diego County.

9. DIVERSITY It is the policy of the State of California to afford all persons in public schools regardless of their age, disability, gender, gender identity, gender expressions, nationality, race or ethnicity, religion, sexual orientation, or any other characteristic that is contained in the definition of hate crimes set forth in §422.55 of the Penal Code, equal rights and opportunities in the educational institutions of the state (Education Code §200).

10. GRATUITIES

District policy precludes employees from accepting any gratuities from Contractors. Rebates or any other form of commission or discount must be issued to the San Diego Unified School District.

11. PROPRIETARY INFORMATION

All Proposals and associated documents submitted in response to this Request for Proposal become the property of the San Diego Unified School District. In the event a Contract is awarded, all documentation, regardless of media format, produced as a result of the Contract, will become the property of the San Diego Unified School District.

12. TERMINATION The District shall have the right to terminate this Contract and/or any Purchase Order(s) or any part thereof at any time following 30 days written notice:

A. For Convenience - The terms of this subparagraph shall not limit or affect the right of the District to cancel/terminate this Contract and/or any Purchase Orders for Convenience and shall not apply to a breach of Contract. In case of termination by District of all or any part of this Order and/or any Purchase Order(s) without cause, Contractor shall submit all claims for amount due from the District within thirty (30) days after the effective date of cancellation/termination. Contractor shall maintain complete and accurate records to support Contractor's claimed costs. Such records shall be available for verification through audit and analysis by the District. The District’s maximum liability shall be limited to the following: a. In no event shall Contractor be entitled to any amount above monies paid and/or owed for work performed up to the date of the termination notice. b. Contractor shall have no claim for any damages, or loss of profit, arising out of any termination for convenience.

B. For Default — The District may by written notice to Contractor, without prejudice to any other rights or remedies provided under this Contract, by law or in equity, terminate this Contract and/or any Purchase Order(s) in whole or in part for any of the following circumstances: a. If Contractor has been declared bankrupt, makes an assignment for the benefit of creditors, voluntarily or involuntary files for dissolution, violates a law relating to this Contract or is in receivership; or b. If Contractor fails to perform the work/service or deliver the good(s)/item(s) in accordance with the statement of work, scope, performance requirements or delivery schedules specified herein or any extension thereof; c. If Contractor: 1) fails to perform any of the other terms of this Contract; or 2) fails to make progress as to endanger the performance of this Contract in accordance with its terms, and in either of the two circumstances enumerated in Section 12. B. a or 12. B.c . does not cure such failure within a period of ten (10) calendar days (or such longer period as the District may authorize in writing) after receipt of notice from the District specifying such failure. In the event the District terminates this Contract in whole or in part as provided in this Section 12.B, the District may procure, upon such terms and in such manner as it may deem appropriate, supplies or services similar to those so terminated, and Contractor shall be liable to the District for any excess costs, reasonably incurred for such similar supplies or services.

13. COST RECORDS In accordance with generally accepted accounting principles, the Contractor shall maintain full and complete records of the cost of services performed under this Contract for seven (7) years after the end date of the Contract. . Such records shall be open to the inspection of the District or to the appropriate agencies of competent jurisdiction at all reasonable times.

14. CONDUCT OF CONTRACTOR The Contractor agrees to inform the District of all the Contractor’s interests, if any, which are or which the Contractor believes to be incompatible with the interests of the District. The Contractor shall not, under circumstances which might reasonably be interpreted as an attempt to influence the recipient in the conduct of his duties, accept any gratuity or special favor from individuals or organizations with whom the Proposer is doing business or proposing to do business, in accomplishing the work under the Contract. The Contractor shall not use for personal gain or make improper use of privileged information which is acquired in connection with its employment. In this connection, the term “privileged information” includes, but is not limited to, unpublished information relating to technological and scientific development; medical; personnel, or

RFP SV-15-0028-13 security records of individuals; anticipated materials requirements or pricing actions; and knowledge of selections of vendors or subcontractors in advance of official announcement. The Contractor or employees thereof shall not offer gifts, gratuity, favors, and entertainment directly or indirectly to District employees.

15. AUDIT AND INSPECTION OF RECORDS GENERAL The District shall have the audit and inspection rights described in this section. COST OR PRICING DATA If the Contractor submitted cost or pricing data in connection with the pricing of this Contract or any change or modification thereto, unless such pricing was based on adequate price competition or prices set by law or regulation, the District’s representative(s) shall have the right to examine all books, records, documents and other data of the Contractor related to the negotiation pricing or performance of such Contract, change or modification, for the purpose of evaluating the accuracy, completeness and currency of the cost or pricing data submitted. AVAILABILITY The materials described above shall be made available at the office of the Contractor, at all reasonable times, for inspection, audit or reproduction, until the expiration of three (3) years from the date of final payment under this Contract, or by (a) and (b) below: A. If this Contract is completely or partially terminated, the records relating to the work terminated shall be made available for a period of three (3) years from the date of any resulting final payment. B. Records which relate to litigation or the settlement of claims arising out of the performance of this Contract, shall be made available until such appeals, litigation, or claims have been disposed of, or three (3) years after Contract completion, whichever is longer.

16. CONTRACTOR’S CONTRACT DOCUMENTS RESPONSIBILITY Before placing his Proposal to the District, and continuously after the execution of this Agreement, the Contractor shall carefully study and compare all documents and shall at once report to the District representative any error, inconsistency, or omission may discover.

SPECIAL CONDITIONS SECTION

1. INSURANCE

The Contractor shall file with the District original certificates of Insurance within 5 days of award by the District.

The Contractor shall not commence work under this Contract until it has obtained and submitted to the District all required insurance hereunder and certificates evidencing such insurance. The insurance company agrees to waive all rights of subrogation against the District, its officers, officials, employees and volunteers for losses paid under the terms of this policy which arise from the work performed by the Named Insured for the District.

Contractor hereby agrees to bind any sub-Contractor by the terms and conditions of this agreement as far as such terms and conditions are applicable to the sub-Contractor work. If Contractor subcontracts any part of this Agreement/Contract, Contractor shall be as fully responsible to the district for acts and omissions of its sub-Contractor and of persons either directly or indirectly employed by Contractor. Nothing contained in these documents shall create any contractual relation between any sub-Contractor and the District.

Liability and Automobile carriers shall possess a current Best’s Key Rating of A Minus (A-) or better.

A. General

(1) As specified below, Contractor shall maintain during the life of this Contract, Commercial General Liability, Property Damage, Automobile, and Worker’s Comp Insurance to protect him and the District from all claims for personal injury, including accidental death, as well as from all claims for property damage arising from the operations under this Contract whether such operations be by himself or by any sub-Contractor anyone directly or indirectly employed by either of them. The minimum amounts of such insurance shall be as hereinafter set forth.

(2) Certificate of Insurance:

(A) Certificates shall be filed with the District’ Strategic Sourcing and Contracts Department.

(B) Certificates shall have included the following clause:

"This policy shall not be canceled or reduced in required limits of liability or amounts of insurance until notice has been mailed to the San Diego Unified School District stating the date of cancellation or reduction. The date of cancellation or reduction may not be less than 15 days after the date of mailing the notice." Certificates of insurance shall state in particular those insured, the extent of insurance, location and operation to which the Insurance applies, expiration date, and the cancellation and reduction notice. Evidence of Insurance is required and Insurance Certificates are required to have a 30-day non-renewal/cancellation notice clause. B. Limits

(1) Commercial general liability (includes both bodily injury and property damage) with a minimum of $2,000,000 per occurrence/general aggregate

(2) Business auto liability with a minimum of $1,000,000 per occurrence for owned, non-owned, and hired vehicles

(3) Workers’ compensation: $1,000,000

C. Workers' Compensation Insurance

(1) The Contractor shall provide, during the life of this Contract, Workers' Compensation Insurance for all of his employees engaged in work under this Contract.

(2) The Contractor shall file with the District certificates of his insurance protecting workmen as specified above.

(3) The insurance company agrees to waive all rights of subrogation against the District, its officers, officials, employees and volunteers for losses paid under the terms of this policy which arise from the work performed by the Named Insured for the District. D. Errors and Omissions Insurance (Professional Liability Insurance)

Additionally, Contractor shall obtain and maintain in full force throughout the term of this Agreement a professional liability insurance policy (Errors and Omissions Insurance) with minimum limits of two million dollars ($2,000,000) per occurrence and four million ($4,000,000) aggregate.

Such insurance shall be carried in an insurance company authorized to transact business of such insurance in the State of California under the California Department of Insurance. Contractor shall furnish District with a certificate of such insurance. If for any reason Contractor changes, or is compelled to change, insurance companies during the term of this Agreement, Contractor shall give District Thirty (30) days written notice of the proposed change and thereafter, but prior to the expiration of the policy, obtain full coverage from another such company and provide District with a certificate evidencing said new coverage prior to the effective date thereof.

2. DISTRICT’S REPRESENTATIVE

The District’s representative for functional and/or technical issues pertaining to the RFP and authorized to make decisions regarding the scope of work specified herein will be:

4. EMPLOYEE FINGERPRING VERIFICATION: BARRIERS; EMPLOYEE SURVEILLANCE

At all times when a Site is used or occupied for academic purposes or for other school related functions, no employee or independent contractor to the Contractor or any Subcontractor shall be permitted access to the Site or to perform any Work at the Site unless: (a) such person has submitted her/his fingerprints to the California Department of Justice (“DOJ”) pursuant to Education Code §45125.1; (b) the DOJ has ascertained, based upon the submitted fingerprints, that the individual has not been convicted of a felony defined in Education Code §45122.1 and has no criminal felony proceedings (as defined in Education Code §45122.1) pending against her/him; (c) the Contractor or Subcontractor engaging the individual for the Work has received written or electronic verification from the DOJ of the absence of felony convictions and pending felony criminal proceedings; and (d) the Contractor or Subcontractor engaging such individual as an employee or independent contractor has submitted a Fingerprint Certification to the District specifically identifying such individual as having been verified by the DOJ as not having been convicted of a felony and not having pending criminal felony proceeding pending against her/him. The provisions of Education Code §45125.2(a) notwithstanding, erection and maintenance of physical barriers and/or continuous supervision and monitoring are insufficient measures to comply with the requirements of this paragraph when a Site is being used or occupied for academic purposes or other school related functions. At all other times during the Work, as appropriate, or as directed by the District, to limit contact between workers performing the Work and students and for the safety of students, the Contractor shall: (i) erect a physical barrier around the Work to limit contact between students and the individuals performing Work; or (ii) designate an employee of the Contractor and require each Subcontractor to designate an employee who shall be responsible for the continuous monitoring and supervision of the other employees of the Contractor and Subcontractors, provided that the employees designated for such monitoring and supervision has submitted her/his fingerprints to the Department of Justice under Education Code §45125.1 for verification that she/he has not been convicted of a felony and does not have any criminal proceeding pending against her/him and the Contractor/Subcontractor employee has submitted a Fingerprint Certification attesting to such Department of Justice fingerprint verification and the absence of criminal convictions or pending criminal proceedings. The responsibility for complying with the requirements of Education Code §45125.2 rests solely with the Contractor; the District will not designate any District personnel for surveillance of the Contractor’s employees under Education Code §45125.2(a) (3).

5. TUBERCULOSIS EXAMINATION

Contractor and its subcontractors shall ensure that all employees working with the San Diego Unified School District will provide a tuberculosis (TB) certificate of clearance prior to commencing initial employment. Contractor will ensure that subcontractors will not place any person at a school without a valid TB certificate on file showing the employee was examined and found to be free from active tuberculosis, as defined in Education Code Section 49406.1 (a).

6. CONTRACTOR’S CONDUCT ON DISTRICT PROPERTY

All District sites are drug-free, alcohol-free, tobacco-free facilities and the use or consumption of the aforementioned anywhere on District property is strictly prohibited.

There shall be no loud or profane language or other noise considered by the District to be disruptive to a learning environment.

Obscene signs, pictures or logos shall not be permitted on any equipment used on District property or clothing worn on District property.

Contractor shall check in with site administrator upon arrival at District site.

Contractor shall ensure that their employees conduct themselves in a professional manner and dress appropriately for a school environment.

Use of student restrooms for any reason is prohibited.

Contractor shall adhere to parking regulations or make arrangements with the site administrator to facilitate the delivery of goods.

7. PREVAILING WAGES

Attention is called to the fact that State of California prevailing wage requirements may apply to various services included in this contract.

Pursuant to Labor Code §1773, the Director of the Department of Industrial Relations (DIR) of the State of California has determined the generally prevailing rates of wages in the locality in which the Work is to be performed. Copies of these determinations, entitled “PREVAILING WAGE SCALE” may be found on the DIR website http://www.dir.ca.gov/. The Contractor awarded the Contract for the Work shall post a copy of all applicable prevailing wage rates for the Work at conspicuous locations at the Site of the Work. The Contractor and all Subcontractors performing any portion of the Work shall pay not less than the applicable prevailing wage rate for the classification of labor provide by their respective workers in prosecution and execution of the Work.

Pursuant to the provisions of Articles 1 and 2 of Chapter 1, Part 7, Division II, of the Labor Code of the State of California (Labor Code Sections 1720 et seq. and implementing regulations of the Department of Industrial Relations), Title 8, California Code of Regulations, Chapter 8, Subchapter 3, commencing with Section 16000, for any “public works” (as that term is defined in the statues), there shall be paid to each Worker of the Contractor, or any Subcontractor, of any tier, engaged in the Work, not less than the general prevailing wage rate, and not less than the general prevailing rate of per diem wages for holidays and overtime work, for each craft, classification or type of worker needed to execute the work contemplated under this Contract regardless of any contractual relationship which may be alleged to exist between the Contractor or any Subcontractor, of any tier, and such Worker. For purpose of compliance with prevailing wage law, the Contractor shall comply with provisions applicable to an awarding body. Compliance with state prevailing wage law includes without limitation: payment of at least prevailing wage as applicable; overtime and working hour requirements; apprenticeship obligations; payroll recordkeeping requirements; and other obligations as required by law.

Copies of the prevailing rate of per diem wages applicable to this Contract are on file at the District’s office, and shall be made available to any interested party on request; or may be found on the Internet at: http://www.dir.ca.gov/DLSR/PWD. The Contractor shall post at appropriate conspicuous weatherproof points on the site of the Project a schedule showing the Prevailing Wage Determinations published by the Director of the California Department of Industrial Relations, which are applicable to the Project. 34

Contractor is responsible for ascertaining and complying with all current general prevailing wage rates for crafts and any rate changes that occur during the life of the Contract; and shall ensure that the above requirements are included in all its contracts and any layer of subcontracts for activities for the Project.

Contractor shall certify to the District on each Payment Request Form, that prevailing wages were paid to eligible workers who provided labor for work covered by the payment request and that the Contractor and all subcontractors complied with prevailing wage laws. Prior to the release of any retained funds under this Agreement, the Contractor shall submit to the District a certificate signed by the Contractor and all subcontractors performing public works activities stating that prevailing wages were paid as required by law.

Failure to comply with prevailing wage laws and/or failure to employ apprentices as required by law shall subject Contractor and/or its Subcontractors to penalties, including forfeitures and debarment under Labor Code Sections 1775; 1776; 1777.1; 1777.7 and 1813. Nothing contained herein shall be deemed to supersede any applicable laws, orders or regulations issued by competent authority governing wages, hours of Work of the employment of labor, nor to condone any violation of such laws, orders or regulations.

8. PAYROLL RECORDS

As required by Labor Code section 1700 et seq, (including but not limited to Labor Code sections 1776 and 1812), and Title 8 of California Code of Regulations, the Contractor and every Subcontractor, of any tier, shall keep accurate payroll records, showing the name, address, social security number, work classification, straight time and overtime hours worked each day and week, and the actual per diem wages paid to each journeyman, apprentice, worker or other employee employed by them in connection with the Work. Each payroll record shall contain or be verified by a written declaration that it is made under penalty of perjury, stating that the information contained in the payroll record is true and correct and that the Contractor or Subcontractor has complied with the requirements of Sections 1771, 1811, and 1815 for any work performed by its employees on the public works project.

The payroll records enumerated under Paragraph 8 shall be certified and shall be available for inspection at all reasonable hours at the principal office of the Contractor. A certified copy of employee’s payroll record shall be made available for inspection or furnished to the employee or his or her authorized representative upon request.

Upon request by the District, the Division of Labor Standards Enforcement, or the Division of Apprenticeship Standards of the Department of Industrial Relations., the payroll records of the Contractor, and every Subcontractor, of any tier, shall be available for inspection at all reasonable hours at the principal office of the Contractor or furnished to DIR, within 10 days of receipt of a written request. Failure to comply shall result in applicable penalties.

9. COOPERATION AND WITHHOLDING OF CONTRACT PAYMENTS

The Contractor, and every Subcontractor, of any tier, shall cooperate with the DIR, the Labor Commissioner, or DLSE in any investigation of suspected prevailing wage violations. The District shall likewise cooperate and shall withhold Contract payments in accordance with any lawful order by DLSE.

10. HOURS OF WORK

As required by Labor Code section 1700 et seq, (including but not limited to Labor Code section 1810), and Title 8 of California Code of Regulations, eight (8) hours of labor shall constitute a legal day’s Work. Under Labor Code section 1811, the time of service of any Worker employed at any time by the Contractor or by a Subcontractor, of any tier, upon the Work or upon any part of the Work, is limited and restricted to eight (8) hours 35

during any one calendar day and forty (40) hours during any one calendar week, except as hereafter provided. Notwithstanding the foregoing provisions, under Labor Code section 1815, Work performed by employees of Contractor or any Subcontractor, of any tier, in excess of 8 hours per day and 40 hours during any one week, shall be permitted upon compensation for all hours Worked in excess of 8 hours per day or 40 hours per week at not less than one and one-half (1½) times the basic rate of pay. Failure to comply with any of the foregoing shall result in applicable penalties. Any Work performed by Workers necessary to be performed after regular Working hours or on Sundays or other holidays shall be performed without adjustment to the Contract Price or any other additional expense to the District.

11. APPRENTICES

It is the duty of the contractor and subcontractors to employ registered apprentices on the public works project and to comply with all aspects of Labor Code Section 1777.5, relating to Apprentices on Public Works. (1) Notify approved apprenticeship programs of contract award; (2) employ apprentices; (3) pay training fund contributions.

Under Labor Code section 1777.5(e) the Contractor and all Subcontractors, of any tier, shall notify an approved training program that can supply apprentices to the area of the Public Works Project. All apprentices employed by the Contractor to perform any of the Work shall be paid the prevailing wages identified by the DIR. Only apprentices, as defined in Labor Code section 3077 who are in training under apprenticeship standards and written apprenticeship Agreements under Labor Code sections 3070, et seq. are eligible to be employed for the Work. The employment and training of each apprentice shall be in accordance with the provisions of the apprenticeship standards and apprentice Agreements under which such apprentice is training or the Standards established by the Division of Apprenticeship Standards.

As required by Labor Code section 1700 et seq, (including but not limited to Labor Code sections 1777.5), and Title 8 of California Code of Regulations, the Contractor and any Subcontractor, of any tier, in performing any of the Work employs workers in any Apprentice Craft or Trade the Contractor and such Subcontractor shall apply to the Joint Apprenticeship Committee administering the apprenticeship standards of the craft or trade in the area of the site of the Work for a certificate approving the Contractor or such Subcontractor under the apprenticeship standards for the employment and training of apprentices in the area or industry affected; provided, however, that the approval as established by the Joint Apprenticeship Committee or Committees shall be subject to the approval of the Administrator of the Division of Apprenticeship Standards. The Joint Apprenticeship Committee or Committees, subsequent to approving the Contractor or Subcontractor, shall arrange for the dispatch of apprentices to the Contractor or such Subcontractor in order to comply with Labor Code section 1777.5. The Contractor and Subcontractors shall submit contract award information to the applicable Joint Apprenticeship Committee, which shall include an estimate of journeyman hours to be performed under the Contract, the number of apprentices to be employed, and the approximate dates the apprentices will be employed.

The ratio of work performed by apprentices to journeymen, who shall be employed in the Work, may be the ratio stipulated in the apprenticeship standards under which the Joint Apprenticeship Committee operates, but in no case shall the ratio be less than one hour (1) of apprentice Work for each five (5) hours of labor performed by a journeyman, except as otherwise provided in section 1777.5. Any ratio shall apply during any day or portion of a day when any journeyman or the higher standard stipulated by the Joint Apprenticeship Committee, is employed at the site of the Work and shall be computed on the basis of the hours worked during the day by journeymen so employed, except for the land surveyor classification. The Contractor shall employ apprentices for the number of hours computed as above before the completion of the Work. The Contractor shall, however, endeavor, to the greatest extent possible, to employ apprentices during the same time period that the journeymen in the same craft or trade are employed at the site of the Work. Where an hourly apprenticeship ratio is not feasible for a particular craft or trade, the Division of Apprenticeship Standards, upon application of a Joint Apprenticeship Committee, may order a minimum ratio of not less than one apprentice for each five journeymen in a craft or trade classification. This Article shall not apply to Contracts of general Contractors, or to Contracts of specialty

Contractors not bidding for Work through a general or prime Contractor, involving less than Thirty Thousand Dollars ($30,000).

The Contractor or any Subcontractor, of any tier, who performs any of the Work by employment of journeymen or apprentices in any Apprentice Craft or Trade and who is not contributing to a fund or funds to administer and conduct the apprenticeship program in any such craft or trade in the area of the site of the Work, to which fund or funds other Contractors in the area of the site of the Work are contributing, shall contribute to the fund or funds in each craft or trade in which it employs journeymen or apprentices in the same amount or upon the same basis and in the same manner as the other Contractors do, but where the trust fund administrators are unable to accept such funds, Contractors not signatory to the trust Agreement shall pay a like amount to the California Apprenticeship Council. The Contractors shall provide proof of such contributions when requested, including checks, check stubs, receipts, or other records required to prove that all required payments were made.

Failure to knowingly comply with any of the foregoing shall result in applicable penalties and in addition, upon determination by the Chief of Division of Apprenticeship Standards under Labor Code section 1777.7, the Contractor may be denied the right to bid on any public Works Contract for a period of one (1) year from the date the determination of non-compliance for the first violation and for a period of up to three years for a second or subsequent violation.

AGREEMENT PAGES

THIS AGREEMENT is entered into by and between the SAN DIEGO UNIFIED SCHOOL DISTRICT, a California Public School District hereinafter “District” and ______, “Contractor”.

WITNESSETH, that the District and the Contractor in consideration of the mutual covenants contained herein agree as follows:

1. The Work. Contractor shall perform and render all services as prescribed and required by the Instructions to Contractor, Proposal Form, General Conditions, Specials Conditions, Scope of Work, Specifications, Contractor’s Best and Final offer and all other documents forming a part of the Proposal package and any other documents signed by both parties relating to the subject matter of the Agreement, all of which are incorporated by reference as though set forth in full herein for:

2. Contract Term. The term of this Agreement shall be from JANUARY 1, 2015 through DECEMBER 31, 2017, and any authorized renewal terms. All indemnification provisions contained in the Agreement shall survive beyond the expiration of the Agreement and any renewal terms. This Agreement shall not expire until all work under Purchase Orders issued is completed, accepted, and paid for by District. All indemnification provisions contained in the Agreement shall survive beyond the expiration of this Agreement.

3. Compensation. Contractor shall be compensated for the performance of its obligations under this Agreement as specified in the executed Price Proposal and/or Contractor’s Best and Final Offer, incorporated herein by reference.

The District’s payment of the Contract Price shall be in accordance with the Contract Documents.

4. Non-Funding. Notwithstanding any other provision to the contrary, if for any fiscal year of this Agreement the Board of Education for any reason fails to appropriate or allocate funds for future payments under this Agreement, the District will not be obligated to pay the balance of funds remaining unpaid beyond the fiscal period for which funds have been appropriated and allocated.

5. Termination. This Agreement may be terminated by the District upon thirty (30) days written notice to Contractor. The District’s right to terminate under this paragraph shall be in addition to any other rights reserved to the District under this Contract.

6. Method of Payment. Contractor will be paid upon receipt and acceptance of materials, supplies and services specified by Purchase order. For prompt payment, billing must be made according to the method outlined in the Special Conditions, paragraph 3 “Invoicing.”

7. The Contract Documents. The documents forming a part of the Contract Documents consist of the following, all of which are component parts of the Contract Documents, and any other documents signed by both parties relating to the subject matter of the Agreement, all of which are incorporated by reference as though set forth in full herein.

SUPPLIER QUALIFICATIONS SECTION

Commitments

U.S. Communities views the relationship with an awarded Supplier as an opportunity to provide maximum benefit to both the Participating Public Agencies and to the Supplier.

The successful foundation of the partnership requires commitments from both U.S. Communities and the Supplier. U.S. Communities requires the Supplier to make the four commitments set forth below (Corporate, Pricing, Economy, Sales) to ensure that Supplier is providing the highest level of public benefit to Participating Public Agencies:

(a) Corporate Commitment.

(i) The pricing, terms and conditions of the Master Agreement shall, at all times, be Supplier’s primary contractual offering of Products and Services to Public Agencies. All of Supplier’s direct and indirect marketing and sales efforts to Public Agencies shall demonstrate that the Master Agreement is Supplier’s primary offering and not just one of Supplier’s Contract options.

(ii) Supplier’s sales force (including inside, direct and/or authorized dealers, distributors and representatives) shall always present the Master Agreement when marketing Products or Services to Public Agencies.

(iii) Supplier shall advise all Public Agencies that are existing customers of Supplier as to the pricing and other value offered through the Master Agreement.

(iv) Upon authorization by a Public Agency, Supplier shall transition such Public Agency to the pricing, terms and conditions of the Master Agreement.

(v) Supplier shall ensure that the U.S. Communities program and the Master Agreement are actively supported by Supplier’s senior executive management.

(vi) Supplier shall provide a national/senior management level representative with the authority and responsibility to ensure that the Supplier’s Commitments are maintained at all times. Supplier shall also designate a lead referral contact person who shall be responsible for receiving communications from U.S. Communities concerning new Participating Public Agency registrations and for ensuring timely follow-up by Supplier’s staff to requests for contact from Participating Public Agencies. Supplier shall also provide the personnel necessary to implement and support a supplier-based internet web page dedicated to Supplier’s U.S. Communities program and linked to U.S. Communities’ website and shall implement and support such web page.

(vii) Supplier shall demonstrate in its procurement solicitation response and throughout the term of the Master Agreement that national/senior management fully supports the U.S. Communities program and its commitments and requirements. National/Senior management is defined as the executive(s) with companywide authority.

(viii) Where Supplier has an existing Contract for Products and Services with a state, Supplier shall notify the state of the Master Agreement and transition the state to the pricing, terms and conditions of the Master Agreement upon the state’s request. Regardless of whether the state decides to transition to the Master Agreement, Supplier shall primarily offer the Master Agreement to all Public Agencies located within the state.

(b) Pricing Commitment.

(i) Supplier represents to U.S. Communities that the pricing offered under the Master Agreement is the lowest overall available pricing (net to purchaser) on Products and Services that it offers to Public Agencies. Supplier’s pricing shall be evaluated on either an overall project basis or the Public Agency’s actual usage for more frequently purchased Products and Services.

(ii) Contracts Offering Lower Prices. If a pre-existing Contract and/or a Public Agency’s unique buying pattern provide one or more Public Agencies a lower price than that offered under the Master Agreement, Supplier shall match that lower pricing under the Master Agreement and inform the eligible Public Agencies that the lower pricing is available under the Master Agreement. If an eligible Public Agency requests to be transitioned to the Master Agreement, Supplier shall do so and report the Public Agency’s purchases made under the Master Agreement going forward. The price match only applies to the eligible Public Agencies. Below are three examples of Supplier’s obligation to match the pricing under Supplier’s contracts offering lower prices.

(A) Supplier holds a state contract with lower pricing that is available to all Public Agencies within the state. Supplier would be required to match the lower state pricing under the Master Agreement and make it available to all Public Agencies within the state.

(B) Supplier holds a regional cooperative contract with lower pricing that is available only to the ten cooperative members. Supplier would be required to match the lower cooperative pricing under the Master Agreement and make it available to the ten cooperative members.

(C) Supplier holds a contract with an individual Public Agency. The Public Agency contract does not contain any cooperative language and therefore other Public Agencies are not eligible to utilize the contract. Supplier would be required to match the lower pricing under the Master Agreement and make it available only to the individual Public Agency.

(iii) Deviating Buying Patterns. Occasionally U.S. Communities and Supplier may interact with a Public Agency that has a buying pattern or terms and conditions that considerably deviate from the normal Public Agency buying pattern and terms and conditions, and causes Supplier’s pricing under the Master Agreement to be higher than an alternative contract held by Supplier. This could be created by a unique end-user preference or requirements. In the event that this situation occurs, Supplier may address the issue by lowering the price under the Master Agreement on the item(s) causing the large deviation for that Public Agency. Supplier would not be required to lower the price for other Public Agencies.

(iv) Supplier’s Options in Responding to a Third Party Procurement Solicitation. While it is the objective of U.S. Communities to encourage Public Agencies to piggyback on to the Master Agreement rather than issue their own procurement solicitations, U.S. Communities recognizes that for various reasons some Public Agencies will issue their own solicitations. The following options are available to Supplier when responding to a Public Agency solicitation:

(A) Supplier may opt not to respond to the procurement solicitation. Supplier may make the Master Agreement available to the Public Agency as a comparison to its solicitation responses.

(B) Supplier may respond with the pricing, terms and conditions of the Master Agreement. If Supplier is awarded the Contract, the sales would be reported as sales under the Master Agreement.

(C) If competitive conditions require pricing lower than the standard Master Agreement pricing, Supplier may submit lower pricing through the Master Agreement. If Supplier is awarded the Contract, the sales would be reported as sales under the Master Agreement. Supplier would not be required to extend the lower price to other Public Agencies.

(D) Supplier may respond to the procurement solicitation with pricing that is higher (net to buyer) than the pricing offered under the Master Agreement. If awarded a Contract, Supplier shall still be bound by all obligations set forth in the Administration Agreement, including, without limitation, the requirement to continue to advise the awarding Public Agency of the pricing, terms and conditions of the Master Agreement.

(E) Supplier may respond to the procurement solicitation with pricing that is higher (net to buyer) than the pricing offered under the Master Agreement and if an alternative response is permitted, Supplier may offer the pricing under the Master Agreement as an alternative for consideration.

(c) Economy Commitment. Supplier shall demonstrate the benefits, including the pricing advantage, of the Master Agreement over alternative options, including competitive solicitation pricing and shall proactively offer the terms and pricing under the Master Agreement to Public Agencies as a more effective alternative to the cost and time associated with such alternate solicitations.

(d) Sales Commitment. Supplier shall market the Master Agreement through Supplier’s sales force or dealer network that is properly trained, engaged and committed to offering the Master Agreement as Supplier’s primary offering to Public Agencies. Supplier’s sales force compensation and incentives shall be greater than or equal to the compensation and incentives earned under other contracts to Public Agencies.

(i) Supplier Sales. Supplier shall be responsible for proactive direct sales of Supplier’s Products and Services to Public Agencies and the timely follow-up to sales leads identified by U.S. Communities. Use of product catalogs, targeted advertising, direct mail and other sales initiatives are encouraged. All of Supplier’s sales materials targeted towards Public Agencies shall include the U.S. Communities logo. U.S. Communities hereby grants to Supplier, during the term of this Agreement, a non-exclusive, revocable, non- transferable, license to use the U.S. Communities name, trademark, and logo solely to perform its obligations under this Agreement, and for no other purpose. Any goodwill, rights, or benefits derived from Supplier's use of the U.S. Communities name, trademark, or logo shall inure to the benefit of U.S. Communities. U.S. Communities shall provide Supplier with its logo and the standards to be employed in the use of the logo. During the term of the Agreement, Supplier grants to U.S. Communities an express license to reproduce and use Supplier’s name and logo in connection with the advertising, marketing and promotion of the Master Agreement to Public Agencies. Supplier shall assist U.S. Communities by providing camera-ready logos and by participating in related trade shows and conferences. At a minimum, Supplier's sales initiatives shall communicate that (i) the Master Agreement was competitively solicited by the Lead Public Agency, (ii) the Master Agreement provides the best government pricing, (iii) there is no cost to Participating Public Agencies, and (iv) the Master Agreement is a non-exclusive Contract.

(ii) Branding and Logo Compliance. Supplier shall be responsible for complying with the U.S. Communities branding and logo standards and guidelines. Prior to use by Supplier, all U.S. Communities related marketing material must be submitted to U.S. Communities for review and approval.

(iii) Sales Force Training. Supplier shall train its national sales force on the Master Agreement and U.S. Communities program. U.S. Communities shall be available to train regional or district managers and generally assist with the education of sales personnel.

(iv) Participating Public Agency Access. Supplier shall establish the following communication links to facilitate customer access and communication: 43

(A) A dedicated U.S. Communities internet web-based homepage containing:

(1) U.S. Communities standard logo with Founding Co-Sponsors logos; (2) Copy of original procurement solicitation; (3) Copy of Master Agreement including any amendments; (4) Summary of Products and Services pricing; (5) Electronic link to U.S. Communities’ online registration page; and (6) Other promotional material as requested by U.S. Communities.

(B) A dedicated toll-free national hotline for inquiries regarding U.S. Communities.

(C) A dedicated email address for general inquiries in the following format: uscommunities@(name of supplier).com.

(v) Electronic Registration. Supplier shall be responsible for ensuring that each Public Agency has completed U.S. Communities’ online registration process prior to processing the Public Agency’s first sales order.

(vi) Supplier’s Performance Review. Upon request by U.S. Communities, Supplier shall participate in a performance review meeting with U.S. Communities to evaluate Supplier’s performance of the covenants set forth in this Agreement.

(vii) Supplier Content. Supplier may, from time to time, provide certain graphics, media, and other content to U.S. Communities (collectively "Supplier Content") for use on U.S. Communities websites and for general marketing and publicity purposes. Supplier hereby grants to U.S. Communities and its affiliates a non-exclusive, worldwide, perpetual, free, transferrable, license to reproduce, modify, distribute, publically perform, publically display, and use Supplier Content in connection with U.S. Communities websites and for general marketing and publicity purposes, with the right to sublicense each and every such right. Supplier warrants that: (a) Supplier is the owner of or otherwise has the unrestricted right to grant the rights in and to Supplier Content as contemplated hereunder; and (b) the use of Supplier Content and any other materials or services provided to U.S. Communities as contemplated hereunder will not violate, infringe, or misappropriate the intellectual property rights or other rights of any third party

National Staffing Plan

A staffing plan is required which describes the Supplier’s proposed staff distribution to implement and manage this Contract throughout the term of the Contract. The staffing plan should indicate a chart that

ADMINISTRATION AGREEMENT

This ADMINISTRATION AGREEMENT (“Agreement”) is made as of ______, by and between U.S. COMMUNITIES GOVERNMENT PURCHASING ALLIANCE (“U.S. Communities”) and ______(“Supplier”).

RECITALS

WHEREAS, (“Lead Public Agency”) has entered into a certain Master Agreement dated as of ______, referenced as Agreement No. ______, by and between Lead Public Agency and Supplier (as amended from time to time in accordance with the terms thereof, the “Master Agreement”) for the purchase of ______(the “Products and Services”);

WHEREAS, the Master Agreement provides that any state, county, city, special district, local government, school district, private K-12 school, technical or vocational school, higher education institution (including community colleges, colleges and universities, both public and private), other government agency or nonprofit organization (each a “Public Agency” and collectively, “Public Agencies”) may purchase Products and Services at the prices indicated in the Master Agreement upon prior registration with U.S. Communities, in which case the Public Agency becomes a “Participating Public Agency”;

WHEREAS, U.S. Communities has the administrative and legal capacity to administer purchases under the Master Agreement to Participating Public Agencies;

WHEREAS, U.S. Communities serves as the administrative agent for Lead Public Agency and other lead public agencies in connection with other master agreements offered by U.S. Communities;

WHEREAS, Lead Public Agency desires U.S. Communities to proceed with administration of the Master Agreement on the same basis as other master agreements;

WHEREAS, “U.S. Communities Government Purchasing Alliance” is a trade name licensed by U.S. Communities Purchasing & Finance Agency; and

WHEREAS, U.S. Communities and Supplier desire to enter into this Agreement to make available the Master Agreement to Participating Public Agencies.

NOW, THEREFORE, in consideration of the payments to be made hereunder and the mutual covenants contained in this Agreement, U.S. Communities and Supplier hereby agree as follows:

ARTICLE I

GENERAL TERMS AND CONDITIONS

1.1 The Master Agreement, attached hereto as Exhibit A and incorporated herein by reference as though fully set forth herein, and the terms and conditions contained therein shall apply to this Agreement except as expressly changed or modified by this Agreement.

1.2 U.S. Communities shall be afforded all of the rights, privileges and indemnifications afforded to Lead Public Agency under the Master Agreement, and such rights, privileges and indemnifications shall accrue and apply with equal effect to U.S. Communities under this Agreement

including, without limitation, Supplier’s obligation to provide insurance and certain indemnifications to Lead Public Agency.

1.3 Supplier shall perform all duties, responsibilities and obligations required under the Master Agreement in the time and manner specified by the Master Agreement.

1.4 U.S. Communities shall perform all of its duties, responsibilities and obligations as administrator of purchases under the Master Agreement as set forth herein, and Supplier acknowledges that U.S. Communities shall act in the capacity of administrator of purchases under the Master Agreement.

1.5 With respect to any purchases made by Lead Public Agency or any Participating Public Agency pursuant to the Master Agreement, U.S. Communities (a) shall not be construed as a dealer, re- marketer, representative, partner, or agent of any type of Supplier, Lead Public Agency or such Participating Public Agency, (b) shall not be obligated, liable or responsible (i) for any orders made by Lead Public Agency, any Participating Public Agency or any employee of Lead Public Agency or a Participating Public Agency under the Master Agreement, or (ii) for any payments required to be made with respect to such order, and (c) shall not be obligated, liable or responsible for any failure by a Participating Public Agency to (i) comply with procedures or requirements of applicable law, or (ii) obtain the due authorization and approval necessary to purchase under the Master Agreement. U.S. Communities makes no representations or guaranties with respect to any minimum purchases required to be made by Lead Public Agency, any Participating Public Agency, or any employee of Lead Public Agency or a Participating Public Agency under this Agreement or the Master Agreement.

ARTICLE II

TERM OF AGREEMENT

2.1 This Agreement is effective as of ______and shall terminate upon termination of the Master Agreement or any earlier termination in accordance with the terms of this Agreement, provided, however, that the obligation to pay all amounts owed by Supplier to U.S. Communities through the termination of this Agreement and all indemnifications afforded by Supplier to U.S. Communities shall survive the term of this Agreement.

ARTICLE III

REPRESENTATIONS AND COVENANTS

3.1 U.S. Communities views the relationship with Supplier as an opportunity to provide benefits to both Public Agencies and Supplier. The successful foundation of the relationship requires certain representations and covenants from both U.S. Communities and Supplier.

3.2 U.S. Communities’ Representations and Covenants.

(a) Marketing. U.S. Communities shall proactively market the Master Agreement to Public Agencies using resources such as a network of major sponsors including the National League of Cities (NLC), National Association of Counties (NACo), United States Conference of Mayors (USCM), Association of School Business Officials (ASBO) and National Institute of Governmental Purchasing (NIGP) (collectively, the “Founding Co-Sponsors”) and individual state-level sponsors. In addition, the U.S. Communities staff shall enhance Supplier’s marketing efforts through meetings with Public

Agencies, participation in key events and tradeshows and by providing online tools to Supplier’s sales force.

(b) Training and Knowledge Management Support. U.S. Communities shall provide support for the education, training and engagement of Supplier’s sales force as provided herein. Through its staff (each, a “Program Manager” and collectively, the “Program Managers”), U.S. Communities shall conduct training sessions with Supplier and shall conduct calls jointly with Supplier to Public Agencies. U.S. Communities shall also provide Supplier with access to U.S. Communities’ private intranet website which provides presentations, documents and information to assist Supplier’s sales force in effectively promoting the Master Agreement.

3.3 Supplier’s Representations and Covenants. Supplier hereby represents and covenants as follows in order to ensure that Supplier is providing the highest level of public benefit to Participating Public Agencies (such representations and covenants are sometimes referred to as “Supplier’s Commitments” and are comprised of the Corporate Commitment, Pricing Commitment, Economy Commitment and Sales Commitment):

(a) Corporate Commitment.

(i) The pricing, terms and conditions of the Master Agreement shall, at all times, be Supplier’s primary contractual offering of Products and Services to Public Agencies. All of Supplier’s direct and indirect marketing and sales efforts to Public Agencies shall demonstrate that the Master Agreement is Supplier’s primary offering and not just one of Supplier’s contract options.

(ii) Supplier’s sales force (including inside, direct and/or authorized dealers, distributors and representatives) shall always present the Master Agreement when marketing Products or Services to Public Agencies.

(iii) Supplier shall advise all Public Agencies that are existing customers of Supplier as to the pricing and other value offered through the Master Agreement.

(iv) Upon authorization by a Public Agency, Supplier shall transition such Public Agency to the pricing, terms and conditions of the Master Agreement.

(v) Supplier shall ensure that the U.S. Communities program and the Master Agreement are actively supported by Supplier’s senior executive management.

(vi) Supplier shall provide a national/senior management level representative with the authority and responsibility to ensure that the Supplier’s Commitments are maintained at all times. Supplier shall also designate a lead referral contact person who shall be responsible for receiving communications from U.S. Communities concerning new Participating Public Agency registrations and for ensuring timely follow-up by Supplier’s staff to requests for contact from Participating Public Agencies. Supplier shall also provide the personnel necessary to implement and support a supplier-based internet web page dedicated to Supplier’s U.S. Communities program and linked to U.S. Communities’ website and shall implement and support such web page.

(vii) Supplier shall demonstrate in its procurement solicitation response and throughout the term of the Master Agreement that national/senior management fully supports the U.S. Communities program and its commitments and requirements. National/Senior management is defined as the executive(s) with companywide authority.

(viii) Where Supplier has an existing Contract for Products and Services with a state, Supplier shall notify the state of the Master Agreement and transition the state to the pricing, terms and conditions of the Master Agreement upon the state’s request. Regardless of whether the state decides to transition to the Master Agreement, Supplier shall primarily offer the Master Agreement to all Public Agencies located within the state.

(b) Pricing Commitment.

(i) Supplier represents to U.S. Communities that the pricing offered under the Master Agreement is the lowest overall available pricing (net to purchaser) on Products and Services that it offers to Public Agencies. Supplier’s pricing shall be evaluated on either an overall project basis or the Public Agency’s actual usage for more frequently purchased Products and Services.

(ii) Contracts Offering Lower Prices. If a pre-existing Contract and/or a Public Agency’s unique buying pattern provide one or more Public Agencies a lower price than that offered under the Master Agreement, Supplier shall match that lower pricing under the Master Agreement and inform the eligible Public Agencies that the lower pricing is available under the Master Agreement. If an eligible Public Agency requests to be transitioned to the Master Agreement, Supplier shall do so and report the Public Agency’s purchases made under the Master Agreement going forward. The price match only applies to the eligible Public Agencies. Below are three examples of Supplier’s obligation to match the pricing under Supplier’s contracts offering lower prices.

(A) Supplier holds a state Contract with lower pricing that is available to all Public Agencies within the state. Supplier would be required to match the lower state pricing under the Master Agreement and make it available to all Public Agencies within the state.

(B) Supplier holds a regional cooperative Contract with lower pricing that is available only to the ten cooperative members. Supplier would be required to match the lower cooperative pricing under the Master Agreement and make it available to the ten cooperative members.

(C) Supplier holds a Contract with an individual Public Agency. The Public Agency Contract does not contain any cooperative language and therefore other Public Agencies are not eligible to utilize the contract. Supplier would be required to match the lower pricing under the Master Agreement and make it available only to the individual Public Agency.

(iii) Deviating Buying Patterns. Occasionally U.S. Communities and Supplier may interact with a Public Agency that has a buying pattern or terms and conditions that considerably deviate from the normal Public Agency buying pattern and terms and conditions, and causes Supplier’s pricing under the Master Agreement to be higher than an alternative contract held by Supplier. This could be created by a unique end-user preference or requirements. In the event that this situation occurs, Supplier may address the issue by lowering the price under the Master Agreement on the item(s) causing the large deviation for that Public Agency. Supplier would not be required to lower the price for other Public Agencies.

(iv) Supplier’s Options in Responding to a Third Party Procurement Solicitation. While it is the objective of U.S. Communities to encourage Public Agencies to piggyback on to the Master Agreement rather than issue their own procurement solicitations, U.S. Communities

recognizes that for various reasons some Public Agencies will issue their own solicitations. The following options are available to Supplier when responding to a Public Agency solicitation:

(A) Supplier may opt not to respond to the procurement solicitation. Supplier may make the Master Agreement available to the Public Agency as a comparison to its solicitation responses.

(B) Supplier may respond with the pricing, terms and conditions of the Master Agreement. If Supplier is awarded the Contract, the sales would be reported as sales under the Master Agreement.

(C) If competitive conditions require pricing lower than the standard Master Agreement pricing, Supplier may submit lower pricing through the Master Agreement. If Supplier is awarded the Contract, the sales would be reported as sales under the Master Agreement. Supplier would not be required to extend the lower price to other Public Agencies.

(D) Supplier may respond to the procurement solicitation with pricing that is higher (net to buyer) than the pricing offered under the Master Agreement. If awarded a Contract, Supplier shall still be bound by all obligations set forth in this Section 3.3, including, without limitation, the requirement to continue to advise the awarding Public Agency of the pricing, terms and conditions of the Master Agreement.

(E) Supplier may respond to the procurement solicitation with pricing that is higher (net to buyer) than the pricing offered under the Master Agreement and if an alternative response is permitted, Supplier may offer the pricing under the Master Agreement as an alternative for consideration.

(c) Economy Commitment. Supplier shall demonstrate the benefits, including the pricing advantage, of the Master Agreement over alternative options, including competitive solicitation pricing and shall proactively offer the terms and pricing under the Master Agreement to Public Agencies as a more effective alternative to the cost and time associated with such alternate solicitations.

(d) Sales Commitment. Supplier shall market the Master Agreement through Supplier’s sales force or dealer network that is properly trained, engaged and committed to offering the Master Agreement as Supplier’s primary offering to Public Agencies. Supplier’s sales force compensation and incentives shall be greater than or equal to the compensation and incentives earned under other contracts to Public Agencies.

(i) Supplier Sales. Supplier shall be responsible for proactive direct sales of Supplier’s Products and Services to Public Agencies and the timely follow-up to sales leads identified by U.S. Communities. Use of product catalogs, targeted advertising, direct mail and other sales initiatives are encouraged. All of Supplier’s sales materials targeted towards Public Agencies shall include the U.S. Communities logo. U.S. Communities hereby grants to Supplier, during the term of this Agreement, a non-exclusive, revocable, non-transferable, license to use the U.S. Communities name, trademark, and logo solely to perform its obligations under this Agreement, and for no other purpose. Any goodwill, rights, or benefits derived from Supplier's use of the U.S. Communities name, trademark, or logo shall inure to the benefit of U.S. Communities. U.S. Communities shall provide Supplier with its logo and the standards to be employed in the use of the logo. During the term of the Agreement, Supplier grants to U.S. Communities an express license to reproduce and use Supplier’s name and logo in connection with the advertising, marketing and promotion of the Master Agreement to Public Agencies. Supplier shall assist U.S. Communities by providing camera-ready logos and by participating in related trade shows and

conferences. At a minimum, Supplier's sales initiatives shall communicate that (i) the Master Agreement was competitively solicited by the Lead Public Agency, (ii) the Master Agreement provides the best government pricing, (iii) there is no cost to Participating Public Agencies, and (iv) the Master Agreement is a non-exclusive Contract.

(ii) Branding and Logo Compliance. Supplier shall be responsible for complying with the U.S. Communities branding and logo standards and guidelines. Prior to use by Supplier, all U.S. Communities related marketing material must be submitted to U.S. Communities for review and approval.

(iii) Sales Force Training. Supplier shall train its national sales force on the Master Agreement and U.S. Communities program. U.S. Communities shall be available to train regional or district managers and generally assist with the education of sales personnel.

(iv) Participating Public Agency Access. Supplier shall establish the following communication links to facilitate customer access and communication:

(A) A dedicated U.S. Communities internet web-based homepage containing:

(1) U.S. Communities standard logo with Founding Co- Sponsors logos; (2) Copy of original procurement solicitation; (3) Copy of Master Agreement including any amendments; (4) Summary of Products and Services pricing; (5) Electronic link to U.S. Communities’ online registration page; and (6) Other promotional material as requested by U.S. Communities.

(B) A dedicated toll-free national hotline for inquiries regarding U.S. Communities.

(C) A dedicated email address for general inquiries in the following format: uscommunities@(name of supplier).com.

(v) Electronic Registration. Supplier shall be responsible for ensuring that each Public Agency has completed U.S. Communities’ online registration process prior to processing the Public Agency’s first sales order.

(vi) Supplier’s Performance Review. Upon request by U.S. Communities, Supplier shall participate in a performance review meeting with U.S. Communities to evaluate Supplier’s performance of the covenants set forth in this Agreement.

(vii) Supplier Content. Supplier may, from time to time, provide certain graphics, media, and other content to U.S. Communities (collectively "Supplier Content") for use on U.S. Communities websites and for general marketing and publicity purposes. Supplier hereby grants to U.S. Communities and its affiliates a non-exclusive, worldwide, perpetual, free, transferrable, license to reproduce, modify, distribute, publically perform, publically display, and use Supplier Content in connection with U.S. Communities websites and for general marketing and publicity purposes, with the right to sublicense each and every such right. Supplier warrants that: (a) Supplier is the owner of or

otherwise has the unrestricted right to grant the rights in and to Supplier Content as contemplated hereunder; and (b) the use of Supplier Content and any other materials or services provided to U.S. Communities as contemplated hereunder will not violate, infringe, or misappropriate the intellectual property rights or other rights of any third party

3.4 Breach of Supplier’s Representations and Covenants. The representations and covenants set forth in this Agreement are the foundation of the relationship between U.S. Communities and Supplier. If Supplier is found to be in violation of, or non-compliance with, one or more of the representations and covenants set forth in this Agreement, Supplier shall have ninety (90) days from the notice of default to cure such violation or non-compliance and, if Supplier fails to cure such violation or non-compliance within such notice period, it shall be deemed a cause for immediate termination of the Master Agreement at Lead Public Agency’s sole discretion or this Agreement at U.S. Communities’ sole discretion.

3.5 Indemnity. Supplier hereby agrees to indemnify and defend U.S. Communities, and its parent companies, subsidiaries, affiliates, shareholders, member, manager, officers, directors, employees, agents, and representatives from and against any and all claims, costs, proceedings, demands, losses, damages, and expenses (including, without limitation, reasonable attorney's fees and legal costs) of any kind or nature, arising from or relating to, any actual or alleged breach of any of Supplier's representations, warranties, or covenants in this Agreement.

ARTICLE IV

PRICING AUDITS

4.1 Supplier shall, at Supplier’s sole expense, maintain an accounting of all purchases made by Lead Public Agency and Participating Public Agencies under the Master Agreement. U.S. Communities and Lead Public Agency each reserve the right to audit the accounting for a period of three (3) years from the time such purchases are made. This audit right shall survive termination of this Agreement for a period of one (1) year from the effective date of termination. U.S. Communities shall have the authority to conduct random audits of Supplier’s pricing that is offered to Participating Public Agencies at U.S. Communities’ sole cost and expense. Notwithstanding the foregoing, in the event that U.S. Communities is made aware of any pricing being offered to three (3) or more Participating Public Agencies that is materially inconsistent with the pricing under the Master Agreement, U.S. Communities shall have the ability to conduct an extensive audit of Supplier’s pricing at Supplier’s sole cost and expense during regular business hours upon reasonable notice. U.S. Communities may conduct the audit internally or may engage a third-party auditing firm on a non-contingent basis. Supplier shall solely be responsible for the cost of the audit up to the first $50,000 and U.S. Communities and Supplier shall each be responsible for fifty percent (50%) of the audit costs that exceed $50,000. In the event of an audit, the requested materials shall be provided in the format and at the location where kept in the ordinary course of business by Supplier.

ARTICLE V

FEES & REPORTING

5.1 Administrative Fees. Supplier shall pay to U.S. Communities a monthly administrative fee based upon the total sales price of all purchases shipped and billed pursuant to the Master Agreement, excluding taxes, in the amount of two percent (2%) of aggregate purchases made during each calendar

month (individually and collectively, “Administrative Fees”). Supplier’s annual sales shall be measured on a calendar year basis. All Administrative Fees shall be payable in U.S. Dollars and shall be made by wire to U.S. Communities, or its designee or trustee as may be directed in writing by U.S. Communities. Administrative Fees shall be due and payable within thirty (30) days of the end of each calendar month for purchases shipped and billed during such calendar month. U.S. Communities agrees to pay to Lead Public Agency five percent (5%) of all Administrative Fees received from Supplier to help offset Lead Public Agency’s costs incurred in connection with managing the Master Agreement nationally.

5.2 Sales Reports. Within thirty (30) days of the end of each calendar month, Supplier shall deliver to U.S. Communities an electronic accounting report, in the format prescribed by Exhibit B, attached hereto, summarizing all purchases made under the Master Agreement during such calendar month (“Sales Report”). All purchases indicated in the Sales Report shall be denominated in U.S. Dollars. All purchases shipped and billed pursuant to the Master Agreement for the applicable calendar month shall be included in the Sales Report. U.S. Communities reserves the right upon reasonable advance notice to Supplier to change the prescribed report format to accommodate the distribution of the Administrative Fees to its program sponsors and state associations.

(a) Monthly Sales Reports shall include all sales reporting under the Master Agreement. Supplier must make reasonable attempts at filling in all required information and contact U.S. Communities with a plan to correct any deficiencies of data field population.

(b) Submitted reports shall be verified by U.S. Communities against its registration database. Any data that is inconsistent with the registration database shall be changed prior to processing.

5.3 Exception Reporting/Sales Reports Audits. U.S. Communities or its designee may, at its sole discretion, compare Supplier’s Sales Reports with Participating Public Agency records or other sales analysis performed by Participating Public Agencies, sponsors, advisory board members or U.S. Communities staff. If there is a material discrepancy between the Sales Report and such records or sales analysis as determined by U.S. Communities, U.S. Communities shall notify Supplier in writing and Supplier shall have thirty (30) days from the date of such notice to resolve the discrepancy to U.S. Communities’ reasonable satisfaction. Upon resolution of the discrepancy, Supplier shall remit payment to U.S. Communities’ trustee within fifteen (15) calendar days. Any questions regarding an exception report should be directed to U.S. Communities in writing to [email protected]. If Supplier does not resolve the discrepancy to U.S. Communities’ reasonable satisfaction within thirty (30) days, U.S. Communities shall have the right to engage outside services to conduct an independent audit of Supplier’s reports. Supplier shall solely be responsible for the cost of the audit up to the first $50,000 and U.S. Communities and Supplier shall each be responsible for fifty percent (50%) of the audit costs that exceed $50,000.

5.4 Online Reporting. Within sixty (60) days of the end of each calendar quarter, U.S. Communities shall provide online reporting to Supplier containing Supplier’s sales reporting for such calendar quarter. Supplier shall have access to the following reports through the U.S. Communities intranet website which enable Supplier to better manage its Master Agreement:

(i) Agency Sales by Population/Enrollment Report (ii) Hot Prospect Sales Report (iii) New Lead Sales Report (iv) State Comparison Sales Report (v) Advisory Board Usage Report (vi) Various Agency Type Comparison Reports (vii) Sales Report Builder

5.5 Supplier’s Failure to Provide Reports or Pay Administrative Fees. Failure to provide a Sales Report or pay Administrative Fees within the time and in the manner specified herein shall be regarded as a material breach under this Agreement and if not cured within thirty (30) days of written notice to Supplier, shall be deemed a cause for termination of the Master Agreement at Lead Public Agency’s sole discretion or this Agreement at U.S. Communities’ sole discretion. All Administrative Fees not paid within thirty (30) days of the end of the previous calendar month shall bear interest at the rate of one and one-half percent (1.5%) per month until paid in full.

ARTICLE VI

MISCELLANEOUS

6.1 Entire Agreement. This Agreement supersedes any and all other agreements, either oral or in writing, between the parties hereto with respect to the subject matter hereof, and no other agreement, statement, or promise relating to the subject matter of this Agreement which is not contained herein shall be valid or binding.

6.2 Attorney’s Fees. If any action at law or in equity is brought to enforce or interpret the provisions of this Agreement, the prevailing party shall be entitled to reasonable attorney's fees and costs in addition to any other relief to which such party may be entitled.

6.3 Assignment.

(a) Supplier. Neither this Agreement nor any rights or obligations hereunder shall be assignable by Supplier without prior written consent of U.S. Communities, and any assignment without such consent shall be void.

(b) U.S. Communities. This Agreement and any rights or obligations hereunder may be assigned by U.S. Communities in U.S. Communities’ sole discretion, to an existing or newly established legal entity that has the authority and capacity to perform U.S. Communities’ obligations hereunder.

6.4 Notices. All reports, notices or other communications given hereunder shall be delivered by first-class mail, postage prepaid, or overnight delivery requiring signature on receipt to the addresses as set forth below. U.S. Communities may, by written notice delivered to Supplier, designate any different address to which subsequent reports, notices or other communications shall be sent.

6.5 Severability. If any provision of this Agreement shall be deemed to be, or shall in fact be, illegal, inoperative or unenforceable, the same shall not affect any other provision or provisions herein contained or render the same invalid, inoperative or unenforceable to any extent whatever.

6.6 Waiver. Any failure of a party to enforce, for any period of time, any of the provisions under this Agreement shall not be construed as a waiver of such provisions or of the right of said party thereafter to enforce each and every provision under this Agreement.

6.7 Counterparts. This Agreement may be executed in several counterparts, each of which shall be an original and all of which shall constitute but one and the same instrument.

6.8 Modifications. This Agreement may not be effectively amended, changed, modified, altered or terminated without the prior written consent of the parties hereto.

6.9 Governing Law; Arbitration. This Agreement will be governed by and interpreted in accordance with the laws of the State of California without regard to any conflict of laws principles. Any dispute, claim, or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this dispute resolution clause, shall be determined by arbitration in Walnut Creek, California, before one (1) arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction. The prevailing party will be entitled to recover its reasonable attorneys' fees and arbitration costs from the other party. The arbitration award shall be final and binding. Each party commits that prior to commencement of arbitration proceedings, the parties shall submit the dispute to JAMS for mediation. The parties will cooperate with JAMS and with one another in selecting a mediator from JAMS panel of neutrals, and in promptly scheduling the mediation proceedings. The parties covenant that they will participate in the mediation in good faith, and that they will share equally in its costs. The mediation will be conducted by each party designating a duly authorized officer or other representative to represent the party with the authority to bind the party, and that the parties agree to exchange informally such information as is reasonably necessary and relevant to the issues being mediated. All offers, promises, conduct, and statements, whether oral or written, made in the course of the mediation by any of the parties, their agents, employees, experts, and attorneys, and by the mediator or any JAMS employees, are confidential, privileged, and inadmissible for any purpose, including impeachment, in any arbitration or other proceeding involving the parties, provided that evidence that is otherwise admissible or discoverable shall not be rendered inadmissible or non-discoverable as a result of its use in the mediation. If the dispute is not resolved within thirty (30) days from the date of the submission of the dispute to mediation (or such later date as the parties may mutually agree in writing), the administration of the arbitration shall proceed. The mediation may continue, if the parties so agree, after the appointment of the arbitrator. Unless otherwise agreed by the parties, the mediator shall be disqualified from serving as arbitrator in the case. The pendency of a mediation shall not preclude a party from seeking provisional remedies in aid of the arbitration from a court of appropriate jurisdiction, and the parties agree not to defend against any application for provisional relief on the ground that a mediation is pending.

6.10 Successors and Assigns. This Agreement shall inure to the benefit of and shall be binding upon U.S. Communities, Supplier and any successor and assign thereto; subject, however, to the limitations contained herein.

MASTER INTERGOVERNMENTAL COOPERATIVE PURCHASING AGREEMENT

This agreement is made between certain government agencies that execute a Lead Public Agency Certificate (‘Lead Public Agencies”) to be appended and made a part hereof and other government agencies (“Participating Public Agencies”) that agree to the terms and conditions hereof through the U.S. Communities registration and made a part hereof.

RECITALS

WHEREAS, after a competitive solicitation and selection process by Lead Public Agencies, a number of Suppliers have entered into Master Agreements to provide a variety of goods, products and services based on national and international volumes (herein “Products and Services”);

WHEREAS, Master Agreements are made available by Lead Public Agencies through U.S. Communities and provide that Participating Public Agencies may purchase Products and Services on the same terms, conditions and pricing as the Lead Public Agency, subject to any applicable local purchasing ordinances and the laws of the State of purchase;

WHEREAS, the parties desire to comply with the requirements and formalities of the Intergovernmental Cooperation Act as may be applicable to the laws of the State of purchase;

WHEREAS, the parties hereto desire to conserve resources and reduce procurement cost;

WHEREAS, the parties hereto desire to improve the efficiency, effectiveness and economy of the procurement of necessary Products and Services;

NOW, THEREFORE, in consideration of the mutual promises contained in this agreement, and of the mutual benefits to result, the parties agree as follows:

1. That each party will facilitate the cooperative procurement of Products and Services.

2. That the procurement of Products and Services subject to this agreement shall be conducted in accordance with and subject to the relevant statutes, ordinances, rules and regulations that govern each party’s procurement practices.

3. That the cooperative use of solicitations obtained by a party to this agreement shall be in accordance with the terms and conditions of the solicitation, except as modification of those terms and conditions is otherwise allowed or required by applicable law.

4. That the Lead Public Agencies will make available, upon reasonable request and subject to convenience, information which may assist in improving the effectiveness, efficiency and economy of Participating Public Agencies procurement of Products and Services

5. That a procuring party will make timely payments to the Supplier for Products and Services received in accordance with the terms and conditions of the procurement. Payment, inspections and acceptance of Products and Services ordered by the procuring party shall be the exclusive obligation of such procuring party. Disputes between procuring party and Supplier are to be resolved in accord with the law and venue rules of the State of purchase.

6. The procuring party shall not use this agreement as a method for obtaining additional concessions or reduced prices for similar products or services.

7. The procuring party shall be responsible for the ordering of Products and Services under this agreement. A non-procuring party shall not be liable in any fashion for any violation by a procuring party, and the procuring party shall hold non-procuring party harmless from any liability that may arise from action or inaction of the procuring party.

8. The exercise of any rights or remedies by the procuring party shall be the exclusive obligation of such procuring party.

9. This agreement shall remain in effect until termination by a party giving 30 days written notice to U.S. Communities at 2999 Oak Road, Suite 710, Walnut Creek, CA 94597.

10. This agreement shall take effect after execution of the Lead Public Agency Certificate or Participating Public Agency Registration, as applicable.

FEMA STANDARD TERMS AND CONDITIONS ADDENDUM FOR CONTRACTS AND GRANTS

If any purchase made under the Master Agreement is funded in whole or in part by Federal Emergency Management Agency (“FEMA”) grants, Contractor shall comply with all federal laws and regulations applicable to the receipt of FEMA grants, including, but not limited to the contractual procedures set forth in Title 44 of the Code of Federal Regulations, Part 13 (“44 CFR§13”).

In addition, Contractor agrees to the following specific provisions:

1. Pursuant to 44 CFR 13.36(i)(1), District is entitled to exercise all administrative, contractual, or other remedies permitted by law to enforce Contractor’s compliance with the terms of this Master Agreement, including but not limited to those remedies set forth at 44 CFR 13.43.

2. Pursuant to 44 CFR 13.36(i)(2), District may terminate the Master Agreement for cause or convenience in accordance with the procedures set forth in the Master Agreement and those provided by 44 CFR 13.44.

3. Pursuant to 44 CFR 13.36(i)(3)-(6)(12), and (13), Contractor shall comply with the following federal laws:

a. Executive Order 11246 of September 24, 1965, entitled “Equal Employment Opportunity,” as amended by Executive Order 11375 of October 13, 1967, and as supplemented in Department of Labor (“DOL”) regulations (41 CFR Ch. 60);

b. Copeland “Anti-Kickback” Act (18 U.S.C. 874), as supplemented in DOL regulations (29 CFR Part 3);

c. Davis-Bacon Act (40 U.S.C. 276a-276a-7) as supplemented by DOL regulations (29 CFR Part 5);

d. Section 103 and 107 of the Contract Work Hours and Safety Standards Act (40 U.S.C. 327-330) as supplemented by DOL regulations (29 CFR Part 5);

e. Section 306 of the Clean Air Act (42 U.S.C. 1857(h), section 508 of the Clean Water Act (33 U.S.C. 1368), Executive Order 11738, and Environmental Protection Agency regulations (40 CFR part 15); and

f. Mandatory standards and policies relating to energy efficiency which are contained in the state energy conservation plan issued in compliance with the Energy Policy and Conservation Act (Pub. L. 94-163, 89 Stat. 871).

4. Pursuant to 44 CFR 13.36(i)(7), Contractor shall comply with FEMA requirements and regulations pertaining to reporting, including but not limited to those set forth at 44 CFR 40 and 41.

5. Pursuant to 44 CFR 13.36(i)(8), Contractor agrees to the following provisions regarding patents:

a. All rights to inventions and/or discoveries that arise or are developed, in the course of or under this Agreement, shall belong to the District and be disposed of in accordance with District policy. The District, at its own discretion, may file for patents in connection with all rights to any such inventions and/or discoveries.

6. Pursuant to 44 CFR 13.36(i)(9), Contractor agrees to the following provisions, regarding copyrights:

a. If this Agreement results in any copyrightable material or inventions, in accordance with 44 CFR 13.34, FEMA reserves a royalty-free, nonexclusive, and irrevocable license to reproduce, publish or otherwise use, for Federal Government purposes:

(1) The copyright in any work developed under a grant or contract; and (2) Any rights of copyright to which a grantee or a contactor purchases ownership with grant support.

7. Pursuant to 44 CFR 13.36(i)(10), Contractor shall maintain any books, documents, papers, and records of the Contractor which are directly pertinent to this Master Agreement. At any time during normal business hours and as often as District deems necessary, Contractor shall permit District, FEMA, the Comptroller General of United States, or any of their duly authorized representatives to inspect and photocopy such records for the purpose of making audit, examination, excerpts, and transcriptions.

8. Pursuant to 44 CFR 13.36(i)(11), Contractor shall retain all required records for three years after FEMA or District makes final payments and all other pending matters are closed. In addition, Contractor shall comply with record retention requirements set forth in 44 CFR 13.42.

COMMUNITY DEVELOPMENT BLOCK GRANT ADDENDUM

Purchases made under this Contract may be partially or fully funded with federal grant funds. Funding for this work may include Federal Funding sources, including Community Development Block Grant (CDBG) funds from the U.S. Department of Housing and Urban Development. When such funding is provided, Contractor shall comply with all terms, conditions and requirements enumerated by the grant funding source, as well as requirements of the State statutes for which the Contract is utilized, whichever is the more restrictive requirement. When using Federal Funding, Contractor shall comply with all wage and latest reporting provisions of the Federal Davis-Bacon Act. HUD-4010 Labor Provisions also applies to this Contract.
