To receive, consider and adopt the Directors Report, the Accounts of the Company for the:year ended 31st March 1997, and the Auditors'Report thereon. •- - 2. To declare dividend. I . ; 3. To appoint a Director in the place of Mr. N. Kumar who retires by rotation and is eligible for reappointment. 4. To appoint a Director in the place of Mr. B.S. Adityan who retires by rotation and is eligible for reappointment. 5. To appoint a Director in the place of Mr.N.Sankar who retires by rotation and is eligible for reappointment. 6. To appoint Auditors for the Singapore Branch of the Company and fix their remuneration: To consider and if thought fit, to pass with or without modification, the following SPECIAL RESOLUTION, pursuant to Section 228 and other applicable provisions of the Companies Act, 1956; "RESOLVED that M/s IMatarajan and Swaminathan, a firm of Certified Public Accountants in Singapore be and are hereby appointed Branch Auditors of the Company at Singapore to hold office from the conclusion of the Fiftyfirst Annual General Meeting until the conclusion of the Fiftysecond Annual General Meeting and that their remuneration shall not exceed Singapore $ 2000 inclusive of all travelling and out of pocket expenses, the actual amount to be determined by the Board of Directors within this Ceiling". "RESOLVED that consent of the Company be and is hereby accorded in terms of Sec. 293 (1) (a) and other applicable provisions, if any, of the Companies Act, 1956, to mortgaging and/or charging by way of second mortgage/charge by the Board of Directors of the Company of all the immovable and movable properties of the Company wheresoever situate, present and future and/or conferring power to enter upon and to take possession of the assets of the Company in certain events to or in favour of the following Banks to secure the loans/ Debentures indicated against each, www.reportjunction.com Rs.Aakhs 1. IDBI Bank Ltd Term loan 1500 2. ABN AMRO Bank N V Term loan 1500 3. Bank of America 14.5% Non-Convertible Secured Debentures of Rs. 100 each. 1500 together with interest thereon at the agreed rate, compound interest, additional interest, liquidated damages, commitment charges, premia on prepayment or redemption, remuneration payable to the Trustees, costs, charges, expenses and other monies payable by the Company to the aforesaid Institutions in terms of their heads of Agreements/loan agreements/hypothecation agreement/debenture issue/subscription agreements, trustee agree- ments/letters of sanction/memorandum of terms and conditions entered into/to be entered into by the Company in respect of the said loans/ debentures. RESOLVED FURTHER that the Board of Directors of the Company be and is hereby authorised to finalise with the said Banks the documents for creating the aforesaid mortgage and/or charge and to do all such acts and things as may be necessary for giving effect to the above resolution". FOBNLC/FOUBNLC Rs. 500 lakhs Non-fund Based Facilities: i. DOC, FLC/ILC Rs.1000 lakhs ii. L.G. (Performance/Disputed) Rs. 750 lakhs together with interest thereon at the agreed rate, compound interest, additional interest, liquidated damages, commitment charges, costs, charges, expenses and other monies payable by the Company to Punjab National Bank in terms of their heads of agreements/loan agreements/hypothecation agreement/letters of sanction/ memorandum of terms and conditions entered into/to be entered into by the Company in respect of the said facilities.     ISSN (Online) - 2349-8846 Cricket-lite IPL as a Sporting-Entertainment Complex VIDYA SUBRAMANIAN Vol. 50, Issue No. 15, 11 Apr, 2015 Vidya Subramanian ([email protected]) works on sport and science and technology studies at the Centre for Studies in Science Policy, Jawaharlal Nehru University, New Delhi. The Indian Premier League is incidentally about cricket. It is a chance for software engineers to design better analytical software, film stars to seek publicity, players looking for better pay packets, businesses to look for better advertising opportunities, and television channels to improve their ratings—all are stakeholders in the game. The Indian Premier League, with its three hours of intensity, has changed the way cricket is played, viewed and consumed; not just in India but globally. Once a quintessentially British game, the IPL seems to have made it a mass spectacle of fevered consumption. The IPL has been criticised for being a sort of “cricket-lite” which diminishes the game, degrading the “gentleman’s game”. However, in spite of all the condemnation, the IPL is now entering its eighth year and each year shows that the event and its popularity have persisted. This persistence, I argue, is because it has transcended cricket as a game to become a veritable sporting-entertainment complex. The IPL has harnessed digital age technologies to consolidate brand identities, nurtured the global tastes of a newly cosmopolitan Indian middle class and combine distinct elements of service sector economies such as marketing, advertising and public relations with the sport of cricket. It may, arguably, be more useful to look at the IPL through a lens other than that of “pure” cricket, since the sport is but one of the many elements that constitute it.
