Determination of the Authority in the Matter of Generation Licence Application of Chiniot Power Limited

June 10, 2014 Application/Case No. LAG-247

(A). Background

(i). (GoP) has set up Alternative Energy Development Board (AEDB) for development of Renewable Energy (RE) resources in the Country. Further, GoP through AEDB formulated "the Policy for Development of Renewable Energy (RE) for Power Generation 2006" (hereafter the Policy) for the development of Small Hydro, Wind, and Solar Technologies.

(ii). Later on, the GoP amended the scope of the Policy to include Power Projects based on Bagasse, Biomass, Waste-to-Energy and Bio-Energy, using High-Pressure (minimum 60 bar) Boiler Technology. Further, GoP also extended the applicability of the Policy to be continued for an additional five years w.e.f. March 06, 2013. In accordance with the said amendments, AEDB has issued Letter of Intent (Lol) to different entrepreneurs/ Power Developers including Chiniot Power Limited (CPL), for setting up a Bagasse based Power Project at 26 KM, Chiniot - Road District Chiniot, in the Province of Punjab on Fast Track Basis.

(iii). According to the terms and conditions of the Lol and being a Fast Track Project, sponsors of the project were not required to carry out any Feasibility Study (FS) for the project but were directed to approach NEPRA for issuance of Generation Licence and acceptance of the Authority determined Up- front Tariff.

(B). Filing of Generation Licence Application

(i). CPL in accordance with the Section 15 of Regulation of Generation, Transmission and Distribution of Electric Power Act 1997 (the NEPRA Act), filed an application on March 03, 2014 requesting for grant of a Generation Licence. Registrar examined the submitted application and found the same non-compliant with the NEPRA Licensing (Application and Modification Procedure) Regulations, 1999 ("the Regulations").

(ii). In view of the above, Registrar directed CPL for submitting the required missing information/documents as stipulated in the Regulations. CPL completed the submission of the said information/documentation on March 25, 2014. After completion of the required information, the Authority admitted the application under Regulation 7 of the Regulations on April 22, 2014 for consideration of grant of a Generation Licence. The Authority approved the draft of the Advertisement/Notice of Admission (NoA) to be published in daily newspapers, for informing and seeking comments of the general public as stipulated in Regulation 8 of the Regulations. The Authority also approved the list of interested/affected parties for inviting comments or otherwise assisting the Authority in the matter as stipulated in Regulation 9 (2) of the Regulations.

(iii). Accordingly, Advertisement/NoA was published in one and one English National Newspaper on April 30, 2014. Further, separate notices were also sent to Individual Experts/Government Ministries/Representative Organizations etc. on May 02, 2014 for submitting their views/comments in the matter, for the assistance of the Authority. (C). Comments of Stakeholders

(i). In reply to the above, the Authority received comments from four (04) stakeholders. These included Central Power Purchasing Agency (CPPA) of National Transmission and Despatch Company Limited (NTDC), Alternative Energy Development Board (AEDB), Faisalabad Electric Supply Company Limited (FESCO) and Ministry of Petroleum and Natural Resources (MoP&NR). The salient points of the comments offered by the said stakeholders are summarized in the following paragraphs: -

(a). CPPA in its comments confirmed that AEDB had issued an Lol under the Policy. CPPA clarified that FESCO being the respective DISCO would be responsible to incur cost of interconnection, grid station upgrades etc. as per the Policy. CPPA also confirmed that FESCO had been requested to arrange construction of Interconnection and Transmission Facilities in accordance with approved Interconnection Study Report so that power from the generation facilities of CPL is evacuated well in time. CPPA also stated that it had already filed Power Acquisition Request (PAR) with the Authority. CPPA confirmed that it had no reservation for grant of Generation Licence to CPL subject to meeting of all the conditions laid down in the NEPRA Licensing (Generation) Rules-2000 (the Rules);

(b). AEDB confirmed that it issued an Lol to CPL under the Policy for setting up a 57.00 MW (Net Capacity), Co-generation Power Plant at Chiniot, in the Province of Punjab. AEDB supported the request of CPL for issuance of Generation Licence;

Page 3 of 8 (c). FESCO in its comments remarked that CPL would be a source of low cost power generation with the use of indigenous fuel. Keeping in view the countrywide shortage of power, FESCO has no objection to the grant of Generation Licence to CPL;

(d). MoP&NR remarked that CPL intends to install a Bagasse based Thermal Power Plant for which no Natural Gas is required. Therefore, MoP&NR has no objection to the grant of Generation Licence to CPL.

(ii). In view of the favorable comments of the above mentioned stakeholders, the Authority considered it appropriate to process the Generation Licence application of CPL expeditiously as stipulated in the Regulations and Rules.

(D). Grant of Generation Licence

(i). Energy is fundamental input to economic activity, and thus to human welfare and progress. The importance of electricity in the development of the economy of any country is beyond any doubt. The Economic Growth of any country is directly linked with the availability of safe, secure, reliable and cheaper supply of electricity. In view of the said reasons, the Authority is of the considered opinion that for sustainable development all indigenous power generation resources including Coal, Hydel, Wind, Solar and other RE resources must be developed on priority basis in the public and private sector.

(ii). The existing energy mix of the country is heavily skewed towards the costlier thermal power plants, mainly operating on imported furnace oil. The continuously increasing trend in fuel prices is not only creating pressure on the precious foreign exchange reserves of the country but is also an environmental concern. Therefore, in order to achieve sustainable development it is imperative that indigenous RE resources are given priority for power generation and their development is encouraged. The Energy Security Action Plan 2005 (ESAP) of GoP, also recognizes this very aspect of power generation through RE and envisages that at least 5% of total national power generation capacity (i.e. 9700 MW) to be met through RE resources by 2030. The Authority considers that the proposed project of CPL is consistent with the provisions of ESAP. The project will help in diversifying the energy portfolio of the country. Further, it will not only enhance the energy security of the country by reducing the dependence on imported furnace oil but will also help reduction in carbon emission by generating clean electricity, thus improving the environment.

(iii). CPL is setting up a Co-Generation Facility/Thermal Power Plant at 26 KM, Chiniot-Jhang Road, District Chiniot, in the Province of Punjab. The said facility would be utilizing Bagasse/Biomass as the main fuel during the cane crushing season or till the time Bagasse/Biomass lasts. According to the provided information, CPL would supply to Ramzan Sugar Mills Limited (RSML) around 15.00 MW in the Crushing Season. Whereas in the Off-Season time the supply of electric power would be restricted to 3.00 MW. Accordingly, CPL during the Crushing Season would be supplying to NTDC around 39.50 MW whereas in the non-Crushing Season it would be providing around 54.10 MW. It is clarified that pursuant to provisions of Section 22 of the NEPRA Act, the Authority may permit a Generation Company selling to a Bulk Power Consumer (BPC). Whereas, BPC is a consumer which purchases or receives electric power at one premises, in an amount of 1.00 MW or more. As explained above, the load level for RSML is above the Minimum Level (1.00 MW), therefore for the purpose of supply of electric power, the Authority has considered RSML as a BPC of CPL as stipulated in the NEPRA Act. The Section 2(v) of the NEPRA Act, wherein the ownership, operation, management and control of distribution facilities located on private property and used solely to move or deliver electric power to the person owning, operating, managing and controlling those facilities or to tenants thereof is not included in the definition of "distribution". The distribution facilities [two (02) Underground XLPE 11 KV cables, measuring about 500 meters, 2R-1 C x 500 sqmm/phase) to be used for delivery of electric power to RSML are located on private property (without involving any public property or any third party) would be owned, operated, managed and controlled by RSML. Therefore, the supply of electric power to RSML by CPL does not constitute a distribution activity under the Act, and a Distribution Licence would not be required by RSML. The Authority has observed that RSML is an existing B-2(b) consumer (with Sanctioned Load of 498.00 KW) of FESCO. In this particular case, RSML has confirmed that despite purchasing from CPL it would continue to be a consumer of FESCO and would not stop purchasing electric power from FESCO, at least for the time being. The Authority hereby clarifies that in terms of Section 22(2) of the NEPRA Act, RSML is required to give three (03) years notice to FESCO, if it stops purchasing power from it.

(iv). The Term of a Generation Licence under the Rules is to be commensurate with the maximum expected life of the units comprised in a generating facility. According to the information provided by CPL, the proposed Generation Facility would be achieving the Commercial Operation Date (COD) by July 01, 2015 and would have a useful life of more than thirty (30) years from its COD. CPL has requested that the term of the proposed Generation Licence may be fixed to thirty (30) years in consistent with the term of the proposed Energy Purchase Agreement (EPA) to be signed with CPPA. The Authority considers that information provided by CPL about the useful life of the Steam Turbine and the subsequent request of CPL to fix the term of the Generation Licence is rational. Therefore, the Authority sets the term of the Generation Licence to thirty (30) years from COD of the Co-Generation/Generation Facility.

(v). Regarding the Tariff, it is clarified that in terms of Rule 6 of the Rules, for the provision of electric power, the Licensee is allowed to charge only such ,_, tariff as may be determined, approved or specified by the Authority. CPL has already applied for the acceptance of the Up-front Tariff in accordance with the Determination of the Authority No. NEPRA/R/TRF-UTB-2013/5152-5154, dated May 29, 2013. The Authority in its Regulatory Meeting held on April 22, 2014 admitted the request of CPL. The final decision in this regard is expected to be issued soon. Accordingly, the Authority directs CPL to strictly adhere to the terms and conditions of the Generation Licence and that of Up-front Tariff. The matter of rates, charges and terms and conditions of tariff between CPL and its BPC- RSML(collectively called the Parties) is required to be approved by the Authority, as stipulated in Rule 6 of the Rules. Therefore, for the purpose of tariff for the electric power to be supplied to RSML by CPL, the parties may enter into a Bi- Lateral Contract and submit the same for the consideration and approval of the Authority. Accordingly, CPL is advised to submit the Bi-Lateral Contract/Power Purchase Agreement to be executed with RSML for approval.

(vi). The proposed Co-Generation Power Plant/Generation Facility of CPL would be using RE Resource for Generation of electric Power. Therefore, the project may qualify for the Carbon Credit under the Koyoto Protocol (for RE projects coming into operation upto 2020). In view of the said, the Authority directs CPL to initiate the process in this regard at the earliest so that proceeds for the Carbon Credits are materialized. CPL shall be required to shares the proceeds of the Carbon Credits with the Power Purchaser as stipulated in Article 13 of its Generation Licence.

(vii). The proposed Co-Generation Power Plant/Generation Facility of CPL for which Licence has been sought, is a Conventional Steam Turbine Power Plant using Bagasse/Biomass as fuel to be burned in the High Pressure boilers. Bagasse is a RE source which does not cause pollution however, the operation of the generation facility may cause some other type of pollution including Soil Pollution, Water Pollution and Noise Pollution. The Authority has considered these aspects and has made CPL obligatory to comply with the required rules and regulation on environment. Further, the Authority directs CPL to submit a quarterly

report confirming that its operation is compliant with required Environmental Standards of the Environmental Protection Agency of Govt. of Punjab.

(viii),In view of the above, the Authority hereby decides to approve the grant of Generation Licence to CPL on the terms set out in the Generation Licence annexed to this determination. The grant of Generation Licence will be subject to the provisions contained in the NEPRA Act, relevant rules and regulations framed there under including the Grid Code.
