A significant number of project activities are based in the Philippines (Magic Glasses Philippines). B The project Magic Glasses Philippines investigates the impact of a video-based health education package on knowledge of soil-transmitted helminth (STH) infections, hygiene behaviours and infection outcomes. It targets some 2, 500 schoolchildren aged 9-10 years (Grade 4) in the Laguna province, the Philippines; and is implemented for a duration of two years, in collaboration with the Participating Parties, with facilitation of collaborative activities through a steering committee. C A Project Steering Committee, composed of representatives from the ANU, QIMR, RITM, Department of Health, Department of Education, Local Government Units of the province of the Laguna and its cities, will be organized to facilitate collaborations and contributions from the 2 Participating Parties in the conduct of the research related to soil-transmitted helminths through continuous engagement, feedback, guidance, support and endorsement, with specific objectives to: a) Ensure the research is aligned with DepEd and DoH control programs; b) Provide support and guidance for the implementation of the study; c) Ensure that potential threats to the projects success are identified and addressed; d) Ensure that the conduct of the project are monitored; e) Address any issues which may have major implications in the implementation and success of the project; f) Meet on a regular basis to assess progress and challenges of project implementation; and g) Report on project progress to those responsible at the next higher level. D The Participating Parties are going to collaborate with ANU in the implementation of the Magic Glasses Philippines project by facilitating the research program within the selected schools. The specific activities of the Participating Parties are detailed in Schedule Item 6. E Joint Purpose ANU and the Participating Parties wish to cooperate in the Magic Glasses Philippines project for the benefit of the Laguna Province community. The purpose of this Memorandum of Agreement is to set out the terms of their cooperation. 1. Head Agreements 1.1 The ANU and QIMR are required to conduct the Magic Glasses Philippines (MGP) in accordance with the requirements of the Head Agreements. 1.2 ANU and QIMR will lead the research program with RITM, the local coordinator in the Philippines. 1.3 The Participating Parties agree to collaborate with ANU to meet its obligations under the Head Agreements. 2. The Project 2.1 The ANU wishes to cooperate with the Participating Parties to conduct the Joint Purpose on the terms and conditions set out in this Agreement. 2.2 This Agreement will commence on the Commencement Date set out in Item 3 of the Schedule and will end on the Completion Date set out in Item 4 of the Schedule. 2.3 The Participating Parties agree to fully cooperate with ANU by complying with all reasonable requests made by the ANU for information and reports to enable the ANU to meet its obligations under the Head Agreements. 3 2.4 For the avoidance of doubt, ANU and the Participating Parties are each performing their own projects, and their cooperation is limited to this Joint Purpose. Neither Party is liable to the other in respect of any obligation, including in relation to the engagement of any persons and/or payment of any liabilities except as expressly set out in this Agreement. 3. Role of Participating Parties 3.1 The Participating Parties have agreed to undertake the Activities set out in Item 6 of the Schedule to the necessary standard required. 3.2 The Participating Parties do not have the authority to act for, or create or assume any responsibility or obligation on behalf of the ANU. 4. Funding 4.1 ANU and the Participating Parties will each maintain their own funding and personnel, and each will be solely responsible for the performance of its Activities under the Magic Glasses Philippines specified in Item 6 of the Schedule. 4.2 Neither party will do any act that might in any way cause the other party to be in breach of its obligations under the Head Agreements. 4.3 No party will be liable for any costs incurred by another party/parties, nor be liable to make any form of payment or offset in relation to the Magic Glasses Philippines. 5. Intellectual Property 5.1 This Agreement does not affect the ownership of any existing Intellectual Property rights. 6. Resolution of disputes 6.1 In the event of a dispute in relation to the Magic Glasses Philippines, the parties will nominate a representative to promptly meet to negotiate the dispute in good faith. If the dispute is not resolved, either party may refer the matter for mediation, with each party bearing its own costs. 7. Privacy and Personal Information 7.1 The Participating Parties acknowledge and agree that ANU is bound by the provisions of the Privacy Act 1988 (Cth) (Privacy Act). The Privacy Act requires ANU to pass on the obligations outlined in this clause to a third party where ANU is providing personal information to that third party. For the 4 purposes of this agreement Personal Information means information or an opinion (including information or an opinion forming part of a database), whether true or not, and whether recorded in a material form or not, about a natural person whose identity is apparent, or can reasonably be ascertained, from the information or opinion. A summary of the relevant provisions contained in the Privacy Act is set out below.
