Page 3 of 62 The Client also accepts no liability of any nature whether resulting from negligence or otherwise however caused or arising from reliance of any Applicant upon the statements contained in this RFP. The Client may in its absolute discretion, but without being under any obligation to do so, update, amend or supplement the information, assessment or assumption contained in this RFP. The issue of this RFP does not imply that the Client is bound to select an Applicant or to appoint the selected Agency, as the case maybe, to provide the Services and the Client reserves the right to reject all or any of the Proposals without assigning any reasons whatsoever. The Applicant shall bear all its costs associated with or relating to the preparation and submission of its Proposal including but not limited to preparation, copying, postage, delivery fees, expenses associated with any demonstrations or presentations which may be required by the Client or any other costs incurred in connection with or relating to its Proposal. All such costs and expenses will remain with the Applicant and the Client shall not be liable in any manner whatsoever for the same or for any other costs or other expenses incurred by an Applicant in preparation or submission of the Proposal, regardless of the conduct or outcome of the selection process. Page 4 of 62 PART-A: INSTRUCTION TO APPLICANTS SECTION-1: DEFINITIONS 1.1 “Agency” means the successful Applicant selected by the Client in accordance with this RFP to enter into the Contract to provide the Services. 1.2 “Applicable Law” means the laws and any other instruments having the force of law in India, as they may be issued and in force from time to time. 1.3 “Applicant” means any person/firm/company that submits a Proposal pursuant to this RFP. 1.4 “Clause” means a clause of the ITA. 1.5 “Client” means Director Municipal Administrator (DMA), the implementing authority that will sign the Contract for the Services with the selected Agency. 1.6 “Companies Act” means the (Indian) Companies Act, 1956 or the (Indian) Companies Act, 2013, to the extent applicable. 1.7 “Contract” means the legally binding written agreement to be executed between the Client and the selected Agency. A draft of the Contract has been set out and includes all the documents listed in the draft Contract. 1.8 “Data Sheet” means the data sheet set out in Section 6 of Part A with specific details and information to supplement (and not override) the general provisions set out in Part A of the ITA. 1.9 “Day” means a calendar day. 1.10 “Eligibility Criteria” means, collectively, the financial eligibility criteria and the technical eligibility criteria and the other eligibility criteria specified in Clauses 2.13, 2.14 and 2.15, which an Applicant is required to satisfy to be qualified as an eligible Applicant for award of the Contract. 1.11 “EMD” shall have the meaning ascribed to it in Clause 3.10. 1.12 “Financial Proposal” means the financial proposal of the Applicant comprising the documents set out in Clause 3.9.2. 1.13 “GoO” means the Government of Odisha. 1.14 “GoI” means the Government of India. 1.15 “ITA” mean the Instructions to Applicant set out in Part-A of the RFP that provides the Applicants with all the information needed to prepare their Proposals. Page 5 of 62 1.16 “Performance Security” shall have the meaning ascribed to it in Clause 4.3. 1.17 “Proposal” means the submissions made by an Applicant pursuant to the RFP, which will include the Qualification Documents, Technical Proposal and the Financial Proposal. 1.18 “Proposal Due Date” means the last date for submission of the Proposals, as specified in the Data Sheet. 1.19 “RFP” means this, request for proposal dated along with its schedules, annexures and appendices and includes any subsequent amendment issued by the Client. 1.20 “Services” means the work to be performed by the Agency pursuant to the Contract, as described in greater detail in the TOR at Part - F. 1.21 “Technical Proposal” means the technical proposal of the Applicant comprising the documents set out in Clause 3.9. Page 6 of 62 SECTION-2: INTRODUCTION 2.1 Introduction Director Municipal Administration (DMA) is the Administrative head all the Urban Local Bodies (ULB) of Odisha. There are 114 ULBs in Odisha, and present Scope of Work covers 112 ULBs (except Bhubaneswar and Berhampur), the details regarding Population and area of the ULBs is given at para X of Term of Reference. 2.2 Objective DMA intends to introduce a Digital Door Numbering Solution for all the dwellings in the jurisdiction of 112 ULBS of Odisha based on a Geo-spatial solution, depicting an Alpha Numeric Smart Address code for each property/establishment in respective ULBs with the information of main road, sub road/lane, Landmarks building and the floor. This will ensure the benefits of providing navigation details and address location services to the dwellings/properties within the jurisdiction of respective ULBs and also help see spatial depiction of information related to electricity, water connection, property tax and fee collection management. For this purpose DMA intends to select an agency for the “Design, Customization, Implementation and Operation & Maintenance of Digital Door Number System in 112 ULBs of Odisha” (the Project) through a competitive bidding process as defined in the Data Sheet. 2.3 Scope of Services Please refer PART-F for detailed Term of Reference. 2.4 Minimum Eligibility Criteria 2.4.1 The applicant should be a company incorporated under The Companies Act, 1956 or The Companies Act, 2013 or a partnership firm or a limited liability partnership registered under the LLP Act, 2008 or a proprietorship. (Copy of registration certificate to be furnished) The applicants may also bid by way of consortium/joint Venture. However, the total number of members in a consortium/joint Venture shall be limited to 2 (two).
