PL1260 Stakeholders Engagement Plan Phase II of Banie Wind Farm Project, Poland 1. INTRODUCTION A Polish SPV (special purpose vehicle) Wiatromill Sp. z o.o. (further referred as “Wiatromill” or the “Company”) is the owner of the development rights the Banie Project (further referred as the “Project”), which is an up to 192 MW onshore wind farm (WF) located in north-western Poland, that consists of the sites located in the communes of Banie, Widuchowa, Kozielice and Bielice. The Project, to the extent constructed in full, is intended to comprise of up to 96 wind turbine generators (WTGs), which due to the size of the project and localizations in different communes are to be divided into the following seven subprojects: Banie 1A (development of 13 WTGs), Banie 1B (development of 2 WTGs), Banie 2 (development of 24 WTGs), Widuchowa (development of 3 WTGs), Kozielice 1 (development of 21 WTGs), Kozielice 2 (development of 22 WTGs) and Bielice (development of 10 WTGs). All of the WTGs are to be situated in Zachodniopomorskie voivodeship (województwo), approximately 40 km south of the city of Szczecin, within a 12 km radius of the village of Banie. Communes of Banie and Widuchowa are located within the area of Gryfiński County (powiat), while Kozielice and Bielice within the area of Pyrzycki County (see the map below). For the subprojects: Banie 1A, Banie 1B, Banie 2, Kozielice 1 and Kozielice 2, 82 WTGs Vestas V100 (capacity of each 2 MW, hub height 95 m in Banie sub projects and 125 m in Kozielice sub projects) are considered. For the subprojects: Widuchowa and Bielice 14 WTGs Vestas V110 (capacity of each 2 MW, hub height 125 m) are the ultimate choices. The agreements with Vestas on WTGs supply and installation were already signed in June 2014 as amended afterwards from time to time. Per the Agreement with Vestas, they will provide operations and maintenance services on a 15-year basis. Map 1. Location of the Project Due to the decisions taken by the Company, the Project was divided into 3 separate phases. The construction of the first phase of 50MW (the "Phase I") has already been accomplished and final tests are currently ongoing which expected completion by the end of February 2016. Given the latest change of December 2015 of the Renewable Energy Act which remains existing renewable energy support scheme in force by the end of June 2016, the Company decided to commence the PL1260 Stakeholders Engagement Plan Phase II of Banie Wind Farm Project, Poland Phase II with a capacity of 56MW immediately. The construction works of this Phase have been commenced in mid-January 2016 and are expected to be completed by the end of June 2016. Decision on the development of the Phase III, with a total capacity of up to 84MW will be taken in the future depending on, inter alia, the electricity market conditions, renewable energy support scheme and possibility for project. The construction of Phase I, which consists of Kozielice 1 and a part of Kozielice 2 of a total capacity of 50 MW was financed independently and after negotiations has been recently re- financed among others by the EBRD. The Company currently applied to EBRD for co-financing of the Phase II of the Project. The Phase III will be developed separately. Due to the size of the future project and possible cumulative impacts an assessment has been undertaken for all three phases. The phases of development will have the following configurations: 1. Phase I of the Project’s development (which has already been accomplished), which comprises: 21 WTGs VESTAS V100 2.0MW, hub height 125 m, rotor diameter 100 m, capacity 2.0 MW belonging to Kozielice 1 subproject (WTG no. KEW01 – KEW19, KEWK02 and KEWK03) and 4 WTGs VESTAS V100 2.0MW, hub height 125 m, rotor diameter 100 m, capacity 2.0 MW belonging to Kozielice 2 subproject (WTG no. KEW20, KEW21, KEW23, KEW27). 2. Phase II of the Project’s development, which comprises: 10 WTGs VESTAS V110 2.0MW, hub height 125 m, rotor diameter 110 m, capacity 2.0 MW belonging to Bielice subproject (WTG no. EWB01 – EWB11) and Remaining 18 WTGs VESTAS V100 2.0MW, hub height 125 m, rotor diameter 100 m, capacity 2.0 MW belonging to Kozielice 2 subproject (WTG no. KEW22, KEW24, KEW25, KEW26, KEW28 – KEW41). 3. Phase III of the Project’s development, which comprises: up to 39 WTGs VESTAS V100 2.0MW, hub height 95 m, rotor diameter 100 m, capacity 2.0 MW belonging to Banie 1a, Banie 1b and Banie 2 subprojects (WTG no. BEW01 – BEW09, BEW16 – BEW37, BEW39 – BEW46) and up to 3 WTGs VESTAS V110 2.0MW, hub height 125 m, rotor diameter 110 m, capacity 2.0 MW belonging to Widuchowa subproject (WTG no. WEW02, WEW04 and WEW06). The Project also consists of an internal infrastructure of power transmission and control cables, roads and assembly yards, as well as a three dedicated electrical substations, which are ‘GPO Nowe Czarnowo’ located in the area of Gryfino commune, Gryfiński county (110/220 kV voltage) and two stations located in the area of Banie commune: ‘GPO Banie’ (30/110 kV voltage) and ‘GPO Kozielice’ (30/110 kV voltage). The grid connection conditions for the project were agreed with the Transmission System Operator, which is Polskie Sieci Elektroenergetyczne Operator S.A. (further referred as “PSE Operator”). The binding grid connection agreement with PSE Operator S.A has been already signed. Connection to the national grid, which is located in Krajnik PL1260 Stakeholders Engagement Plan Phase II of Banie Wind Farm Project, Poland (400/220/110 voltage), is provided via 1.5 km long underground high voltage cables. The project is being developed on green fields partially drained that are currently used for agricultural purposes, but which are dedicated for the development of wind farm facilities in the local zoning plans of the communes. Based on the completed environmental impact assessment (EIA) procedures conducted by local (communes) authorities and in line with Polish legal requirements, the Project, including electrical substations ‘GPO Kozielice’ and ‘GPO Banie’, has already been granted with the relevant environmental decisions. The decisions for substations were issued based on screening as the relevant authorities, i.e. RDOŚ in Szczecin and State Voivodeship Sanitary Inspectorate of Zachodniopomorskie Voivodeship in Szczecin decided on a lack of need to conduct environmental impact assessment. The process of obtaining the construction permits for the project was commenced and until now, building permits for 91 WTGs out of 96 WTGs were obtained for Banie 1A, Banie 1B, Banie 2, Kozielice 1, Kozielice 2 and Bielice subprojects, including building permits for associated technical infrastructures. Moreover, due to the implementation of changes types of turbines, three amendment decisions were also issued (with regard to 13 WTGs of Banie 1A subproject, 2 WTGs of Banie 1B subproject, 24 WTGs of Banie 2 subproject and 43 WTGs of Kozielice 1 and 2 subprojects). The building permits for ‘GPO Kozielice’ and ‘GPO Nowe Czarnowo’ electrical substations have already been issued. Process of issuing the remaining building permits for 3 WTGs of Widuchowa and 2 WTGs of Bielice subproject is pending. The building permit application for Widuchowa is planned to be submitted by the end of December 2015. In case of the remaining 2 WTGs belonging to the Bielice subproject, the building permit is expected in the Q1 of 2016. The construction works related to the Phase I have been commenced in April 2015 and accomplished in December 2016. The construction works related to the ‘GPO Kozielice’ and ‘GPO Nowe Czarnowo’ have also been accomplished and they are now operated and connected to the Electricity Greed. The construction of the Phase II of the Project (see the map above) has been commenced in mid- January 2016. The Company intends to finalize construction of the Phase II by the end of June 2016. The Scope of this SEP: This stakeholder engagement plan (SEP) aims at identification of the Project stakeholders at different phases of development and establishment of the rules for management of exchange of information between the company and the stakeholders. This SEP updates the plan adopted for the Phase I of the Project to reflect current status of the Project development, i.e. completion of the construction works of the Phase I and commencement of the Phase II development. Further, this SEP specifies the documents of the Project Disclosure Package required for the Category A projects, according to EBRD’s Environmental and Social Policy (2015) and outlines the stakeholders engagement activities planned for the Phase II of the Project and after both Phase I and Phase II are fully operational.
