They will be in Columbus Thursday, July 7 and Friday, July 8. We would like to make them available for an individual meeting with the Governor (as well as the other apportionment board members) those days. Right now they are blocked off for staff training that Thursday afternoon and Friday morning, but of course we can move those around. Please advise if there is a time that might work. Additionally, I spoke with Matt Schuler and Troy Judy about setting up a weekly staff meeting on redistricting starting in the next two weeks, at which you or your designee could be present. WHEREAS, the Task Force is an entity which was created by R.C. 103.51 for the purpose, among other things, of engaging in such research studies and other activities deemed necessary or appropriate in the preparation and formulation of a plan for the next apportionment of the Ohio General Assembly and a plan for the establishment of districts for election of representatives to the United States Congress; and, WHEREAS, pursuant to R.C. 103.51(D), Task Force is empowered to engage such experts and technical advisors and fix their compensation, and to obtain such services as are necessary for the Task Force to perform its duties under R.C. 103.51; and, WHEREAS, the Republican members of the Task Force desire to retain the services of Capital Advantage to aid them in carrying out their duties under RC 103.51(D) including but not limited to, the preparation and formulation of a plan for the next apportionment of the Ohio General Assembly, and a plan for the establishment of districts for election of representatives to the United States Congress, and Capital Advantage agrees to render such services to the Republican Members of the Task Force, on the terms and conditions set forth herein. The Task Force and Capital Advantage mutually agree as follows: 1. Consulting Services. During the term of this agreement, Capital Advantage shall make available Raymond E. DiRossi to render such consulting services as may be needed or requested by the Republican Members of the Task Force to cany out their duties under R.C. 103.51. 2. Term. The term of this agreement will commence on August 1, 2011, and shall expire on December 31, 2011, unless tetminated in accordance with the provisions of Section 8 of this agreement or extended by the Task Force by agreement with Capital Advantage. 3. Consulting Payments. In consideration of the services to be performed by Capital Advantage pursuant to this agreement, The Task Force agrees to pay Capital Advantage the total sum of seventy-five thousand dollars ($75,000.00) payable as follows forty thousand dollars ($40,000) on August 22, 2011, and thirty-five thousand dollars ($35,000) payable on October 17, 2011. Further, should litigation be commenced challenging the redistricting plan passed by the General Assembly, the reapportionment plan adopted by the Apportionment Board, or any similar litigation pertaining to the duties in this contract, Capital Advantage shall be paid an additional thirty thousand dollars ($30,000)_ 4. Expense Reimbursement. During the tenn of this agreement, Capital Advantage shall be entitled to reimbursement of all reasonable and necessary travel and lodging expenses incurred by Capital Advantage in connection with Capital Advantage's performance of the consulting expenses hereunder, provided that Capital Advantage submits to the Task Force EXHIBIT Nr ^ ^ I invoices or other documentary verifications of such expenses. The determination of whether any such expenses submitted by Capital Advantage are reasonable and necessary shall be within the sole discretion of the Task Force; provided, however, that the Task Force shall not deny reimbursing Capital Advantage for any properly verifed expenses that the Task Force approved in advance of such reimbursement. The Task Force shall provide parking access to Capital Advantage, the use of which shall be limited to the purpose of benefiting the Task Force in the perfomzance of statutory duties. 5. Other contractual obliflations. Commencing on August 1, 2011, and continuing through October 31, 2011, Capital Advantage shall not engage or hold any other contracts for consulting services related to the General Assembly in the state of Ohio. 6. Independent Contractor. The Task Force and Capital Advantage expressly acknowledge and agree that the consulting services to be provided by Capital Advantage under this agreement shall be performed as an independent contractor and not as an agent or employee to the Task Force or the Republican Members of the Task Force. The parties expressly acknowledge and agree with respect to any payments made to Capital Advantage hereunder, Task Force will not: (i) withhold any federal F.I.C.A. or other federal, state or local taxes; or (ii) contribute to any applicable workers' compensation, unemployment or any other state or federal programs.
