Minutes of a Regular Meeting of the Odessa College Board of Trustees held Thursday, December 5, 2019, in the Electronics Technology Building, Saulsbury Conference Room, with the following: Present Absent Richard Abalos Tommy Clark Royce Bodiford Dr. Tara Deaver Gary Johnson Neil Grape Larry Johnson J. E. “Coach” Pressly Bruce Shearer Meeting was called to order by Board of Trustees Vice Chair, Mr. Gary Johnson, at 6:00 p.m. Pledge of Allegiance: United States & Texas Mr. Gary Johnson led the group in the pledges. Pinning Ceremony for Campus Police Officer Tenisha Giddens Mr. Gary Johnson invited Officer Tenisha Giddens to the podium. Mr. Johnson introduced Ms. Giddens and read a brief bio. OC Police Chief, Leslie Alexander, pinned Officer Giddens. Approval of Minutes of Regular Meeting of October 22, 2019 Mr. Shearer moved, seconded by Mr. Abalos, to approve the minutes of the Regular Meeting of October 22, 2019. Motion passed unanimously. Renewal of Terms of Directors for Odessa College Foundation Ms. Jacqui Gore, Executive Director of Advancement, stated that the mission of the Odessa College Foundation was three-fold: To secure donations for scholarship assistance through the annual campaign and Leave-a-Legacy campaign; to secure donations to the College that foster the continuation and development of projects and training programs; and to unify the community in promoting philanthropy for Higher Education at Odessa College. Ms. Gore presented the existing Foundation directors for renewal of terms: Craig Van Amburgh, President David Boutin, President-Elect Jim Breaux Dr. Tara Deaver Phil George Kevin Gray Leslie Hankins Lisa Hill Gary Johnson Tommy Salmon, Jr. Collin Sewell Jill Sparkman 3 Dr. Tanya Wood Mr. Bodiford moved, seconded by Mr. Abalos, to approve the renewal of terms for the Odessa College Foundation directors. Motion passed unanimously. Appointment of New Directors to Odessa College Foundation Ms. Gore presented the following as new directors for the Odessa College Foundation: Jeff Adams Jefferson Cox Shem Culpepper Melinda Garriga Tom Passmore Mr. Shearer moved, seconded by Mr. Abalos, to approve the new Odessa College Foundation directors as presented. Motion passed unanimously. Committee Reports 1. Finance Committee a. Approval of Audited Financial Statements Committee Chair, Mr. Gary Johnson, stated that the Finance Committee met recently to review the 2019 audited financial statements in detail with Johnson, Miller & Co. CPAs PC. Mr. Scott Brown of Johnson, Miller & Co. CPAs PC reviewed the Independent Auditors Reports. Mr. Ken Zartner, Vice President for Administration, presented an overview of the audited financial statements. Mr. Gary Johnson congratulated the OC team for a great job. Mr. Shearer moved, seconded by Mr. Abalos, to approve the audited financial statements. Motion passed unanimously. 2. Property Committee a. Request for Consent from Board of Trustees of Odessa College District to Sell Property for Less than Market Value Specified in the Judgment of Foreclosure and Also Less than the Amount of Judgment Committee member, Mr. Larry Johnson, stated that the Property Committee met recently to consider one piece of property. Mr. Larry Johnson moved, seconded by Mr. Shearer, to approve the following property: 4 9510 W. Westridge ………………………………..$1,000 Motion passed unanimously. b. Report on Approval of Bid for Physical Plant Shop Re-Build Mr. Larry Johnson stated that the Property Committee met recently to review bids for the re-build of the Physical Plant shop. Mr. Johnson stated that the committee approved a bid from J. C. Roberts Construction Co., Inc. in the amount of $224,277. Monthly Financial Statements & Budget Amendments Mr. Ken Zartner, Vice President for Administrative Services, highlighted various areas of the financial statements and budget amendments as printed below: (Kristi Gibbs will put financial reports in minute book) Mr. Shearer moved, seconded by Mr. Bodiford, to approve the Monthly Financial Statements and Budget Amendments. Motion passed unanimously. Organizational Chart Updates Mr. Ken Zartner stated that there have been two significant changes to the organizational structure since the organizational chart was reviewed in September. Odessa College has traditionally had a Vice President for Instruction position. Two new Associate Vice President for Instruction positions have been created to support the Vice President for Instruction. Ms. Karen Doughty was promoted to Associate Vice President for Instruction – Operations. The second position - currently vacant – is the Associate Vice President for Instruction – Efficacy. The role of each Associate Vice President is different. The Operations position focuses on operations and scheduling. The Efficacy position oversees the Deans, curriculum, assessment, and course mapping. Mr. Zartner stated that duties have been allocated in such a way that there is no additional cost to the budget. Dr. Don Wood, Interim Vice President for Instruction, noted that these changes are strategic since the Vice President for Instruction was unable to support the continued growth we have experienced. Additional changes include the move of Dual Credit to Academic Partnerships under Dr. Jonathan Fuentes and the move of Continuing Education to Institutional Effectiveness under Dr. Wood. Dr. Wood stated that having the two Associate Vice President positions will allow the Vice President for Instruction to help us strategize how to get better, how to improve student outcomes, and how to reach out more to the community. Additionally, Mr. Zartner stated that Student Learning Resources has been moved under Mr. Robert Rivas, Chief of Staff, who already oversees OC Global and the Internal Communications Specialist. Report on Vision 2030 Master Plan Meeting Mr. Zartner stated that a group which included two Odessa College Board members, met with architects for the initial discussion of the Vision 2030 Master Plan. Mr. Zartner stated as plans progress, information would be shared with Board members. 5 Report on Select Committees on Mass Violence & Community Safety Ms. Kim McKay, Vice President for Student Services & Enrollment Management, stated that on October 17th Odessa College hosted the Senate Select Committee on Mass Violence Prevention & Community Safety in Deaderick Auditorium and on November 7th hosted the House Select Committee on Mass Violence Prevention & Community Safety in the Zant Community Room. These well attended meetings were designed to allow the Senators and Representatives to hear public comments on the mass shootings that occurred on August 31, 2019. The events were live- streamed. Education Report: Graduation Ms. Kim McKay stated that the graduation ceremonies will be held in the OC Sports Center on Saturday, December 7, at 10:00 a.m. and 2:00 p.m. Ms. McKay shared a graduation video from the May, 2019, graduation ceremonies held in the Ector County Coliseum. Ms. McKay stated that we have more than tripled the number of degrees and certificates awarded since Fall 2010. Business & Industry and STEM graduates will walk in the 10:00 a.m. ceremony and Liberal Arts & Education, Health Sciences, GED, and high school equivalency graduates will walk in the 2:00 p.m. ceremony. Ms. McKay recognized the Records staff for their work in preparing students for graduation. Highlights of this graduation include 8 Dual Credit students who will receive a degree or credential and 1 Dual Credit student who will receive 3 Associate degrees before graduating from high school in May. 101 Business & Industry students will receive an Associate of Applied Science degree. 163 STEM and Liberal Arts & Education students will receive an Associate of Arts or an Associates of Applied Science and are prepared to transfer or enter the workforce. 55 Health Sciences students are prepared to take licensing exams. 76 students will receive their high school equivalency diploma. A total 471 degrees and certificates will be awarded which compares favorably to 344 awarded in Fall 2017 and 376 awarded in Fall 2018. Ms. McKay also shared a video that was shared on social media on December 3rd for Giving Tuesday featuring some the things Odessa College does to give back to the community. Ms. McKay invited Board members to attend The Texas Tribune event BOOM: A Conversation About How the Oil and Gas Sector Impacts Texas, scheduled for December 10, 11:30 a.m., in the Zant Community Room. Institutional Effectiveness Report Dr. Don Wood, Vice President for Institutional Effectiveness, stated that Odessa College was invited to apply for the 2021 Aspen Prize.
