2017 Annual Report To Our Shareholders: We’re pleased to report that fiscal 2017 was one of our strongest growth years ever. We continued to scale our global content platform through a combination of robust organic growth and the acquisition of Starz, the largest and most transformative deal in our Company’s history. The integration of Starz into our worldwide operations has not only been completed ahead of schedule but is achieving even greater synergies and unlocking more exciting opportunities than we anticipated. As we shifted our focus to investment in our Starz platform, we continued to monetize our noncore assets with the sale of our stake in EPIX for nearly $400 million and a significant earnings gain. Fiscal 2017 was also a year in which Lionsgate continued to differentiate itself as a creator, owner and distributor of premium original content for our own businesses and virtually every major distribution platform around the world. Breakout titles during the year included the global box office phenomenon La La Land, the John Wick action franchise and virtual reality (VR) game, the critically acclaimed television drama Dear White People and the Starz series American Gods and The White Princess. These properties all reflect our commitment to the “Lionsgate 360” philosophy -- using our content to drive opportunities across multiple platforms, which has led to the creation of nearly 30 major multiplatform properties in development, production and release. Starz Integration Creating Fresh Opportunities The combination of Lionsgate and Starz is creating a broad array of exciting opportunities to collaborate on high-end scripted television series, attract top creative talent to our expanded platform and continue scaling our global licensing infrastructure. In July, we announced production of the Lionsgate and Liberty Global television series The Rook from Twilight creator Stephenie Meyer and acclaimed producer Stephen Garrett. The show will air on STARZ in the U.S. and launch across the Liberty Global footprint in Europe, Latin America and the Caribbean while we license it in other territories around the world. The first of several Lionsgate properties already in the Starz pipeline, The Rook reflects our ability to create dynamic content opportunities throughout our extended Lionsgate family. Soon after our acquisition of Starz, our Worldwide Television and Digital Distribution Group licensed the Starz series Power and Black Sails along with other Starz/Anchor Bay properties in streaming and other syndication markets. These agreements are expected to generate well over $100 million in revenue over the next few years and reflect our enhanced ability to monetize Lionsgate and Starz-owned content across an ever-expanding array of platforms. The strength of our combined global distribution operations was also evident in home entertainment where we not only have a robust business distributing our own titles but are a magnet for leading third-party suppliers. As a result, we distributed six of this year’s nine Academy Award® Best Picture nominees, including A24’s Moonlight and The Weinstein Company’s Lion in addition to our own Oscar® winners. The combination of Lionsgate and Starz has also elevated our profile in the creative community. We recently signed Power showrunner Courtney Kemp to a new long-term deal that includes a development agreement with Lionsgate. In addition to continuing as a showrunner for the hit series Power, she also has the opportunity to create new Lionsgate series for other platforms, a perfect example of our enhanced ability to attract and nurture the best talent in the business. On the financial front, the speed and efficiency with which we have integrated Starz is enabling us to exceed our projected $200 million in combined annual operating and tax synergies. We’re also running ahead of our deleveraging timetable, bolstered in part by strong free cash flow in the fourth quarter, the first full quarter of combined financial results. The physical integration of our companies is also coming together rapidly. We have already consolidated our Lionsgate and Starz staff in a combined New York office and expect to co-locate all of our West Coast employees by early next year. STARZ Network Grows Slate, Ratings and Subscribers Fiscal 2017 saw strong growth on all fronts across the Starz platform with major new series, significant ratings increases and overall subscriber growth. With the addition of American Gods and The White Princess to its slate, Starz has caught HBO and passed Showtime for Sunday night programming dominance. The highly-anticipated Season 3 of Outlander will launch in September, and the new sci-fi thriller drama Counterpart debuts in January 2018. Already a leader in shows for under-served audiences, the network continues to grow and diversify its content offerings, recently adding thousands of Spanish language and kids’ titles, which more than doubles its over-the-top (OTT) and on demand content since launch from approximately 2,400 to 5,500 titles. The strong mix of new and renewed programming continues to drive growth, with the American Gods’ premiere weekend and the 4th season launch of Power each fueling record-breaking OTT subscriber adds. Even in a tough MVPD environment, Starz achieved overall subscriber growth during the year and its OTT platforms are rapidly approaching 2 million subscribers. Starz’s stature as a “must have” channel is expected to drive continued subscriber growth this year as the network continues to expand its distribution footprint across digital and linear platforms. In May, the Company announced an agreement with Sprint to bring the Starz app to wireless platforms and devices accessible to Sprint customers with 60 million connections. We expect to finalize similar agreements with a number of other new distributors as well. Diverse and Profitable Film Slate Closes Year with One of Best Box Office Quarters Ever Our theatrical slate connected with a diverse spectrum of moviegoers, achieving a double-digit increase in profitability from last year, leading all studios with a record 26 Academy Award® nominations and 8 Oscar® wins and closing fiscal 2017 with one of our best box office quarters ever. Reflecting our brand-defining content at its best, the acclaimed La La Land won six Academy Awards® on its way to becoming one of the highest-grossing original film musicals in history. It also launched a 100-city, 25-country “La La Land in Concert” world tour and has created other exciting new ancillary business opportunities. John Wick: Chapter Two continued to grow one of the Company’s newest multiplatform franchises. In addition to doubling the box office performance of the first film, it spawned the John Wick Chronicles VR game and paved the way for the Continental Hotel television spin-off currently in development. John Wick 3 is now in fast-track development with a new mobile game already in the works. The new franchise’s popularity was also evident in the strength of its home entertainment performance on packaged media and digital platforms alike. JW2 became the biggest-selling electronic sell-through (EST) title in Lionsgate history, outperforming even The Hunger Games films. The rapid growth of digital platforms on top of a stable packaged media base is one of the many reasons we remain very bullish about our content business. Throughout the year Lionsgate continued to extend its leadership in genres where we have built a competitive edge. Our urban Codeblack Films label achieved breakout success among African-American audiences with the Tupac Shakur biopic All Eyez on Me, while Pantelion Films’ How to be A Latin Lover scored with Hispanic moviegoers. The double Oscar® winner Hacksaw Ridge and The Shack bolstered the Company’s presence with faith-based audiences. On the specialty front, Lionsgate partnered with Amazon Studios on Café Society, the critically-acclaimed Oscar®-winning Manchester by the Sea (through sister company Roadside Attractions) and the recently-released Sundance sensation The Big Sick, one of the biggest indie hits of the year. From action franchises to “left-of-center” original hits, targeted breakouts to prestige indie gems, fiscal 2017 was a year in which Lionsgate again proved its ability to achieve success across every segment of its broad portfolio of releases. Our fiscal 2018 slate is again indicative of our film strategy–adiverse mix that includes titles targeted at one or two quadrants that have the potential to break out, “category killers” in areas of proved strength, and a select group of larger properties that can significantly move the needle in success. To highlight a few, The Hitman’s Bodyguard, starring Ryan Reynolds, Samuel L. Jackson and Salma Hayek, is well-positioned for its August 18, 2017 release after scoring a resounding hit with exhibitors at this year’s CinemaCon convention. Wonder, starring Academy Award® winner Julia Roberts, Jacob Tremblay and Oscar® nominee Owen Wilson, is the highest-testing film in our history. From producer Leonardo DiCaprio and director Otto Bathurst, Robin Hood offers a fresh and contemporary take on a classic adventure story featuring one of Hollywood’s hottest young stars, Taron Egerton, Jamie Foxx and 50 Shades of Grey’s Jamie Dornan. Boo 2!, the follow-up to last year’s Halloween sleeper hit and the first of three upcoming releases from Tyler Perry, My Little Pony, adapted from the iconic Hasbro property, the thriller American Assassin co-financed with our partners at CBS Films, The Commuter, starring Liam Neeson, from our multi-faceted partnership with StudioCanal, and the return of Jigsaw, the latest chapter in one of the highest-grossing horror franchises in history, round out this year’s diverse and quintessentially Lionsgate slate. Lionsgate Television Posts Another Record Year While Continuing to Grow its Platform 2017 was a year of growth, diversification and solid profitability for our Television Group, one of the largest and most prolific television platforms in the world.
