REQUEST FOR QUOTATION FOR RECONCILLATION OF ACCOUNTS BETWEEN BCCI AND STATE CRICKET ASSOCIATIONS AND BCCI AND FOREIGN CRICKET BOARDS / COUNCILS 1. Introduction a. The Board of Control for Cricket in India (“BCCI”) is a society registered under the Tamil Nadu Societies Registration Act 1975, having its Headquarters at Cricket Centre, 4th Floor, Wankhede Stadium, 'D' Road, Churchgate, Mumbai, 400 020. b. BCCI is a member of the International Cricket Council (ICC) and Asian Cricket Council (ACC). ICC and ACC shall collectively be referred to as “Council”. Various countries are represented on the ICC through respective Foreign Cricket Boards (FCB’s). Further, BCCI currently has 40 member State Cricket Associations (SCA’s) / Affiliates entities in India. BCCI enters into various transactions throughout the year with these FCB’s / SCA’s as resulting of participating in various events / tournaments outside or within India. c. The BCCI wishes to engage a service provider for providing the Services (as defined below) for reconciling the accounts with FCBs, SCA’s, ICC and ACC (collectively referred to as “Relevant Parties”). d. Accordingly, the BCCI through this document requests for quotation(s) (“RFQ”) from Interested Parties who have the desire and competence/expertise to be appointed for provision of services of reconciliation of accounts as further detailed in Section 3 of this RFQ (the “Services”). e. A successful Interested Party shall commence providing the Services from the date of the execution of the agreement between the BCCI and successful Interested Party (“Services Agreement”) in accordance with the timelines agreed by the BCCI and the Interested Party in such Services Agreement (“Term”) f. Please note that no quote from any party who intends to re-sell and/or subcontract the right to provide the Services will be accepted. 2. Eligibility : 2.1. All Interested Parties are required to have a place of business in Mumbai and are required to demonstrate that they have the experience of delivering Services as specified or similar in the last 5 years (a) extensive and relevant experience in providing services which are the same as or similar to the Services in India and in Mumbai in particular in the last 5 years; (b) a strong financial background; (c) sufficient human and other resources to provide the Services as contemplated in this RFQ and one person who will act as the prime account manager and the point person between the BCCI and the successful Interested Party’s staff; (d) sufficient contacts, expertise and resources in order to provide the Services generally; (e) state of the art information technology infrastructure; and (f) references satisfactory to the BCCI from entities for which the Interested Party has supplied services which are the same as or similar to the Services. 2.2. All Interested Parties are required to submit documents exhibiting the aforesaid together with their quotations. 2.3. Any Interested Party, which fails to satisfy the eligibility requirements as set out above, may be rejected by BCCI in its absolute discretion. 2.4. All Interested Party carried out the Services as per the ICAI Guidelines / Regulations. 3. Services: 3.1. The Interested Party shall, in consultation with the BCCI manage and coordinate all aspects of the reconciliation process with the relevant parties. The services (“Services”) provided shall include, but not be limited to: (a) Communicating with the BCCI / relevant parties, for obtaining the necessary ledger extracts / copies of ledger extract in respective books of accounts for the last 10+ financial years. (b) Identifying the differences in the books of account between BCCI books and books of relevant parties upto 31st March 2019; (c) Compile a detailed reconciliation statement listing the entries which result in variance in closing balances of BCCI and every relevant party as on 31st March 2019; (d) Obtain the supporting documentation for very discrepancy/ variance and submit a comprehensive statement to BCCI Finance, duly supported by documentation for each entry duly signed off by the respective relevant party. (e) Ensure that the identified differences are settled by passing of necessary entries either by the relevant party or by BCCI, which should result in matching of balances in both the books of accounts. (f) Visiting the relevant party for identifying / clearing the matters as above; if necessary. (g) Addressing all queries received from the relevant party / BCCI with respect to this above or related matters; (h) Generating all paperwork required for submission of such a reconciliation statement to the internal or statutory auditors, as and when required; (i) Any other services as are incidental to or related to or as may be required with respect to the providing the services of reconciliation of accounts as mentioned above. (j) Listing below few Issues involved:- 1.Method of Accounting use -Cash / Hybrid 2. Cost pooling tournament wise 3. Impact of separate method of accounting for indirect taxes 4. Accounting of TDS and related impact carryover 5. Treatment of Advances / Amount due / paid SCA by BCCI. (k) Communicating with relevant party/ BCCI with respect to the entries and obtaining supporting for the entries so passed in either books. (l) Physical visits to various offices of the relevant parties i.e to the offices of the State Cricket Association will be made for completing the above-mentioned work and for the foreign boards / councils, the physical visit is subject to discretion of BCCI management and the same can be decided on case to case basis. (m) The deadline for submission of the final signed reconciliation to BCCI will be 6 months from the signing of the date of the agreement. 4. Consideration: 4.1. The Interested Party shall in consideration of providing the Services as detailed above in Section 3 be entitled to a consideration as mentioned in the Fee Schedule specified in Schedule 1 hereto (“Fee”). 4.2. All Interested Parties are required to submit the Fee Schedule at Schedule 1 together with the documents specified in Section 2 above by e-mail to [email protected], as per the timelines and the manner specified in Section 5 below. 4.3. Terms of Payment: (a) 25% of the total Fee (which is calculated based on each SCA / FCB’ or Councils allocated by BCCI) shall be paid by BCCI to the Interested Party within thirty (30) days from the date of submission of the blue print to BCCI for executing the work as defined in Section 3 above within a given frame of time. (b) 25% of the total Fee (which is calculated based on each SCA / FCB’ or Councils allotted by BCCI) shall be paid by BCCI to the Interested Party within thirty (30) days from the date of submission of the draft report / certification of the statement of the reconciliation; (c) Balance 50 % of the Fee shall be paid by BCCI upon satisfactory completion of the Services in full as assigned above and submission of the final report / certificate. 5. Timeline for submission of Quotes and Process for Selection: 5.1. All Interested Parties are required to submit the documentation and quote/proposal requested for in Section 4.2 above from 11AM till 5PM on June 11, 2019 (“Quotation Submission Period”) by email to [email protected]. No quotation/proposal will be accepted after the Quotation Submission Period unless BCCI decides otherwise in its absolute discretion. Clarification/queries (if any) can be sought by email to [email protected] on or before 5pm on June 4, 2019. 5.2. After due scrutiny of the documents and quotes/proposals submitted by the Interested Parties (as required under Section 5.1 above), the BCCI will by return e-mail inform all the Interested Parties of the successful Interested Party at the earliest. 5.3. BCCI shall not pre-judge or advise any Interested Party whether it is eligible or not. 5.4. For the avoidance of doubt, BCCI is not obliged to accept the lowest monetary quote/proposal and Interested Parties hereby acknowledge that BCCI shall be entitled to accept the quote/proposal, which in the opinion and absolute discretion of the BCCI is in the best interests of the BCCI. BCCI reserves the right, to be exercised in its sole discretion, to waive each and any of the conditions and requirements in relation to any Interested Party at any stage during the process. 6. General Terms and Conditions: 6.1. BCCI reserves the right to cancel the entire RFQ process at any stage. 6.2. BCCI reserves the right not to accept or to reject any quote/proposal received pursuant to this RFQ and, if it considers it to be appropriate (in its sole discretion), not to appoint any Interested Party at all and to make alternative arrangements for the provision of the Services. 6.3. Potential Interested Parties should be aware that any quote/proposal submitted by any entity that is currently involved in any litigation proceedings (civil or criminal) or a dispute of any kind with BCCI and/or in default of any contractual obligation or undertaking owed to BCCI (including, without limitation, any payment obligation) or which is connected to any entity that is currently involved in any litigation proceedings (civil or criminal) or a dispute of any kind with BCCI and/or in default of any contractual obligation or undertaking owed to BCCI (including, without limitation, any payment obligation) may be rejected by BCCI in its absolute discretion notwithstanding that such entity otherwise fulfils the eligibility criteria set out in this RFQ. 6.4. Interested Parties shall remain responsible for obtaining all further information necessary or expedient for the purpose of submitting their respective quotation/ proposal, and will be deemed to have done so before submitting any quotation/proposal.
