The City of Columbus TIRC for projects within Delaware County, the Olentangy Local School District and the Delaware Area Career Center District was called to order by TIRC Chairperson, George Kaitsa, on August 21, 2019 at approximately 9:30 a.m. The meeting was held in the Second Floor Hearing Room at 111 North Front Street, Columbus, Ohio 43215.

TIRC Chairperson George Kaitsa initiated introductions for those in attendance.

George Kaitsa presented the minutes from the 2018 TIRC. It was noted by Nicole (Pittman) Makeda that her name had not been included as part of the TIRC attendance listing. This was so noted and corrected.

PORTFOLIO PERFORMANCE OVERVIEW FOR REPORT YEAR 2018

Columbus Tax Incentive Summary Mark Lundine gave the Tax Incentive Summary Report for Report Year 2018 (See Attachment A 2019 TIRC SUMMARY REPORT). Mark noted that the Columbus economy was strong and made specific mention of projects related to four Agreements: (1) Coulter Properties LLC & Coulter Ventures, LLC dba Rogue Fitness; (2) NetJets Inc. & Realty Income Properties 6 LLC; (3) The Huntington National Bank, Huntington Bancshares, Inc., Huntington Insurance, Inc., Huntington Investment Company, & Huntington Technology Finance, Inc. and (4) PEDC Property Management, Inc. & Midwest Motor Supply Co. (aka Kimball Midwest). All four are current Enterprise Zone Agreements.

STAFF REPORT ON FOLLOW-UP ON THE 2018 TIRC

2018 TIRC Recommendations and City Follow-up/Outcome, Review Process and Portfolio Dynamics Report Bob Jones gave the report, noting that there were no follow-up actions required from the 2018 TIRC. Regarding Portfolio Dynamics, Phase II of the Pointe at Polaris CRA Agreement had begun and the Polaris III TIF had been created in 2018. Both were to be discussed in greater detail later in the session.

TAX INCREMENT FINANCE (TIF) DISTRICTS

There were three (3) TIFs to be reviewed within Delaware County and the Olentangy Local School and Delaware Area Career Center Districts, the Polaris .40(B) TIF, the Polaris II .40(B) TIF and new the Polaris III .40(B) TIF. Michelle Larsen presented the report. Service payments were reviewed and the purpose of all three TIFs was discussed. Both the Polaris I and Polaris II TIFs were noted to be non-school TIFs but that the Polaris III T There is a compensation agreement in place for that TIF. Mark Lundine discussed the Polaris III TIF noting that it captures several undeveloped parcels. There were no delinquent parcels and the TIFs were found to be in good standing.

There were two (2) agreements on the review agenda for projects within Delaware County and the Olentangy Local School and Delaware Area Career Center Districts, a CRA Agreement with Pointe at Polaris Phase I, LLC & Columbus-Franklin County Finance Authority (fka N.P. Limited Partnership) and an Enterprise Zone Agreement with Polaris Medical Office Development, LLC.

It was noted that the City complied with the TIRC Recommendations related to the seven (7) projects on Review Agenda A (six (6) projects in the Columbus City School District and one (1) project in the Hilliard City School District. Regarding the Columbus TIRC Minutes August 21, 2019 Page 6 of 48

Review Agenda B recommendations, there were seven (7) projects recommended to be sent letters stressing various aspects of reporting compliance (three (3) projects within the Columbus City School District, two (2) projects within the Groveport Madison Local School District and two (2) projects within the Hilliard City School District); there was one (1) project recommended to Amend (Columbus City School District), one (1) project recommended for staff follow-up and if needed then Amend (Columbus City School District), two (2) projects recommended for staff follow-up and if needed then Dissolve (Groveport Madison Local School District) and one (1) project recommended to Dissolve (Columbus City School District). (See Attachment B City Follow-up to 2018 TIRC Recommendations).

Regarding Portfolio Dynamics, it was reported that within the Columbus City School District there were five (5) agreements expiring and six (6) new agreements; that within the Gahanna-Jefferson City School District there was one (1) new agreement; and that within the Hilliard City School District there were two (2) new agreements.

TAX INCREMENT FINANCE (TIF) DISTRICTS PART I

Michelle Larsen reviewed the non-Columbus City School District only and non- Columbus City School District TIFs located within the City of Columbus, noting the school districts associated with the various TIFs. Service payments were reviewed and those TIFs with delinquent parcels were noted.

It was noted that all were non-school and that all were in good standing. Two new TIFs were highlighted, the Founders Park .40(B) TIF and the West Goodale .41 TIF.

Bob Jones reviewed the City of Columbus Pre-1994 CRAs with commercial projects located within school districts other than the Columbus CSD. Any CRAs with delinquent parcels were noted.

Gahanna-Jefferson CSD Report on one (1) Pre-1994 Commercial CRA with an active project in Columbus and within the Gahanna-Jefferson CSD, the Stelzer-Stygler CRA (#20), with the projects being Safe Auto Columbus TIRC Minutes August 21, 2019 Page 9 of 48

Insurance Co. and Stelzer One. The terms and values were discussed. This was recommended by staff to be continued.

CONSENT AGENDA PART I

Bob Jones presented the Consent Agenda for fifteen (15) Non-Columbus CSD or Non-Columbus CSD-only projects within five (5) school district groupings. All fifteen (15) projects were considered to be in compliance with the terms of their agreements and the City recommended that each group of projects within each school district group be Continued (or to expire if so noted).

It was noted that one project was New that this is the first report year for the project (and the first year before the TIRC), that the project is are still in the construction phase and not yet within the job creation time-frame. These were recommended by staff to be continued.

Hilliard CSD Report on eight (8) agreements noting that of the eight (8), there were two (2) New agreements and four (4 agreements, meaning they are still in the construction phase or within their job creation timeframe. All eight (8) were recommended by staff to be continued.

South-Western CSD Report on two (2) agreements. It was noted that both agreements were categorized as . Both agreements were recommended by staff to be continued.

Worthington CSD Report on one (1) agreement. A question was raised by Jeff McCuen regarding the amount of investment in real property improvements, how that impacts the agreement negotiation and has any thought been given to limiting the abatement to the commitment value in the agreement (this project reported investment significantly higher than Columbus TIRC Minutes August 21, 2019 Page 11 of 48

the commitment in the agreement). Some discussion ensued. This was recommended by staff to be continued.

Motion: Jeff McCuen made a motion for the TIRC to accept the Status Report on the one (1) agreement on the Consent Agenda within the Worthington CSD and to continue the agreement; Jason Jenkins seconded the motion Motion passed.

CONSENT AGENDA PART II

Bob Jones presented the Consent Agenda for thirty-two (32) Columbus CSD projects. Of the thirty-two (32) agreements, three (3) agreements were classified as new, fourteen (14) agreements were classified as future and three (3) agreements were set to expire. The City recommended that all of the agreements be Continued (or to expire if so noted).

Review Agenda A, is for projects which were non-compliant in filing within the timeframe but compliant otherwise following report submittal and Review Agenda B is for projects which required a full review.

There was one (1) agreement for a project within the Gahanna Jefferson CSD, an Enterprise Zone Agreement. The project did not initially fully report on all tenants within the reporting timeframe but when the final report was received the project was in compliance with the terms of their agreement. Review Agenda B Tonya Barnett presented the report.

On Agenda B there were nine (9) agreements for projects within the Columbus CSD all were EZ agreements. Of these nine (9) agreements, one (1) was classified as new, three (3) were classified as future, meaning that they were still within their individual job creation and/or investment timeframes and two (2) were expiring. There were five (5) agreements on Review Agenda B which were new to the Review Agenda this year. One (1) agreement was recommended to Continue, two (2) agreements were recommended to Continue with staff follow-up, one (1) was recommended to Amend, two (2) agreements were recommended for staff follow-up and if needed then Amend or Dissolve, one (1) agreement was recommended for staff follow-up and if necessary then Dissolve, and two (2) were noted to have Expired.

Attachment B City Follow-up to 2018 TIRC Recommendations

A report to the 2019 TIRC - TIRC recommendations were based on 2017 reporting year information.

The Recommendations of the 2018 Columbus Tax Incentive Review Council were accepted by by Resolution 0287X-2018, passed October 8, 2018.

The TIRC recommended that Economic Development staff follow-up with the following seven (7) projects, sending letters stressing the importance of timely and accurate reporting:

1. 711, LLC & Wood G.P., Ltd. 2. The Brunner Building, LLC 3. Gowdy Partners II, LLC 4. Gowdy Partners III, LLC 5. The Gravity Project, LLC 6. 7. Ball Metal Food Container, LLC

The first six (6) projects are within Columbus City School District and the seventh (7th) project is within the Hilliard City School District. The City complied with the recommendation of the TIRC.

The TIRC recommended that Economic Development staff follow-up with the following seven (7) projects, sending letters stressing various aspects of reporting compliance:

The TIRC recommended that the following Agreement be Amended: Pizzuti Short North Office. LLC (EZA 023-13-01; CCSD) For RY2016, Enterprise was impacted by the reporting standards put in place for RY2015 initial reporting included 262 total employee records between the seven (7) project site tenants but after part-time and sub-$12/hour jobs were removed only 41 eligible new jobs (created as a result of the project) remained along with 94 retained jobs relocated from other locations from within the City the TIRC recommended that City Staff meet with Enterprise to determine if the employment and wage levels in the

with those jobs being full-time that pay a minimum of $12/hour. The First Amendment to the Agreement was authorized by City Council (Ord. No. 1636-2018, 6/18/18) to reduce new jobs from 217 to 20 (@ $12/hour or higher) and reduce new job payroll from $13,300,000 to $1,225,000 the amendment to the agreement is in the process of being executed and the project is fully compliant for RY2017 and is on the Consent Agenda for the 2018 TIRC.

The TIRC recommended that the following Agreement be Amended: E.W. High Street LLC & E.W. Hubbard High LLC (CRA 049-18000-40 / 15-100; CCSD) City staff complied with the 2017 TIRC recommendation and so prior to the 2018 TIRC the Agreement had been Amended to reduce the new job commitment from 30 to 7, the commensurate new job payroll commitment from $2.95M to $312K, along with the $12/hour and full-time job stipulations. The audit of the annual report submitted by ENTERPRISE for RY2017 identified only 3 eligible new full-time jobs, 4 jobs low for the commitment of 7 as amended (43% attainment) with a commensurate payroll of $152.5K (49% attainment) the TIRC recommended to AMEND the Agreement, to remove the ground floor retail space (parcel 010-292794) and associated job creation and payroll then only be the 322 space parking garage (parcel 010-002013) and only the improvements related to the parking structure on parcel 010-002013 would remain eligible for the abatement. The Second Amendment to the Agreement was authorized by City Council (Ord. No. 2922-2018, 11/05/18, executed 2/06/19) to remove the ground floor retail space (parcel 010-292794) and associated job creation and payroll commitments

322 space parking garage (parcel 010-002013) and only the improvements related to the parking structure on parcel 010-002013 would remain eligible for the abatement (and leaving the PILOT commitment in place) further status to be discussed during Review Agenda.

The TIRC recommended that the following Agreement receive City staff follow-up and if needed then Amend: 1. Clarus Ventures LLC, Clarus Solutions, LLC & Clarus Partners, LLC (EZA 023-14-100; 75%/10-years; CCSD): City Staff complied with the 2017 TIRC recommendation, and for RY2017, year-end job and payroll numbers were low in the final year of the 3-year job creation window (37 total eligible jobs, 2 below the retention commitment and no new jobs) a mid-year follow-up with ENTERPRISE indicated 61 total jobs (37 retained but only 22 new, 11 below the commitment of 39) an additional entity was identified (Clarus R&D Solutions, LLC) as an additional party responsible for job creation the TIRC recommended to CONTINUE and to encourage City Staff to obtain additional job and payroll information from ENTERPRISE and at the discretion of City Staff, take necessary action to bring the Agreement into compliance (i.e., reduce the job creation and commensurate payroll commitments), to AMEND the Agreement as necessary to add Clarus R&D Solutions, LLC to the Agreement as an additional party responsible for job creation and also if deemed necessary by City Staff, reduce the rate and/or term of the Abatement commensurate with any reduction of the job and payroll commitments. City Staff complied with the TIRC recommendation additional communication from ENTERPRISE had been received just prior to the TIRC but no consensus reached with ENTERPRISE on moving forward further status to be discussed during Review Agenda.

The TIRC recommended that the following Agreements receive City staff follow-up and if needed then Dissolve: 1. Cloverleaf Cold Storage Co. & CCS Realty Co. #1 (EZA 023-08-06; 75%/10-years; GMLSD): ENTERPRISE did not report the TIRC recommended to CONTINUE and send a letter to ENTERPRISE via Certified Mail requesting full reporting within 60 days of receipt of the letter and if not the Agreement will be DISSOLVED. City Staff complied with the TIRC recommendation in response to the TIRC letter dated October 9, 2018, annual reporting materials were received via UPS Next Day Air on October 22, 2018 further status to be discussed during Review Agenda.

2. The TIRC made recommendations on a total of 67 Enterprise Zone and Post-1994 Community Reinvestment Area Agreements.

Benderson Development Company et al (EZA 392-17-01; 75%/10-years; CCSD): Project Scope: $8.03M investment in real property improvements and the creation of 20 full-time jobs (by 2022) with a total annual payroll commitment of $700K related to the construction of two separate speculative Class A light industrial/flex facilities, one of 148,750 SF and one of 119,000 SF on Parcels 010-200001, 010-007362 and 010- 238624 at 6380-6492 & 6530 Tussing Road within the Southeast Enterprise Zone. This project is new for RY2018. SITUATION: Following distribution of the RY2018 annual reporting materials, the City was advised by Enterprise that the project had yet to break ground. The City advised Enterprise of the need to amend the Agreement to revise the Project Completion, Job Creation and Abatement Term windows. A meeting was held with Enterprise on July 12 with Enterprise where the project was discussed Enterprise will provide a letter detailing the reasons for the delay in the Project and request that the Agreement be amended. On August 13, 2019 the letter noted above was received from Enterprise and requested that the project completion window be adjusted to be from March 2020 to December 2020 and that the abatement window would be 2021 through 2030. RECOMMENDATION: The TIRC recommended to CONTINUE the Agreement and to work with Enterprise to establish revised Project Completion, Job Creation and Abatement Term windows per the letter received by the City from Enterprise and AMEND the Agreement.

Boehringer Ingelheim Roxane, Inc. & Roxane Laboratories, Inc., aka Roxane #4 (EZA 023-12-06; HCSD): Project Scope: $18M investment in real property improvements related to the expansion of the existing production facility by approximately 100,000 square feet on Parcel 560-138818 at 1809 Wilson Road, the retention of 60 net retained jobs (1,008 overall for the entire site) and the creation of 240 new jobs (by 2017) with a commensurate total annual new job payroll commitment of $7.98M; This project was on the Review Agenda last year. SITUATION: Low job and payroll numbers for the first year beyond the 3-year job creation window and the continued need to amend the Agreement for Assignment & Assumption - In 2016 the facility was sold to West Ward Pharmaceuticals (now known as Hikma) and the City has been advising them since that time of the need to Amend for Assignment & Assumption to clear the way for their filing for the abatement. Reported new jobs are down from the RY2017 level of 138 (which was 58% attainment). Mid-year job numbers were requested from ENTERPRISE but as of the date of the TIRC no response was received from ENTERPRISE. Additionally, ENTERPRISE has yet to file the DTE-24 (application for the abatement). RECOMMENDATION: The TIRC recommended to CONTINUE the Agreement and that City staff schedule a meeting with ENTERPRISE to further redevelop the relationships that have changed due to the ownership transfer of ENTERPRISE, to AMEND the Agreement for Assignment & Assumption to correctly reflect the new ownership and to assess and adjust if need be the job commitments per the Agreement.

Clarus Ventures LLC, Clarus Solutions, LLC & Clarus Partners, LLC (EZA 023-14-100; 75%/10-years; CCSD): Project Scope: $1.5M investment in real property improvements related to the renovation of an existing 20,000 square foot facility on Parcel 010-129600 at 1233 Dublin Road and the retention and relocation of 39 full-time jobs from an existing facility at 350 E. 1st Ave. and the creation of 33 full-time jobs (by 2017) with a commensurate total annual payroll commitment of $1.75M; This project was on the Review Agenda last year and was recommended to Continue, and to encourage City Staff to obtain additional job and payroll information from ENTERPRISE and at the discretion of City Staff, take necessary action to bring the Agreement into compliance (i.e., reduce the job creation and commensurate payroll commitments), to AMEND the Agreement as necessary to add Clarus R&D Solutions, LLC to the Agreement as an additional party responsible for job creation and also if deemed necessary by City Staff, reduce the rate and/or term of the Abatement commensurate with any reduction of the job and payroll commitments. This project was on the Review Agenda for the 2017 and 2018 TIRC. SITUATION: City complied with the 2018 TIRC Recommendation but communication with Enterprise following the 2018 TIRC proved difficult. Post-2018 TIRC follow-up to further refine the request and process has been incomplete. An additional entity was identified Clarus R&D Solutions, LLC as a possible additional party responsible for job creation. Reported employment went from 61 in July 2018 (per the mid-year follow-up prior to the 2018 TIRC) to 37 in December. Per the mid-year follow-up prior to the 2019 TIRC, ENTERPRISE indicated that the number of employee records in the Jobs & Payroll Report should have been 57 and advised the City that a revised Jobs & Payroll Report would be submitted; as of the 2019 TIRC, that report had not been received. In further communication with ENTERPRISE it was indicated that (1) their business picks up for tax season with the highest job levels being from January through -time position so they have more part-time

recently and therefor require less staff. RECOMMENDATION: The TIRC recommended to CONTINUE and to send Enterprise a letter via Certified Mail requesting a revised Jobs & Payroll Report correctly reflecting job numbers with 60 days of receipt of the letter, that City staff evaluate the revised report under current Department program parameters and adjust commitments if determined to be needed by AMENDING the Agreement; If no response within the 60-day window, DISSOLVE the Agreement.

Farber Specialty Vehicles, Inc. & Alshire Properties, LLC (EZA 023-18-02; 75%/10-years; CCSD): Project Scope: $3M investment in real property improvements related to the renovation and conversion of a vacant commercial retail store consisting of approximately 137,300 square feet into a manufacturing facility with an additional 50,000 square feet on Parcel 010-205284 at 5800 Alshire Road, the retention of 110 full-time jobs and the creation of 20 full-time jobs (by 2022) with a commensurate total annual payroll commitment of $796K; This project is new for RY2018. SITUATION: No construction payroll reported for RY2018; only 13% attainment of real property improvements achieved through 11 months of the 18 month construction window (61% of the window). Per the mid-year follow-up prior to the 2019 TIRC, ENTERPRISE indicated that the General Contractor would be contacted to provide the needed construction payroll information but also that ENTERPRISE was re-evaluating moving further ahead with the project beyond the current improvements. RECOMMENDATION: The TIRC recommended to CONTINUE and send a letter via Certified Mail to Enterprise advising of the need to report construction payroll for RY2018 and that by the end of 2019 to advise the City of their intention to move or not to move forward with the Project; if moving forward, AMEND the Agreement as needed to adjust construction and abatement timelines and if not then DISSOLVE the Agreement. SITUATION: ENTERPRISE did not report. RECOMMENDATION: The TIRC recommended to CONTINUE and send a letter to ENTERPRISE via Certified Mail advising of the need to submit a complete Annual Report within 60 days of receipt of the letter; if the requested report is not received within that time frame then DISSOLVE the Agreement.

Cloverleaf Cold Storage Co. & CCS Realty Co. #2 (EZA 023-13-06; 75%/10-years; GMLSD): Project Scope: $3M investment in real property improvements related to an additional expansion of the Cloverleaf Cold Storage facility on Parcel 530-234154 at 2350 New World Drive to add 60,000 square feet of freezer space and a refrigerated loading dock, the retention of the 29 jobs related to the first agreement and the creation of 2 new full-time jobs by 2019 with a commensurate additional total annual payroll commitment of $49,920; This project was on the Review Agenda last year. SITUATION: ENTERPRISE did not report. RECOMMENDATION: The TIRC recommended to CONTINUE and send a letter to ENTERPRISE via Certified Mail advising of the need to submit a complete Annual Report within 60 days of receipt of the letter; if the requested report is not received within that time frame then DISSOLVE the Agreement.

Jai Guru, LLC (EZA 023-14-01; 75%/10-years; CCSD): Project Scope: $8.5M investment in real property improvements related to the construction and operation of the 93-room 67,000 square foot Staybridge Suites hotel on Parcel 010-117369 at 3121 Olentangy River Road and the creation of 5 full-time jobs (by 2019) with a commensurate total annual payroll commitment of $167K; This project was on the Review Agenda last year. SITUATION: Incomplete reporting; City unable to report Job and Payroll numbers to the Ohio Development Services Agency or the TIRC. The annual report for 2018 as submitted did not include the required Excel spreadsheet for the Jobs & Payroll Report which is needed for the auditing process. This report was requested several times but never received. As of the date of the 2019 TIRC, no additional reporting from Enterprise. RECOMMENDATION: The TIRC recommended to CONTINUE and sent a letter to Enterprise via Certified Mail advising of the need to provide a copy of the Jobs and Payroll Report in Excel format via email within 60 days of receipt of the letter; if the requested report is not received within that time frame then DISSOLVE the Agreement.

Hubbard High Acquisition, LLC nka 800 N High Investments, LLC (EZA 023-17-13; CCSD): This project was new and on the Consent Agenda for RY2017 at the 2018 TIRC last year. The Project consists of an $18.2M investment in real property improvements related to the construction of 45,000 SF of new Class A commercial office space and an 86 space structured parking garage ($14M office/$4.2M garage) and the creation of 30 new full-time permanent jobs with a commensurate annual payroll of $1.43M on Parcel 010-001383 at 800 N. High Street. In 2018 the project was still in the construction phase (Fall 2017 to November 2019). SITUATION: ENTERPRISE did not report within the reporting timeframe and a partial annual report was received 3 days prior to the 2019 TIRC. RECOMMENDATION: The TIRC recommended to CONTINUE and with the yet- Columbus TIRC Minutes August 21, 2019 Page 47 of 48

to-be-reviewed partial report having been received by the City, contact ENTERPRISE advising of the need to still submit a full hard copy Annual Report and report status back to the 2020 TIRC.

Lykens Companies LLC & 1086 North Fourth St LS, LLC (EZA 023-18-03; CCSD): This project is new for RY2018. The Project consists of an $4.75M investment in real property improvements related to the renovation and conversion of a vacant manufacturing facility (the Budd Dairy Building) into approximately 35,000 square feet of mixed-use Class A commercial office space, the retention of 10 full time jobs and the creation of 6 new full- time permanent jobs with a commensurate annual payroll of $180K on Parcel 010- 009127 at 1086 N. Fourth Street. In 2018 the project was still in the construction phase (First Quarter 2018 to January 2019). SITUATION: Project within the construction phase but no construction payroll or investment in real property improvements reported. City staff had followed-up with ENTERPRISE; due to a delayed project start date (permitting and general contractor availability) the project did not begin until early 2019; they are currently on track to have the project completed by November 2019 with the first tenant to occupy space in December. Lykens Companies will also be moving into the new space in December as well. RECOMMENDATION: The TIRC recommended to CONTINUE and send a letter to ENTERPRISE stressing the importance of timely and accurate reporting and to continue to monitor the construction phase of the project.

Pointe at Polaris Phase I, LLC & Columbus-Franklin County Finance Authority (CRA 049- 00960-06/15-001; OLSD): The TIRC recommendation for RY2017 was to CONTINUE. The project entails the construction of a series of buildings containing speculative office space (either primarily or as one component of a mixed-use building) totaling approximately 177,000 square feet, with two associated approximately 600 space parking garages (totaling approximately 1,200 spaces) and related site improvements, the retention of 177 full time jobs and the creation of 708 new full-time permanent jobs with a commensurate annual payroll of $45.5M (by 2020) on parcel 318-431-01-017-000 on Lyra Drive in Delaware County. Phase I of the project was completed in 2018 with the first tenant occupancy in August 2018 with that abatement having been filed and now active from 2018-2027. Construction on Phase II began in 2018. SITUATION: While still within the 4-year job creation window, job creation was significantly low for 2018. Job creation should increase as square footage continues to be leased and as Phase II reaches completion. RECOMMENDATION: The TIRC recommended to CONTINUE and send ENTERPRISE a letter requesting a jobs plan.

The first five (5) projects are within Columbus City School District and the sixth (6th) project is within the Gahanna Jefferson City School District. The City complied with the recommendation of the TIRC.

Columbus City School District Agreement Recommendations:

Benderson Development Company et al The TIRC recommended to CONTINUE and work with Enterprise to establish revised project completion, job creation and abatement term windows per the letter received by the City from Enterprise and AMEND. A letter was received from Enterprise requesting an Amendment to the Agreement; Ordinance 3098-2019, passed by City Council December 9, 2019 with the Amendment executed January 8, 2020 satisfied the TIRC recommendation by resetting the project completion, job creation and abatement term dates.

Clarus Ventures, LLC, Clarus Solutions, LLC & Clarus Partners, LLC The TIRC recommended to CONTINUE and to send Enterprise a letter via Certified Mail requesting a revised Jobs & Payroll Report correctly reflecting job numbers with 60 days of receipt of the letter, that City staff evaluate the revised report under current Department program parameters and adjust commitments if determined to be needed by AMENDING the Agreement; If no response within the 60-day window, DISSOLVE the Agreement. Almost every year low new job numbers are reported but the mid-year follow-up always shows high job numbers; following the TIRC, staff attempted to contact Enterprise, exchanging voice mail messages throughout November and December with the final voice mail left for Enterprise by City Staff not returned.

Farber Specialty Vehicles, Inc. & Alshire Properties, LLC The TIRC recommended to CONTINUE and send a letter via Certified Mail to Enterprise advising of the need to report construction payroll for RY2018 and that by the end of 2019 to advise the City of their intention to move or not to move forward with the Project; if moving forward, AMEND the Agreement as needed to adjust construction and abatement timelines and if not then DISSOLVE the Agreement. Sent Certified Letter to Enterprise with email follow-up; Enterprise indicated they would advise the City after the first of the year (early 2020) regarding their intention; no further contact received from Enterprise.

Hubbard High Acquisition, LLC (nka 800 N High Investments, LLC) The TIRC recommended to CONTINUE and with the yet-to-be-reviewed partial report having been received by the City, contact ENTERPRISE advising of the need to still submit a full hard copy Annual Report and report status back to the 2020 TIRC. Sent Certified Letter to Enterprise and in November received the balance of the annual report.

Jai Guru, LLC The TIRC recommended to CONTINUE and sent a letter to Enterprise via Certified Mail advising of the need to provide a copy of the Jobs and Payroll Report in Excel format (eJPR) via email within 60 days of receipt of the letter; if the requested report is not received within that time frame then DISSOLVE the Agreement. Telephone and email exchange between City and Enterprise resulted in Enterprise submitting their eJPR in September.

Lykens Companies, LLC & 1086 N Fourth St LS, LLC The TIRC recommended to CONTINUE and send a letter to ENTERPRISE stressing the importance of timely and

accurate reporting and to continue to monitor the construction phase of the project. The City complied with the TIRC Recommendation no response required.

Groveport Madison Local School District Agreement Recommendations:

Cloverleaf Cold Storage Co. & CCS Realty Co. #1 The TIRC recommended to CONTINUE and send a letter to ENTERPRISE via Certified Mail advising of the need to submit a complete Annual Report within 60 days of receipt of the letter; if the requested report is not received within that time frame then DISSOLVE the Agreement. Boehringer Ingelheim Roxane, Inc. & Roxane Laboratories, Inc., aka Roxane #4 The TIRC recommended to CONTINUE and schedule a meeting with Enterprise, to further redevelop the relationships that have changed due to the ownership transfer of Enterprise, to AMEND the Agreement for Assignment & Assumption to correctly reflect the new ownership and to assess and adjust if need be the job commitments per the Agreement. Following a series of emails between the City and Enterprise, a meeting between City Staff and Enterprise (Senior Management) was arranged and was held on January 7, 2020 at the Project Site; discussion involved moving forward per the TIRC recommendation with an agreement to have Senior Enterprise Management meet with Senior Development/Economic Development Staff towards Spring (which did not occur due to the COVID-19 Pandemic); Enterprise took City Staff on a site tour; there is a need to continued follow-up.

Olentangy Local School District Agreement Recommendations:

Pointe at Polaris Phase I, LLC & Columbus Franklin County Finance Authority The TIRC recommended to CONTINUE and send ENTERPRISE a letter requesting a jobs plan. Following an additional review of the submission, the determination was made that as the jobs reported were relocated from outside of the City, that even though these are tenant jobs, they should be considered to be new and thus the Agreement should be considered to be in compliance.
