(NYSE:IMAX) and Twentieth Century Fox Film, a division of 21st Century Fox (NASDAQ: FOX), jointly announced the companies have signed a new multi-picture agreement – beginning this year and extending through 2019 –for five key future tentpoles from the Fox slate. The deal includes Kingsman: The Golden Circle, which was released in September; The Darkest Minds; as well as Marvel titles The New Mutants, X-Men: Dark Phoenix; and Gambit; all of which will be digitally re-mastered into the immersive IMAX® format and released in IMAX® theatres. Pictures International. Dette sikrer økonomisk støtte fra studioene til digitaliseringen av de norske kinoene. Avtalene markerer startskuddet for den digitale utrullingen, som gjør Norge til det første landet i verden med komplett nasjonal digitalisering av kinoene. VPF (Virtual Print Fee) er en avgift distributørene må betale ved oppsetting av film på kino i en periode fremover. Dette er en del av spleiselaget mellom distributørene, Film & Kino og kinoene som muliggjør den nasjonale digitaliseringen. Det er første gang Hollywoodstudioene inngår en slik avtale på nasjonalt nivå. (“21st Century Fox” —NASDAQ: FOXA, FOX), for $38 per share in cash and stock. Disney will acquire 21st Century Fox immediately following the spin-off of the businesses comprising “New Fox” as previously announced. Under the amended agreement, 21st Century Fox shareholders may elect to receive, for each share of 21st Century Fox common stock, $38 in either cash or shares of Disney common stock (subject to adjustment for certain tax liabilities as described in the original acquisition announcement). The overall mix of consideration paid to 21st Century Fox shareholders will be approximately 50% cash and 50% stock. The stock consideration is subject to a collar (described below under ‘Transaction Details’) and is expected to be tax-free to 21st Century Fox shareholders. The 21st Century Fox businesses to be acquired by Disney remain the same as under the original agreement.
