("TIP") is a no-load, open-end management investment company that seeks to improve the net investment returns of its shareholders ("Members") by making available to them a series of investment vehicles (the "Funds"), each with its own investment objective and policies. The Funds are available exclusively to foundations and other 501(c)(3) organizations except educational endowments (see ELIGIBLE INVESTORS). The Funds and their Adviser, Foundation Advisers, Inc. ("FAI"), have been organized by a nationwide network of foundations. FAI is a non-stock corporation, no part of the earnings of which may inure to any private individual or corporation. FAI is responsible for selecting Money Managers for each Fund and for allocating Fund assets among these Money Managers, subject to the approval of TIP's board of directors. With the exception of FAI's President, all FAI and TIP directors serve as unpaid volunteers. Because FAI does not seek to earn a profit, it may waive a portion of its fees from time to time. The Funds currently available are: (1) TIFF Multi-Asset Fund ("Multi-Asset Fund"); (2) TIFF International Equity Fund ("International Equity Fund"); (3) TIFF Emerging Markets Fund ("Emerging Markets Fund"); (4) TIFF U.S. Equity Fund ("U.S. Equity Fund"); (5) TIFF Bond Fund ("Bond Fund"); and (6) TIFF Short-Term Fund ("Short-Term Fund"). With the exception of the Short-Term Fund, which is designed primarily as a vehicle for investment of funds that Members intend to spend or distribute within one year, the Funds are intended as vehicles for the implementation of long-term asset allocation policies. Shares of each Fund may be purchased through FAI as a branch office of TIP's distributor, AMT Capital Services, Inc. The minimum initial investment in Copyright © 2012 www.secdatabase.com. The minimum for subsequent purchases and exchanges among Funds is $5,000. Because of the nature of certain investments made by the Multi-Asset, International Equity, and Emerging Markets Funds, shares of these Funds are available only to investors who invest at least $500,000 in TIP or whose net worth exceeds $1 million.
