TRUSTEE’S MOTION FOR FURTHER EXTENSION OF DEADLINE FOR OCCURRENCE OF EFFECTIVE DATE OF CONFIRMED CHAPTER 11 PLAN THROUGH OCTOBER 30, 2009
NEGATIVE NOTICE
Any objections to the relief requested herein shall be filed with the Bankruptcy Court within 20 days after the date of service of this Motion, failing which the Court may grant the requested relief without further notice or hearing.
Jeffrey H. Beck, as Chapter 11 Trustee for the Estate of Southeast Banking
Corporation, respectfully moves pursuant to Section 1.38 of the Trustee’s Third
Amended Chapter 11 Plan of Reorganization (DE #5560) (the “Plan” ), as modified by the Court in its May 28, 2009 Order Modifying Confirmed Chapter 11 Plan (DE #5753)
(the “Plan Modification Order” ), to extend the deadline for occurrence of the Effective
Date 1 (the “Effective Date Deadline” ) through and including October 30, 2009, and
states:
1. On March 13, 2009, the Court entered an Order Confirming Trustee’s
Third Amended Chapter 11 Plan of Reorganization (DE #5647). The Plan has not yet
been substantially consummated, as that term is defined in 11 U.S.C. § 1101(2).

2. On May 28, 2009, the Court entered the Plan Modification Order, which modified the Plan to extend the deadline for the occurrence of the Effective Date through:
(a) June 30, 2009, or (b) such later date as may be selected by the Trustee upon consultation with the Ad Hoc Committee and the Indenture Trustees and approved by the Bankruptcy Court upon (i) further motion and notice by the Trustee, served by U.S. mail and/or CM/ECF transmission and by a posting on the www.sebcglobalsettlement.com website, to all known creditors, equity security holders, Indenture Trustees, the Office of the U.S. Trustee, and other parties in interest in the Bankruptcy Case, (ii) which notice shall provide such Persons an opportunity to object to any proposed later date by filing with the Bankruptcy Court an objection that is received by the Bankruptcy Court within twenty days after the date of service of such notice (an "Objection" ), (iii) to which no Objection is filed within such twenty-day period. If a creditor, equity security holder, Indenture Trustee, the Office of the U.S. Trustee, or other party in interest files an Objection, the Bankruptcy Court will schedule a hearing on the Objection on not less than five (5) Business Days' notice, whereupon the Effective Date shall mean the Business Day upon which all conditions to the consummation of the Plan as set forth in Section 7.2 of the Plan have been satisfied or waived as provided in Section 7.3 of the Plan and the Plan becomes effective, on or before such date determined by the Bankruptcy Court at the hearing on any Objection.
3. Pursuant to Section 1.38 of the Plan, on June 30, 2009, the Trustee
moved for an extension of the Effective Date Deadline through August 31, 2009
(DE #5786). By Order entered on August 4, 2009, the Court granted that motion and
extended the Effective Date Deadline through August 31, 2009 (DE #5810).
4. The Trustee now moves, pursuant to Section 1.38 of the Plan, for a further extension of the Effective Date Deadline, through and including October 30, 2009, for the reasons set forth herein.
5. Specifically, SCS, the Estate’s investment banker, is currently engaged in advanced discussions with at least two major financial institutions that have expressed significant interest (including having retained and/or consulted with outside counsel for

this purpose) in entering into a transaction similar to the Transaction to be implemented under the Plan. Should either of these discussions lead to the execution of a letter of intent (a draft of which has been exchanged with one of these financial institutions), the
Trustee will then need to file a motion pursuant to 11 U.S.C. § 1127(b) to modify the
Plan, and confirm such Plan as modified, in order to implement any such alternative transaction (a “Plan Modification Motion” ). To the extent necessary, such Plan
Modification Motion will also seek a further extension of the Effective Date Deadline.
6. As required by the Plan Modification Order, the Trustee and his
Professionals have consulted with the Ad Hoc Committee and the Indenture Trustees, and have undertaken to update these and other parties in interest in this case, all of whom have signed confidentiality agreements (collectively, the “Confidentiality
Parties” ), in much greater detail and with much greater specificity than set forth in paragraph five above, with respect to the recent efforts of the Trustee and SCS to seek out an investor or investors to close an alternative transaction.
7. For the reasons set forth herein, and as reported to the Confidentiality
Parties in greater specificity but which cannot be disclosed publicly at this time, the
Trustee believes in his informed business judgment that an extension of the Effective
Date Deadline through and including October 30, 2009 is appropriate and is in the best interests of the Estate, its creditors, and equity security holders.
8. As required by Section 1.38 of the Plan, this Motion is being served by
U.S. mail and/or CM/ECF transmission on all known creditors, equity security holders,
Indenture Trustees, the Office of the U.S. Trustee, and other parties in interest in the

Bankruptcy Case, and a copy of this Motion is being posted on the www.sebcglobalsettlement.com website.
9. This Motion is filed without prejudice to the right of any party in interest to object to the relief sought herein pursuant to the Negative Notice legend set forth above, and is likewise without prejudice to the right of the Trustee to seek further extensions of the Effective Date Deadline should this Motion be granted.
WHEREFORE, the Trustee respectfully requests that the Court grant this Motion, extend the Effective Date Deadline through and including October 30, 2009, and grant such other relief as justice and equity require.
