The University of and State Agricultural College Foundation, Inc. ("UVM Foundation", "The University of Vermont Foundation") was incorporated as a Vermont nonprofit corporation on March 14, 2011. UVM Foundation is exempted from Federal Income Tax liability by Internal Revenue Code Section 501(c)(3) and qualifies as a Public Charity under Internal Revenue Code Sections 509(a)(1) and 170(b)(1)(A)(vi). UVM Foundation exists to secure and manage private gifts for the benefit of The University of Vermont and State Agricultural College (“University” or “UVM”). UVM Foundation has been recognized by the University as the primary and preferred recipient for charitable gifts to or for the benefit of the University, as authorized under a service agreement dated October 24, 2011 and renewed July 1, 2014.

UVM Foundation manages alumni activities for the University, under the name “UVM Alumni Association”. UVM Foundation also rents event and meeting space to the University, alumni and the general public under the name “UVM Alumni House”. Finally, UVM Foundation is the single-member of “UVMF Holdings, LLC”, which is a disregarded entity for specific investments.

Please be sure to identify UVM Foundation as a unique client, separate from The University of Vermont.

FISCAL RELATIONSHIP BETWEEN THE UNIVERSITY OF VERMONT AND UVM FOUNDATION

UVM Foundation exists to secure and manage private gifts for the benefit of the University of Vermont.

UVM Foundation is recognized by the University of Vermont as the primary and preferred recipient for charitable gifts to or for the benefit of the University.

The University of Vermont and State Agricultural College, Inc. ("The University of Vermont" and "UVM") is a public, non-profit, comprehensive research institution of higher with an enrollment of over 12,000 undergraduate, graduate, and medical students. It is located in Burlington, Vermont with satellite instructional and research buildings throughout the State. The University of Vermont and State Agricultural College is a component unit of the State of Vermont as it receives an annual appropriation from the State. The University of Vermont and State Agricultural College (EIN 03-0179440) has received a letter from the Internal Revenue Service recognizing UVM as an organization that is tax-exempt on related income under Section 501(a) of the Internal Revenue Code and that exemption includes UVM's academic units: College of Agriculture and Life Sciences; College of Arts and Sciences; College of Education and Social Services; College of Engineering and Mathematical Sciences; Larner College of Medicine; College of Nursing and Health Sciences; Continuing and Distance Education; Graduate College; Honors College; Rubenstein School of Environment and Natural Resources; and Grossman School of Business.

The University of Vermont and State Agricultural College Foundation, Inc. ("The University of Vermont Foundation" and "UVM Foundation") was incorporated as a Vermont nonprofit corporation on March 14, 2011, and is a legally separate entity from the University of Vermont. On January 1, 2012, UVM Foundation officially assumed all fundraising responsibilities of the Office of Development and Alumni Relations at the University. UVM Foundation (EIN 45-1556038) is exempt from federal income taxes by Internal Revenue Code Section 501(c)(3) and qualifies as a public charity under Internal Revenue Code Sections 509(a)(1) and 170(b)(1)(A)(vi). UVM Foundation also operates UVM Alumni Association, UVM Alumni House and UVMF Holdings, LLC.

While affiliated with the University of Vermont and associated with UVM Foundation, the following entities are legally separate and operate independently: the University of Vermont Medical Center, the University of Vermont Children’s Hospital, and the University of Vermont Medical Center Foundation.
