FROM: The Official Committee of Unsecured Creditors (the “Committee”) of SC SJ 1 Holdings LLC and FMT SJ LLC (collectively, the “Debtors”)
Vote “YES” Recommendation
The Committee, after extensive negotiations on behalf of creditors, has reached a settlement with the Debtors that provides FMT Unsecured Creditors with a recovery of 25% on account of their claims. The settlement has been incorporated into a Revised Plan, as defined below, and provides FMT Unsecured Creditors with a substantially improved recovery. The Committee recommends that FMT Unsecured Creditors vote to APPROVE the Revised Plan.
You are receiving this recommendation letter in connection with the court-approved solicitation package as a Holder of a Class 4B FMT General Unsecured Claim (each an “FMT Unsecured Creditor”) related to the Debtors’ Amended Joint Chapter 11 Plan of Reorganization (the “Plan”). You should have previously received a solicitation package from the Debtors which included the Plan, the Amended Disclosure Statement with Respect to the Amended Joint Chapter 11 Plan of Reorganization (the “Disclosure Statement”), and a Ballot to vote to accept or reject the Plan.2 The solicitation package also included a letter written on behalf of the Committee urging FMT Unsecured Creditors to reject the Plan.
We now write on behalf of the Committee to update the Committee’s views on the Plan and to recommend that Holders of Class 4B FMT General Unsecured Claims vote to APPROVE the Plan on their Ballots.
After the initial solicitation of the Plan, the Committee reached a settlement with the Debtors (the “Committee Settlement”), which has been incorporated into a revised Plan filed with the Bankruptcy Court on June 24, 2021 (Docket No. 485) (the “Revised Plan”). Pursuant to the Committee Settlement, the Plan now provides for the following recovery to FMT Unsecured Creditors:
Treatment. Each Holder of an Allowed FMT General Unsecured Claim will receive on account of such Allowed FMT General Unsecured Claim, in full and final

satisfaction of such Allowed FMT General Unsecured Claim, Cash distributions totaling twenty-five percent (25%) of the amount of each such Allowed FMT General Unsecured Claim to be distributed as follows:
i. 6.25% on the Effective Date of the Plan; ii. 6.25% on the date that is 180 days after the Effective Date of the Plan; iii. 6.25% on the date that is 365 days after the Effective Date of the Plan; and iv. 6.25% on the date that is 545 days after the Effective Date of the Plan. Additionally, under the Revised Plan, except as specifically provided, the Post-Effective Date Debtors are waiving all potential preference claims (claims to claw back funds paid to creditors prior to the bankruptcy).
THE COMMITTEE’S RECOMMENDATION TO YOU IS TO VOTE TO ACCEPT (VOTE FOR) THE REVISED PLAN BY MARKING YOUR BALLOT AS FOLLOWS:
to ACCEPT the Plan to REJECT the Plan
RECOVERY TO FMT CREDITORS IS SUBSTANTIALLY IMPROVED. The Plan provides that FMT Unsecured Creditors will receive a Cash distribution totaling twenty-five percent (25%) of the face amount of such Claims to be paid in equal amounts over 18 months (545 days) of the Effective Date. Recovery to FMT Unsecured Creditors has been substantially increased from the prior iteration of the Plan. Prior to the Committee Settlement, the Plan provided FMT Unsecured Creditors with their Pro Rata share of $500,000, which was estimated to provide a cash distribution of only 0.26% - 2.75% of the face amount of such Claims. Accordingly, the Committee Settlement increases recoveries to FMT Unsecured Creditors by 22.25-24.74%. Additionally, the Committee Settlement resolves key issues and disputes that would have led to a costly, contested confirmation hearing that could have resulted in materially lower recoveries for FMT Unsecured Creditors and jeopardized the Debtors’ restructuring and restart of business.
THE COMMITTEE SETTLEMENT IS THE MOST FAVORABLE OUTCOME ATTAINABLE FOR FMT UNSECURED CREDITORS. The Committee examined potential legal causes of action that the estates may have against the Debtors, the Debtors’ insiders, and the Prepetition Secured Lender. While the Committee believes that viable claims against certain of these parties may exist, the outcome of any litigation seeking to prosecute such claims is highly uncertain. Instead, the Committee Settlement provides for meaningful cash recoveries to FMT Unsecured Creditors. In addition, the Committee Settlement avoids the need for costly litigation that could erode recoveries, if any, and jeopardize the Debtors’ go-forward enterprise.

Accordingly, the Committee believes the Revised Plan embodies the most favorable settlement attainable for FMT Unsecured Creditors.
THE RELEASES UNDER THE REVISED PLAN ARE APPROPRIATE. Sections 10.6 and 10.7 of the Revised Plan provide for releases in favor of the Released Parties, including the Debtors, the Debtors’ insiders and the Prepetition Secured Lender, by the Debtors, their estates and Holders of Claims that do not opt-out of the releases. The Committee Settlement provides for a meaningful cash recovery to FMT Unsecured Creditors funded in large part by substantial contributions by the Debtors’ insiders and the Prepetition Secured Lender. Under the Revised Plan, the Debtors’ equity holder is providing the Parent Capital Contribution to fund, among other things, the distributions to FMT Unsecured Creditors, and the Prepetition Secured Lender is waiving any recovery on account of the FMT Deficiency Claim. Without the releases contained in the Plan, the Committee Settlement would not be possible. Accordingly, the Committee believes that the Debtor Release and the Third-Party Release are appropriate.
CONCLUSION. For these reasons, the Committee strongly encourages FMT Unsecured Creditors to vote to ACCEPT the Revised Plan and send in your Ballot as provided in in the Disclosure Statement Order [Docket No. 396]. To the extent that you previously voted to reject the Plan, the Committee strongly encourages you to change your vote by sending a second Ballot indicating that you ACCEPT the Revised Plan as provided in the Disclosure Statement Order, which Ballot will be deemed to supersede any prior Ballots.
The foregoing is solely the view of the Committee. You should carefully read the Disclosure Statement, the Revised Plan, and the Disclosure Statement Order in their entirety and consult your own legal or financial advisors before making your own independent decision as to whether the Plan is acceptable.
