NOTICE OF PUBLIC HEARING

TO ALL INTERESTED PARTIES:

Notice is hereby given that on 31 March 2015, Central Negros Electric Cooperative Inc. (CENECO) and Negros Occidental Electric Cooperative, Inc. (NOCECO) filed an application for the approval of the recovery of the generation charge as purchased by the latter from the former.

THE APPLICANTS

1. Joint Applicant Central Negros Electric Cooperative, Inc. (CENECO) is a domestic corporation duly organized and existing under the laws of the Philippines, with principal office at Gonzaga corner Mabini Street, City, Negros Occidental, Philippines. It has an exclusive franchise to distribute electric service in the cities of Bacolod, Bago, and Talisay and in the municipalities of Murcia and Don , all in the province of Negros Occidental.

2. Joint Applicant Negros Occidental Electric Cooperative, Inc. (NOCECa) is a corporation duly organized and existing under the laws of the Philippines, with principal office at City, Negros Occidental, Philippines. It has an exclusive franchise to distribute electric service in the cities of , Kabankalan and La Carlota and in the municipalities of , , Cauayan, , Hinobaan, Hog, Isabela, La Castellana, Moises, Pontevedra, , San Enrique, and Valladolid, all in the province of Negros Occidental.

Compliance with Pre-filing Requirements

3. In compliance with Rule 6 of the ERC Rules of Practice and Procedure, Joint Applicants have furnished the legislative bodies of each of the local government units where they principally operate a copy of the present Application with all its annexes and accompanying documents. Proofs of receipt by the legislative bodies of the City of Bacolod, City of Kabankalan and the Province of Negros Occidental are attached hereto as Annexes "D", "E" and "F", respectively.

4. Furthermore, Applicants have caused the publication of the present Application in its entirety in a newspaper of general circulation within the Province of Negros Occidental. Copies of the newspaper and corresponding affidavit of publication are attached hereto as Annexes "G" and "H" respectively. STATEMENT OF THE FACTS

5. On 27 October 2013, at around 7:00pm, a power blackout cloaked the municipalities of Pulupandan and Valladolid, Negros Occidental.

6. This power failure occurred due to a fault in NOCECO's substation transformer located in Valladolid, Negros Occidental ("Valladolid transformer" for brevity). Its 13.2 kV bus bar was seriously damaged when a gecko crawled into its pin insulator.

7. Upon inspection, NOCECO discovered that the damage unto the transformer was severe, such that it could not be immediately restored for operation. As per assessment, it would take months before the Valladolid transformer is completely repaired.

8. This alarmed the management of NOCECO. Pending the repair of the transformer, the consumers within the municipalities of Pulupandan and Valladolid would deeply suffer the ramifications of a power blackout - the business operation of local entrepreneurs was bound to be disrupted; the operation of government and private offices interrupted; and the daily lives of the residents adversely affected.

9. In order to avert the perpetuation of this scenario, NOCECO sought a temporary source of power which would immediately address their urgent need for electricity.

10. NOCECO was convinced that purchasing power from CENECO via 13.2 kV distribution lines on a temporary basis was the only option in order to continue the power service delivery to its consumers in the mentioned municipalities, a practical and economical solution to NOCECO's pressing power distribution problem. Thus, NOCECO proposed and CENECO agreed to purchase power for the supply electricity, until the Valladolid transformer is completely repaired. a) NOCECO's nearest operating transformer is in San Enrique, Negros Occidental with an approximate distance of eleven (11) kilometers. A copy of the NOCECO Distribution System Single Line Diagram is attached hereto as Annex "I".

b) CENECO, on the other hand, owns a substation transformer in Hilangban, Bago City, Negros Occidental located two (2) kilometers from the damaged Valladolid transformer. A copy of the Single Line Diagram CENECO-NOCECO Diagram is attached hereto as Annex "J".

11. On 29 October 2013, NOCECO General Manager Cornelio L. Somodio, Jr. wrote to Atty. Floresinda G. Baldo-Digal, Director III of Regulatory Operations Service, Energy Regulatory Commission (ERC), to inform the Honorable Commission of the incident in Valladolid and the proposed Sale for Resale Agreement between CENECO and NOCECO. In the same letter, NOCECO requested the Honorable Commission that the "cost of power purchased from CENECO to supply the affected towns will be included in the monthly computation of AGRA." In reply, ERC Executive Director Atty. Francis Saturnino C. Juan wrote a letter dated 5 December 2013 to NOCECO acknowledging the situation and advised CENECO and NOCECO to "jointly file with ERC, in accordance with ERC Rules and Procedure, an application for approval of your sale for resale agreements". Copies of the letters are attached hereto as Annexes "K" and "K- 1", respectively.

12. NOCECO and CENECO, thus, executed the instant Sale for Resale Agreement wherein CENECO committed to sell and deliver energy to NOCECO, who in turn committed to purchase and receive from CENECO electric power and energy.

13. In order to optimize resources, NOCECO resolved to utilize the purchased electricity to supply the municipality of Pulupandan and to deliver power to the municipality of Pulupandan from the NOCECO's San Enrique transformer. 14. In April 2014, NOCECOcompleted the repair of the Valladolid transformer and thereafter ceased to purchase and receive energy from CENECO.

THE SALE FOR RESALE AGREEMENT MATERIAL PROVISIONS AND RELATED INFORMATION

15. Term. The Sale for Resale Agreement commenced from the time CENECO started to supply electric power to NOCECO and remains in full force and effect until the damaged transformer is repaired and becomes operational.

16. Obligations of the Parties. CENECO shall sell and deliver, and NOCECO shall purchase and receive, the electric power and energy at the existing interconnection point between CENECO's 10 MVA Hilangban Substation and NOCECO's 5 MVA San Enrique Substation.

The electric power and energy delivered by CENECO shall be a 3-phase, 4-wire, 60 hertz, alternating current at 7.6KV/13.2 KVnominal.

17. Electrical Facilities to be Furnished. NOCECO agreed to provide all the metering expense at its own expense and shall coordinate with CENECO for the installation, operation and maintenance of sale metering facilities.

The delivery point shall be located at the tapping, or the point of inter-connection between CENECO and NOCECO's distribution facilities, along the South National Highway between Bago City and the Municipality of Pulupandan.

18. Ownership of Equipment and Facilities. Unless otherwise agreed upon, all equipment or facilities made by and/or installed at the expense of either party shall remain a property of the party concerned.

19. Selling Rate. The Selling Rate which shall be charged to NOCECO for the supply of power shall be the summation of the generation, transmission, ERCCase No. 2015-066 RC Notice of Public Hearing/21 January 2016 Page 6 ofu

allowable system loss rates, wheeling rates and other pass through charges.

Pursuant to ERC Resolution No 2, Series of 2009, Universal Charges and Lifeline Rates are not included in the Selling Rates to be collected from NOCECO.

20. Wheeling Rate. The Wheeling Rate shall be composed of the distribution, supply and metering costs for the Residential Customers of the CENECO.

This was agreed pursuant to Article 6.5 of the Rules for Setting the Electric Cooperatives' Wheeling Rates (RSEC-WR), adopted by the Commission pursuant to Resolution 20 Series of 2009, that provides that: "[t]he rates applicable for the Sale for Resale customers shall be equivalent to the rates for the Residential Customers, unless the selling EC and the buying EC propose otherwise. xxx"

21. Take and Pay Contract. NOCECO shall accept all deliveries allocated or made by CENECO and NOCECO shall pay for the kWh delivered by CENECO as measured by the meter based on the Selling Rate.

22. Currency of Payment. All payments shall be made in Philippine Pesos.

23. Due Date. CENECO shall issue a bill for each calendar month within five (5) business days after the 26th of every month. Unless otherwise agreed ERC Case No. 2015-066 RC Notice of Public Hearing/21 January 2016 Page 70fu

by the parties, all invoices under this Agreement shall be due and payable without notice of demand fifteen (15) calendar days from the date said bills have been issued/served to NOCECO but not earlier than the 25th day of said succeeding month or, if such day is not a Business Day, then on the next succeeding Business Day.

24. Manner of Payment. NOCECO will make payments by electronic funds transfer, or by other mutually agreed alternative method, to the account designated by CENECO.

RECOVERY OF THE GENERATION CHARGE AS PURCHASED BY NOCECO FROM CENECO

25. Customer Profile. The instant Sale for Resale Agreement was entered into for the benefit of NOCECO's customers in Pulupandan. These customers are classified into the following:

26. Total Power Purchased. From 29 October 2013 to 05 April 2014, NOCECO purchased a total of 2,622,742-41KWHR from CENECO and was billed the total amount ofPHP 22,705,139.08.

27. Total Amount Paid. NOCECO timely paid its account with CENECO. It issued checks with the total amount of PHP 22,705,139.08 and deposited the same with the savings account of CENECO in the Rizal Commercial Banking Corporation (RCBC),under account no. 1419-300809.

28. Rate Impact. The purchase of power from CENECO resulted in an average difference in the blended rate of 0.1006 PhP/kWh if NOCECO had purchased from NPC/PSALM and an average difference of 0.0725 Php/kWh if NOCECO had purchased from WESM. A copy of the computation of the Rate Impact is attached hereto as Annex "R".

PRAYER

WHEREFORE, premises considered, Joint Applicants CENECO and NOCECO respectfully pray that the Honorable Commission after hearing on the merits, render a Decision APPROVING the instant application for recovery of the Generation Charge in the amount of TWENTY TWO MILLION SEVEN HUNDRED FIVE THOUSAND ONE HUNDRED THIRTY-NINE PESOS AND EIGHT CENTAVOS (PHP 22,705,139.08) as purchased by NOCECO from CENECO.

The Commission has set the application for jurisdictional hearing, expository presentation, pre-trial conference and evidentiary hearing on March 8, 2016 (Tuesday) at ten o'clock in the morning (10:00 A.M.) at NOCECO's Principal Office, Kabankalan City, Negros Occidental.

All persons who have an interest in the subject matter of the proceeding may become a party by filing, at least five (5) days prior to the initial hearing and subject to the requirements in the ERC's Rules of Practice and Procedure, a verified petition with the Commission giving the docket number and title of the proceeding and stating: (1) the petitioner's name and address; (2) the nature of petitioner's ERC Case No. 2015-066 RC Notice of Public Hearing/21 January 2016 Page 11 of 11 interest in the subject matter of the proceeding, and the way and manner in which such interest is affected by the issues involved in the proceeding; and (3) a statement of the relief desired.

All other persons who may want their views known to the Commission with respect to the subject matter of the proceeding may file their opposition to the application or comment thereon at any stage of the proceeding before the applicant concludes the presentation of its evidence. No particular form of opposition or comment is required, but the document, letter or writing should contain the name and address of such person and a concise statement of the opposition or comment and the grounds relied upon.

All such persons who may wish to have a copy of the application may request the applicant, prior to the date of the initial hearing, that they be furnished with a copy of the application.
