NCKA Board of Directors Greetings NCKA Members:

Dr. Kim Koo, M.D., a noted neurosurgeon, has agreed to offer her academic medical support for our JNCKA. She has been more than generous with providing medical services and expertise at ISKF events for many years. I am very pleased to address all of the members both students and instructors of the National Collegiate Karate Association. Since its inception I am happy to say that this branch of the International Shotokan Karate Association has consistently grown and flourished. It is a difficult task to keep our dojos growing, and even more difficult for our colleges and universities. They must adhere to many rules and regulations of those institutions while doing their best to maintain the tradition of our Shotokan karate martial art. This has been achieved under the direction of Dr. Paul Smith, Chairman of the NCKA and assisted by Mr. James Sim and Dr. Anthony Nakazawa. They have volunteered their time and efforts to accomplish their goal of bringing Shotokan karate to as many universities and colleges nationwide. I’d like to extend my sincere gratitude to them as well as all of the instructors and assistants who volunteer their time for all of the members of the National Collegiate Karate Association.

I have stated many times that our collegiate students are the future of the ISKF. Many of us, me included have begun our karate training in these learning institutions. It is the opportune time to try to mold the younger generation while they are in the process of not only learning academically, but also about themselves. There is no better way to learn more about oneself than in karate training. And at the same time, learning to be a good human being. With these tools, when they leave their colleges and universities and enter the work establishment, hopefully they will bring their spiritual knowledge of perfection of character and their dojo kun to help others. This can assuredly make the world a better place. This is the ultimate goal of the ISKF and the karate-ka of the NCKA can help bring this goal to fruition.

By-Laws of the

National Collegiate Karate Association

Approved and Adopted June 7, 2008 at Master Camp Meeting

Article I Offices and Purpose

Section 1. Principal Office. The principal office of the association is located at 222 South 45th Street, Philadelphia, PA 19104.

Section 2. Other Offices. The association may also have offices at such other places, within or without its state of incorporation, where it is qualified to do business, as its business and activities may require, and as the board of directors may, from time to time, designate.

Section 3. IRC Section 501(c)(3) Purposes. The association will operate under the umbrella of the International Shotokan Karate Federation (ISKF).

The purpose of this association is to: 1. Increase awareness of Shotokan karate as a traditional martial art in the U.S. college/university system. 2. Organize and develop collegiate Shotokan karate across the U. S. on individual and institutional levels. 3. Instill the physical, mental and spiritual values and benefits of Shotokan karate. 4. Foster goodwill among all people.

Article II Membership

Section 1. Membership: The association shall have two classes of membership: 1. Voting: ISKF collegiate clubs from an accredited university or college and in good standing (including dues paid) with the umbrella organization. 2. Non- Voting - Reserved - to be determined later

Article III Directors

Section 1. Number. The association shall have not less than five (5) nor more than 15 directors and collectively they shall be known as the Board of Directors.

Section 2. Powers. Subject to the provisions of the laws of the state of incorporation and any limitations in the Articles of Incorporation and these Bylaws relating to action required or permitted to be taken or approved by the members, if any, of this corporation, the activities and affairs of this corporation shall be conducted and all corporate powers shall be exercised by or under the direction of the Board of Directors.

Section 3. Duties. It shall be the duty of the directors to: (a) perform any and all duties imposed on them collectively or individually by law, or by these Bylaws; (b) appoint and remove, employ, supervise, and discharge, prescribe the duties and fix the compensation, if any, of all officers, agents, and employees of the corporation; (c) meet at such times and places as required by these Bylaws.

Section 4. Term of Office. Each director shall hold office for a period of three (3) years with no limit on re-election for consecutive terms, or until his or her successor is elected, or until he or she resigns, is removed from office or is otherwise unable to serve. Terms will initially be staggered by one, two, or three years so all members will not be up for election at the same time. Subsequent terms will be three years.

Section 5. Compensation. Directors shall serve without compensation other than reasonable expenses.

Section 6. Regular Meetings. Regular meetings of Directors shall be held each June and at each National Collegiate Karate Competition. At the regular meeting of directors held each June, directors shall be elected by the Board of Directors. Voting for the election of directors shall be by written ballot. Each director shall cast one vote per candidate, and may vote for as many candidates as the number of candidates to be elected to the Board. The candidates receiving the highest number of votes up to the number of directors to be elected shall be elected to serve on the Board.

Section 7. Quorum for Meetings. A quorum shall consist of a majority of the members of the Board of Directors.

Section 8. Majority Action as Board Action. Every act or decision done or made by a majority of the directors present at a meeting duly held at which a quorum is present is the act of the Board of Directors, unless these Bylaws, or provisions of law require a greater percentage or different voting rules for approval of a matter by the board.

Section 9. Non-Liability of Directors. The directors shall not be personally liable for the debts, liabilities, or other obligations of the association.

Section 10. Indemnification by Corporation of Directors and Officers. The directors and officers of the corporation shall be indemnified by the corporation to the fullest extent permissible under the laws of this state.

Article IV Executive Committee

Section 1. Designation of Executive Committee. The officers of the association shall be a Chair, a Vice Chair, a Secretary, and a Treasurer, known as the Executive Committee. The association may elect other such officers with such titles as may be determined from time to time by the Board of Directors. The Executive Committee will ensure the objects of the association are carried out. They will also ensure proper fiscal practices and maintain the integrity and image of the association.

Section 2. Qualifications. Any person may serve as officer of this association who is legally able.

Section 3. Election and Term of Office. Officers shall be elected by the Board of Directors, at any time, and each officer shall hold office until he or she resigns or is removed.

Section 4. Removal and Resignation. Any officer may be removed, either with or without cause, by the Board of Directors, at any time. Any officer may resign at any time by giving written notice to the Board of Directors or to the Chair or Secretary of the association.

Section 5. Duties of Officers.

Chair: The Chair shall convene regularly scheduled board meetings, shall preside or arrange for other members of the Executive Committee to preside at each meeting; and, shall appoint the Managing Editor and Academic Editor of the NCKA Journal.

Vice Chair: The Vice Chair shall chair committees on special subjects as designated by the board and functions in the capacity of the Chair in the absence of the Chair.

Secretary: The Secretary shall assure that Board minutes and other corporate records of the organization are maintained.

Treasurer: The Treasurer shall be responsible for maintaining the corporate bank account for this organization, and will respond to Board requests for information concerning the financial situation of the corporation.

Section 6. Vacancies. Vacancies in an office may be filled for the remainder of the unexpired term by resolution of the Board.

Article V Committees

Section 1. Committees. The corporation shall have committees as may from time to time be designated by resolution of the Board of Directors. These committees may consist of persons who are not also members of the board and shall act in an advisory capacity to the board.

Section 2. Meetings and Action of Committees. Meetings and action of committees shall be governed by and held in accordance with the provisions of these Bylaws concerning meetings of the Board of Directors.

Section 3. Executive Committee. The four officers serve as the members of the Executive Committee. Except for the power to amend the articles of incorporation and bylaws, the Executive Committee shall have all the powers and authority of the board of directors in the intervals between meetings of the board of directors and is subject to the direction and control of the full board.

Article VI Eligibility

Section 1: To participate in association training individuals must be: a) A member in good standing in the ISKF. b) Recommended by the regional ISKF/NCKA Director.

Section 2: To participate in association competition, individuals must be: (a) Full time college student (undergraduate or graduate) in good academic standing (2.0 GPA for undergraduate and 3.0 GPA for graduate students on a 4.0 scale for the most recent completed semester). Individual and team event contestant rules follow the official ISKF rules. (b) All team members must attend the same University and/or College. (Teams may consist of members who attend multi-campuses within one University system.) (c) Permission to compete from the Regional ISKF Director. (d) Collegiate contestants have 4 academic years in which to complete their NCKA eligibility. The 4 years may be non-consecutive, and without an age limitation (excepting that kumite age restrictions will be according to ISKF rules-45 years of age). (e) Regional Directors will be responsible for validating student eligibility status as regards full-time attendance, academic standing, and number of participating years. (f) Individual and Team event competition rules are set by the Technical Committee of the ISKF.

Article VII Records

Section 1. Maintenance of Records. The corporation shall keep at its principal office: (a) Minutes of all meetings of directors and committees of the Board; (b) A conformed copy of the corporation’s Bylaws; (c) Adequate and correct books and records of its association bank account(s).

Article VIII Amendment of Bylaws

Section 1. Amendment. These bylaws may be altered, amended, or repealed and new Bylaws adopted by approval by majority of the Board of Directors. Proposed amendments must be submitted to the secretary to be sent out with regular board announcements.

Article IX Construction and Terms

If there is any conflict between the provisions of these Bylaws and the Articles of Incorporation of this corporation, the provisions of the Articles of Incorporation shall govern.

Should any of the provisions or portions of these Bylaws be held unenforceable or invalid for any reason, the remaining provisions and portions of these Bylaws shall be unaffected by such holding.

Meeting called to order at 10:05 a.m. by Dr. Paul Smith, Chair NCKA

ROLL CALL: Quorum was established. See roll call below.

MINUTES: The review of the minutes of the 2007 NCKA meeting in San Francisco at ISKF Tournament was discussed. After brief discussion the minutes were approved. A motion was made by Nyles Gray to approve the minutes.

The motion was seconded by Steve Pohl. Motion passed.

INTRODUCTIONS: See attendance sheet below.

OLD BUSINESS: Dr. Paul Smith welcomed all of the Board of the Directors of the NCKA.

Discussion was held of the NCKA peer review articles. Discussion involved blind review or open review. After discussion it was determined that Dr. Paul Smith will develop a policy document to put into ISKF Spotlight including a call for papers and will include a discussion on the open review process as well as a call for papers of the next issue of the National Collegiate Karate Association Journal.

A motion was made by Dr. Sally Grimes that the blind review will be modified to include the name of the author and an ad will be placed in the ISKF Spotlight and the format will include a proposed article style i.e. the Chicago style or APA style. There will be a listing of the types of articles such as: academic articles, public information articles, book reviews and short commentaries, so that participation can be expanded.

The motion was seconded by Bruce Green. Motion passed unanimously.

NEW BUSINESS;

1. NCKA handbook: This was discussed; no decision was made on the NCKA handbook. 2. Schedule of the East Coast Karate Association: Dr. Paul Smith was going to make available the schedule of the East Coast Karate Association, so that other Colleges can look at the organizational structure of the East Coast Collegiate Karate Association as an example for their own regions. 3. Recognition of other styles: A discussion on whether other styles, other than ISKF Shotokan Karate, could participate in our National tournaments. It was noted that eligibility evaluation criteria calls for only ISKF members in good standing participating in ISKF National Collegiate Karate tournaments.

4. Moving the NCKA www. There was a discussion on moving the NCKA web site directly to www.iskf.com. Now ISKF has a link to the Journals of the National Collegiate Karate Association located on the www.iskf-alaska.net web site.

5. Eligibility criteria 6, 2 A: There was a discussion on graduating seniors and their eligibility to participate in NCKA meetings.

A motion was made by NCKA Vice-President, James Sim that graduating seniors may participate in the NCKA meetings if they have only three NCKA events and their 4th year eligibility would still be valid and they may be able to participate in the NCKA tournament if they had recently graduated or not at the present time enrolled in college.

Bruce Green seconded the motion. Motion passed unanimously.

6 Future of NCKA: A general discussion was held on the future of the NCKA. No action was taken.

MEETING ADJOURNED: Dr. Paul Smith made a motion to adjourn the meeting at 11:05 a.m. The motion was seconded by Vice-President, James Sim.

NEXT MEETING: The next meeting will be held at the 2008 ISKF National Tournament in Los Angeles, California.

Purposes of the NCKA

1. To increase awareness of traditional Japanese karate as a sport in the U.S. college/university system. 2. To develop organized collegiate karate across all traditional Japanese styles. 3. To maintain and instill the mental and physical values and benefits of Karate-do. 4. To develop good will among people and places.

NCKA Eligibility Requirements

1. Full time college student (undergraduate or graduate) in good academic standing (2.0 GPA for undergraduate and 3.0 GPA for graduate students on a 4.0 scale for the most recent completed semester). Individual and team event contestant rules follow the official ISKF rules. 2. All team members must attend the same University and/or College. (Teams may consist of members who attend multi-campuses within one University system.) 3. Permission to compete from the Regional ISKF Director. 4. Collegiate contestants have 4 academic years in which to complete their NCKA eligibility. The 4 years may be non-consecutive, and without an age limitation (excepting that kumite age restrictions will be according to ISKF rules — 45 years of age). 5. Regional Directors will be responsible for insuring ISKF membership dues are current and validating student eligibility status as regards full-time attendance, academic standing, and number of participating years.

NCKA Activities 2008 & 2009

1. National Collegiate Karate Association 2008 Annual Meeting will be held in conjunction with the 2008 NCKA Tournament November 14 - 16 in Los Angeles, California. For information, contact Dr. Paul Smith 1-610-436-2764.
